Summary of TCEQ Standard Purchase Order/Contract Terms and Conditions

This document contains the standard terms and conditions for purchase orders and contracts issued by the Texas Commission on Environmental Quality (TCEQ). Rather than a specific procurement solicitation, this document establishes uniform contractual requirements applicable to all vendors entering into agreements with TCEQ for the supply of goods or services. The terms establish expectations regarding delivery, inspection, payment procedures, and contractor obligations but do not specify particular products, quantities, response dates, or award dates, as these elements vary by individual procurement.

The document encompasses comprehensive contractual provisions covering pricing, payment terms, compliance requirements, intellectual property protections, security standards, and termination conditions. TCEQ maintains the authority to adjust quantities of like items or services at contracted rates during the contract term and any renewals or extensions. Contractors must comply with all Texas Government Code requirements, provide pricing on a unit basis with F.O.B. destination freight prepaid, and invoice per specified unit prices. Payment is made within 30 days of receipt of goods or uncontested invoices in accordance with Texas Government Code Chapter 2251. The terms include extensive certifications and affirmations required of contractors regarding conflict of interest, antitrust compliance, child support obligations, debarment status, cybersecurity training requirements, prohibited technology restrictions, and various statutory compliance matters. TCEQ reserves termination rights for non-appropriation of funds, convenience of the state with 30 days' notice, or contractor default, and the contract is subject to audit by the State Auditor under Texas Government Code §2262.154.
