About this file
This document is a Data Use Agreement (DUA) between the Texas Historical Commission (THC) and an unnamed Contractor, establishing the terms for handling confidential information. The DUA outlines comprehensive guidelines for the Contractor's responsibilities in accessing, creating, maintaining, using, disclosing, and protecting various types of confidential information, including education records, federal tax information, personal identifying information, protected health information, and other sensitive data. The agreement specifies detailed protocols for secure information handling, breach notification procedures, and the Contractor's obligations in managing and safeguarding confidential information.
The document emphasizes strict requirements for information security, including the need for appropriate administrative, physical, and technical safeguards, secure transmission methods, encryption standards, and comprehensive incident response planning. The Contractor must designate privacy and information security officials, comply with multiple state and federal regulations, and maintain specific insurance coverages. In the event of a breach, the Contractor is obligated to immediately investigate, report, and mitigate any potential harm, with potential consequences including termination of the contract, financial penalties, and legal action. The agreement includes provisions for subcontractor management, ensuring that any third parties involved are equally bound by these stringent confidentiality and security requirements.
