The chief business officer of LIT will examine Contractor's claim and any counterclaim and negotiate with Contractor in an effort to resolve such claims. The parties specifically agree that (i) neither the execution of the Agreement by LIT nor any other conduct, action or inaction of any representative of LIT relating to the Agreement constitutes or is intended to constitute a waiver of LIT’s or the state's sovereign immunity to suit; and (ii) LIT has not waived its right to seek redress in the courts.

2.49. Enforcement. Contractor agrees and acknowledges that LIT is entering into this Agreement in reliance on Contractor's special and unique knowledge and abilities with respect to performing Services.
