Hours of Delivery The Contractor must deliver from 8:00 a.m. to 4:00 p.m. based on DPS's delivery location time zone. The Contractor is encouraged to obtain DPS's hours of operation at the time of order.

Prior approval by DPS is required for after-hours delivery. In the event of any approval by DPS for after-hours delivery, the Contractor may not invoice any additional charges for that delivery.

Delivery Schedule The Contractor will deliver the products according to the agreed delivery schedule. The Contractor must provide DPS with a "Delivery ARO" (After Receipt of Order).

Delivery Delays If a delay is foreseen, the Contractor must give written notice to DPS and keep DPS advised at all times of order status. Default in promised delivery (without accepted reasons) or failure to meet specifications authorizes DPS to purchase goods and services elsewhere and charge any increased costs for the goods and services, including the cost of re-soliciting, to the Contractor. Failure to pay a damage assessment is cause for contract cancellation.

COMPLIANT PRODUCTS

Providing products or materials that do not meet all specification requirements does not constitute delivery.

Delivery does not occur until the Contractor delivers products or materials in full compliance with the specifications to DPS F.O.B. destination unless delivery is expressly accepted, in whole or in part, by DPS.

DPS reserves the right to require new delivery or a refund if materials or products not meeting specifications are discovered after payment.

RETURN, CANCELLATION, AND RESTOCKING FEE

DPS may request the Contractor accept the return of merchandise that does not meet specifications and cancel an order before delivery. In its sole discretion, DPS will determine if the merchandise return request or order cancellation request, as applicable, must be accepted by the Contractor. If DPS determines that the merchandise will be returned or the order canceled as initially requested by DPS and DPS determines the return has resulted through no fault of Contractor, Contractor may request a reasonable restocking charge.

DPS may pay a restocking charge (no more than 10% of the cost of the item) if DPS determines that the charge is justifiable; however, DPS will not pay restocking or other fees for cancellations requested before shipment by the Contractor.

WARRANTY/GUARANTEE

The products proposed must be warranted against defects in workmanship and material.

The warranty/guarantee will run for a minimum of one year from when the product is inspected and accepted by DPS. If no time or specific protocol for acceptance is specified elsewhere in the Contract or DPS purchase order, items are presumed accepted thirty calendar days after receipt.

REPLACEMENT

The Contractor must guarantee the replacement of improperly manufactured products due to defective materials, products, or workmanship.

The Contractor will guarantee the replacement of improperly manufactured products if different from the specifications in the contract.

The replacements must be processed and received by DPS within the contracted delivery time.

The Contractor will provide a replacement free of charge, including any shipping necessary to return the product when necessary.

The Contractor will either replace the product with a new one or refund the product's total purchase price, whichever DPS prefers.

CONDITION OF PRODUCTS

Proposed and delivered products must be new, unused, of current production, and in first-class condition, including containers suitable for shipment and storage unless specified in the solicitation.
