About this file
This document is Appendix A containing Argonne National Laboratory's standard Terms and Conditions for Commercial Goods and Services contracts, effective October 22, 2025.
The appendix establishes contractual framework governing commercial procurements by Argonne National Laboratory (operated by UChicago Argonne, LLC under Department of Energy Prime Contract DE-A02-06CH11357). Key provisions address assignment restrictions, audit rights, changes, employee conduct standards, cybersecurity requirements, dispute resolution in Illinois state courts, environmental compliance, excusable delays, inspection and acceptance procedures, integration of contract documents, site access and safety requirements including REAL ID compliance for individuals 18 and older, liability limitations, payment methods (check, ACH, credit card, or wire transfer), confidentiality obligations regarding public release of information, tax treatment, termination rights for cause and convenience, and warranties against counterfeit parts. The document establishes thresholds of $15,000 for micro-purchases and $350,000 for simplified acquisition threshold (SAT). Cybersecurity requirements mandate compliance with SOC2, PCI-DSS, HITRUST, ISO, and NIST standards, with prohibition on using laboratory data to train artificial intelligence models without reasonable security implementations. The document incorporates by reference 43 FAR and DEAR clauses (numbered 23-65) with applicability conditions based on contract value and scope, including whistleblower protections, labor standards, equal opportunity, privacy requirements, and compliance certifications. The final page provides a Suspect/Counterfeit Bolt Headmark List identifying fasteners from foreign manufacturers that should be treated as defective without further testing.
