About this file
This document is an Emergency Purchase Extension for the Illinois Department of Financial and Professional Regulation (IDFPR) to extend its contract with BiotrackTHC dba Bio-Tech Medical Software dba Forian for the state's Seed to Sale (S2S) Inventory Tracking System. The original emergency contract, which began on August 1, 2021, is being extended from September 1, 2022 to December 31, 2023 with an estimated additional expenditure of $400,000. The S2S system is a cloud-based, vendor-hosted solution that tracks the lifecycle of regulated cannabis products in Illinois from cultivation to sale, including inventory, transactions, transportation, and other regulatory requirements. The extension will allow IDFPR to maintain these critical services while it finalizes a competitive Joint Purchase RFP procurement process to establish a long-term agreement for the S2S system.
The original contract amount was $325,000. The extension will be funded through state appropriated funds. IDFPR and the state's cannabis program business units have been actively involved in drafting the upcoming competitive procurement, which is intended to replace the emergency contract. If the new system is implemented before the end of the extension term, IDFPR will terminate the emergency contract early to avoid duplication of services.

Describe the scope of the original emergency (supply, service, etc.):
Vendor shall provide licensing, maintenance, support, and hosting of the state's Seed to Sale (S2S) Inventory Tracking System. The S2S system is a cloud-based vendor-hosted centralized system solution that tracks the state's regulated cannabis product lifecycles from 'seed' at a licensed cultivator to 'sale' at a licensed dispensary and everything in between. The S2S system also tracks the inventory purchases/transactions. If Medical cannabis inventory, patient and/or caregiver status validation must be provided along with the permitted amount of cannabis available for purchase. Cannabis transportation information and shipping manifests will also be tracked and accepted. Inventory registrations, data reporting, audit trail, and training to system users will be provided as well.
Describe the scope of the extension (supply, service, etc.). Show justification for extending the original emergency contract, and explain why the extension need cannot be met through a competitive process:
The scope of supplies and services provided in the original emergency will remain the same for the emergency extension and also include statutorily required developments within the System of 1. Transporter Registration Certificates, 2. Community College Requirements, 3. State Holds- the ability for the state to place a digital hold on product lots or lineages (added consumer safety), 4.
Inventory adjustment - restrictions for cannabis business operators so that they cannot adjust lots once they have been tested, 5. All cannabis business entities should be able to manifest product, 6. Agency data reporting, and 7. End Stage testing. Each development item listed is anticipated to be smaller scale, one-time deliverables, and will not result in any material changes to the contractual supplies and services. If any contractual modifications are needed, it is anticipated they would only impact the pricing terms. However, IDFPR has anticipated some of these changes within the contract's estimated total contract amount.
Currently, a Joint Purchase RFP procurement is being drafted with IDFPR taking the lead, which will establish a long-term agreement via a competitive procurement process. The State of Illinois agencies that are responsible for the regulatory oversight of the State's cannabis programs and current users of the Seed to Sale Inventory Tracking System have all been active participants in the research and drafting of this competitive Joint Purchase procurement. This competitive Joint Purchase RFP is the most viable and valuable procurement method.
Due to the complexity and timing of this procurement, another emergency extension is still required to maintain these products and services to prevent or minimize serious disruption in critical State services that affect health, safety, or collection of substantial State revenues. IDFPR and the state's cannabis program business units are working tirelessly to get a competitive procurement executed. If the new awarded solution is fully implemented prior to the end date term of this emergency extension request, IDFPR will execute the termination for convenience clause in the emergency contract to eliminate contract redundancy for the same services. The vendor
