About this file

This is a Justification for an Exception to Fair Opportunity under Federal Acquisition Regulation (FAR) Subpart 16.5, issued by the Defense Logistics Agency Contracting Services Office in Philadelphia.

The document authorizes a one-month contract extension from September 1, 2026, to September 30, 2026, for the incumbent contractor on existing contract SP4709-17-D-0041 (task order SP4709-23-F-0046). The extension will provide IT Audit support services while a new follow-on contract is being finalized and awarded. The requirement encompasses IT audit consulting services including remediation of IT findings, FIAR compliance improvements, access control/user access review, configuration management, security management, software development, segregation of duties, and contingency planning. The contractor must support DLA's Information Operations divisions (J62D and J62H) across three major task areas: Audit Readiness and Preparedness Activities, Audit Response Activities, and Project Management Activities. Services include knowledge transfer and research related to Financial Improvement and Audit Readiness (FIAR), Federal Information Security Management Act (FISMA), and Federal Information System Controls Audit Manual (FISCAM) compliance. The requirement is aligned with the JETS IDIQ Task Area 10, and the contractor must be competition-eligible under that vehicle.

The justification cites FAR 16.507-6(b)(2) as the exception authority, citing unique and highly specialized services as the rationale. The incumbent contractor is deemed the sole source capable of providing seamless continuity due to possession of active security clearances, system access, and specialized knowledge of the current IT audit architecture. The document states that transitioning to an alternative vendor during the 30-day window would be impractical and pose unacceptable operational risk due to onboarding and system access provisioning requirements. Pre-negotiated pricing based on the existing contract was used for the Independent Government Cost Estimate (IGCE) and deemed fair and reasonable. The total estimated dollar value and specific costs are redacted in the document.

4. IDENTIFICATION OF THE EXCEPTION TO FAIR OPPORTUNITY AND

SUPPORTING RATIONALE, INCLUDING A DEMONSTRATION OF THE

PROPOSED CONTRACTOR’S UNIQUE QUALIFICATIONS OR THAT THE

NATURE OF THE ACQUISITION REQUIRES USE OF THE EXCEPTION

CITED:

Pursuant to FAR 16.507-2 and FAR 16.505(b)(2), the action being approved is an exception to fair opportunity. This justification authorizes the use of other than full and open competition to award a one-month contract extension to for the continuity of the existing IT Audit contract.

Per FAR 16.507-6(b)(2) an exception to the fair opportunity process is justified because only one awardee is capable of providing the supplies or services required at the level of quality required in the required timeframe because the supplies or services ordered are unique or highly specialized.

The existing IT Audit environment provides critical, continuous oversight, monitoring, and compliance tracking that must remain fully operational while the new follow-on solicitation is being finalized and awarded. It is essential that continuous IT infrastructure support, system monitoring, and ongoing audit activities are maintained without disruption during this administrative transition period. A gap in service would result in immediate vulnerabilities, loss of critical audit trails, and significant mission disruption.

Expertise regarding the technical details, proprietary configurations, and functional state of the current IT Audit architecture is essential to ensure seamless operations over this bridging period. Only possesses the necessary active clearances, system access, and specialized historical knowledge that enables them to perform the required services on time and without delay. Transitioning to an alternative vendor for a one-month period is highly impractical and poses an unacceptable risk to the Government; standard onboarding, system access provisioning, and necessary knowledge transfer would far exceed the 30-day extension window, rendering any new vendor incapable of meeting the immediate timeline.

Therefore, only r, is capable of providing the required services at the level of quality required in the required timeframe because these continuous support services are highly specialized and time sensitive.

5. DETERMINATION BY THE ORDERING ACTIVITY CONTRACTING
