About this file
This is a Sole Source Justification Memorandum for a firm fixed price purchase order to be awarded to Rosemount, Inc. (CAGE: 1LQF0, subsidiary EMERSON LLLP) by the Naval Surface Warfare Center Panama City Division (NSWC-PCD, Code 024). The contracting activity is located at 110 Vernon Avenue, Panama City, FL 32407.
The requirement involves annual maintenance, calibration, linearization, and recertification services for up to 10 Emerson model MLT analyzers and up to 14 Xstream model analyzers at the Navy Experimental Diving Unit (NEDU) in Panama City Beach, Florida. The contractor must provide a specialized field technician in gas analysis to perform work over 5 consecutive business days (Monday through Friday, excluding holidays), working 8 hours on-site each day. Services include calibration and verification of instrumentation to customer-provided ranges, performance of all maintenance according to manufacturer specifications, and submission of detailed as-found/as-left reports on a daily basis. The acquisition is conducted under simplified acquisition procedures and FAR 12.102(a) authority for restricting competition in commercial acquisitions below the simplified acquisition threshold. The justification for sole-source award is based on Rosemount being the manufacturer of the analyzers and the only company capable of providing recertification services; use of another vendor could compromise equipment performance and introduce harmful parameters affecting diving and life support systems vital to Navy diver safety. The Contracting Officer determined this award represents best value by ensuring mission readiness and avoiding costs and operational impacts of extended equipment downtime. No market research was conducted, and no actions are identified to overcome barriers to competition in subsequent acquisitions.

2. Nature and/or description of the action being approved.
This action will award a firm fixed price purchase order pursuant to Rosemount, INC. CAGE:

Contractor shall perform all maintenance in accordance with manufacturer’s specifications.
This acquisition will be conducted using simplified acquisition procedures. The Government's minimum needs have been verified by the certifying technical and requirements personnel. This memo does not authorize acquisition for other requirements.
4. Justification Rationale
This acquisition is conducted under the authority of FAR 12.102(a), Restricting Competition for Commercial Acquisitions Below the Simplified Acquisition Threshold. The determination has been made that only one source is reasonably available to meet the Government's minimum needs.
The Navy Experimental Diving Unit (NEDU) currently has a requirement for the item(s) listed in Paragraph 3 of this document. As the manufacturer of the instrument, ROSEMOUNT, Inc.
(subsidiary: EMERSON LLLP) is the only company offering service and recertification of the equipment. To use another company to conduct recertification on this equipment might compromise their overall performance. Use of another vendor may change or introduce new parameters that may be harmful to all diving systems tested and maintained at NEDU, and negatively affect the diving and life support systems these instruments are vital components of.
Therefore, it is imperative that this particular vendor be used to limit the risk to life and health of the US Navy Divers who depend on this instrument.
As such, the Government does not expect significant savings through competition and does expects significant and unacceptable delays that will negatively impact this requirement.
Therefore, it is in the Government’s best interest to award on a sole source basis to ROSEMOUNT, Inc.
5. A determination by the ordering activity contracting officer that the order represents the best value consistent with FAR 12.102(a).
The Contracting Officer has determined that this order represents the best value to the Government. This determination is based on the unique and time-sensitive mission requirements of Special Operating Forces. Awarding this as a sole-source order is the most advantageous approach. The best value is achieved by ensuring mission readiness and avoiding the costs and operational impacts of extended equipment downtime.
6. A description of the market research conducted among schedule holders and the results or a statement of the reason market research was not conducted.
For the reasons specified in paragraph 4 above, ROSEMOUNT, Inc is the only source that can meet the Government’s needs.
7. Any other facts supporting the justification.
None.
8. A statement of the actions, if any, the agency may take to remove or overcome any barriers that led to the restricted consideration before any subsequent acquisition for the supplies or services is made.
As stated in paragraph 4 above, ROSEMOUNT, Inc is the only source that can meet this requirement.
