SECTION 5 - PROCUREMENT GUIDELINES
5.1 Competitive Negotiation
The procurement method is competitive negotiation as defined in Section 2.2-4301 of the Code of Virginia (1950) as amended. This Request for Proposal indicates, in general terms, the nature of the program and services being sought.
Each bidder is to submit the proposal(s) that best suits the needs of Waynesboro Public Schools.
The specific requirements for the contents of proposals are contained in the RFP. Bidders are encouraged to provide additional information not specifically identified as a requirement if that additional information enables the proposal to better suit the needs of Waynesboro Public Schools.
In order to procure the program that best suits the needs of Waynesboro Public Schools, the competitive negotiation process and evaluation criteria consider factors in addition to cost.
5.2 Awarding the Contract
The evaluation process shall be based upon the criteria identified in Section 1 of this Request for Proposals.
Waynesboro Public School shall engage in individual discussions with two or more bidders deemed fully qualified, responsible and suitable on the basis of initial responses and with emphasis on professional competence, to provide the required services. Repetitive informal interviews shall be permissible. The bidders shall be encouraged to elaborate on their qualifications and performance data or staff expertise pertinent to the proposed project, as well as alternative concepts. The Request for Proposal shall not, however, request that bidders furnish estimates of man-hours or cost for services. At the discussion stage, Waynesboro Public Schools may discuss nonbinding estimates of total project costs, including, but not limited to, life-cycle costing, and where appropriate, nonbinding estimates of price for services.
Proprietary information from competing bidders shall not be disclosed to the public or to competitors. At the conclusion of discussion, outlined herein, on the basis of evaluation factors published in the Request for Proposal and all information developed in the selection process to this point, Waynesboro Public Schools shall select in the order of preference two or more bidders whose professional qualifications and proposed services are deemed most meritorious.
Negotiations shall then be conducted, beginning with the bidder ranked first. If a contract satisfactory and advantageous to Waynesboro Public Schools can be negotiated at a price considered fair and reasonable, the award shall be made to that bidder. Otherwise, negotiations with the bidder ranked first shall be formally terminated and negotiations conducted with the bidder ranked second, and so on until such a contract can be negotiated at a fair and reasonable price. Should Waynesboro Public Schools determine in writing and in its sole discretion that only one bidder is fully qualified, or that one bidder is clearly more highly qualified and suitable than the others under consideration, a contract may be negotiated and awarded to that bidder.
Waynesboro Public Schools shall endeavor to award the contract within thirty (30) days from receipt of proposals.
Notice of award will be posted on Waynesboro Public Schools website at http://www.waynesboro.k12.va.us.
5.3 Public Inspection of Procurement Records
Proposals submitted shall be subject to public inspection only in accordance with Section 2.2-4342 of the Code of Virginia, which reads, in essence, as follows

Except as provided in this section, all proceedings, records, contracts, and other public records relating to procurement transactions shall be open to the inspection of any citizen, or any interested person, firm or corporation, in accordance with the Virginia Freedom of Information Act.
http://www.waynesboro.k12.va.us/
10 | P a g e
Cost estimates relating to a proposed procurement transaction prepared by or for a public body shall not be open to public inspection.
Any competitive negotiation bidder, upon request, shall be afforded the opportunity to inspect proposal records within a reasonable time after the evaluation and negotiations of proposals are completed but prior to award, except in the event that Waynesboro Public Schools decides not to accept any of the proposals and to reopen the contract.
Otherwise, proposal records shall be open to public inspection only after award of the contract.
Any inspection of procurement transaction records under this section shall be subject to reasonable restrictions to ensure the security and integrity of the records.
Trade secrets or proprietary information submitted by a bidder, bidder or contractor in connection with a procurement transaction shall not be subject to the Virginia Freedom of Information Act; however, the bidder, bidder or contractor shall (i) invoke the protections of this section prior to or upon submission of the data or other materials, (ii) identify the data or other materials to be protected, and (iii) state the reasons why protection is necessary.
5.4 Rejection of Proposals
Waynesboro Public Schools reserves the right, at any time prior to award of the contract, to reject any and all proposals, or any part thereof, to make no award, and/or to issue a new Request for Proposal, or make modifications, corrections of additions to the information contained herein.
Bidders are cautioned this is a Request for Proposal, NOT a request to contract.
5.5 Proposal Preparation Costs
Any costs incurred by bidders in preparing or submitting proposals are the bidder’s sole responsibility; Waynesboro Public Schools will not reimburse any bidder for any costs incurred as a result of the preparation of this Request for Proposal.
5.6 State Corporation Commission Identification Number
Pursuant to Code of Virginia, §2.2-4311.2 subsection B, a bidder or bidder organized or authorized to transact business in the Commonwealth pursuant to Title 13.1 or Title 50 is required to include in its bid or proposal the identification number issued to it by the State Corporation Commission (SCC). Bidders/Offerors or their authorized representatives are expected to inform themselves fully as to the conditions, requirements, and specifications before submitting bids; failure to do so will be at the bidder’s/offeror’s own risk and relief cannot be secured on the plea of error.)
Subject to all State and local laws, policies, resolutions, and regulations and all accepted rules, regulations and limitations imposed by legislation of the Federal Government, bids/proposals on all solicitations issued by Waynesboro Public Schools will bind bidders/offerors to applicable conditions and requirements herein set forth unless otherwise specified in the solicitation.
1.1 ANTI-DISCRIMINATION: By submitting their bid/proposal, the Bidder/Offeror certifies to the School Board that they will conform to the provisions of the Federal Civil Rights Act of 1964, as amended, as well as the Virginia Fair Employment Contracting Act of
1975, as amended, where applicable, the Virginians With Disabilities Act, the Americans With Disabilities Act and 2.2-4311 of the Virginia Public Procurement Act (VPPA). If the award is made to a faith-based organization, the organization shall not discriminate against any recipient of goods, services, or disbursements made pursuant to the contract on the basis of the recipient’s religion, religious belief, refusal to participate in a religious practice, or on the basis of race, age, color, gender, sexual orientation, gender identity or national origin and shall be subject to the same rules as other organizations that contract with public bodies to account for the use of the funds provided; however, if the faith-based organization segregates public funds into separate accounts, only the accounts and programs funded with public funds shall be subject to audit by the public body (Code of Virginia, 2.2-4343.1E).
In every contract over $10,000 the provisions in 1.1.1 through 1.1.4 below apply:
During the performance of this contract, the contractor agrees as follows:
1.1.1 The contractor will not discriminate against any employee or applicant for employment because of race, religion, color, sex, national origin, age, disability, or any other basis prohibited by state law relating to discrimination in employment, except where there is a bona fide occupational qualification regarding religion, sex, or national origin that is reasonably necessary to the normal operation of the contractor. The contractor agrees to post in conspicuous places, available to employees and applicants for employment, notices setting forth the provisions of this nondiscrimination clause.
1.1.2 The Contractor, in all solicitations or advertisements for employees placed by or on behalf of the Contractor, will state that such Contractor is an equal opportunity employer.
1.1.3 Notices, advertisements and solicitations placed in accordance with federal law, rule or regulation shall be deemed sufficient for the purpose of meeting these requirements;
1.1.4 The Contractor will include the provisions of 1.1.1 above in every subcontract or purchase order over $10,000, so that the provisions will be binding upon each subcontractor or vendor.
1.2 ANTITRUST: By entering into a contract, the contractor conveys, sells, assigns, and transfers to the School Board all rights, title and interest in and to all causes of action it may now have or hereafter acquire under the antitrust laws of the United States and the Commonwealth of Virginia, relating to the particular goods or services purchased or acquired by the School Board under said contract.
1.3 APPLICABLE LAWS AND COURTS: This solicitation and any resulting contract shall be governed in all respects by the laws of the Commonwealth of Virginia, and any litigation with respect thereto shall be brought in the courts having jurisdiction in the City of Waynesboro, Virginia. In the discharge of these responsibilities, the Agent or Clerk may be assisted by delegating authority to the Assistant Superintendent, Executive Directors and other school board staff. No other School Board officers or employee is authorized to enter into purchase negotiations, change orders, contracts, or in any way obligate the School Board for indebtedness. Any purchase order or contract made which is contrary to these provisions and authorities shall be of no effect and void, and the School Board shall not be bound thereby.
1.6 CHANGES TO THE CONTRACT: Provided any changes are consistent with any applicable limitation set forth in the Virginia
Public Procurement Act (PPA), changes can be made to the contract in any of the following ways:
1.6.1 The parties may agree in writing to modify the terms, conditions, or scope of the contract. Any additional goods or services to be provided shall be of a sort that is ancillary to the contract goods or services, or within the same broad product or service categories as were included in the contract award. Any increase or decrease in price of the contract resulting from such modification shall be agreed to by the parties as a part of the written agreement to modify the scope of the contract.

Changes within the scope of the contract include, but are not limited to things such as services to be performed, the method of packing or shipment and the place of delivery or installation. The

If Waynesboro Public Schools decides to issue a notice that requires an adjustment to compensation, the Contractor shall be compensated for any additional costs incurred as the result of such order and shall give Waynesboro Public Schools a credit for any savings. Said compensation shall be determined by one of the following methods:

c. By ordering the contractor to proceed with the work and keep a record of all costs incurred and savings realized. A markup for overhead and profit may be allowed if provided in the contract. The same markup shall be used for determining a decrease in price as a result of savings realized. 1.18 MANDATORY USE OF FORM AND TERMS AND CONDITIONS: Failure to submit a bid/proposal on the form provided for that purpose shall be cause for rejection of the bid. Modification of or additions to any portion of the Invitation for Bids or Request for Proposals may be cause for rejection of the bid; however, the School Board reserves the right to decide, on a case by case basis, in its sole discretion, whether to reject such a bid/proposal as non-responsive. 1.22 OFFICIAL NOT TO BENEFIT:
1.22.1 Each Bidder/Offeror shall certify upon signing a bid/proposal that to the best of his/her knowledge no Waynesboro Public Schools official or employee having official responsibility for the procurement transaction or member of his/her immediate family has received or will receive any financial benefit of more than nominal or minimal value relating to the award of this contract unless consideration of substantially equal or greater value is/was exchanged. If such a benefit has been received or will be received, this fact shall be disclosed with the bid/proposal or as soon thereafter, as it appears that such a benefit will be received. Failure to disclose the information prescribed above may result in suspension or debarment or recession of the contract made or could affect payment pursuant to the terms of the contract.
1.22.2 Whenever there is a reason to believe that benefit of the sort described in the paragraph above has been or will be received in connection with the bid, proposal, or contract and that the Contractor has failed to disclose such benefit or has inadequately disclosed it, Waynesboro Public Schools, as a prerequisite to payment pursuant to the Contractor, or at any time may require the contractor to furnish, under oath, answers to any interrogatories related to such possible benefit.
1.22.3 In the event the Bidder/Offeror has knowledge of benefits as outlined above, this information should be submitted with the bid. If the above does not apply at time of award of contract and becomes known after the inception of a contract the Bidder/Offeror shall address the disclosure of such facts to: Superintendent, Waynesboro School Board, 301 Pine Avenue, Waynesboro, VA 22980. 1.23.2 Any payment terms requiring payment in less than 30 days will be regarded as requiring payment 30 days after invoice or delivery, whichever occurs last. This shall not affect offers of discounts for payment in less than 30 days.

1.24.3 The contractor is obligated to pay the subcontractor(s) interest at the rate of one percent per month (unless otherwise provided under the terms of the contract) on all amounts owed by the contractor that remain unpaid seven days following receipt of payment from the School Board, except for amounts withheld as stated in (2) above. The date of mailing any payment by U.S. Mail is deemed to be payment to the addressee. These provisions shall be included by the Contractor in each subcontract so they are binding on each sub-tier contractor performing under the primary contract.
A contractor’s obligation to pay an interest charge to a subcontractor may not be construed to be an obligation of the School Board or any participating jurisdiction.
1.25 PRECEDENCE OF TERMS: All of these General Terms and Conditions shall apply in all instances. In the event there is a conflict between any of the General Terms and Conditions and Special Terms and Conditions in the solicitation, the Special Terms and Conditions shall apply.

The Protest Officer shall issue a decision in writing within ten (10) days of the receipt of the protest stating the reasons for the action taken.
1.26.1 If prior to award it is determined that the decision to award is arbitrary and capricious then the sole relief shall be a finding to that effect. The Agent shall cancel the proposed award or revise it to comply with the law. If, after an award, it is determined that an award of a contract was arbitrary and capricious, then the sole relief shall be as hereinafter provided. Where the award has been made but performance has not begun, the performance of the contract may be enjoined by Waynesboro Public Schools. Where the award has been made and performance begun, the Agent may declare the contract void upon finding that this action is in the best interest of Waynesboro Public Schools. Where a contract is declared void, the performing Contractor shall be compensated for the actual cost of performance at the rate specified in the contract up to the time of such declaration. In no event shall the performing Contractor be entitled to lost profits.
1.26.2 Pending final determination of a protest or appeal, the validity of a contract awarded and accepted in good faith in accordance with this paragraph shall not be affected by the fact that a protest or appeal has been filed.
1.26.3 An award need not be delayed for the period allowed a Bidder/Offeror to protest, but in the event of a timely protest or legal action, no further action to award the contract will be taken unless there is a written determination that proceeding without delay is necessary to protect the public interest or unless the offer would expire.
1.27 QUALIFICATIONS OF BIDDERS: The School Board may make reasonable investigations as deemed proper and necessary to determine the ability of the bidder/offeror to perform the services/furnish the goods and the bidder/offeror shall furnish to the School Board all such information and data for this purpose as may be requested. The School Board reserves the right to inspect bidder’s physical facilities prior to award to satisfy questions regarding the bidder’s’ offeror’s capabilities.
