Amendment No. A0002
1. The purpose of this amendment is to revise part of the Request for Proposal (RFP) and provide responses to the questions received in response to the RFP.
2. Section C, Paragraph C.4 and Paragraph C.5, Page 22, of the RFP are hereby deleted in their entirety and replaced with the following paragraphs:
C.4 PLACE OF CONTRACT PERFORMANCE

C.5 PROXIMITY REQUIREMENT
The minimum Government requirement for the proximity of the FASS2 contractor’s place of business to FAA HQ for critical contractor staff members is that it must be located where, upon the request of the Government, critical staff members can be at FAA HQ within 30 minutes.
Following are the critical Contractor-site staff member FTEs that are subject to the 30 minute proximity requirement:
Labor Category FTEs
Systems Engineer 1 Senior Systems Engineer 1 Senior Financial Cost Analyst 2 Lead Financial Systems Analyst 2 Financial Management Systems Analyst 1 Financial Cost Analyst 2
3. Section L, Paragraph L.2.G, INQUIRIES, Page 63, the last sentence of the second paragraph is hereby corrected to read as follows:

5. Section L, Paragraph L.4.D. SECTION II – DATA OTHER THAN CERTIFIED COST OR PRICING DATA, Page 70, Subcontracts, the following sentence is added as the first paragraph of that section:
“Offerors should apportion subcontract costs between Schedule 2 and Schedule 3 as follows: 80% to Schedule 2 and 20% to Schedule 3.”
6. Section L, Schedule 5 Government-Site Labor Cost, Page 80, Delete the row titled “Cost-Plus-Fixed Fee Labor”
7. Section L, Paragraph L.4.E. SECTION III – BUSINESS PROPOSAL, Page 86, Subcontract Consent, the 4th paragraph starting with the words “Since it is uncertain how much business each Prime contractor will receive under this contract, …” is hereby deleted in its entirety.
8. The following questions, with the corresponding answers, were received in response to Solicitation No. DTRT57-11-R-20015:
Q.1. FASS Solicitation (DTRT57-11-R-20015) released on 6/9/2011, does not make a reference to a “Competition Type”. All pre-existing information regarding this solicitation indicated Small Business Set-Aside with NAICS 541611. Please be so kind as let me know if this is still the case or was there a change in the Competition Type.
A.1. The solicitation is a Small Business Set-Aside. Please refer to Section I, Contract Clauses, FAR Clause 52.219-6 NOTICE OF TOTAL SMALL BUSINESS SET-ASIDE (JUN 2003), which is incorporated by reference in Section I of the solicitation.
Q.2. In taking a look at this solicitation information, it’s listed as a ‘Total Small Business Set-Aside’ on fedbizopps, however in the solicitation document I did not see any indication that it is a set-aside. Could you please clarify, as our organization is trying to determine if/how to provide a response to the solicitation.
A.2. Please see response to Question No. Q.1. above.
Q.3. The RFP seems to state that the prime needs to be DCAA audited/approved, but the referenced FAR paragraph does not appear to require DCAA audit/approval in order to be compliant. Is it the intent of the RFP to state that the offeror must have a DCAA audited/approved accounting system, or only that the accounting system meet DCAA standards? Same question related to the subcontractors?
A.3. Please refer to Section H, Paragraph H.14 ACCOUNTING SYSTEM (DEC 2003). The paragraph states as follows: “A Prime contractor is ineligible to receive a Cost-Plus-Fixed-Fee task order unless it has an accounting system approved by a Federal Government agency. Also, consent will not be given for a Cost-Plus-Fixed-Fee subcontract unless that particular subcontractor has an accounting system approved by a Federal Government agency.” The Federal Government agency is usually the Defense Contract Audit Agency (DCAA).
Q.4. Does the government plan on having a single award or multiple awards for this contract?
A.4. The Government intends on making a single award. See Page 61, FAR 52.216-1 TYPE OF CONTRACT and Page 96, Paragraph M.1.A. BASIS FOR AWARD, of the Request for Proposal
(RFP).
Q.5. If the government plans on having multiple awards, can a Prime contractor only bid on the FFP
CLIN?
A.5. See response to Question No. Q.4. above.
Q.6. Under 48 C.F.R. 9903.201-1 (b) (7) it states: “Contracts or subcontracts of less than $7.5 million, provided that, at the time of award, the business unit of the contractor or subcontractor is not currently performing any CAS-covered contracts or subcontracts valued at $7.5 million or greater.” If our first tier subcontractor (large business) is currently meets this requirement, then does FAA agree that they are exempt from CAS requirement if we are awarded a Prime contract? If our firm is awarded a Prime Contract and during the course of the contract period of performance, if a first tier subcontractor (large business) that is CAS exempt meets the $7.5 million threshold, we assume at that time they would no longer be CAS exempt and need to be, can you please confirm?
A.6. CAS applicability and compliance will be handled by the DCAA. Your large business subcontractor might direct its question to the cognizant DCAA office.
Q.7. Section C.3.1 of the SOW mentions IT development work, but there is no IT specialist listed in the labor categories. Is this an omission?
A.7. No.
Q.8. The requirements for the Staffing Matrix as described in the second paragraph of Part C (page 90 of the SOW) do not appear to be possible within the format provided in Schedule 7. Is it permissible to alter the format of Schedule 7 in order to accommodate all of the information required?
A.8. The requirement for the Staffing Matrix on Page 90 of the RFP is part of the Technical Proposal instructions. Schedule 7 is located on Page 83 of the RFP and is part of the Cost and Business Proposal instructions. Schedule 7 should only be altered to add additional subcontractors.
Q.9. In the fourth paragraph of Part D, the RFP/SOW states that the offeror must provide copies of the final or must current past performance evaluations for the three most relevant contracts. However, the sixth paragraph states that the copies should be provided directly to the Volpe Center CO or designee.
Should the evaluations be provided by the offeror, or directly from the responding official? Is Mr.
Barrasso the specific designee to receive these evaluations?
A.9. The evaluations can either be included in the Technical Proposal or the responding official can send the evaluations directly to Mr. Barrasso at the Volpe Center. Yes.
Q.10. Can past performance from a subcontractor be submitted as one of the three primary past performance exhibits, providing that the subcontractor will have at least 20 percent of the work on this effort?
A.10. Please refer to Part D – Past Performance (Volume II) on Page 91 of the RFP.
Q.11. With the majority of the work being at the contractor facility (238,750 out of 285,750 hours anticipated over the life of the contract), will FAA provide remote access to the necessary systems for the contractor’s to accomplish the work on Task Order basis outlined C.3?
A.11. Yes.
Q.12. In section H.11 – it states, “Portions of the work under Section C may require contract personnel with security clearances at Confidential or Secret levels, and in some instances, Top Secret. Cleared personnel, if required, must be available at the time of task order award. The Contractor may be required to possess a Top Secret Facilities Clearance in accordance with the Industrial Security Regulation (DOD 5220.22R) for the receipt, generation, and storage of classified material. The Contractor shall be responsible for obtaining appropriate security clearance from the Defense Security Service and for ensuring compliance by its employees and subcontractors(s) with the security regulations of the Government installation or Contractor (or subcontractor) facility where work is to be performed.” Will FAA accept a team member/subcontractor having a TS Facility Clearance if the Prime does NOT have one?
A.12. A Top Secret Facilities clearance is not required at the time of proposal submission.
However, if a team member/subcontractor possesses a Top Secret Facilities clearance, copies of the clearance forms should be submitted with the Cost and Business Proposal. The requirement for a Top Secret Facility clearance for individual task orders will be determined at the time a task order is issued and whether or not the clearance will apply to the prime and/or any of its subcontractors.
Q.13. Section L.5.B indicates that 4 pages can be used to address the Technical Understanding overall while 2 pages can be used to address each of the 13 task areas. Can the unused pages (if any) of the 4 pages allowed for the Technical Understanding be used for any of the 13 task areas, beyond the maximum 2 pages allowed by the current solicitation?
A.13. No.
Q.14. For the Financial/Cost Analyst labor categories, Section J (page 101) delineates unique experience requirements if the proposed personnel has an advanced degree. For Financial/Cost Analyst labor categories, can a CPA be substituted for a Master's degree as it relates to required years of experience?
A.14. Yes, as long as the minimum years of relevant experience are documented.
Q.15. Would it be possible to have the Structured Q&A sessions in Washington DC at FAA HQ, since the place of performance is Washington DC, most offerors will be in the DC metro area, and the cost for the offerors to send multiple team members to Cambridge, MA is substantial?
A.15. No. The Q&A Sessions will be conducted at the Volpe Center in Cambridge, MA.
Q.16. Please clarify the requirements for a DCAA approved accounting system?
(reference section H.14 page 45).
A.16. This information is available on the DCAA website at www.dcaa.mil.
Q.17. We currently use PROCAS a Project-cost based management and accounting software that is in Compliance with Federal Acquisition Regulation (FAR) Part 31 and satisfies the audit requirements of the Defense Contract Audit Agency (DCAA), however we have never been audited by DCAA – Are we eligible to submit a compliant proposal?
A.17. Please refer to the “INSTRUCTIONS FOR COST AND BUSINESS PROPOSAL” starting on Page 65 of the RFP.
Q.18. Will DOT/RITA sponsor a DCAA audit/review for us, after award? Or prior to an award?
A.18. This will be determined on a case-by-case basis after receipt of proposals.
Q.19. Paragraph G.16 of the referenced solicitation, which references FAR 52.219-14, states that contractors may not subcontract greater than 50 percent of the cost of contract performance incurred for personnel under this contract on a cumulative basis. It is our understanding that the “cost of contract performance” is measured by total contract value. Therefore, the requirement is that the prime contractor may not subcontract more than 50% of the total contract value. Please confirm that our understanding is correct.
A.19. The “cost of contract performance” incurred for personnel refers to direct labor cost and any applicable indirect burdens (i.e. Fringe, Overhead, and G&A), excluding other direct costs, profit, or fees. The total contract value would include other direct costs, profit, or fees. Therefore, your understanding is not correct.
Q.20. Facilities and Personnel Security requirements are contained in H.11 and L.3.B. In addition, J-4 is DD Form 254 with no direction to complete. We see no mention in Section C of a need for security clearances at the Secret or Top Secret Level. Is this anticipated or a current requirement? Is it the government’s intention to have contractor propose costs to establish and maintain a secret or top secret facility in preparation for potential Task Order requirements? If so which security level is required?
A.20. DD Form 254 was provided as an Attachment to the solicitation in case there was a requirement for security clearances in the future. The Government does not intend for the contractor to propose costs to establish and maintain a secret or top secret facility clearance. The requirement for a secret or top secret facility clearance for individual task orders will be determined at the time a task order is issued and whether or not the clearance will apply to the prime and/or any of its subcontractors.
http://www.dcaa.mil/
Q.21. The RFP Exhibit B Checklist requires subcontractors to fill in Schedule 2 Estimated Cost and Fixed Fee. Some of our subcontractors will be T&M. Is it acceptable to have them provide a rate build-up, with justification of the elements, in lieu of Schedule 2?
A.21. Yes.
Q.22. In reference to Section L.5.D Parts of the Technical Proposal, Part D Past Performance:
1.It is our understanding that if the contracting activity (in our case the FAA) has not developed its own past performance evaluation report form, the Contractor Performance Assessment Report format found at the Contractor Performance Assessment Reporting System website at:
http://www.cpars.csd.disa.mil/cparsmain.htm must be used. It is not clear at this site where or how to download the required form to submit for our past performance evaluation.
Can the Government provide a Past Performance Questionnaire for the Offeror to submit to our Contracting Agencies?
A.22. No. The Government will accept any agency’s Past Performance Questionnaire as long as all the required information is provided as stipulated in PART D – PAST PERFORMANCE (VOLUME II) , on Pages 91-93 of the RFP.
Q.23. Page 69 – Administrative labor. Offerors are instructed to include estimates for administrative labor when consistent with their approved accounting practice. Is it your intent that the administrative labor hours be listed on Schedule 5?
A.23. Yes. That is what the “Offeror Labor Category” lines are for. Use as many lines as needed.
Q.24. Schedule 3 asks for information that is not applicable to a fixed-price contract. The only information appropriate for a fixed price is the total price. Contractor requests that the Government remove the following non applicable elements: “direct labor, fringe benefits, overhead, burden, G&A, profit and cost of money”.
A.24. Offerors shall complete the Schedules as indicated in the RFP or your proposal may be eliminated from consideration.
Q.25. Schedule 5. With regards to the “RFP Category A, B” etc. Are these meant to be representative of the requested labor categories?
A.25. Yes.
Q.26. Schedule 5. Please explain the rationale for “20% to Firm-Fixed-Price Schedule 3” A.26. For Prime Offerors, the Contractor-site and Government-site labor is split and 80% is entered on the Cost-Plus-Fixed-Fee Schedule 2, and the remaining 20% is entered in the Firm- Fixed-Price Schedule 3. Subcontractors do not complete Schedule 3, so they do not make that apportionment.
http://www.cpars.csd.disa.mil/cparsmain.htm
Q.27. Schedule 5. The top section of the Schedule 5 table (Labor Hours) has not been completed, although the direct labor hours have been stipulated by the government in section L.4.A. Does this mean the Offeror can allocate the level of effort to different labor categories, or in different proportions, than shown in section L.4.A?
A.27. The expectation is that there would be subcontracting, and therefore no one company would have all the stipulated hours.
Q.28. All Schedules. Can the Government provide all the Schedules in Excel rather than PDF?
A.28. No, the Government will not provide the Schedules in Excel.
Q.29. All Schedules. The CPFF schedules call for proprietary information that sub-contractors may not wish to divulge to the prime contractor. Can the Government provide instructions allowing a sub-contractor to submit certain schedules in a sealed package to the prime for forwarding to the Volpe Center?
A.29. See Section Section L, Paragraph L.3.C COPIES. Contractors shall submit this proprietary data directly to Mr. Barrasso.
Q.30. Section L.4.E Sub-contract Consent – 4th paragraph says “Since it is uncertain how much business each Prime contractor will receive…”. If the Volpe Center anticipates making a single award for this solicitation, please amend this wording.
A.30. Please see Number 7 on Page 4 of Amendment No. A0002.
Q.31. Section L.3.C. Can the Government specify what MS Office version is acceptable?
A.31. The Offeror should use the current MS Office version that it is using on a day-to-day basis.
Q.32. Section L.5.B. In reference to Section L.5.B Page Limits, 1. Technical Understanding:
SOW area C.3.3 has three major subsections. Will the Government consider adding 4 additional pages to allow 2 pages for each of the 3 subtask areas?
A.32. No.
Q.33. As an aid to bringing cost-savings to the Government through the offering of economical, competitive pricing, it would be very helpful if labor categories at Part C – Staffing (VOLUME II) or at ATTACHMENT J.1 in the solicitation were likened to comparable positions in the different General Schedule job series.
A.33. The Government cannot equate the labor level to different General Schedule job series.
Q.34. Does Labor Level “high” equate to GS-14 thru SES; “Medium, GS-11-13; and “Low” to below
GS-9?
A.34. These terms for labor level were not used in the solicitation. The Government cannot equate the labor level to General Schedule pay grades.
9. Please acknowledge receipt of this amendment with the submission of your proposal.
10. All other terms and conditions of this solicitation remain unchanged.
