SECTION B
SUPPLIES OR SERVICES AND PRICES/COSTS
B.1 CLAUSES INCORPORATED IN FULL TEXT
MINIMUM AND MAXIMUM CONTRACT AMOUNTS (IDIQ)
During the term of the contract, the Government shall place Firm Fixed Price, Time & Material, or Labor Hour task orders (TO) totaling a minimum of $25,000. The maximum amount of all task orders issued against all contracts awarded as a result of this acquisition shall not exceed a ceiling of $15,000,000.

B.2 SCHEDULE OF RATES
Labor skill sets and rate ceilings governing this contract shall conform to the descriptions herein and be listed in the Microsoft Excel format found at Section J.1and apply for each of the described categories for each of the five contract years. The unit of issue (rates) is the fully burdened fixed price hourly rate.
1. SENIOR PROGRAM MANAGER/PRINCIPAL INVESTIGATOR (SPMI)
The Program Manager shall be responsible for administration and management of the contract personnel, which shall include coordinating time and travel for the contract personnel. The Program Manager shall be responsible for the submission of all task order proposals, progress reports, final reports and all other deliverables. The Program Manager shall be the point of technical and administrative contact between the Government and the Contractor and shall be responsible for the successful completion of all work required under this contract.
The Program Manager shall have an advanced degree in civil engineering with at least 15 years’ experience in the management of technical personnel, research, and technology studies of a complex nature. The Program Manager shall have a general understanding of structural engineering, and demonstrated communications skills.
NOTE: Offerors shall provide a plan showing how the Program Manager will maintain close and regular contact with the COTR through regular, frequent meetings, email and/or video-conferencing.
2. PROJECT/TASK ORDER MANAGER (POM/TOM)
The Project Manager shall be responsible for all aspects of project or task order performance. Provides overall direction to all project level activity and personnel interfaces with client personnel. Ensures schedules are met. Monitors performance indicators such as cost, timing and manpower loading. This individual may also be a Program Manager or Principal Investigator
The Project Manager shall have an advanced degree in civil engineering or related field and at least 12 years of experience in conducting research, development, testing, data collection, and data analysis in structural materials, design, construction, testing, evaluation, rehabilitation, and performance. Shall have experience in development of technology transfer materials and delivery of training.
3. STRUCTURAL ENGINEERS (SE)
Structural Engineers shall, at a minimum, have an MS degree in Civil engineering with specialization in structural engineering. Professional registration is required. Experience for combined team shall cover all of the core subject areas:
Core subject areas:
· AASHTO Bridge Codes and Specifications, including Load Resistance Factor Design (LRFD) & Load Resistance Factor Rating (LRFR)
· Structural Dynamics and Seismic Design and Retrofit of Highway Bridges
· Movable Bridges and Tunnels, including Structural Analysis, Design and Construction
· Simple and Complex Analysis, Design, Rating, and Construction Support
· Fatigue and Fracture in Design and Analysis of Steel Bridges
· Major Bridge Design, Analysis and Construction (including, arches, cable-stay, trusses, suspension bridges, curved bridges and segmental bridges, and tunnels)
· Bridge Materials and Construction
· Bridge Performance and Durability
· Bridge management and preservation practices and principles
A minimum of one Structural Engineer shall be identified for each subject area, with experience in development of national technical guidance and contributing to technical committee activities for organizations such as TRB and AASHTO.
4. INSPECTION AND EVALUATION ENGINEERS (IE/EE)
Inspection and Evaluation Engineers shall have, at a minimum, a BS degree in Civil engineering with specialization in structural engineering. He/she shall have experience in the inspection and evaluation of a variety of in-service highway structures, and the use of AASHTO Manual for Bridge Evaluation. Any engineer who conducts a load rating task shall be a registered professional engineer. Preference is for individuals who have successfully completed the following FHWA NHI training courses:
· FHWA-NHI-130055- Safety Inspections of In-Service Bridges
· FHWA-NHI-130053- Bridge Inspection Refresher Training
· FHWA-NHI-130078- Fracture Critical Inspection Techniques for Steel Members

5. RESEARCH ENGINEERS (RE)
Research Engineers shall, at a minimum, have a PhD degree in Civil engineering with specialization in structural engineering. Experience for combined team shall cover all of the core areas (one individual may cover more than one area of expertise):
Core subject areas:
· Behavior of steel structures
· Behavior of concrete and pre-stressed structures
· Fatigue and fracture mechanics
· Forensic and field evaluation of structures
· Advanced computerized structural analysis
· Bridge design practice and codes/specifications
· Corrosion and bridge durability
· Statistical analysis and risk assessment
· Materials development for steel and concrete bridges
· Nondestructive Evaluation and Structural Monitoring
6. ELECTRICAL ENGINEER (EE)
Electrical Engineer shall have, at a minimum, a BS degree in Electrical engineering. He/she shall have experience in various aspects of electrical engineering in buildings and bridges, including experience in the design, construction, operation and maintenance of electrical systems and control systems of movable bridges, tunnels, and other highway structures.
7. MECHANICAL ENGINEER (ME)
Mechanical Engineer shall have, at a minimum, a BS degree in mechanical engineering. He/she shall have experience in various aspects of mechanical engineering, including experience in the design and construction of mechanical components and hydraulic systems of movable bridges, tunnels, and other highway structures.
8. VENTILATION ENGINEER (VE)
Ventilation Engineer shall, at a minimum, have a BS degree in mechanical engineering. He/she shall have experience in various aspects of mechanical engineering, including experience in tunnel ventilation design and construction and other related highway structures
9. TECHNICAL EDITOR/PUBLISHER (TE/TP)
Technical editors/publishers shall have a minimum five years’ experience writing and/or editing technical articles or publications. More than one person can be listed, and the individual(s) may also be an SME. Technical editors shall have experience performing the following tasks:
· Developing high-quality graphical illustrations, including three dimensional figures and other visualization tools useful for demonstrating engineering concepts
· Collecting and reconciling review comments during document development.
· Editing technical documents for organization, content, and style.
· Screening technical documents for spelling, grammar, punctuation and incomprehensible statements.
10. ADMINISTRATIVE SUPPORT (AS)
Administrative Assistant shall be responsible for technical report preparation, meeting planning and facilitation. Administrative Assistant shall be experienced in providing administrative support to technically focused teams, program development, site selection and other aspects of planning a successful meeting.
11. SENIOR INSTRUCTIONAL SYSTEMS DESIGNER (SISD) *SECTION 508 COMPLIANCE*
The Senior Instructional Systems Designer shall have a Bachelor’s degree plus 5 years of relevant experience, working with Section 508 and 504 requirements. The Senior Instructional Systems Designer assures compliance for all electronic and information technology identified within this ID/IQ meet the applicable accessibility standards of 36 CFR 1194, which implements Section 508 of the Rehabilitation Act of 1973, as amended. Shall provide documentation of testing of all electronic materials. More than one person can be listed, and the individual(s) may also be an SME or technical writer.
SECTION C
DESCRIPTION/SPECIFICATIONS/STATEMENT OF WORK
C.1 BACKGROUND
“Program Support – HIBS Structures and Structural Engineering Team”
Background
INTRODUCTION
The Federal Highway Administration (FHWA) Office of Bridges and Structures (HIBS) develops regulations, policies, and guidelines to assure the successful delivery of the national bridge and tunnel program. The staff supports research of state-of-the-art technologies and provides leadership in the deployment of emerging technologies to improve the condition and durability of the Nation’s bridges, tunnels, and other highway structures. Injecting new technologies during hands-on design and construction reviews of major and unusual bridge and tunnel projects, as well as geotechnical and hydraulics features is just one way the staff advances technology deployment. Technical leadership is provided through the development of manuals, guidance, and training on bridge and structure design, geotechnical and hydraulic feature design, construction, inspections, load ratings, system preservation and management. HIBS staff also advances the body of knowledge through active participation in technical committees of TRB and AASHTO. The HIBS staff is comprised of three teams: the Structural Engineering Team, the Hydraulics and Geotechnical Engineering Team, and the Inspection, Preservation, and Management Team.
Scope The focus of this ID/IQ is support for the Structural Engineering Team and the Inspection, Preservation, and Management Team. Each Team’s major responsibilities are highlighted as follow:
C.1.1 Structural Engineering Team
This team is responsible for the review and approval of design and construction plans for major and unusual structures including tunnels located on the Federal-aid Highway System. They provide technical leadership and guidance in the use of new and innovative design, fabrication, and construction concepts, including high-performance materials, load and resistance factor design and rating, and accelerated bridge construction. The team provides technical leadership and guidance through design meetings, workshops, conferences, publications, webinars and hands-on assistance to Local, State, and Federal agencies and industry partners.
C.1.2 Inspection, Preservation, and Management Team This team is responsible for the management of all aspects of federal structures program issues, as well as the National Bridge and Tunnel Inspection Program. The team provides technical leadership and support to the FHWA, State department of transportations, and other stakeholders and partners in the areas of structure inventory and inspection, system preservation and management, technology advancement, structures program policy and guidance, and innovative solutions to funding and related issues for structures projects. This team also manages the National Bridge Inventory and evaluates the data contained therein on all structures classified as highway bridges in the United States.
C.2 OBJECTIVES
The objectives of this contract are to acquire the services of an outside engineering consultant to support HIBS in advancing the state of the practice and implement best practices for the Structural Engineering and Inspection, Preservation and Management Teams for bridges, tunnels, and other highway structures. The activities for accomplishing these goals fall under the following broad subject areas:
· Expert task forces – tasks in this area are aimed at supporting initiatives and advancing knowledge through assembled groups of subject matter experts.
· Engineering services and technical support - this task involves providing design, construction, and inspection services including but not limited to Specialty Consulting and Advisory Services, On-Call Design, Construction, and Inspection Services and Emergency Response Services.
· Technical guidance development – tasks in this area are aimed at establishing and documenting the state-of-the-practice for recommended technical guidance. The documentation may be in the form of design, construction, inspection, preservation, and management manuals, guidelines, software, technical briefs, technical advisories, and guide specifications. Development, maintenance, and enhancements of web-accessible versions of the documents are also within the scope of this work.
· Technology exchange – tasks in this area include conducting workshops and making presentations of the best practices and innovative technologies. The delivery mechanism includes face-to-face workshops, web-based training, and technical presentations.
· Demonstration projects – demonstration projects will be conducted in collaboration with highway agencies to showcase and promote the deployment and implementation of selected technologies.
· Technical assistance – this task involves providing technical assistance to FHWA to promote and facilitate deployment and implementation of technology.
· Conference Facilitation – under this task the contractor shall provide a means for FHWA to organize or participate in and fund national and international conferences of interest to the highway community.
C.3 TASK AREA REQUIREMENTS
This section describes the specific tasks to be addressed and the technical skills necessary. Specific work to be performed will be set forth under individual Task Orders. Task Orders under this ID/IQ contract will be determined and issued on an as needed basis by the FHWA and will consist of work under the following tasks:
C.3.1 Task A: Expert task forces
The contractor shall organize and facilitate expert task forces for support of HIBS initiatives. Participation on task forces may include subject matter experts from highway agencies, industry, consulting, and academia. The Contractor shall convene and facilitate meetings (face-to-face or web-based), prepare task force meeting agendas, handout materials, and follow-up minutes.
C.3.2 Task B: Engineering Services and Technical Support
The contractor shall provide engineering services and other technical support to FHWA with special engineering expertise and design and construction support services as follows:
C.3.2.1 Task: Specialty Consulting and Advisory Services
The contractor shall provide specialty consulting and advisory services that might consist of any or all services necessary to:
a. Provide engineering analysis, design review, and inspection in response to FHWA inquiries on design, construction, and inspection and evaluation documents prepared by others;
b. Providing support services for construction cost estimating, advising on the effects of construction processes on design, or advising on the impact of design features on the probable cost of construction for designs prepared by others.
c. Provide engineering services to review and prepare reports.
C.3.2.2 Task: On-Call Design, Construction and Inspection Services The contractor’s on-call design, construction and inspection services might consist of any or all services necessary to:
a. Review and prepare the analysis for any bridges, tunnels, and other structures
b. Review construction related plans, special provisions, cost estimates or schedules, and perform any or all of the following tasks:
i. Serve as advisor to the FHWA for assistance in the forensic investigation of bridges, tunnels, and other structures.
ii. Make other engineering reviews or analyses, as requested.
c. Perform inspection and load rating of in-service structures, and review inspection reports and load rating calculations performed by others.
C.3.2.3 Task: Emergency Response Services
The contractor’s emergency response services might consist of engineering and other related technical services in response to any FHWA or State emergency (within the United States), such as natural or man-made disasters that involve bridges, tunnels, or other geotechnical structures or features.
When tasked, and in conjunction with the above work, the contractor may be required to provide technical support that consists of literature searches; technology evaluations; research needs assessments; review of bridge and tunnel design, construction and inspection; technical report development; computer-aided technology; numerical modeling; and program/project review.
C.3.3 Task C: Technical Guidance Development
The Contractor shall develop reports, manuals, guidelines, technical briefs, technical advisories, policy statements, memos, briefings, articles, web pages, and guide specifications, as required, to document the state of practice, and support implementation of HIBS programs. The subjects of these documents may include, but are not limited to, the following:
Structures
· Bridge, tunnel and other highway structure design and construction
· High performance materials
· Bridge, tunnel and structure inspection and evaluation
· Bridge preservation treatments and methods
· Bridge management
· Electrical, mechanical and ventilation engineering
· Load rating analysis of structures
· Risk-based assessments
· Data mining, analysis, and reporting
· Critical findings from in-service inspections
· Quality control and quality assurance
· Extreme events and multi-hazards
· Bridge and tunnel security
The Contractor shall assist in writing technical, professional-quality articles suitable for scientific publications, peer-reviewed journals, newsletters, briefing papers and brochures as requested.
C.3.4 Task D: Technology Exchange
C.3.4.1 Task: Technical workshops and training
The Contractor shall develop and deliver professional workshops and training based on the information developed under Task C. Workshops will vary in length of contact time, and emphasize hands-on application of technology and be presented at one or more times and/or places.
C.3.4.2 Task: Webinars and web-based training
The Contractor shall develop and deliver national webinars or web-based training, subject to review and approval by the COR. The webinars shall be based on topics identified by HIBS. The Contractor shall develop all training materials, including presentation slides as well as key documents referenced in the webinar discussion, available online for immediate download by all participants at the end of each webinar.
C.3.4.3 Task: Cooperative delivery of technology
The Contractor shall work cooperatively with industry or professional organizations to develop training modules for delivery by the partner organization, subject to reviews and approval by the COR, on topics established by HIBS. The Contractor shall utilize the knowledge and experience available from the Contractor team, FHWA, and the industry participants.
C.3.4.4: Technical presentations
The Contractor shall develop and deliver technical presentations at seminars, conferences, workshops and/or meetings relating to the areas identified in the objectives, subject to approval by the COR.
C.3.4.5 Task: Open house events
The Contractor shall organize and deliver open house events that showcase best practices or innovative technologies. The open house events will be designated by the COR based upon an assessment of project features that may be of special interest to highway agencies in other states.
C.3.5 Task E: Demonstration Projects
The contractor shall design, construct, study, and report on demonstration projects in collaboration with host agencies of selected technologies involving the use of innovative materials, construction techniques, or construction equipment. The scope of work for this task includes the identification and selection of the technologies to be demonstrated, subject to review and approval of the COR; identification and selection of host States for the demonstrations; coordination of demonstration-related, technology-transfer activities; and documentation of the demonstration projects. An open house event shall be conducted for each demonstration project, and workshops and training on subjects relevant to the demonstration projects may be conducted in conjunction with the open house event.
C.3.6 Task F: Technical Assistance
The Contractor shall provide technical assistance to FHWA on an on-call basis as directed by COR. The scope of technical assistance includes, but is not limited to, the following activities involving subjects covered within the scope of this contract as described under Task C:
· Peer-to-peer guidance to highway agencies for project development involving technologies that are new to the State but are within the scope of this contract
· Forensic evaluations of bridges, tunnels, or other structures either during construction or shortly after opening to traffic, as well as those exhibiting unusual performance problems.
These assistances shall be provided as guidance only, subject to review and approval by the COR.
C.3.7 Task G: National and International Conferences
The Contractor shall organize national or international conferences on HIBS related topics over the duration of this contract, with review and approval of the COR, for delivery in the USA to attract both domestic and foreign participants. The conferences will vary in length over contiguous days and shall be held in non-resort locations with international airport service. Additionally, the Contractor will be required to arrange booth spaces for exhibitors, as appropriate. The Contractor shall make all of the conference material available in electronic format for distribution at the conference and for web posting following the conference.
NOTE: No food or beverages may be provided or reimbursed at the workshops or meetings organized under this contract and the use of Government facilities is preferred.
C.4 REPORTS
Except as specified in this section for contract level reports, all reports and other items required for each individual task order will be defined at the task order level. Contract level reports incorporate all issued task orders, performance and problems, and are required in accordance with the requirements specified herein.
C.4.1 Progress Reports
The Contractor shall prepare and submit a Quarterly Progress Report detailing significant events, accomplishments, and issues for all task orders awarded to date.
C.4.2 Monthly Financial Reports
The Contractor shall prepare and submit Monthly Financial Reports in accordance with the format at J-2. Financial Reports shall identify each task order, the total task order value, total funded value and end date of funded performance, current month invoiced amount, cumulative invoiced to date, and any financial remarks. (Block 9, “Pass Through Status” is not required on this contract).
The Contractor shall project, for time-and-material or labor hour task orders, the percentage of completion based on the current obligation/cost amount provided in the task order and notify the Government a when 85% of the funded ceiling price, as specified in FAR 52.232-7 is incurred.
C.5 TECHNICAL REPORT SPECIFICATIONS
Technical reports under this contract shall be prepared in accordance with the latest version of the Turner-Fairbank Highway Research Center Quick Reference Guide. All fonts used in the documents must be supplied on the disk so the document will print as it appeared on the contractor’s equipment. Files must be included in the programs of origin, such as MS Word, PowerPoint, Excel, etc., so these files can be modified or corrected and re-imported into the full text document. Graphics should be created as separate elements and imported into the text file. An electronic file of each imported graphic shall be delivered. Graphic must be produced in a program that can export an interchange file format that can be imported into the full text. Photos must be in TIF or EPS (GIF and JPEG are acceptable for electronic publishing) with on-screen preview and with line screen appropriate for printing. Files should be provided in a manageable size of 3 Mb or less.
SECTION D

Preservation, packing, and packaging of items for shipment shall be in accordance with commercial practice and adequate for acceptance by common carrier for safe transportation at the most economical rates.
D.2 SHIPPING AND MARKING

E.2 Inspection and Acceptance
All work hereunder shall be subject to review by the Government. The COR specified in the COR appointment letter(s) is responsible for inspection and acceptance of all incoming shipments, documents, and services.
E.3 ACCEPTANCE CRITERIA
Certification by the Government of satisfactory services provided is contingent upon the Contractor performing in accordance with the terms and conditions of the contract, any task orders issued, and all amendments.
E.4 Government Acceptance Period
The COR will have thirty (30) calendar days to review draft deliverables and make comments. The Contractor shall have five (5) workdays to make corrections and return the corrected deliverable to the government.
Upon receipt of the final deliverables, the COR will have ten (10) workdays for final review prior to acceptance or providing documented reasons for non-acceptance. When the Government fails to complete the review within the review period the deliverable will become acceptable by default.
The COR will have the right to reject or require correction of any deficiencies found in the deliverables that are contrary to the information contained in the Contractor’s accepted proposal or this Statement of Work.
In the event of a rejected deliverable, the Contractor will be notified in writing by the COR of the specific reasons for rejection. The Contractor shall have ten (10) workdays to correct the rejected deliverable and return it per delivery instructions, at no additional costs to the Government.

CONTRACT ADMINISTRATION DATA
G.1 Contract Administration
The Contractor shall provide sufficient management to ensure that this contract is performed efficiently, accurately, on time, and in compliance with the requirements of this document. Specifically, the Contractor shall designate a single manager to oversee this contract and supervise staff assigned to this contract.
G.2 CONTRACTING OFFICER’S AUTHORITY
The Contracting Officer is the only person authorized to make or approve any changes in any of the requirements of this contract, and, notwithstanding any provisions contained elsewhere in this contract, the said authority remains solely in the Contracting Officer. In the event the contractor makes any changes at the direction of any person other than the Contracting Officer, the change will be considered to have been made without authority and no adjustment will be made in the contract terms and conditions, including price.

G.3 CONTRACTING OFFICER’S REPRESENTATIVE (COR)
(a) The Contracting Officer's Representative (COR) may be changed at any time by the Government without prior notice to the contractor by unilateral notice or unilateral modification to the contract. The COR is located at:

(b) The responsibilities and limitations of the COR are as follows:
(1) The COR is responsible for the technical aspects of the contract and serves as technical liaison with the contractor. The COR is also responsible for the final inspection and acceptance of all deliverables and such other responsibilities as may be specified in the contract.
(2) The COR is not authorized to make any commitments or otherwise obligate the Government or authorize any changes which affect the contract price, terms or conditions. Any contractor request for changes shall be referred to the Contracting Officer directly or through the COR. No such changes shall be made without the express written prior authorization of the Contracting Officer. The Contracting Officer may designate assistant or alternate COR(s) to act for the COR by naming such assistant/alternate(s) in writing and transmitting a copy of such designation to the contractor.
(c) Any action(s) taken by the Contractor, in response to any direction given by any person acting on behalf of the Government or any Government official other than the Contracting Officer or the COR acting within his or her appointment, shall be at the Contractor’s risk.
G.4 TASK ORDER PROCEDURES
(a) All funds expended under this contract shall be incurred and accounted for under individual Task Orders.
(b) If a multiple award contract, fair opportunity for task orders will be given to all awardees unless an exception applies in accordance with FAR 16.505(b)(2).
(c) The Contracting Officer or Contract Specialist will issue Task Order Proposal Requests (TOPR) to the Contractor.
(d) The TOPR may be placed by written communications or electronic means. Each TOPR will state the due date for proposal submission.
(e) Each TOPR will contain, as a minimum, all of the following information:

| (2) | Contract number, Task Order number, due date and time, and submission instructions; |
| (3) | Statement of work; |
| (4) | If applicable, maximum number of contract labor hours and other resources authorized; |

G.7 PAYMENT – FIRM-FIXED-PRICE, TIME & MATERIAL, AND LABOR HOUR
For Firm-Fixed-Price, Time & Material, and Labor Hour task orders, unless otherwise specified in the individual task order, the Contractor may request payment for the Firm-Fixed-Price specified in the task order upon the Government’s acceptance of all work under that task order. Satisfactory completion and acceptance of the work under the task order will be made by the Contracting Officer.
Proportional payments may be made based on an established Milestone Payment Schedule for work performed and accepted.
G.8 TRAVEL AND PER DIEM
Some travel is expected to occur throughout the duration of the contract. The COR will issue the written request for travel if required (excluding local travel) to the contractor with each task order.
Travel and Per Diem authorized under this contract shall be reimbursed in accordance with the Government Travel Regulations currently in effect. The total travel costs shall not exceed the amounts indicated without express written approval of the Contracting Officer.
Travel requirements under this contract shall be met using the most economical form of transportation available. All travel shall be scheduled sufficiently in advance to take advantage of offered discount rates, unless authorized by the Contracting Officer.
If economy class transportation is not available, the Contractor shall make a request to the Contracting Officer for use of higher class travel in advance of booking the travel. The CO will approve the request in writing.
Additionally, the request for payment voucher must be submitted with the justification for use of higher class travel indicating dates, times, and flight numbers, as well as the CO’s approval of the travel.

In the event that any Key Personnel become unavailable to continue in the performance of this contract, the appointment of a replacement of equal caliber shall be subject to prior approval of the Contracting Officer.
G.10 CONTRACTOR SUPERVISION
The Contractor shall provide total supervision of its staff at all times. Government personnel are not authorized or permitted to supervise any Contractor personnel. The Contractor’s Program Manager shall communicate with the COR to determine the Government’s work requirements as set forth in the Statement of Work and shall assure that these requirements are fulfilled. In the event the designated Program Manager is incapacitated due to illness or injury or otherwise is to be removed by the Contractor during the contract performance, replacement of the incumbent Program Manager shall be subject to the approval of the Contracting Officer.
G.11 RESTRICTIONS AND STANDARDS OF CONDUCT
Contractor employees shall conduct only business covered by this contract during periods paid for by the FHWA and shall not conduct any other business on Government premises. Contractor personnel shall abide by the normal rules and regulations applicable to the FHWA premises, including any applicable safety and security regulations.
SECTION H
SPECIAL CONTRACT REQUIREMENTS
H.1 CONTRACT START UP
The Contractor shall be prepared to perform all work set forth in Section C upon the effective date of the Contract.
H.2 PROCUREMENT AUTHORITY
The Federal Highway Administration, Office of Acquisition and Grants Management, is the only agency that is authorized to modify, suspend, or terminate performance under this Contract.
H.3 NON-PERSONAL SERVICES CONTRACT
This contract is a “non-personal services contract” as defined in the FAR Subpart 37.101. It is understood and agreed that the Contractor and/or Contractor’s employees, consultants and Subcontractors:
(a) Shall perform the services specified herein as independent Contractors, not as employees of the Government.
(b) Shall be responsible for their own management and administration of the work required, and bear sole responsibility for complying with any and all technical, schedule, or financial requirements or constraints attendant to the performance of this contract.
(c) Shall be free from any direct or indirect supervision or control by any Government employee with respect to the manner or method of performance of the services specified; however
(d) Shall, pursuant to the government rights under contract clauses such as “Inspection,” and “Key Personnel” comply with such general direction of authorized Government employees as is necessary and appropriate to ensure accomplishment of the contract requirements and objectives.
H.4 POST-AWARD EVALUATION OF CONTRACTOR PERFORMANCE

Contractor Performance Evaluations
a. Interim and final evaluations of Contractor performance will be prepared on this contract in accordance with FAR 42.1502 and TAM 1242.1502. The final performance evaluations will be prepared at the time of completion of work.
b. The Contractor can elect to review the evaluation and submit additional information or a rebuttal statement. The Contractor will be permitted 30 calendar days to respond. Contractor response is voluntary. If the Contractor does not respond within 30 days, the Government will presume that the Contractor has no comment. Any disagreement between the parties regarding an evaluation will be referred to an individual at a level above the Contracting Officer, whose decision is final.
c. Copies of the evaluations, Contractor responses, and review comments, if any, will be retained as part of the contract file, and may be used to support future award decisions.
Federal Highway Administration utilizes the Contractor Performance Assessment Reporting System (CPARS) to record and maintain past performance information. CPARS hosts a suite of web-enabled applications that are used to document Contractor performance information that is required by Federal Regulations.
The CPARS module assesses performance on contracts for Systems, Services, Information Technology, and Operations Support. The Architect-Engineer Contract Administration Support System (ACASS) module assesses performance on Architect-Engineer contracts. The Construction Contractor Appraisal Support System (CCASS) module assesses performance on Construction contracts. The registration process requires the Contractor to identify an individual that will serve as a primary contact. This individual will be authorized access to the evaluation for review and comment. In addition, the Contractor is encouraged to identify a secondary contact in the event the primary contact is unavailable to process the evaluation within the required 30-day time period. After the FHWA Contract Specialist registers the contract in CPARS, the Contractor will receive a system generated e-mail notifying him/her that the contract is registered. A system generated e-mail will also provide the Contractor with a User ID if the person does not already have a CPARS User ID.
Once a performance evaluation has been prepared and is ready for comment, the Contractor representative will receive a system generated e-mail notification that the performance evaluation is electronically available for review and comment. The Contractor representative will receive an automated e-mail whenever an assessment is completed and can subsequently retrieve the completed assessment from CPARS.

H.5 RECORDS MANAGEMENT
The Contractor shall comply with all Federal and DOT records management regulations regarding Federal recordkeeping requirements including the creation, maintenance and use, and disposition of records in all media (paper, electronic, audiovisual, Web sites, etc.).

H.6 PROPRIETARY RIGHTS IN REPORTS
All rights, including publication rights, in progress reports and final reports produced by the Contractor in connection with this contract provided for hereunder shall rest in the Government.
H.7 LIABILITY
The Contractor shall protect, defend, indemnify, save, and hold harmless the United States Government and its employees or agents, from and against any and all claims, demands, expenses, causes of action, judgments and liability arising out of, or in connection with, any fault, negligence, or wrongful acts or omissions of the Contractor, its agents, subcontractors, employees, assignees, or anyone for whom the Contractor may be responsible. The Contractor shall also be liable for any and all costs, expenses and attorney’s fees incurred as a result of any such claim, demand, cause of action, judgment or liability, including those costs, expenses, and attorneys’ fees incurred by the United States Government and its employees or agents. The Contractor’s liability shall not be limited by any provision or limits of insurance set forth in the resulting contract.
H.8 DISSEMINATION OF CONTRACT INFORMATION
The Contractor shall not publish, permit to be published, or distribute information, oral or written, concerning the results or conclusions made pursuant to the performance of this contract, without the prior written consent of the Contracting Officer. The COR and the Contracting Officer shall be afforded the opportunity to review all Contractor communications and/or correspondence with the media regarding this effort at least 78 hours prior to public release. Two (2) copies of any material proposed to be published or distributed shall be submitted to the Contracting Officer, and one (1) copy to the COR.
