In accordance with FAR 12.302, Tailoring of Provisions and Clauses for Acquisition of Commercial Items, FAR

Clause 52.212-4 is tailored as follows to reflect special contract terms and conditions that are unique for this contract.

Commercial Warranty:

The Contractor agrees that supplies or services furnished under this contract shall be covered by the most favorable commercial warranties the Contractor gives to any customer for such supplies or services and that the rights and remedies provided herein are in addition to and do not limit any rights afforded to the Government by any other clause of this contract.

Electronic Payment and Processing of Invoices:

Invoices and Receiving Reports shall be submitted and processed electronically through Wide Area Workflow

(WAWF) See clause 252.232-7006, WAWF Payment Instructions, incorporated herein in full text for detailed instructions on invoicing, acceptance and payment procedures.

The contractor shall designate an Electronic Business (EB) point of contact in the Central Contractor Registration site at www.sam.gov to be able to use WAWF. Contractors shall be registered in SAM prior to award and are urged to begin the registration process as early as possible to ensure registration can be activated at time of award. To activate CAGE (NCAGE) for your company in WAWF the following information shall be submitted to the EMAIL address: CSCASSIG@CSD.DISA.MIL;

(NLT) the 10th working of the next month.

b. Certification of Value Added Tax Exemptions (Abwicklungsshein). If applicable, the completed Value Added

Tax Exemption Form in accordance with the Offshore Tax Relief Agreement (Abwicklungsschein fuer abgabenbeguenstigte Lieferungen/Leistungen nach dem Offshore Steuerabkommen) shall be submitted to the designated Finance Office for this contract (see Block 18 a, page 1). Contractor Performance Evaluation:

In compliance with FAR Subpart 42.15 “Contractor Performance Information”, an evaluation of Contractor performance will be conducted at contract completion. Interim performance evaluations will be conducted at least annually for contracts with a period of performance, including options, exceeding one year. As a minimum, the evaluation shall include the information in FAR 42.1501 “General”.

PERFORMANCE WORK STATEMENT (PWS)

Custodial Services, United States Army Garrison (USAG) Wiesbaden Germany 30 January 2024

Part 1 General Information

1. General: This is a non-personal service(s) contract under which the personnel rendering the service(s) are not subject, either by the contract’s terms or by the manner of its administration, to the supervision and control usually prevailing in relationships between the Government and its employees.

1.1 Description of Services/Introduction: This is a non-personal service(s) contract to provide custodial services at US Army Garrison (USAG) Wiesbaden under which the personnel rendering the service(s) are not subject, either by the contract’s terms or by the manner of its administration to the supervision and control usually prevailing in relationships between the Government and its employees. The Government will not exercise any supervision or control over the contract service providers. The Contractor shall perform to the standards specified in this PWS. Contract service providers shall be accountable solely to the Contractor who, in turn, is responsible to the Government. The Contractor shall provide all personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, and other items for non-personal services necessary as defined in this PWS.

1.2 Background: This Performance Work Statement (PWS) specifies custodial work to be performed in the USAG Wiesbaden footprint. USAG Wiesbaden requires that approximately 295,000 square meters of https://www.acquisition.gov/content/part-52-solicitation-provisions-and-contract-clauses#i52_224_3 facility space be cleaned in accordance with (IAW) the PWS. Performance shall be accomplished according to the standards specified herein.

The buildings, cleaning frequencies, opening hours, and square meters may change, increase and/or decrease, depending on demand and may deviate from the declared total aggregate floor space indicated in Attachment 1 Estimated Workload Data. The services specified under this contract are to be performed in coordination with COR and/or IAW AR 420-1 on Army Facilities Management, AR 608-10 on Child Development Services, and German federal workplace ordinance (Arbeitsstättenrichtlinie, ASR A 4.1), and further regulations defined in Part 6 Applicable Directives, Publications.

1.3 Scope: The custodial service(s) shall include all personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, and other items necessary to perform services as described in the PWS and associated contract documents, except for those items specified in Part 3 Government Property and Services. The Contractor shall perform all cleaning tasks IAW the three cleaning levels listed below, in order to meet the requirements of this PWS and associated documents.

The three (3) levels of custodial service include the following:

a. Enhanced Service (Hospital Grade Service) for CDCs

b. Standard Service for Fitness Centers/Gyms

c. Basic Service for Admin and High Use Facilities

1.4 Objectives: The objective of this contract is to provide all custodial/housekeeping services in accordance with this Performance Work Statemen (PWS). The Contractor shall ensure that the custodial/housekeeping services are performed at the location specified herein in a manner that maintains a safe, satisfactory facility condition and presents a clean, neat, and professional appearance. The Contractor shall accomplish all custodial tasks identified in attached Appendices in order to meet the requirements of this Performance Work Statement (PWS). All work performed by the Contractor shall be performed in accordance with all applicable U.S. and Host Nation laws and regulations, IMCOM standards, Army regulation 420-1, TM 5-609, and commercial practices (Applicable Publications Part 6). The Contractor shall be ISO (Organization for Standardization), Facilities Management DIN EN ISO 9001:2015, DIN EN ISO 14001 certified.

1.5 General Information

1.5.1 Quality Control Plan (QCP): The Contractor shall develop and maintain a QCP to ensure services are performed in accordance with (IAW) this PWS. The Contractor shall develop and implement procedures to identify, prevent, and ensure non-recurrence of defective services. The Contractor's QCP is the means by which it assures that the work provided complies with the requirements of the contract.

The Contractor’s Proposed QCP shall be submitted to the Contracting Officer (KO) through the Contracting Officer’s Representative (COR) for review within ten (10) days after date of contract award. (Deliverable # A.001)

The Government will review and either notify the Contractor in writing of acceptance of the plan or return their comments to the Contractor within ten (10) days. If the Government has provided comments, the Contractor shall then have three (3) days to submit a Final QCP. After receipt of the Final QCP, the Contractor may receive the Contracting Officer’s acceptance in writing. Any proposed changes to the accepted QCP are required to be resubmitted for acceptance by the Contracting Officer no later than thirty

(30) days prior to the anticipated change and before implementation by the Contractor. The timeline noted above will apply for review and acceptance for proposed changes. At a minimum, the QCP must include and answer the following to be acceptable:

a. A chart showing the organizational structure and lines of authority, the names, qualifications, duties, responsibilities, and classification of each member of the Contractor's Quality Control Team.

b. A transition plan, showing the Government how to Phase-In smoothly.

c. Training plans and how to conduct training on a yearly basis for personnel either management, supervisors, or cleaning personnel (Timelines, goals, etc.)

d. How will the Contractor monitor work to ensure that performance complies with all deliverables

(etc. timelines, deadlines, and goals)?

e. How will the Contractor monitor work to ensure that performance complies with all specifications and requirements of the contract, including clauses?

f. How will the Contractor ensure all personnel are wearing proper Personal Protective

Equipment (PPE) and are trained to maintain their PPE, their equipment and with the exposure to hazardous material.

g. How will the Contractor ensure all keys issued will remain controlled items (Paragraph 1.7 Key Control)?

h. How will the Contractor inventory and track maintenance of all Government Provided Equipment / Materials?

i. How will the Contractor identify, investigate, and correct any non-conforming performance and prevent similar deficiencies in the future?

j. How will the Contractor file and save all Quality Control related documents for the life of the contract plus 5 years?

1.5.1.1 Monthly Work Schedule: The Contractor shall prepare monthly work schedules based on the PWS and update the plan as required throughout the month if changes are necessary. These work schedules shall include the calendar days of each week, the facilities that will receive services each week, and the services that will be provided in those facilities each week. The work schedules shall be established as a weekly list by cleaning personnel consisting of separate columns for the calendar days, weekdays, with rows for the assigned buildings, its building parts (toilet and floors) start and ending time of performance in sequence. The personnel shall sign in/out by time for each individual services (restroom or admin services). If services are not appropriately logged via signature, the Government may consider those services as defective.

Work schedules shall be submitted to the COR for review no later than five (5) working days prior to the first workday of the respective month. A written notification to the COR of any change is required prior to a change taking place. An updated work plan/schedule shall be submitted to the COR in writing within two

(2) workdays of any change. (Deliverable # A.002)

1.5.1.2 Identified Issues or Potential Problems: The Contractor shall inform the COR of issues or potential issues that might affect the performance within one (1) workday of identifying those issues. Verbal reports shall be followed up by written reports within one (1) workday.

1.5.1.3 Quality Control Submittals: An Analysis of Quality Control and Timeliness of Submittals (i.e., deliverables) shall be provided to the COR within thirty (30) days upon completion of each option period or Task Order.

1.5.2 Quality Assurance: The Government will evaluate the Contractor’s performance under this contract in accordance with the Quality Assurance Surveillance Plan (QASP). This plan is primarily focused on what the Government will do to ensure that the Contractor has performed in accordance with the performance standards. It defines how the performance standards will be applied, the frequency of surveillance, and the acceptable quality levels (performance thresholds).

1.5.2.1 Validated Customer Complaints: All Government building monitors and facility managers will be given an e-mail address, through which they can promptly submit complaints or report performance deficiencies. When the COR receives a complaint, it will be logged as a complaint and recorded in the COR records with the following information:

(1) Date and time of receipt of complaint.

(2) Customer’s name and telephone number.

(3) Location and nature of complaint.

Upon receipt of complaints, the COR will notify the Contractor in writing of the complaint, explain the nature of the complaint, and request a resolution from the Contractor. If the building monitor or facility manager reports that the Contractor still has not performed satisfactorily within a prescribed time (at the discretion of the COR), the COR will:

(1) Evaluate the complaint by an on-site inspection through the COR or Government Quality Assurance Specialist (QAS).

(2) Determine the reason for any defective work.

(3) Report the results of the evaluation on the customer complaint record.

(4) Report the results of the evaluation to the customer.

(5) Inform the Contractor of any corrective action necessary.

(6) Record any corrective action on the customer complaint record.

The COR or Government QAS) will validate complaints as soon as possible after they are received to ensure that daily operations have not affected site conditions. Timely response, within one day of receipt of the complaint, from the Contractor is critical.

1.5.3 Recognized Holidays: The following provides information on recognized holidays for the purpose of the PWS. If submittal of any documentation (e.g., deliverables, submittals, etc.) deadlines fall on a holiday, the closest work day prior to the holiday will apply as the deadline for submittal.

1.5.3.1 U.S. Holidays: Work shall not be performed on U.S. holidays occurring during the normal workweek unless otherwise directed by the Contracting Officer. When a U.S holiday occurs on a Saturday or a Sunday, the holiday is observed on the preceding Friday or following Monday, respectively.

Work may be required in certain facilities on U.S. Holidays (See Para 1.5.3.3). These facilities are identified in Attachment 3, Building Chart.

1.5.3.2 Host Nation Holidays: Work shall not be performed on local Host Nation holidays occurring during the normal workweek unless otherwise directed by the Contracting Officer.

Work may be required in certain facilities on Host Nation Holidays (See Para 1.5.3.3). These facilities are identified in Attachment 3, Building Chart.

Local host nation holidays occur in the region/state where contract performance takes place. USAG Wiesbaden only operates in Hesse and Rhineland-Palatinate.

1.5.3.3 Special Holiday Guidelines:

(1) Admin Areas: No services are required on German and American Holidays at 5W services (five (5) services per week). However, three (3) times a week, weekly and monthly services must be performed either the workday before or on the next following workday.

(2) CDC/SAS/YS Facilities: Services are required on German Holidays, no services on American Holidays.

(3) Fitness Centers: Services are required on German and American Holidays.

(4) All Community Banks and the Family Entertainment Center Service require service on U.S. Holidays.

(5) The Local Shop Agreement days (most of U.S. Holidays) apply to admin facilities with mainly Local National employees. Currently the building numbers are as follows, but buildings are subject to be changed by the Government.

Bldg.1037, 1056, 1057, 1058, 1059, 1557, 1558, 1657, 1658, 1757, 1759, 1755, 1758, 1857, 1957, 1959, 7802, and 6297.

1.5.4 Operating Hours: The Government facility office hours, facility operating hours, and the Contractor support hour requirements often coincide, however, they may differ. Please refer to the following.

Working hours are as follows:

(1) Basic Service for Admin and High Use Areas shall be performed from Monday – Friday, 0730 – 1530.

Exceptions are listed in Attachment 3; Building Chart

(2) Standard Services for Gyms shall be performed from Monday – Sunday, restrooms and floors from 0730

– 1530, after 2200 all floors incl. saunas, lockers, and restrooms, Monday – Friday, Saunas and Lockers from 0900 – 1100: see Attachment 3. Hours of cleaning can vary due to Government requirements.

(3) Enhanced Service (Hospital Grade Service) shall be performed in CDCs; as outlined in Paragraph 5.4.2

CDC Hours of Operation

1.5.4.1 Government Facility Office Hours: The Government facility office hours are 0730 to 1600, Monday through Friday except U.S. Holidays identified in paragraph 1.5.3.1 above or when the Government facility is closed due to local or national emergencies, administrative closings, or similar Government directed facility closings.

1.5.4.2 Government Facility Operating Hours: The Government facility operating hours occur between the hours of 0730 to 1630, Monday through Friday, except Holidays. The Government facility may close due to local or national emergencies, administrative closings, or similar Government directed facility closings and will be communicated by the Contracting Officer to the Contractor

1.5.4.3 Contractor Support Hours: The Contractor shall provide support between the hours of 0730 to 1600, Monday through Friday. Special Event Cleaning (as outlined in Para 5.8) could occur between the hours of 0600 to 2400, Monday through Sunday. The Contractor shall always maintain an adequate workforce for the uninterrupted performance of all tasks defined within this PWS when the Government facility is not closed for the above reasons. When hiring personnel, the Contractor shall keep in mind that the stability and continuity of the workforce are essential.

Contractor shall not perform services at lunchtime (from 1200 – 1300 hours) to avoid disturbance of lunch break time, except in special locations, such as classrooms and other administrative areas. Any request to change the hours associated with the Administrative areas cleaning services must be approved in writing by the Contracting Officer, all requests must be submitted in advance to the COR. These requests cannot allow for or incur any additional cost to the Government therefore, negotiations must be coordinated through the Contracting Officer.

For other than firm fixed price contracts, the Contractor will not be reimbursed when the Government facility is closed for the above reasons.

1.5.4.3.1 Contractor Work Plan: The Contractor shall prepare and maintain a Work Plan. The plan, as a minimum, shall identify regularly scheduled work (to include location, work to be completed, timeline, etc.).

The Contractor’s proposed Work Plan shall be submitted to the Contracting Officer via the COR for review within 30 (thirty) days after date of contract award (Deliverable # A.003). The Government will review and either accept or return their comments to the Contractor within ten (10) days. The Contractor shall then have three (3) days to submit a Final Work Plan. Any proposed change to the accepted Final Work Plan is required to be resubmitted via the COR for review and acceptance by the Contracting Officer at a minimum thirty (30) days prior to implementation. The timeline noted above shall apply for review and acceptance for proposed changes.

1.5.5 Training Holidays: USAREUR has historically granted military personnel training holidays as compensation for time that they spent in field training. These are typically combined with regular holiday leave schedules (for example, Christmas half days or day on day off schedules). Training holidays may affect access to military operated facilities. If scheduled work or access to facilities is required, coordination with occupants will be necessary or the work in affected facilities shall be rescheduled after the training holiday. However, announced training holidays or exodus of military personnel may provide the Contractor with an opportunity for unrestricted access to facilities and areas.
