About this file
This is a Solicitation/Contract Form (Standard Form 1449) for Reference Laboratory Testing Services issued by the Defense Health Agency (DHA) to support Medical Treatment Facilities worldwide.
The solicitation is designated HT001526RE001 and seeks a single-award, indefinite delivery indefinite quantity contract for clinical reference laboratory testing services. The contract period extends ten years: a five-year base period from June 20, 2026, through June 19, 2031 (with an optional six-month transition period if the incumbent does not win), plus a five-year option period from June 20, 2031, through June 19, 2036. The estimated quantity for the base laboratory testing services is 8,998,080 tests (lot unit), with 300 unscheduled STAT transportation jobs and one post-award conference participation requirement. All offerors, including the incumbent, must submit pricing for the optional transition period to enable equal comparison. The contract employs firm fixed-price arrangements and incorporates extensive FAR and DFARS clauses covering cybersecurity requirements (CMMC Final Level 2 Self certification), compliance with NIST SP 800-171 standards, pay official DoDAAC HQ0490, and invoicing via the Wide Area WorkFlow system. Special contract requirements include a Technology and Pricing Refresh mechanism allowing the contractor to propose new technology and pricing for the option period (with proposal submission required 180 days before base period expiration), an Economic Price Adjustment clause capped at 5 percent cumulative over the contract lifetime when combined with TPR adjustments, and decentralized ordering authority for Contract Ordering Official Cardholders and Government Purchase Card holders. The contract is set aside for Women-Owned Small Businesses (WOSB), with the NAICS code 621511 (Medical and Diagnostic Laboratories) and a size standard of USD 41,500,000. The solicitation contact is Tamara Fenwick at 2102952852, and the Government has identified all contractor services as essential contractor services supporting mission-essential functions requiring a continuity plan within 30 days of award.

Special Contract Requirements Part 1: Technology and Pricing Refresh for Option Period
(a) General
Option Period Refresh: In accordance with FAR 17.204-1 and as contemplated in the Performance Work Statement (PWS), this section establishes the process for the Contractor to propose, and for the Government to evaluate, the integration of new or advanced technology and a corresponding new price schedule for the five-year option period.
Intent: This Technology and Pricing Refresh is intended to re-baseline the contract to ensure it reflects current technological and medical standards, providing the best value to the Government.
Cost Recovery: The Contractor's sole mechanism for recovering costs associated with any technology refreshment shall be through the negotiated unit price schedule for the option period. The Government shall not be liable for any direct costs associated with equipment, software, or implementation.
(b) Technology and Pricing Refresh Proposal Requirements for Option Period
Submission Deadline: No later than 180 calendar days prior to the expiration of the base period of performance, the Contractor shall submit a comprehensive Technology and Pricing Refreshment Proposal to the Contracting Officer (CO) and Contracting Officer's Representative (COR). Failure to submit a complete and timely proposal may jeopardize the Government's ability to evaluate and exercise the option.
Proposal Content: The proposal must be submitted in two separate parts:
(i) The Technical Proposal, which shall provide a detailed description of any proposed new technology, upgraded equipment, or new/revised diagnostic services and explain the benefits to the Government.
(ii) The Price Proposal, which shall consist of a complete, proposed unit price schedule for all contract line items for the full five-year option period. It must be supported with sufficient data for the CO to determine price reasonableness in accordance with FAR Subpart 15.4.
3. Price Limitation: The total evaluated price of the Contractor's proposed unit price schedule for the option period, when combined with any approved Economic Price Adjustments (EPA), shall strictly not exceed the Global five percent (5%) Life-of-Contract Escalation Cap established in Part III of these Special Contract Requirements.
(a) Clause Incorporation
The Economic Price Adjustment clause FAR 52.216-4, Economic Price Adjustment--Labor and Material, is hereby incorporated into this contract by reference.
(b) Application and Frequency
An upward adjustment shall only be applied once, concurrently with the exercise of the five-year option period, subject to the remaining balance of the 5% 10-year ceiling.
(c) Calculation of Adjustment
Adjustments shall be based on the percent change of the Bureau of Labor Statistics (BLS) Producer Price Index (PPI) for Medical and Diagnostic Laboratories (NAICS 621511). The base for computing the change shall be the index level published for the month the contract was awarded. An adjustment shall only be considered if the cumulative increase in this index from the month of contract award to the month of option evaluation exceeds 20%, demonstrating conditions of extreme market volatility beyond the risks the contractor is expected to assume in its firm-fixed price.
The Government will determine eligibility for an adjustment using the following calculation formula:
((Evaluation Index - Base Index) / Base Index) * 100 = Cumulative Percentage Change
Example: If the Base Index at award is 145.200, and the Evaluation Index at the time of the EPA request is 178.500, the calculation is ((178.500 - 145.200) / 145.200)* 100 = 22.93%. Because 22.93% exceeds the 20% threshold, the EPA request would be eligible for review.
Limitations
3. Breaching the 20% threshold establishes eligibility for an adjustment review; it does not dictate the final adjustment percentage awarded to the contractor.
4. The aggregate of all price adjustments under this EPA clause, when combined with any approved adjustments made under the Technology and Pricing Refresh (TPR) clause, shall strictly not exceed the Global five percent (5%)Life-of-Contract Escalation Cap.
5. No adjustment shall be made for any period where the Contractor has failed to provide a written request, including the required index calculations, to the Contracting Officer at least 90 days before the adjustment is to take effect.
(d) Final Invoice: The Contractor shall include a statement in the final invoice that all price adjustments under this clause have been made, or that no final adjustment is due.
Part III: Global 5% Life-of-Contract Escalation Cap (TPR and EPA)
(a) Single 10-Year Ceiling: Notwithstanding any individual language in the Technical and Pricing Refresh (TPR) clause (Part I) or the Economic Price Adjustment (EPA) clause (Part II), there is a single, hard ceiling for all price increases overt he entire 10-year life of this contract. The absolute maximum cumulative increase to the contract, resulting from the combined application of both the TPR and EPA clauses over the full 120-month period (Base plus Option), shall not exceed five percent (5%) of the initial total awarded contract value.
(b) No Compounding Per Period: This is not a 5% allowance for the base period and an additional 5% allowance for the option period. It is a single, cumulative 5% maximum for the entire 10-year contract lifecycle.
(c) Timing of Adjustments:
1.
2.
TPR (Part I): Technology and Pricing Refreshes may be proposed and incorporated at any time, subject to Government approval and the remaining balance of the 5% 10-year ceiling.
EPA (Part II): Economic Price Adjustments shall only be applied once, concurrently with the exercise of the five-year option period, subject to the remaining balance of the 5% 10-year ceiling.
(d) Limitation: Once the cumulative pricing modifications executed under the TPR and/or the EPA reach this 5% life-of-contract ceiling, the Government will not authorize any further upward price adjustments for the remainder of the contract's performance.
Part IV: Decentralized Ordering and Administration
(a) Independent Ordering Authority: In accordance with FAR 16.505, decentralized Ordering Contracting Officers (OCOs), duly appointed Contract Ordering Official Cardholders (COOCs), and Government Purchase Card (GPC) holders possess the independent authority to place task orders and calls directly against this master IDIQ contract. Prior coordination or scope approval from the Program Manager, Requirement Owner, or the Master IDIQ Procuring Contracting Officer (PCO) is not required, unless the ordering activity determines there is or may be a misalignment of scope with the master contract.
(b) Ceiling Tracking and Reporting: To ensure the overarching IDIQ ceiling is not exceeded, the sole administrative requirement placed upon Ordering COs, COOC, and GPC holders is that they must submit a copy of any awarded task order(or a summary report detailing the obligated amount per CLIN) to the Master IDIQ PCO within 5 business days of task order execution. This reporting ensures accurate tracking against the master IDIQ ceiling.
(c) Government Purchase Card (GPC) / Contract Ordering Official Card(COOC): Authorized cardholders may place decentralized, ad-hoc, or emergency orders directly against this IDIQ, provided the total order value does not exceed their authorized threshold. There is no geographic or facility-based restriction on where a COOC holder may operate, provided they possess the appropriate warrant/delegation of authority.
