Propulsor Composite Prototype 06.09.2020

DRAFT SECTION L - INSTRUCTION, CONDITIONS AND NOTICES TO OFFERORS

L.1.0 ELIGIBILITY

This solicitation is a Small Business Set-Aside. Offers from other than Small Business concerns are ineligible for award and will not be evaluated. The Small Business Offeror shall ensure its proposal complies with FAR 52.219-14 entitled “Limitations on Subcontracting” to be eligible for award.

L.1.1 QUESTIONS

It is the Offeror's responsibility to bring to the attention of the Contracting Officer at the earliest possible time, but prior to the solicitation closing date, any ambiguities, discrepancies, inconsistencies, or conflicts between the SOW and other solicitation documents attached hereto or incorporated by reference. All questions shall be submitted via e-mail to the contract specialist and contracting officer at Jordan.s.good@navy.mil and abeer.ameer@navy.mil within 10 calendar days after issuance of the solicitation. Questions received after this date may be answered at the discretion of the Government.

L1.2 START DATE FOR USE IN COST/PRICE PROPOSAL

In order to allow for procurement lead time and a fair and equal evaluation of all proposals submitted under this competitive procurement, all proposals shall be based on a contract start date stated in Section F. This date is only an estimate of the anticipated contract start date and will be used for the purpose of proposal evaluation only. The definitive start date will be stated in the contract award document.

L.2.0 INSTRUCTIONS FOR SUBMISSION OF OFFERS

THE GOVERNMENT RESERVES THE RIGHT TO REJECT ANY PROPOSAL THAT DOES NOT

COMPLY WITH THESE PROPOSAL PREPARATION/SUBMISSION INSTRUCTIONS. NOTE:

INFORMATION REQUESTED AND SUBMITTED IN ONE VOLUME WILL NOT BE

CONSIDERED FOR PURPOSES OF EVALUATION OF INFORMATION CONTAINED IN

ANOTHER VOLUME. COST/PRICE PROPOSAL SUBMISSIONS MUST REFLECT WHAT IS

SUBMITTED IN THE TECHNICAL VOLUME. PROPOSALS FOR WHICH THE COST ELEMENTS

(E.G. NUMBER OF HOURS, LABOR CATEGORIES, SUBCONTRACTORS) IN THE COST/PRICE

VOLUME DO NOT MATCH THOSE IDENTIFIED IN THE TECHNICAL VOLUME MAY BE

DEEMED UNAWARDABLE.

L.2.1 General

Proposals shall be submitted by e-mail to the contract specialist and contracting officer identified in section L.1.1. Proposals shall be received by the solicitation closing date and time specified on the cover page of this solicitation. Offerors are encouraged to submit their proposal early enough to verify that their proposal was received prior to the closing date and time of the solicitation. Offerors shall comply with the instructions for the format and content of the proposal; proposals that fail to comply may be ineligible for award.

(a) Definitions. As used in this solicitation –

In writing or written means any worded or numbered expression which can be read, reproduced, and later communicated, and includes electronically transmitted and stored information.

Proposal modification is a change made to a proposal before the solicitation’s closing date and time, or made in response to an amendment, or made to correct a mistake at any time before award.

Proposal revision is a change to a proposal made after the solicitation closing date, at the request of or as allowed by a Contracting Officer.

Day is defined as a calendar day unless otherwise specified. If the last day of a specified period falls on a Saturday, Sunday, or Federal Holiday, the period shall be deemed to end on the next Federal work day.

Major Subcontractor is defined as a subcontractor performing 30% or more of total proposed burdened labor costs.

(b) Amendments to the solicitation. If this solicitation is amended, terms and conditions that are not amended remain unchanged. Offerors shall acknowledge receipt of any amendment to this solicitation by the date and time specified in the amendment(s).

(c) Proposal submissions, modifications, revisions, and withdrawals shall be e-mailed to the contract specialist and contracting officer at the above e-mail addresses.

Offerors may submit modifications to their proposals at any time before the solicitation closing date and time.

After the solicitation closing date and time, Offerors may submit revised proposals only if requested or allowed by the Contracting Officer.

Proposals may be withdrawn at any time before award. Withdrawals are effective upon receipt of notice by the Contracting Officer.

L.2.2 Electronic Submission

Offers shall be received via e-mail or DOD SAFE at https://safe.apps.mil by the contract specialist and contracting officer by the solicitation’s closing date/time in order to be eligible for award. In the event that the Offeror experiences technical difficulties, the Offeror shall immediately notify the Contracting Officer via e-mail prior to the solicitation closing date and time. Failure to submit a complete proposal prior to the solicitation closing date and time will in almost all circumstances render the proposal late and unacceptable.

Offerors are responsible for submitting proposals and any revisions by e-mail to the contract specialist and the contracting officer by the time specified in the solicitation. Any proposal (including proposal modifications or revisions) not received by the exact time specified for receipt of offers is “late” and may not be considered for award. Proposals may be withdrawn by written notice to the Contracting Officer provided such notice is received prior to contract award.

2.3 Proposal Format

All offerors are required to submit proposals in accordance with the format and content specified herein.

The requirements below apply equally to subcontractors. Proposals that do not meet the below requirements may be deemed unacceptable and may not be eligible for award. The offeror shall include in its proposals data that they do not want disclosed to the public for any purpose, or used by the Government except for evaluation purposes.

The electronic submission for Volumes I, II, III, and IV:

• Contain one copy of the respective proposal volume in Microsoft Word or Adobe Acrobat portable document format (i.e. “.doc,.docx, .xls, .xlsx, or .pdf”). Note, instructions regarding use of certain electronic products (e.g. Microsoft Office, Excel, Adobe) listed herein shall not be construed as Government endorsement of specified product.

• Each volume submitted, as a separate electronic file, shall be clearly identified and shall begin at the top of a page. All pages of each volume shall be appropriately numbered and identified by the complete company name, date, and solicitation number in either the headers or footers.

• Hyperlinks to locations outside a document is not permitted, however, certain hyperlinks to places within a document, such as table of contents numbers, section headings, and table or figure cross references are acceptable.

The electronic submission for Volume IV – Cost Proposal:

• Cost proposal shall be submitted in Microsoft Excel, spreadsheet files (workbooks) for all prime AND subcontractors.

For each workbook, all rows, columns, cells, shall be visible. Spreadsheets shall include all calculations in the cells (e.g. show all formulas) as the Government MUST be able to determine how costs were calculated. The following formats are considered NOT acceptable when preparing the cost proposal:

o Worksheet cells formatted with the font color equal to the fill color o Print image files or pictures should not be used (e.g. a picture of an Excel spreadsheet embedded in a Word document) o Cell references to data or links to other Volumes

• All files named with the file extension .doc or .docx shall be Microsoft Word 2010 compatible; Prime /Subcontractor Cost Summaries shall be submitted using Microsoft Excel (2010 or compatible). Any other attached documents requested herein shall be compatible with Microsoft Office. Compression tools are limited to PKZip or WinZip

• The offeror shall submit proposals in response to this solicitation in English and in U.S. dollars.

• Narratives related to the cost summary data may be provided in Microsoft Word and shall be submitted in accordance to format instructions for volume I, II, and III.

Additionally, the electronic proposal shall be prepared so that, if printed, the proposal meets the following requirements:

• Page setup parameters:

o Margins – Top, Bottom, Left, Right - 1”, o Gutter – 0”, Page Size, o Width – 8.5”, Page Size, Height – 11”

• Pages shall be single-spaced and each paragraph shall be separated by at least a 6-point spacing.

• The offeror will use a standard, Times New Roman 12-point minimum font. The Offeror may use a reduced legible font size, not less than 8 point in Times New Roman, Arial, Cambria, or Calibri font, and landscape orientation for Tables and Illustrations (i.e. graphs, tables, and charts).

L.2.3.1 Cover Page and Table of Contents

Each proposal volume, except for the Cost Volume, shall include a Cover Page and a Table of Contents.

The Cover Page shall identify the solicitation number, amendment number (if any), proposal volume and title, and the offeror’s name, CAGE Code, and DUNS Number. Cover Pages, Tables of Contents, and the Proposal Cross-Reference Table will not count against page limitations.

L.2.3.2 Page Numbering System

The Offeror shall use a standard page numbering system to facilitate proposal references. All pages shall be numbered. Consecutive pages will be numbered within sections. Charts, graphs, and other insert materials shall be page-numbered as part of the page numbering system.

L.2.3.3 Glossary of Abbreviations and Acronyms

The Offeror may submit a glossary which includes abbreviations, acronyms, and their corresponding definitions. Glossaries will not count against page limitations.

L.2.3.4 File Naming Convention

All files must be submitted in the following formats:

2.3.6 Page Limitations

Page limitations are identified for each volume of the proposal as shown above and will be treated as maximums. If a volume exceeds the page limitation, the Government will evaluate it in chronological order starting with page “1”; any pages in excess of the page limitations set forth above WILL NOT be read or considered in the proposal evaluation. When both sides of a sheet display printed material, it shall be counted as two pages.

L.3.0 WRITTEN PROPOSAL ORGANIZATION

L.3.1 Cover Letter Offerors shall provide a cover letter with the following information:

• Solicitation number;

• The name, address, e-mail address, and telephone and facsimile numbers of the Offeror;

• A statement confirming agreement with all terms, conditions, and provisions included in the solicitation and agreement to furnish any or all CLINs upon which prices are offered at the price set opposite each CLIN. If the offeror takes exception to any terms, conditions, or provisions, the exceptions shall be clearly stated in the cover letter;

• A statement that the proposal is valid through 180 calendar days from the date specified for receipt of proposals;

• Names, titles, telephone and facsimile numbers, and e-mail addresses of persons authorized to negotiate on the Offeror's behalf with the Government in connection with this solicitation;

• DCAA and DCMA office point of contact (POC), including branch location, contact name, telephone number, and e-mail address for both the Prime its Subcontractors;

• Name, title, and signature of person authorized to sign the proposal. Proposals signed by an agent shall be accompanied by evidence of that agent's authority, unless that evidence has been previously furnished to the issuing office; and

• Identify all enclosures being transmitted as part of the Offeror's proposal.

L.3.2 Technical and Management (Volume I)

The offerors shall ensure that all Technical Capabilities and Approach, Management Approach, Sample Task and First Task Order, and Personnel Qualifications are contained within Volume I and that no cost/price information is included in this volume.

L.3.3 Past Performance (Volume II)

The offeror shall ensure that all Past Performance information is contained within Volume II and that no cost/price information concerning this requirement is included in this volume.

L.3.4 Cost Proposal (Volume IV)

The offeror shall ensure that all cost/price information is contained within Volume IV. The offeror shall ensure Section B pricing matches the Prime’s Cost Summary and the subcontractor’s Cost Summary submission.

L.4.0 PROPOSAL CONTENT

L.4.1 Factor I – Technical and Management (Volume I)

L.4.1.1 Subfactor A – Technical Capabilities and Approach

The offeror (including prime and subcontractors) shall describe its technical capabilities and approach to the following sections.

a. The offeror shall provide a list of equipment and shall describe its experience with the fabrication methods listed in SOW sections 5.1.1 thru 5.1.4.

I. The offeror shall provide a list of equipment used for Autoclave Curing Manufacturing efforts. This table shall include the dimensions of each autoclave (inches), the pressure/temperature range, and the precision of temperature control for each autoclave.

The offeror shall also describe its experience manufacturing marine composites (or equivalent composite structures) using autoclave curing, per SOW section 5.1.1. This shall include an assessment of the maximum component sizes listed in SOW section 5.1 Fabrication Processes, and/or approach to how the offeror intends to meet the requirement.

II. The offeror shall provide a list of equipment used for Out-of-Autoclave manufacturing, including equipment supporting manufacture of molds and other tooling, and equipment supporting heat treatment processes. This table shall include information describing capability for precision control of relevant manufacturing metrics, including geometric tolerances and temperature control. The offeror shall also describe its experience manufacturing marine composites (or equivalent composite structure) using Out-of- Autoclave curing, per SOW section 5.1.2. This shall include an assessment of the maximum component sizes listed in SOW section 4.1 Fabrication Processes, and/or approach to how the offeror intends to meet the requirement.

III. The offeror shall provide a list of equipment used for Automated Fiber Placement (AFP) efforts. This table shall include the table dimensions of each AFP machine (inches), the fiber laydown rate (lbs/hour), and the general achievable tolerances. The offeror shall also describe its experience manufacturing marine composites (or equivalent composite structure) using AFP, per SOW section 5.1.3. This shall include an assessment of the maximum component sizes listed in SOW section 5.1 Fabrication Processes, and/or approach to how the offeror intends to meet the requirement.

IV. The offeror shall provide a list and description of its CNC machines. The offeror shall map the equivalent machines to the size/weight/tolerances listed in SOW section 5.1.4.

The description shall include manufacturer make, model, machine type, controller type, number of axes, e machining envelope size, table weight capacity, and max spindle RPM.

The offeror shall include a description of its capability or approach to executing CNC machining of metallic, non-metallic, and multi-material components to the size/weight/tolerances listed in SOW section 5.1.4. The offeror shall describe its experience with multi-axis CNC machining.

b. The offeror shall describe its knowledge, skills, and expertise in the development of new material formulation in accordance with SOW section 5.1.5 Polymer Material Development and Processing. The offeror shall also include present and/or prior experience developing its own novel material or whether outsourcing partners for new formulations were relied on. The offeror shall describe its capabilities for polymer material development and integration with mechanical systems via casting or injection molding processes.

c. The offeror shall describe its capability to execute both dimensional and NDT inspections listed in SOW section 5.1.6. The offeror shall address certification requirements of personnel for each inspection type including visual, dye penetrant, and ultrasonic testing. The offeror shall also list dimensional inspection equipment, including coordinate measurement machines, laser trackers, and scanners.

d. The offeror shall provide a discrete example of a previous design effort, build-to-print drawings/digital product definition files, to verify its experience with SOW sections 5.2 Design and 5.3 Mechanical Design Definition. The offeror shall also provide a list of its CAD software capabilities and how these software tools were used on previous projects (within or outside the

DOD).

e. The offeror shall provide a brief outline of a previously developed manufacturing plan (within or outside the DOD) that addresses the requirements in SOW section 5.5 Manufacturing Plans.

f. The offeror shall describe its capability to perform the scope of service listed in SOW section 4.6 Manufacturing Demonstration. The offeror shall provide a description of a previous manufacturing demonstration that includes: transition from a design effort, documentation of the design in drawings and/or digital product definition files, and demonstration of manufacturing capabilities. The offeror response shall include, if applicable, a description of the process and software packages used to transition from initial CAD modeling, manufacturing ready engineering drawings, CAM programming including post processing and verification/simulation if any, and ultimately the quality control process.

g. The offeror shall describe its capability to perform the scope of services listed in SOW section 4.7 Material and Component Testing. The offeror shall provide an example material test report or description of the scope of conducted testing from a previous effort that illustrates the nature and extent of their testing capabilities, including but not limited to the mechanical properties described in the SOW section 5.7. The offeror shall provide a list of owned test frames and other related equipment that supports the type of material testing identified in the SOW section 4.7, with specific indication of the quantity of simultaneous long-term coupon mechanical fatigue tests that can be achieved. The offeror shall provide an example test report or description of the scope of testing from a previous effort that illustrates the capability to design and perform structural testing of subcomponents and/or assemblies, including the use of measurement devices and instrumentation.

h. The offeror shall provide a compliance matrix to the remaining portions of the SOW listed in section C of this solicitation. The table shall include at a minimum the following information:

L.4.1.2 Subfactor B –Management Approach

The offeror shall provide information on the following areas described below:

Section I – Overall Management Approach

a. Organization: The offeror shall describe its corporate structure, functional relationships and responsibilities among the organizational elements, including subcontractors if applicable, that will support this requirement as listed in SOW paragraph 4.1 General Services.

b. Task Order Management: The offeror shall describe its approach and methodology to the planning, executing, tracking, and reporting of the task orders awarded under this IDIQ contract and its adaptability and flexibility of the offeror in fulfilling multiple task orders.

c. Subcontractor Plan: The offeror shall discuss the use of proposed subcontractors as listed by SOW references 4.1.1- 4.1.4 and the extent of the subcontractor's involvement in the performance of the contract. The offeror shall identify the proposed subcontractor(s) and provide a description of the services it intends to subcontract, the type of subcontract, and its basis for selecting the subcontractor. For teaming and subcontractor arrangements, the offeror shall clearly describe the responsibility of each party and explain how and to what extent the requirements, data, and schedules will be passed down. Additionally, the offeror shall describe in detail how it will manage its subcontractors to ensure its services are performed on time and within budget, and are of sufficient quality to enable the offeror to meet all contractual requirements. Descriptions shall include contractual arrangements, qualification requirements, selection processes, contingency plans, and management interactions, including performance feedback and communication between government, the contractor, and subcontractors. Subcontractors proposed in the technical proposal must be fully priced in the cost proposal to be considered in the evaluation. Subcontractors should be accounted for consistently in both the cost and technical proposals.

d. The offeror shall provide a letter of intent from all subcontractors (Attached as Exhibit “A”). The letter of intent shall include solicitation reference number, a description of the work to be performed by the subcontractor under Subfactor A –Technical Capabilities and Approach, and ensure cross reference to SOW paragraphs .

Section II– Risk Management

The offeror shall describe its risk management program for this effort. At a minimum, the offeror shall address:

a. Approach to identification, analysis, mitigation and monitoring of delivery order risks through the application of internal risk reduction procedures.

b. Risk management roles and responsibilities at each level of the organization and among the project team members.

c. Risk reporting methodology to include definitions for evaluating consequence and likelihood of technical, schedule and financial risks.

L.4.1.3 Subfactor C – Sample Task and First Task Order

The offerors shall demonstrate their technical approach based on the requirements for the sample task and first task order. For the first task order, the offeror shall provide a manufacturing study approach that meets the requirement set out in Attachment X. For sample task, the offeror’s manufacturing plan/approach shall include the following, as applicable:

a. Security Plan. The offeror shall describe how it would conduct the manufacturing process if the subject component were classified CONFIDENTIAL. This security plan shall address security in both manufacturing and storage facilities, as well as storage and handling of classified data, and ability to operate required Computer Numerically Controlled equipment in accordance with approved security procedures.

b. Material Sourcing Plan. The offeror shall list materials needed to meet the requirements and shall provide its sourcing strategy to procure raw material and other components. The offeror shall also include its receipt inspection process approach for materials/components that will be acquired.

c. Composite Manufacturing Approach. The offeror shall describe its approach to manufacture composite subcomponents. The offeror shall include its material design approach, fabrication processes including molds and fixtures, curing methods, and fill procedures.

d. Machining Capabilities. The offeror shall provide a draft machining strategy to include CNC machine specifications, machining steps and fixturing, and offeror’s approach for developing and verifying the quality of CNC toolpaths.

e. Logistics Assessment. The offeror shall provide an assessment of the ability to lift and handle all parts. .

f. In-Process Inspections, Weld Repair and NDT. The offeror shall describe its approach for weld repair and in-process NDT inspections. The offeror shall describe required weld processes and specifications, and approach to weld qualification.

g. Surface Preparation and Paint Equipment. The offeror shall describe its approach to performing surface preparation and procedures, and paint equipment it intends to use.

h. Balance Procedures. The offeror shall state the balance equipment and procedures it intends to use.

i. Final Inspections. The offeror shall describe its NDT and geometric inspection process for the completed part. The offeror shall include its inspection procedures, equipment, approach for reporting, and personnel qualifications necessary to meet the drawing requirements. Describe anticipated repair procedures as appropriate, and contents of the final certification package..

j. Risk Assessment. The offeror shall provide an initial risk assessment for the manufacture of the subject component. This assessment should identify potential issues in fabrication that would have cost, schedule or technical impacts on delivery, and include mitigation steps for each.

L.4.1.4 Subfactor D –Personnel Qualifications

a. Key Personnel Qualifications

Key Personnel are deemed essential to the performance of this effort and cannot be replaced without prior notice to the Government (C-237-H002 SUBSTITUTION OF KEY PERSONNEL).

The offeror shall describe the specific planned responsibilities (both technical and management, if applicable) for each proposed key person. This is intended to be more than functional job titles; the offeror shall provide details. The offeror shall only propose key personnel that, at the time of proposal submission, the offeror has a good faith expectation of providing at award.

The offeror shall provide resumes for all key personnel who will be performing under this contract. At a minimum of one resume per key personnel labor category shall be submitted.

Key Personnel labor category required and desired qualifications are provided in Attachment (TBD) in Section J. The required qualifications are minimum requirements that shall be met for a proposal to be considered eligible for award. The desired qualifications are targets that the Government deems advantageous because they are likely to reduce risk and help to ensure successful performance of the SOW requirements. Offerors shall provide one resume for each individual the Offeror proposes to fulfill the positions identified as Key for the base contract. The Offerors shall include Key Personnel necessary to accomplish the TO 1 and the Sample Task in its proposal. For this requirement, the following positions are considered Key Personnel:

Minimum Qualifications:

Bachelor’s Degree from an accredited educational institution in Engineering, Material Science, Physical Science, or related field, or, a minimum of 10 years of work experience in a related field.

Approximately five or more years of experience in manufacturing or design of composite structures, or related field.

Desired Qualifications:

Graduate degree in Engineering, Material Science, Physical Science, or related field.

Approximately 10 or more years performing technical engineering activities related to composite structures and materials, particularly for marine applications Approximately five or more years in an engineering leadership role, to include coordination of engineering tasks, integration of technical results, and development of technical products for delivery to a customer.

Approximately five or more years of experience in technical R&D projects, involving the development and/or application of novel technical solutions.

Approximately five or more years of experience in the technical execution of DoD projects.

Note: Offerors may propose additional Key Personnel if it believes it necessary for effective management and coordination of required effort. The Offeror shall provide rationale for the additional Key Personnel and how they will provide improved management of assigned tasks. These additional Key Personnel should be noted as “Key” on the proposal.

Offerors shall only propose Key Personnel that, at the time of proposal submission, the Offeror has a good faith expectation of providing at award. The Offeror shall submit a current “Letter of Intent” (with salary information redacted) with all resumes supplied for contingent Key Personnel hires. The Letter of Intent does not count against resume page limitations and must be signed by the contingent hire employee AND the Offeror. Additionally, the Government considers the submission of Letters of Intent for proposed contingent Key Personnel to be material to the proposal since these Letters of Intent demonstrate the Offeror's ability to hire personnel with the qualifications offered. For Key Personnel who do not currently live within reasonable commuting distance of the Government site, the offeror shall provide convincing evidence of the individual’s willingness to relocate at their own expense or at that of the offeror. The Government will not directly reimburse the successful offeror for any costs associated with relocation of an employee. For any Key Personnel that are currently working on any NSWCCD TO or contract (beginning with N00167), the offeror shall explain how they will perform the key personnel hours proposed for this contract. The Offerors shall also include the eCRAFT labor category code for each lack key labor category proposed.

Resumes shall include, as a minimum, the following information:

Each resume is limited to two pages and shall contain the following:

Name;

Current Employer;

Level of Current Security Clearance;

Education: List degree(s), date(s), and institution;

Citizenship; and Work Experience: Provide directly related or similar work experience. Include job title, inclusive dates of employment (month/year), the employer, and a brief synopsis for each job listed on how the experience is directly related to the key functions and how experience for any desired qualifications under the labor category is demonstrated.

Resumes for proposed key personnel employed by a subcontractor shall be included under this sub-factor. All of the requirements of this section shall apply to the use of subcontractor personnel, as well as the prime contractor’s personnel.

L.4.4.1.1 Non-Key Personnel Qualifications:

The Offeror shall propose non-key personnel qualified to accomplish the First Task Order and Sample Task. The proposal shall include a description of the requirements/qualifications associated with each company-specific labor category contained in the Offeror’s proposal, including company-specific labor categories proposed by subcontractors. The description shall also include the eCRAFT labor category code for each non-key labor category proposed.

L.4.2 Factor II – Past Performance (Volume II)

L.4.2 Recent and Relevant Past Performance To the extent possible, the offeror shall provide a minimum of two and a maximum of five Past Performance References with its proposal to encompass its relevant performance for periods in excess of six months within the last three years prior to the due date of proposals. Past Performance References shall be submitted using the format provided as Attachment TBD in Section J. No links or attachments shall be provided as part of the submission. In addition, the offeror shall submit at least one Past Performance Reference for the largest three major subcontractors. If no proposed subcontractors meet the 30% total burdened labor cost threshold, at least one Past Performance Reference shall be provided for each of the subcontractors performing the largest portions of subcontracted work under this effort (or all subcontractors if fewer than three are proposed).

The Past Performance References should be relevant and provide sufficient context to enable evaluators to measure the likelihood that the offeror will satisfy the requirements. Common aspects for determining relevancy include similarity of service/supplies scope of work, complexity, dollar value, contract type, use of key personnel, and extent of subcontracting/teaming. The identified Past Performance References can be with Federal/state/local government, or private customers.

For each Past Performance Reference, the offeror shall identify at least two of the following customer POCs (or commercial equivalent): Program Manager (PM), Procuring Contracting Officer (PCO), or Contracting Officer’s Representative (COR). The Offeror shall provide the current address, phone number, and email address for each POC. The Government may use other information, such as CPARS data available from Government sources, to evaluate the offeror’s past performance. The Government may also consider past performance information obtained from sources other than those identified by the offeror, including Federal, State, and local Government agencies, Better Business Bureaus, published media and electronic databases, and/or personal knowledge. The Government reserves the right to limit or expand the number of references it decides to contact and to contact references other than those provided by the offeror. The offeror is encouraged to provide contract reference information for efforts on which they are the Prime contract holder. The offeror shall detail the extent to which they contributed as a subcontractor to the referenced contracts.

4.2.2. CPARS Reports and Past Performance Questionnaire (PPQ)

For each past performance reference identified, the offeror shall submit a completed CPARS report, if available. If a CPARS report is not accessible by the Offeror, the Offeror shall notify the Government that it could not access the CPARS report and complete Attachment TBD to allow the Government to review the report in CPARS. In the event that the Offeror does not have the minimum number of two CPARS references, the Offeror shall submit Attachment TBD – Past Performance Questionnaire. If a PPQ is submitted, but an official CPARS evaluation is found for the contract effort in Governmental databases, the official evaluation will take precedence. When CPARS reports are not available, the offeror shall submit one PPQ to each of its customer POCs identified in the Recent and Relevant Past Performance References. In order to expedite the assessment process, the Offeror may complete the “Contract Information” portion of the PPQ for the convenience of the customer POC. The offeror shall not, however, complete any other section of the PPQ. The questionnaire shall be provided to the customer POC with instructions to complete and submit it directly to the PCO on or before the proposal due date.

Electronic submission via e-mail by the customer is preferred.

L.4.3 Factor III – Cost Proposal (Volume IV)

No Technical and Management, Small Business, or Past Performance information shall be submitted as part of the Cost/Price Proposal.

THE REQUIREMENTS OF THIS SECTION APPLY EQUALLY TO THE OFFEROR AND ANY

PROPOSED SUBCONTRACTOR(S) REGARDLESS OF SUBCONTRACT TYPE EXCEPT WHERE

OTHERWISE NOTED.

The ceiling for this contract will be set at $74,922,277.41. For evaluation purposes, the Offeror shall price out the cost and fee for the First Delivery Order and Sample Task. The initial award will be for the First Delivery Order only.

The Cost/Price Proposal shall be a separate volume comprised of a Cost Summary and all substantiating data comprising the total price for First Delivery Order and Sample Task. The Prime Offeror and its Subcontractors, if necessary, shall provide the Cost Summary in the Prime Offeror’s Cost Summary Format. All proposed costs/prices shall be in whole dollars.

In this procurement, the Government will perform a cost realism analysis of each Offeror’s proposed costs for the First Delivery Order and Sample Task. The burden of cost credibility rests with the Offeror to demonstrate the realism of its proposed costs; as such, the Offeror shall submit substantiating cost data for every cost element it proposes (e.g., direct labor, fringe rate, overhead rate, G&A rate, subcontract costs).

The offeror’s proposal should represent its best efforts to respond to the solicitation. Any inconsistency between promised performance – e.g., the Technical and Management Volume and the identified personnel resources – and the proposed cost/price must be explained in the proposal. For example, if the intended use of new and innovative techniques is the basis for an unusually low estimate, the nature of these techniques and the impact on cost or price shall be explained; or, if a corporate policy decision has been made to absorb a portion of the estimated cost/price, that must be stated in the proposal. Any inconsistency, if unexplained, may raise a fundamental question of the offeror’s understanding of the nature and scope of the work required and may adversely impact the evaluation of the Offeror’s proposal.

Unrealistically low costs may indicate a lack of understanding of the requirements and/or a high risk approach to contract performance.

The cost data for the First Delivery Order and Sample Task shall be submitted to include at a minimum:

• Direct labor costs, to include labor hours, labor category, and labor rates. The labor hours breakout shall be in accordance with MIL-STD-881 Revision D.

• Direct material cost to include product number, product title, units procured, and shipping and handling fees as necessary, and provide estimating rationale – i.e. quotes, historical info, etc.

• Direct travel costs to include estimating rationale – i.e. quotes, historical info, etc.

• Indirect costs to include indirect rates, cost pools applicable to each rate, and methodology for how indirect rates are applied.

Cost realism will only result in an upward adjustment to the proposed costs.

L.4.3.1 Direct Labor

The following is required as part of the Prime Offeror Cost Summary: The offeror shall map proposed Contractor Labor Categories to the corresponding Government Key Personnel. The offeror shall also include proposed Non-Key Personnel Labor Categories within the Prime Offeror Cost Summary.

The offeror shall complete the breakout by Prime and subcontractors that realistically reflects the offeror’s Technical Proposal. Failure to provide this information and proposed Direct Labor rate substantiation may result in adjustments being made to the proposed Direct Labor rates.

Additional Required Information

In its cost realism analysis, the Government will use the most relevant, reliable data available to evaluate the probable cost for the First Delivery Order and Sample Task. Since each offeror bears the burden of demonstrating the realism of its proposed costs, each offeror shall substantiate its proposed costs, as presented in its Prime offeror Cost Summary, with relevant, reliable data that demonstrates the realism of each proposed cost element. Each offeror shall provide substantiation for the following information to be considered for award:

a. Current Named Individual Direct Rate Supporting Documentation. The Cost/Price Proposal shall reflect actual labor rates expected to be expended in performing the proposed contract; e.g., the actual hourly rates for named personnel if such rates will be the basis for billing under the resultant contract. For Prime and major subcontractors, the offeror shall provide either a Forward Pricing Rate Agreement (FPRA) or a Forward Pricing Rate Recommendation (FPRR), if available. If a FPRA or FPRR are provided, the offeror shall provide a rationale as to why the proposed labor categories are realistic for the effort. If an FPRA or FPRR are not available, the offeror shall provide a screen-capture from the employer's payroll system, incurred within the last three months preceding release of this solicitation, for each current employee named in the proposal Staffing Plan. The offeror shall fully explain all pertinent data on a sample screen capture. The Government must be able to derive the individual’s direct rate (both inclusive and exclusive of the impact of uncompensated overtime, if proposed) from the screen-capture information provided by the offeror.

b. Contingent Hire Direct Labor Rate Supporting Documentation. The offeror shall clearly indicate named contingent hires for itself and for all of its subcontractors in section L.4.2.4 Subfactor D – Key Personnel Qualifications. The company proposing to employ a contingent hire shall provide a Letter of Intent, signed by the contingent hire, that explicitly lists the agreed-upon annual salary for the named individual and the amount of any proposed uncompensated work as part of its Cost/Price Proposal. The information contained within the Letter of Intent provided by the offeror in the Cost Volume for contingent hires shall indicate the individual’s direct rate (both inclusive and exclusive of the impact of uncompensated overtime, if proposed).

c. Uncompensated Overtime Supporting Documentation. If any offeror or subcontractor proposes uncompensated overtime, it must substantiate any cost reductions to direct labor rates associated with its proposed use of uncompensated effort. This substantiation must include a description of the formulas applied to calculate the decremented rate (and/or decrement factor) and historical data to demonstrate that the proposed level of uncompensated overtime is realistic. Such historical data shall include the company’s historical average annual level of uncompensated overtime from preceding years and/or historical data demonstrating that the company’s proposed decremented rates are equal to or greater than historical actual incurred decremented direct labor rates for corresponding labor categories from preceding years, after adjusting them for annual escalation. In accordance with FAR 52.237-10, IDENTIFICATION OF UNCOMPENSATED OVERTIME, if uncompensated time is included in the offer or any of the supporting cost data, the Offeror shall include a copy of its policy addressing uncompensated overtime with its proposal.

d. Escalation. The offeror may propose escalation at their discretion. If proposed, offeror shall provide the basis for proposed escalation rates.

L.4.3.2 Indirect Labor

a. Indirect Rate Supporting Documentation. If a FPRA or FPRR does not exist, offerors shall provide the incurred rates for each proposed indirect and general and administrative (G&A) pool for the prior three years, indicating the beginning and end dates for each FY . If the incurred rates are provided for the prior three years, offerors shall complete the following chart:

Each offeror shall provide a narrative detailing the major cost drivers for proposed indirect rates that are lower than historical rates. If an offeror, or any of its subcontractors, proposes to cap any of its indirect rates, it shall identify each capped rate and shall propose a legally binding and enforceable clause which shall be included in the resultant award. Any proposed clause shall include a process for verification by the Government.

This rate information shall reflect those of the offeror's most recently completed FY even if the rates are considered preliminary and have not been submitted to DCAA for audit. The offeror shall note whether the incurred rates have been audited by DCAA or any other independent organization, and shall specifically state which indirect rates have been finalized by DCAA/DCMA. Each Offeror shall provide a copy of the provisional billing rate letter from DCAA/DCMA for itself and shall ensure that the Government receives this information for any major cost-reimbursable subcontractors. The information shall be provided to the Contract Specialist and Contracting Officer listed under L.1.2 of the solicitation Each offeror shall provide a narrative detailing the major cost drivers for proposed indirect rates that are lower than historical rates. If an offeror, or any of its subcontractors, proposes to cap any of its indirect rates, it shall identify each capped rate and shall propose a legally binding and enforceable clause which shall be included in the resultant contract award. Any proposed clause shall include a process for verification by the Government.

Note: If an offeror does not have three years’ worth of actual, incurred indirect data for any proposed indirect rate, the offeror shall provide the required information dating from the origin of the company.

b. Forward Pricing Rate Agreement (FPRA) and/or Forward Pricing Rate Recommendation (FPRR). If the offeror or a major cost reimbursement subcontractor has an FPRA or FPRR with DCAA/DCMA, a copy shall be furnished with the Cost/Price Proposal. If not evident in the FPRA or FPRR, include contact information for the DCAA/DCMA office that executed the FPRA or FPRR. If an Offeror does not have an FPRA, the Offeror shall provide substantiation within the Prime Offeror Cost Narrative as to how direct labor rates were calculated.

L.4.3.3 Accounting System.

In order to satisfy FAR 16.301-3(a)(3), the awardee(s) accounting system must be considered adequate by

DCMA.

L.4.3.4 Fee and Pass-Through Fixed Fee for the first Delivery Order and Sample Task shall be proposed in the separate Prime Offeror Cost/Price volume. The fixed fee may be proposed within this spreadsheet as a percentage of cost, however Fee becomes a fixed dollar amount at the time of contract award and is subject to clause B-232- H003, Payment of Fee(s) (Completion).

The Government will allow the offeror to award fee on a two-tiered structure. For the first tier The Prime Offeror can propose fee on labor at a rate at which they feel is sufficient for this effort. The second tier fee shall be half of what the proposed first tier fee is and the Prime Offeror will be allowed to be proposed for cost elements such as materials and subcontractor. Fee shall not be proposed on shipping or travel (prime or subcontractor). The fee proposed will be the maximum fee that can be earned on any individual order. The Government reserves the right to negotiate a lower fee on any order placed after award. The Government strongly encourages the offeror to eliminate or mitigate “double pass-through” costs by: (a) avoiding second tier subcontractors during performance; or (b) where this situation is unavoidable, limiting subcontractor pass-through costs to the Prime Contractor’s pass-through rate under this contract.

L.4.3.5 Material Material for the first Delivery Order and Sample Task shall be proposed in separate Prime Offeror Cost Summaries Format. The Offeror and its subcontractors shall provide supporting documentation to include quotes, invoices, or historical information for at least 80% of the proposed material cost. This information may be submitted separately to the Government Contract Specialist and PCO if the subcontractor does not wish to provide this data to the Prime. If submitted separately, the subcontractor’s information shall be provided by the same due date and time as the prime’s proposal.

L.4.3.6 Travel and Other Direct Costs (ODCs) Reimbursement for travel will be in accordance with the Joint Travel Regulation (JTR) and B-231-H001, TRAVEL COSTS (NAVSEA).

If it is anticipated that subcontractors will need to incur ODCs for the first Delivery Order and the Sample Task, they shall be proposed as such. The Offeror shall not include subcontractors’ travel and ODCs in the Prime’s portion of the Cost/Price Proposal if only subcontractors will incur ODC expenses.

L.4.3.7 Subcontractors Proposed cost-reimbursement major subcontractors are required to submit Cost/Price Proposals (showing direct labor rates, indirect rates, and fee rate) using the Prime’s Cost Summary Format. This information may be submitted separately to the Government Contract Specialist and PCO if the subcontractor does not wish to provide this data to the Prime. Cost data provided separately by a subcontractor shall be received by the time and date specified for receipt of proposals specified elsewhere in this solicitation. For cost/price summary data provided separately, subcontractors shall place the appropriate restrictive legend on the data and identify the company name, name of Prime, address, point of contact, and solicitation number.

For proposed cost reimbursement subcontractors that are not considered major subcontractors, the offeror shall include the proposed hours and proposed costs for the first Delivery Order and Sample Task in its Subcontractor Cost Summary calculations. However, these subcontractors are not required to submit a separate Cost Summary Format Attachment for their proposed costs or provide substantiating cost data, unless the aggregate of ALL cost-reimbursement subcontractors equals 30% or more of total proposed labor hour costs; then ALL cost-reimbursement subcontractors are required to submit unsanitized proposals using the Subcontractor Cost Summary Format…
