INSTRUCTIONS, CONDITIONS AND OTHER STATEMENTS TO BIDDERS/OFFERORS

INSTRUCTIONS TO OFFERORS

INTRODUCTION

1. Offerors are strongly encouraged to carefully review the entire solicitation, statement of work (SOW), specifications, drawings, evaluation factors, and these submission instructions when providing the written response. Failure to submit any of the following information, or failure to follow the formality requirements, may result in rejection of the offer. Please note: “Offeror” and “Prime Contractor” are synonymous and given the same meaning in the information below.

2. This is a Best Value trade-off source selection evaluation, conducted in accordance with Federal Acquisition Regulation (FAR) Part 15, Contracting by Negotiation, supplemented by Department of Veterans Affairs Acquisition Regulations (VAAR). FAR regulations are available electronically at https://www.acquisition.gov/browse/index/far, and VAAR regulations are available electronically at https://www.acquisition.gov/vaar.

3. Cursory responses or responses that merely reiterate and/or reformulate the Government statement of work and other project documents will not be considered for meeting the requirements of the solicitation. Assurance of experience, capability, and qualifications that clearly demonstrate and support the Offeror’s proposal are essential. The absence of such evidence shall adversely influence the evaluation of the Offeror’s proposal.

4. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to the evaluation factors. Failure to comply with the terms and conditions of the solicitation may result in the Offeror being ineligible for award.

5. Offerors are cautioned that the Government intends to award without discussions based solely on the initial offers received. Therefore, each initial offer received should be submitted on the most favorable terms, from both price and technical standpoints. If, during the evaluation process, it is determined to be in the best interest of the Government to hold discussions, Offeror responses to the Evaluation Notice (EN) and Final Proposal Revision (FPR) will be considered in making the source selection decision. If the Offeror’s proposal has been evaluated as acceptable at the time discussions are closed, any change or exception in the Final Proposal Revision are subject to evaluation and may introduce risk that the Offeror’s proposal is determined to be unacceptable and ineligible for award.

6. The period of performance for this project is stipulated in the Statement of Work (SOW).

7. Only one award will be made in response to this solicitation, and it will be made as a firm, fixed price (FFP) contract.

8. This solicitation is unrestricted. Offeror MUST have an active SAM UEI number and be current in System for Award Management (SAM) at time of offer submission and at time of award. Also, any Offeror that claims SDVOSB and VOSB status must also be verified in VIP VetBiz (https://vetbiz.va.gov) at time of offer submission and at time of award.

1. SUBMISSION INSTRUCTIONS:

a. Offeror shall email both technical proposal and price proposal (do not combine these files into one file; they should remain as separate files) to Contracting Officer, Mandy Thompson, email mandy.thompson2@va.gov and Chuck Parke at Robert.parke2@va.gov by no later than the stated due date/time specified in block 13 of SF1442 (subject to amendment).

3. PRE-PROPOSAL SITE VISIT:

Offerors are urged and expected to inspect the site where services are to be performed and to satisfy themselves regarding all general and local conditions that may affect the cost of performing these services. Failure to inspect the site shall not constitute grounds for a claim after contract award. Refer to provision 52.236-27, Site Visit, for details about the date, time, and location of the site visit, as well as for required COVID-19 safety protocols currently in place at the facility.

4. PROPOSAL FORMAT:

b. Offerors may, at the discretion of the Government, be asked to provide information for clarification purposes regarding their proposals. Requests for such clarification information do not constitute discussions.

c. Offeror shall be held responsible for the validity of all information supplied in the proposal, including information provided by potential subcontractors. Should subsequent investigation disclose that any fact or condition was not as stated, the proposal may be rejected and may receive no further consideration.

d. If a revised proposal is requested, the number of revised copies to be submitted shall be the same as those of initial proposal, unless stated otherwise.

SYSTEM FOR AWARD MANAGEMENT (SAM): Federal Acquisition Regulations require that federal contractors register in the System for Award Management (SAM) database at https://sam.gov/SAM/ and enter all mandatory information into the system.

ADDITIONAL VETBIZ INFORMATION:

(a) Eligibility of SDVOSBs continues to be governed by the Small Business Administration regulations, 13 CFR subparts 125.8 through 125.13, as well as the FAR, except where expressly directed otherwise by the VAAR, and 38 CFR verification regulations for SDVOSBs.

(b) At the time of submission of offer, the Offeror must represent to the contracting officer that it is a—

(1) SDVOSB concern

(2) Small business concern under the North American Industry Classification System (NAICS) code assigned to the acquisition; and

(3) Verified for eligibility in the VIP database (https://www.vip.vetbiz.va.gov/).

(c) A joint venture may be considered an SDVOSB or VOSB concern if

(1) At least one member of the joint venture is an SDVOSB or VOSB concern, and makes the representations in paragraph (b) of this section;

(2) Each other concern is small under the size standard corresponding to the NAICS code assigned to the procurement;

(3) The joint venture meets the requirements of paragraph 7 of the size standard explanation of affiliates in FAR 19.101; and

(4) The joint venture meets the requirements of 13 CFR 125.15(b), modified to include Veteran-owned small businesses where this CFR section refers to SDVOSB concerns.

(d) Any SDVOSB or VOSB concern (nonmanufacturer) must meet the requirements in FAR 19.102(f) to receive a benefit under this program.

JOINT VENTURES: See 13 C.F.R. § 121.103(h)

(h) Receipts/employees attributable to joint venture partners. For size purposes, a concern must include in its receipts its proportionate share of joint venture receipts (whether that joint venture is populated or unpopulated), unless the proportionate share already is accounted for in receipts reflecting transactions between the concern and its joint ventures (e.g., subcontracts from a joint venture entity to joint venture partners). In determining the number of employees, a concern must include in its total number of employees its proportionate share of joint venture employees (whether the joint venture is populated or unpopulated). Once a joint venture receives a contract, it may submit additional offers for a period of two years from the date of that first award. An individual joint venture may be awarded one or more contracts after that two-year period as long as it submitted an offer including price prior to the end of that two-year period. SBA will find joint venture partners to be affiliated, and thus will aggregate their receipts and/or employees in determining the size of the joint venture for all small business programs, where the joint venture submits an offer after two years from the date of the first award. The same two (or more) entities may create additional joint ventures, and each new joint venture entity may submit offers for a period of two years from the date of the first contract to the joint venture without the partners to the joint venture being deemed affiliates. At some point, however, such a longstanding inter-relationship or contractual dependence between the same joint venture partners will lead to a finding of general affiliation between and among them. A joint venture: Must be in writing; must do business under its own name and be identified as a joint venture in the System for Award Management (SAM) for the award of a prime contract; may be in the form of a formal or informal partnership or exist as a separate limited liability company or other separate legal entity; and, if it exists as a formal separate legal entity, may not be populated with individuals intended to perform contracts awarded to the joint venture (i.e., the joint venture may have its own separate employees to perform administrative functions, including one or more Facility Security Officer(s), but may not have its own separate employees to perform contracts awarded to the joint venture). SBA may also determine that the relationship between a prime contractor and its subcontractor is a joint venture pursuant to paragraph (h)(2). For purposes of this paragraph (h), contract refers to prime contracts, novations of prime contracts, and any subcontract in which the joint venture is treated as a similarly situated entity as the term is defined in part 125 of this chapter.

NOTICE TO PROCEED (NTP): A notice to proceed (NTP) shall be issued after award of a fully executed contract. The NTP date and time are “to be determined” after award to a successful Offeror. Primary factor in determination to issue NTP shall be the Prime Contractor submission of, and the Government review and approval of both Payment and Performance Bonds, both of which are enforceable legal documents.

Offers shall be evaluated as follows:

Step 1: All offers will be evaluated individually on their own merit and in accordance with the following evaluation factors:

1. Factor 1: Experience

1. Factor 2: Project Team

1. Factor 3: SDVOSB/VOSB Status

1. Factor 4: Price Step 2: The offer that is determined to provide the best value to the Government in accordance with the evaluation factors will be considered for award.

Step 3: The Government will then evaluate the Offeror for responsibility determination, in accordance with FAR Part 9.104; if determined responsible, an award will be made to that firm.

EVALUATION FACTORS:

The Best Value trade-off source selection evaluation process will undergo a trade-off evaluation for Factor 1-Experience, Factor 2-Project Team, Factor 3-SDVOSB/VOSB Status, and Factor 4-Price. Factors 1, 2, 3, and 4 are in descending order of importance and, when combined, are significantly more important than Factor 4-Price.

Factor 1: EXPERIENCE

Offerors shall use the attached Excel worksheet titled “Factor 1 – Experience” for submitting your response to Factor 1.

Offeror shall demonstrate Experience by submitting examples of completed or substantially completed eighty percent (80%) and hospital remodel and/or HVAC remodel, and/or any combination thereof. Relevant experience shall include projects valued at $5M or greater, shall be similar in scope and complexity as the proposed Remodel ED Observation Bed project and shall be recent (completed within the last eight (8) years). Offerors that have multiple recent and relevant prime contractor experience projects may be rated more favorably. Construction projects that are still in progress will not be considered as demonstrations of experience.

Relevant experience must be demonstrated as a Prime Contractor and not as a subcontractor.

If the Offeror is a Joint Venture (JV) or a participant of Small Business Administration (SBA) Mentor-Protégé Program, recent relevant project experience should be submitted for projects completed by the Joint Venture entity or SBA Mentor-Protégé. If the JV or SBA Mentor-Protégé does not have shared experience, recent relevant projects should be submitted for each JV partner or for the Mentor and Protégé. Offerors who fail to submit experience for all JV partners or Mentor and Protégé may be rated lower. Offerors are still limited to a total of five (5) projects combined.

This factor will be evaluated to assess capability in performing recent and relevant projects.

The information requested above is required for the Government to evaluate proposals for the Experience evaluation factor. General statements claiming experience providing a hospital remodel and/or a HVAC remodel construction experience or similar relevant experience, as stated above, that do not include specific references to prior contract work, or that do not include the information required above, are not acceptable. FAILURE TO SUBMIT THE INFORMATION REQUIRED ABOVE TO SUPPORT THE OFFEROR’S CLAIMED EXPERIENCE MAY BE VIEWED BY THE GOVERNMENT AS EVIDENCE THAT THE OFFEROR LACKS EXPERIENCE IN PROVIDING HYBRID OPERATING ROOM AND/OR SIMILAR ENDOVASCULAR SUITE CONSTRUCTION EXPERIENCE, WHEN EVALUATING PROPOSALS FOR THIS FACTOR.

Factor 2: Project Team

For each of the following Team Members, Offerors shall provide each the resume for each Team Member proposed for submission of your response to Factor 2.

Sample Team Members include Superintendent, Project Manager, Safety Manager, and Quality Control Manager.

Resumes requested above are required for the Government to evaluate proposals for the Project Team evaluation factor. FAILURE TO SUBMIT RESUMES AS REQUIRED ABOVE TO SUPPORT THE OFFEROR’S CLAIMED PROJECT TEAM QUALIFICATIONS MAY BE VIEWED BY THE GOVERNMENT AS EVIDENCE THAT THE OFFEROR LACKS A PROJECT TEAM TO PROVIDE HOSPITAL REMODEL AND HVAC REMODEL CONSTRUCTION EXPERIENCE WHEN EVALUATING PROPOSALS FOR THIS FACTOR.

Factor 3: SDVOSB/VOSB STATUS

SDVOSB/VOSB Status. This factor will be used to assess the Offeror’s status as a Service-Disabled Veteran-Owned Small Business (SDVOSB) or Veteran-Owned Small Business (VOSB) concern, or the Offeror’s proposed use of eligible SDVOSB/VOSB concerns as subcontractors.

i. To receive full credit as an SDVOSB/VOSB concern, Offerors must:

a. Provide a statement claiming credit as an SDVOSB/VOSB concern, as appropriate;

b. Provide a statement certifying that the Offeror meets the size standard to be classified as a “small business” for the NAICS code assigned to this procurement;

c. Provide the Offeror’s full legal name as that name appears in the Offeror’s registration in the U.S. Department of Veterans Affairs Vendor Information Pages (VIP) database (available at https://www.vetbiz.va.gov) and SAM UEI; and

d. Be registered and listed as “Verified” as an SDVOSB/VOSB concern in the VIP database (available at https://www.vetbiz.va.gov) on the date proposals are due.

ii. To receive partial credit for proposed use of eligible SDVOSB/VOSB subcontractor(s), the proposed subcontractor(s) must be registered and listed as “Verified” in the VIP database (available at https://www.vetbiz.va.gov) on the date proposals are due and must meet the size standard to be classified as a “small business” for the NAICS code assigned to this procurement. To receive credit for proposed use of eligible SDVOSB/VOSB subcontractor(s), Offerors must submit the following information with their proposals:

a. The Offeror must provide a statement claiming credit for use of an eligible SDVOSB/VOSB subcontractor for which Offeror seeks to claim such credit;

b. The Offeror must provide the following information regarding its proposed SDVOSB/VOSB subcontractor(s):

1. The subcontractor’s full legal name as that name appears in the subcontractor’s registration in the VA VIP database (available at https://www.vetbiz.va.gov) and SAM UEI;

2. A statement certifying that the proposed subcontractor(s) meets the size standard to be classified as a “small business” for the NAICS code assigned to this procurement;

3. A narrative that describes the specific tasks each SDVOSB/VOSB subcontractor will perform in support of this requirement where credit for use of SDVOSB/VOSB subcontractors is claimed;

4. A statement of the estimated dollar value of the subcontract that will be awarded to each SDVOSB/VOSB subcontractor where credit for the use of SDVOSB/VOSB subcontractors is claimed;

This evaluation factor will be evaluated for Full Credit / Partial Credit / No Credit.

The information requested above is required for the Government to evaluate proposals for the SDVOSB/VOSB Status evaluation factor. General statements claiming that an Offeror will use eligible SDVOSB/VOSB subcontractors to perform work under this procurement or that do not include the information required above are not acceptable. FAILURE TO SUBMIT THE INFORMATION REQUIRED ABOVE, INCLUDING THE SMALL BUSINESS CERTIFICATIONS, MAY BE VIEWED BY THE GOVERNMENT AS EVIDENCE THAT THE OFFEROR SHOULD RECEIVE NO CREDIT WHEN EVALUATING PROPOSALS FOR THIS FACTOR.

Factor 4: PRICE

Offers submitted to the Government are considered confidential.

Offeror shall submit a complete and reasonable price. Offerors shall use the “Divisional Cost Break-Out Sheet” (which follows the Table of Contents) to submit price breakdown by division.

In addition, Offeror shall insert the total proposed project price in block 17 of SF 1442, solicitation.

Failure to submit a completed Divisional Cost-Break-Out Sheet and insert the total proposed project price in block 17 of the SF 1442 may result in a proposal being eliminated for award without further consideration or evaluation.

This factor will be evaluated by determining if price submitted is fair and reasonable.
