Bidder must comply with all Federal, State and local laws, ordinances, rules and regulations affecting the performance of the work. Bidder must carefully correlate observations and determinations regarding the work to be performed with all of the requirements of the Contract Documents.

Before preparing and submitting a bid, each Bidder will, at Bidder’s own expense, make such surveys, investigations, and evaluations as Bidder may deem necessary to determine Bidder’s bid prices for performance of the work within the terms of the Contract Documents.

By the submission of a bid for the project work, the Bidder makes an incontrovertible representation that Bidder has complied fully with the requirements set forth in the above Submittal Process instructions.

Only bids submitted by firms which are considered by the City to be qualified to successfully undertake and complete the project in a timely manner will be considered responsive.

A Mandatory Pre-Bid Meeting will be held to afford Bidders the opportunity to discuss the project and work with the City and Engineer. Site Visit(s) shall be scheduled accordingly. Prospective bidders must attend the Mandatory Pre-Bid meeting, held virtually, in order to participate as a bidder for the project.

All proposals submitted on the provided forms must give the price in clear figures for each item of the proposed work and be signed by the bidder with the company representative and address. Bidders must not change any item in the proposal. Any changes made to the Bid Form(s) will cause rejection of the proposal.

The submission of the Proposal shall indicate that the bidder thoroughly understands the drawings and the terms of the Specifications. Bidders are required to fill out the total price column and total their proposals so that the result of the bidding, barring possible arithmetical errors, will be known at once.

Where the unit price and the total price are at variance, the unit price will prevail.

Changes in the phraseology of the proposal, additions, or limiting provisions will render the proposal nonresponsive or void and may cause its rejection. Neither the City nor Engineer assume any responsibility for errors or misinterpretation resulting from the use of incomplete sets of the Bidding

Failure by the Bidder to execute the Contract and submit such other Documents as required by the

Contract Documents and file acceptable insurance and bonds within the time aforesaid shall be just cause for annulment of the Award. Award may then be made to the next lowest responsible Bidder or the Work may be re-advertised and constructed under Contract or otherwise, as the City may decide.

The form of the Agreement is included with the Bid package as Exhibit A. Changes may be made to the

Contract form at the sole discretion of the City and the Bidder should not rely on an expectation of changes in the Contract form.

All applicable laws, ordinances, and the rules and regulations of all authorities having jurisdiction over construction of the project shall apply to the project throughout.

Backfilling to the surface will be required as soon as practicable. Backfilled excavations shall be maintained to grade and satisfactory conditions in accordance with the judgment of the Owner.

The Contractor shall correct all settlements, holes, depressions, soft trench, etc. at the instruction of the City at no extra cost to the City.

5.3 To clean up frequently all refuse, rubbish, scrap materials, and debris caused by his operations, to the end that at all times the site of the work shall present a neat, orderly and workmanlike appearance;

On weekdays, the workday shall consist of eight (8) hours maximum, between the hours of 7:00 A.M. and 5:00

P.M.

6.2 Should the Contractor deem it necessary to work on Saturdays, Sundays, Holidays, or longer than eight hours per day in order to comply with his construction schedule or because of an emergency; the Contractor shall request permission of the City to do so. If, in the opinion of the

City the need is bona fide, he will authorize the Contractor to work such hours as may be necessary. The City’s noise ordinance should be strictly followed if working hours should extend beyond the normal workday. Operating or causing to be operated any equipment used in commercial construction, repair, alteration or demolition work on buildings, structures, streets, alleys, lanes or appurtenances thereto between the hours of 10:00 p.m. and 7:00 a.m. the following day in such a manner as to cause a noise disturbance shall be unlawful except as permitted or sanctioned by the Mayor and City Council of Havre de Grace.

SC-7

Time for Completion and Liquidated Damages It is hereby understood and mutually agreed, by and between the Contractor and City, that the date of beginning and the time for completion as specified in the Project to be done hereunder as essential conditions of the Agreement; and it is further mutually understood and agreed that the project to be performed under this agreement shall be commenced on a date to be specified in the Notice to

Proceed.

The Contractor agrees that said work shall be prosecuted regularly, diligently, and uninterruptedly at such rate of progress as will ensure full completion thereof within the time specified. It is expressly understood and agreed, by and between the Contractor and the Owner, that the time for the completion of the Project described herein is a reasonable time for the completion of the same, taking into consideration the average climatic range and usual industrial conditions prevailing in this locality.

If the said Contractor shall neglect, fail or refuse to complete the Project within the time herein specified, or any proper extension thereof granted by the City, then the Contractor does hereby agree, as a part of consideration for the awarding of this contract, to pay to the Owner the amount specified in the Agreement, not as a penalty but as liquidated damages for such breach of contract as hereinafter set forth, for each and every calendar day that the Contractor shall be in default after the time stipulated in the agreement for completing the work.

The said amount is fixed and agreed upon by and between the Contractor and the City because of the impracticability and extreme difficulty of fixing and ascertaining the actual damages the City would in such event sustain, and said amount is agreed to be the amount of damaged which the City would sustain and said amount shall be retained from time to time by the City from current periodical estimated.

It is further Agreed that time is of the essence of each and every portion of this Agreement and of the specification wherein a definite and certain length of time is fixed for the performance of any act whatsoever; and where under the contract an additional time is allowed for the completion of any work, the new time limit fixed by such extension shall be of the essence of this agreement. Provided that the

Contractor shall not be charged with liquidated damages or any excess cost when the City determines that the Contractor is without fault and the Contractor’s reasons for the time extension are acceptable to the Owner. Provided further that the Contractor shall not be charged with liquidated damages or any excess cost when the delay in completion of the work is due:

a. To any preference, priority or allocation order duly issued by the Government.

b. To unforeseeable cause beyond the control and without the fault or negligence of the

Contractor, including by not restricted to, acts of God, or of the public enemy, acts of the Owner, acts of another contractor in the performance of a contract with the City, fired, floods, epidemics, quarantine restrictions, strikes, freight embargoes, and severe weather; and
