About this file

This document is a Notice of Intent to Purchase from the Commonwealth of Massachusetts Division of Banks (DOB), involving Thomson Reuters. The DOB is seeking to procure a proprietary investigation systems database software called Clear, which will be used by the DOB and Executive Office of Economic Development (EOED) to investigate public records, retrieve information about businesses, entities, individuals, court filings, and enforcement actions. The software will be purchased as an annual, one-time purchase for $6,225.84, with a response deadline of 5:00 PM Eastern Time on August 18th, 2025. A prior Request for Quotation (RFQ) under statewide contract ITS75 did not yield any bids due to the product's exclusive availability directly from Thomson Reuters.

The procurement process is being conducted through a due diligence posting to ensure an open, fair, and competitive process. Interested vendors must submit documentation demonstrating they can provide an equivalent proprietary product meeting DOB's requirements for a testing-based software program connected to a physical scanner. All quote submissions must be made electronically through COMMBUYS, the state's procurement platform, with vendors required to register on the website. The agency will review any responses received by the deadline and will either withdraw the notice or accept the offer from Thomson Reuters based on the submissions.

COMMONWEALTH OF MASSACHUSETTS DIVISION OF BANKS

Due Diligence Posting of Notice of Intent to Purchase a Proprietary Product

The Division of Banks (“DOB”) of the Commonwealth of Massachusetts announces its intent to Purchase a Proprietary Product or Service pursuant to the Commonwealth’s Due Diligence Posting policy, to accept the following from Thomson Reuters TM (“Offeror”), pending the results of this Notice of Intent (“Notice”):

Description

The Division of Banks (DOB) is seeking the following solution:

The software/system that the DOB is seeking to procure is used to investigate public records and is used primarily to get more information about licenses and/or unlicensed entities that can be helpful in investigations conducted by DOB’s Enforcement and Investigations Unit. The system will provide information including, but not limited to, businesses/entities an individual is affiliated with, current and past employers, location/addresses, court filings/proceedings, as well as other enforcement actions.

The Thomson Reuters Clear software platform is the only product solution that fits the needs of the DOB and EOED (Executive Office of Economic Development). The software platform would be an annual, recurring one-time purchase of $6,225.84. This amount is significantly lower than the $10,000 threshold for incidental purchases. A prior RFQ (COMMBUYS bid number BD-26-1024-1024C-1024L-118608) was conducted under statewide contract ITS75 that did not yield a single bid response due to Thomson Reuters’ software platform only being available directly with Thomson Reuters.

The agency is posting this Notice rather than conducting a full procurement because of the proprietary status of Thomson Reuters products and services and is utilizing this Due Diligence Posting to ensure that the process is open, fair and competitive.

Determination of Other Interested Vendors

The intent of this posting is to determine if there are any other interested and qualified vendors. Any such vendors must

· Submit documentation that they can also provide the same proprietary product and service that meets or exceeds the DOB’s requirements for a testing-based software program that is connected to a physical scanner.

Response Requirement and Deadline

All Interested Vendors and Offerors interested in responding to this Notice, regardless of prior communications with the agency, must submit a Response to this posting containing evidence of their qualification and interest. All required information must be submitted by 5:00PM (prevailing Eastern Time) on Monday, August 18th, 2025, as follows:

If, after the posting deadline has passed, interest is generated by this Notice, the agency will review all Responses and will determine whether they will (i) withdraw the notice and not accept the Offeror’s offer (and cancel the Notice of Intent) or (ii) accept the offer from the Offeror.
