HORSE BROKER FOR CURLIN

ASSET FORFEITURE DIVISION

PURCHASE ORDER: DJM-15-A44-P-0047

1. Bidder Information form - The form mentions registration deposit--please explain how that comes into play with this process. The U.S. Marshals Service will pay me the fee by wire?

Payment will be made by wire. The USMS does not make any payments by check.

2. Attachment # 6 (Pricing Schedule) Is this where I submit the Sales Commission rate and complete the hypothetical Total Commission in the event the sale of the horse is

$2,000,000, since the highest offer could be less or more?

Yes, enter in the sales commission rate with the estimated value of the horse. The commission rate will not change based on the final sales amount.

3. Confidentiality Agreement - This agreement refers to the Purchase, Sale and Co-

Ownership Agreement in paragraph 2b. Since that referenced agreement allows for

Stonestreet Thoroughbred Holdings, LLC, etc., to have a right to match any offer, have you considered that the right to match will likely deter third parties from making offers which would reasonably reflect the value of the interest to be sold? In that event does the

U.S. Marshals Service still plan on following through with a sale regardless of the amount of the highest offer made by a third party?

If a third party makes an offer and Stonestreet Thoroughbred Holdings, LLC is not willing to match that offer, then the third party will in fact be the winning bidder, therefore it is in the best interest of any third party to make a solid and best offer for the

20% interest in Curlin. We always reserve the right to not sell if the offers are too low.

4. Solicitation Contract/Order for Commercial Items - It appears that I am supposed to complete numbers 17a and 30a,b,c. If more needs completion, please advise.

Yes that is correct, fill in Blocks 17a and 30a-c. Fill out FAR 52.212-3, which is attached.

5. What is the recommended method of marketing the interest for the U. S. Marshals? Do you require advertising, public notices, a private auction, sealed bid, etc.? Will the U.S.

Marshals Service reimburse for out of pocket expenses in marketing, legal work, etc.?

As per the Statement of Work “The Contractor must present, for COR approval, a marketing plan for the sale of the Assets that maximizes public exposure and specifically identifies all sources of advertising, which can include but is not limited to the internet, newspapers, trade publications and journals, press releases, and other targeted media and/or proprietary sources of prospects (i.e. direct solicitations). At a minimum, the

Contractor must advertise the sale on a vendor operated website of which a link will be provided to COR for posting on the USMS website; but the Contractor is expected to take proactive measures (e.g. phone calls, meetings with interested parties, etc) to solicit offers for the purchase of the Assets.”
