About this file
This is a Single Source Justification document for the U.S. Department of State's Overseas U.S. Consulate General in Matamoros, seeking to award a sole-source contract to Distribuciones Quimicas de Matamoros S.A. de C.V. for janitorial services. The contract will cover custodial services for two months (December 2025 and January 2026) at a rate of $22,736.25 per month, while the consulate pursues a permanent 5-year contract.
The justification cites urgency as the primary reason for sole-source procurement, noting that the vendor has previously provided services from 2019 to 2024 and is familiar with the facility. Procurement challenges, including the firing of local procurement staff and an unprocessed Request for Quote (RFQ), have complicated the acquisition of a new long-term contract. The document emphasizes the need to maintain continuity of services without interruption and highlights the vendor's reliable past performance as a key rationale for the temporary contract extension.

CITED
Distribuciones Quimicas de Matamoros S.A de C.V. has provided these services while under contract between 2019 and 2024. We would like to temporarily continue their services for months of December 2025 to January 2026 while we advance our efforts to complete official procedures to secure permanent 5-year contract. In the meantime, Distribuciones Quimicas de Matamoros S.A.de C.V. had provided reliable services in the past, and their staff is best skilled in continuing these services while we pursue a permanent solution.
The service can’t not stop and selecting a new vendor now would require the RSO to process screening for a new set of staff and this delay alone would interrupt services
SECTION 6. DETERMINATION BY THE CONTRACTING OFFICER THAT THE ANTICIPATED COST
TO THE GOVERNMENT IS FAIR AND REASONABLE
Upon the expiration of the contract with Distribuciones Quimicas de Matamoros Sa de CV (September 2024) our local procurement team submitted a 6-month extension with the vendor. We have already submitted a request for a new 5-year contract term. Unfortunately, the local procurement team left the RFQ unprocessed for months. In the meantime, procurement instructed us to submit extensions (of the original PR contract PR8536812-V13 MTM-FAC-ICASS-Custodial Service-NCC) for subsequent months after the 6-month extension expired in March 2025.
Between February and April 2024, both local procurement staff were fired. We currently have no procurement agent, other than the local assistant GSO. Consequently, in April 2025, we resubmitted a new RFQ (Matamoros Janitorial Pre-solicitation 2025 19MX5025Q0003) and July 10, 2025, we received a conditional approval for pre-solicitation from OGA, with recommendations to correct our RFQ submission.
While we are making these corrections to our RFQ submission, we urgently need to continue with the service of the vendor.
SECTION 7. CERTIFICATIONS
The contracting officer has determined the anticipated $22736.25 per month to the government supplies/ services covered by this J&A will be fair and reasonable based on it is reasonable cost whit the vendor that saves us money if we had to hire the same number of people internally. This cost was already approved and agreed upon in the previous contract with the vendor.
By signing the justification, the Contracting Officer makes a determination that the price to the Government is anticipated to be fair and reasonable.
All reviews and approvals should be completed in the order listed unless otherwise authorized or required.
