LIQUIDATED DAMAGES
Timely completion of the Beneficial Occupancy Milestones is critical to maintaining continuous airport operations, aircraft gate capacity, airline operations, passenger service, concession operations, airport revenues, and Project implementation.
The parties further acknowledge that the actual damages resulting from the Design/Builder’s failure to timely achieve the Beneficial Occupancy Milestones are impracticable and extremely difficult to determine with precision. Accordingly, the parties agree that the following amounts represent a reasonable estimate of the damages that the Owner will incur and shall be assessed as Liquidated Damages and not as a penalty.
Beneficial Occupancy
Beneficial Occupancy shall include, as applicable, completion, testing, commissioning, inspection, regulatory approvals, and Owner acceptance of all facilities, systems, infrastructure, equipment, documentation, and operational support necessary to place the applicable phase into operational and revenue service, including, but not limited to:
• Aircraft gates, aircraft parking positions, apron improvements, taxilanes, aircraft servicing systems, fueling systems, passenger boarding bridges, gate equipment, and associated airside infrastructure;
• Passenger hold rooms, concourses, circulation areas, vertical circulation, passenger processing areas, public spaces, concessions, tenant spaces, airline operational support facilities, public amenities, restrooms, and all occupiable areas designated for use during the applicable phase;
• Baggage handling systems and associated equipment;
• Mechanical, electrical, plumbing, fire protection, life safety, communications, information technology, security, access control, building automation, utilities, lighting, signage, roadway improvements, pedestrian facilities, landscaping, and all supporting infrastructure;
• Completion of all inspections, certifications, regulatory approvals, operational testing, commissioning, staff training, turnover documentation, and all other requirements necessary for the Owner to safely occupy, use, and operate the applicable phase; and
• Any additional Work required by the Contract Documents to support continuous airport operations and place the applicable phase into operational and revenue service.
Physical completion of construction alone shall not constitute Beneficial Occupancy.
Beneficial Occupancy shall be achieved only upon the Owner's written determination that the applicable phase satisfies the requirements of the Contract Documents and may be safely occupied, used, and operated for its intended purpose.
Milestone 1 – Early Works
Milestone 1 consists of the completion of the Early Works identified in the Contract Documents, including the Project Phasing Plans. Milestone 1 is established solely as a contractual prerequisite to the commencement of Milestone 2 – Phase 1 Beneficial Occupancy Work.
The Design-Builder shall complete Milestone 1 and obtain the Owner's written determination that the Early Works have been completed in accordance with the Contract Documents before commencing any Work associated with Milestone 2.
Milestone 1 is not a Beneficial Occupancy Milestone and is not subject to Liquidated Damages.
However, the Design-Builder shall not commence Work associated with Milestone 2 until Milestone 1 has been completed and accepted by the Owner.
Failure to timely complete Milestone 1 shall not relieve the Design-Builder of its obligation to achieve Milestones 2 through 5 within the Contract Time. Any delay in completing Milestone 1 that results in the late achievement of Milestones 2 through 5 shall be subject to the applicable Liquidated Damages provisions for those milestones
Milestone 2 – Phase 1 Beneficial Occupancy
The Design/Builder shall achieve Beneficial Occupancy of Phase 1 and place the Phase 1 facilities into service no later than 1,050 calendar days following the Notice to Proceed (NTP).
