About this file

This Request for Qualifications (RFQu2610CPDEQ) is issued by the Idaho Department of Environmental Quality to solicit Statements of Qualifications from multiple firms to provide technical assistance in administering IDAPA 58.01.13, the Rules for Ore Processing by Cyanidation. The solicitation seeks qualified contractors to review cyanidation permit application materials and permitting documents for compliance with rule requirements and industry best practices. Services include preliminary design and preapplication review, application review, permitting assistance, and compliance support for cyanidation facilities. The Idaho DEQ expects to award multiple contracts resulting from this solicitation on a task order basis. Qualifications Statements must be submitted electronically via the IPRO Supplier Portal by December 11, 2026, at 5:00 p.m. Mountain Time. A non-mandatory pre-proposal conference will be held on November 13, 2026, from 9:00 a.m. to 11:00 a.m. Mountain Time via Microsoft Teams; interested vendors must register by November 4, 2026. Written questions must be submitted by November 19, 2026, at 11:59 p.m. Mountain Time. The RFQu Opening Date is scheduled for December 14, 2026, at 10:00 a.m. Mountain Time. The contract term is five years, with multiple contracts anticipated to support overlapping permitting activities related to gold and silver mining operations in Idaho, including Phase III modifications to the Stibnite Gold Project and two additional mining operations expected to enter permitting in 2027.

Qualifications Statements will be evaluated based on firm history and capability to perform the project, relevant project experience, qualifications of the project team, familiarity with the area and project, and project approach and schedule. RFQu2610CPDEQ Cyanidation Permitting Assistance for DEQ

October 28, 2026 2

2 OVERVIEW

2.1 Purpose

The Idaho Department of Environmental Quality (DEQ), is seeking qualified Contractors to provide technical assistance to the DEQ to support administration of IDAPA 58.01.13, “Rules for Ore Processing by Cyanidation.” Services include review of cyanidation application materials and permitting documents for compliance with rule requirements and industry best practices.

2.2 Background Information

After a decades long hiatus, active gold and silver mining is returning to Idaho. To extract these metals from ore, operators use a cyanide solution. Under Idaho Code § 39-118A and DEQ’s “Rules for Ore Processing by Cyanidation” (IDAPA 58.01.13), ore processing facilities that use cyanide as a primary leaching agent are required to obtain a permit to construct, operate, and close such cyanidation facilities. DEQ reviews and approves plans and specifications for all new facilities and modifications to existing facilities to ensure that cyanide-containing materials, including spent ore, tailings, and process water generated in cyanidation are safely contained, controlled, and treated so that they do not impair beneficial use or degrade Idaho’s waters.

Additional information can be found on DEQ’s Waste Management Permits and Applications webpage, under “Cyanidation” (Waste Management Permits and Applications - Idaho Department of Environmental Quality).

In 2025 and 2026, DEQ issued cyanidation permits for Phase I and Phase II of the Stibnite Gold Project. A Phase III major modification is required to fully permit this facility for operation.

Additionally, DEQ is in the preapplication phase for two other mining operations, with permitting expected for 2027. Permitting support will continue through construction and operational startup of these facilities. Mineral resource exploration continues throughout the state with a high likelihood of additional cyanidation mining operations.

Currently, cyanidation permits are issued on an 180-day regulatory timeline. Therefore, DEQ wishes to secure qualified firms which will provide quick and timely support to potentially overlapping permitting activities and otherwise provide expertise which may not be readily available within DEQ’s current resources.

2.3 Pre-Proposal Conference

A pre-proposal conference will be held at the location and time as indicated in Section 1, page 1 of this RFQu. This will be your opportunity to ask questions in person, with DEQ staff. All parties interested are invited to attend the on-line conference. All parties who will be participating must pre-register to receive video conferencing and meeting details by submitting the completed Pre-Proposal Conference Registration Form (Attachment 3) via https://adminrules.idaho.gov/rules/current/58/580113.pdf https://www.deq.idaho.gov/permits/waste-management-permits-and-applications/ https://www.deq.idaho.gov/permits/waste-management-permits-and-applications/

6 SCOPE OF WORK

6.1 Cyanidation Permitting

Cyanidation is a method of extracting metals from ore using a cyanide solution. DEQ reviews and approves plans and specifications for all new facilities and modifications to existing facilities to ensure that cyanide-containing materials, including spent ore, tailings, and process water generated in cyanidation, and cyanidation pollutants are safely contained, controlled, and treated so that they do not impair beneficial use or degrade Idaho waters as required by the cyanidation statute and rules.

Contractors will provide support to DEQ for this specialized service by providing review of cyanidation permit application materials, permit fact sheets, draft permits, and final permits including public comment and response. Contactors will advise DEQ on compliance with applicable rules and conformance with industry best management and engineering practices for siting, construction, operation, closure and post closure care of cyanidation facilities.

Reviews could include, but are not limited to, preliminary design reports, permit applications, engineering plans and specifications, geotechnical data, water balance calculations, water management plans, operation and maintenance plans, emergency and spill response plans, quality assurance/quality control plans, permanent closure plans, public comment submittals, and other applicable documents. Participation in meetings, such as pre-application conferences, and public meetings may also be requested.

In addition to permitting, contractors may also provide support for permit compliance, including report reviews, site inspections, or review of mitigation actions. Contractors may also assist with cyanidation program development, including drafting or reviewing guidance documents or rule language under negotiated rulemaking.

Qualified contractors will demonstrate applicable skills and experience specifically related to cyanidation facility design, construction, operation, closure, and post closure care, including registration as an Idaho-licensed professional engineer. Qualified contractors should also demonstrate knowledge or experience with cyanidation facility regulation or permitting, such as DEQ’s cyanidation permitting program or similar programs such as Nevada’s Bureau of Mining Regulation and Reclamation.

CONTRACT.

2.1.1 CONTRACTOR certifies that they are an Independent Contractor, and as an

Independent Contractor will file all required forms and make the necessary payments appropriate to their Independent Contractor tax status.

2.1.2 CONTRACTOR acknowledges that their status as an Independent Contractor complies with 26 § CFR 31.3121(d)-1.

2.2 The DEPARTMENT is interested only in the quality of services provided and the final results to be achieved; the conduct and control of the worker will lie solely with the

CONTRACTOR.

2.3 The CONTRACTOR is not to be considered an agent or employee of the DEPARTMENT for any purpose, and neither the CONTRACTOR nor their employees are entitled to any benefits of employment provided by the DEPARTMENT to its employees.

2.4 It is understood that the DEPARTMENT does not agree to use CONTRACTOR exclusively, and that CONTRACTOR is free to contract to perform similar services for other parties while under contract to the Department, so long as there is no interference with the performance of this CONTRACT.

October 28, 2026 18

3. TERMINATION FOR CONVENIENCE

3.1 The DEPARTMENT or CONTRACTOR may cancel this CONTRACT at any time with or without cause upon thirty (30) days' written notice to the other party and specifying the date of termination.

3.2 Cancellation of the CONTRACT by either party shall terminate the obligations or liabilities of the parties, except that the obligations or liabilities incurred prior to the termination date must be honored.

3.3 After receipt of a notice of termination for convenience, and except as directed by the DEPARTMENT, the CONTRACTOR must immediately proceed with the following obligations, as applicable, regardless of any delay in determining or adjusting any amounts due under this clause. The CONTRACTOR must:

3.3.1 Stop work;

3.3.2 Place no further Subcontracts for materials, services, or facilities, except as necessary to complete the continuing portion of the CONTRACT;

3.3.3 Terminate all Subcontracts to the extent they relate to the work terminated;

and,

3.3.4 Settle all outstanding liabilities and termination settlement proposals arising from the termination of Subcontracts.

3.4 Unless otherwise set forth in the Solicitation, if the CONTRACTOR and the

DEPARTMENT fail to agree on the amount to be paid because of the termination for convenience, the DEPARTMENT will pay the CONTRACTOR the following amounts;

provided that in no event will total payments exceed the amount payable to the CONTRACTOR if the CONTRACT had been fully performed:

3.4.1 The CONTRACT price for deliverables or services accepted by the DEPARTMENT and not previously paid for, adjusted for any savings on freight and other charges; and,

3.4.2 The total of:

3.4.2.1 The reasonable costs incurred in the performance of the work terminated, including initial costs and preparatory expenses allocable thereto, but excluding any cost attributable to deliverables or services paid or to be paid;

October 28, 2026 19

4. TERMINATION FOR DEFAULT

4.1 CONTRACTOR default occurs if the CONTRACTOR fails to perform any of the covenants or conditions of this CONTRACT, and when the CONTRACTOR has been provided written notice of default or non-compliance and has failed to cure the default or non-compliance within ten (10) business days. If the default or non-compliance is not capable of cure or if the cure requires more than thirty (30) calendar days, the DEPARTMENT may provide notice of termination without a cure period. The DEPARTMENT shall not be required to provide advance written notice or a cure period and may immediately terminate this CONTRACT in whole or in part if the DEPARTMENT, in its sole discretion, determines that it is reasonably necessary to preserve public safety or prevent immediate public crisis. Time allowed for cure shall not diminish or eliminate CONTRACTOR's liability for damages, including liquidated damages to the extent provided for under this CONTRACT.

4.2 Upon default, the DEPARTMENT may cancel this CONTRACT without any notice and may pursue any and all legal, equitable, and other remedies available to the

DEPARTMENT.

4.3 If termination for default is effected by the DEPARTMENT, an equitable adjustment in the price provided in this CONTRACT shall be made, but:

4.3.1 The DEPARTMENT shall withhold any uncommitted funds for work not performed;

4.3.2 No amount shall be allowed for anticipated profit on unperformed services or other work; and,

4.3.3 Any payment due the CONTRACTOR at the time of termination may be adjusted to cover any additional costs to the DEPARTMENT because of the CONTRACTOR'S default.

4.4 If termination for default is effected by the CONTRACTOR, or if termination for convenience is effected by the DEPARTMENT, the equitable adjustment must include a reasonable profit for services or other work performed. The equitable adjustment for any termination must provide for payment to the CONTRACTOR for services rendered and expenses incurred prior to the termination, in addition to termination settlement costs reasonably incurred by the CONTRACTOR relating to commitments which had become firm prior to the termination.

4.5 Upon receipt of a termination action under paragraphs 4.1 or 4.2 above, the CONTRACTOR must:

4.5.1 Promptly discontinue all affected work (unless the notice directs otherwise);

and,

4.5.2 Deliver or otherwise make available to the DEPARTMENT all data, drawings, specification, reports, estimates, summaries and such other information and materials as may have been accumulated by the CONTRACTOR in performing work under this CONTRACT, whether completed or in process.

4.6 Upon termination under paragraphs 4.5.1. or 4.5.2. above, the DEPARTMENT may take over the work and may award another party a contract to complete the work under this CONTRACT.

October 28, 2026 20

4.7 If, after termination for default of the CONTRACTOR to fulfill contractual obligations, it is determined that the CONTRACTOR had not failed to fulfill contractual obligations, the termination must be deemed to have been for the convenience of the DEPARTMENT. In such event, adjustment of the CONTRACT compensation shall be made as provided above in paragraph 4.4.

5. ADDITIONAL PROVISIONS

CONTRACT.

If the CONTRACT is terminated for convenience, for cause, or by bankruptcy all records and documents related to the CONTRACT in the CONTRACTOR's possession shall at the election of the DEPARTMENT, be immediately delivered to the DEPARTMENT designee.

8.1.2 The CONTRACTOR must have access to all such books, records, documents and other evidence for purposes of inspection, audit and copying during normal business hours.
