About this file
This is a FAR Part 6 Justification Review Document for a sole-source contract award for Full Food Services at three Army installations in California: Presidio of Monterey, Fort Hunter Liggett, and Camp Parks. The requirement activity is the 404th Army Field Support Brigade, and the contracting activity is the U.S. Army Mission and Installation Contracting Command at Fort McCoy, Wisconsin. The contractor is the California Department of Rehabilitation (State Licensing Agency), CAGE 5EWC2, located in Sacramento, California. The estimated contract value is $24 million on a firm-fixed-price indefinite delivery/indefinite quantity basis, with a base ordering period from February 28, 2026 to February 27, 2027 valued at $16 million and an option period through August 27, 2027 valued at $8 million, utilizing Fiscal Year 2026 Operation and Maintenance, Army funds with anticipated award by the end of February 2026.
The contractor shall provide all supervision, labor, personnel, equipment, materials, and supplies necessary to operate Army dining facilities, including receiving, storing, preparing, requisitioning, and food serving. The justification cites 10 U.S.C. 3204(a)(1) and FAR 6.103-1 (only one responsible source) as authority for the sole-source award. The Government conducted market research from February 6-12, 2026, receiving nine responses; seven vendors were deemed somewhat capable, but the California Department of Rehabilitation was identified as the only capable vendor based on corporate experience, past performance, and ability to provide continuous services without interruption. This interim contract serves as a bridge until the Army's Dining Excellence Initiative (DINEX) implementation at Presidio of Monterey, scheduled for August 2027, with a follow-on competitive solicitation anticipated in Summer 2026 for Fort Hunter Liggett and Camp Parks. The contract is synopsized and requires a Subcontracting Plan per FAR 52.219-9 since the contract value exceeds $900,000. The justification was approved by Scott D. Kukes, Alternate Advocate for Competition.

FAR Part 6 Justification and Approval for Other than Full and Open Competition
1. Requirement Activity: 404th Army Field Support Brigade, JBLM, WA
2. Contracting Activity: U.S. Army Mission and Installation Contracting Command Fort McCoy, 1108 South R Street, Fort McCoy, WI 54656
3. Description of Action: Request approval of a new firm-fixed-price indefinite delivery/indefinite quantity (IDIQ) contract to fulfill a mission critical need for Full Food Service at Presidio of Monterey (POM), Fort Hunter Liggett (FHL), and Camp Parks (CP), California, with the State Licensing Agency (SLA) California Department of Rehabilitation, CAGE: 5EWC2, 721 Capitol Mall, 6th floor, Sacramento, CA 95814-4702.
The Government projects award no later than the end of February 2026. Task orders issued against the IDIQ will use Fiscal Year 2026 Operation and Maintenance, Army (OMA) funds.
4. Description of Supplies/Services: The Contractor shall provide all supervision, labor, personnel, equipment, materials and supplies, except for Government Furnished Property (GFP), to perform operational services of Army dining facilities (DFACs) at POM/FHL/CP to include receiving, storing, preparing, requisitioning and food serving.
Ordering Period:
Base: 28 FEB 2026 to 27 FEB 2027 Value: $16M FAR Clause 52.217-8: 28 FEB 2027 to 27 AUG 2027 Value: $ 8M
Total Value: $24M
5. Authority Cited: 10 U.S.C. 3204(a)(1) as implemented by FAR 6.103-1 Only one responsible source and no other supplies or services will satisfy agency requirements.
6. Reason for Authority Cited: As described at FAR 6.103-1 One responsible source.
Agencies may contract without providing for full and open competition when the supplies or services required by the agency are available from only one responsible source and no other type of supplies or services will satisfy agency requirements. For DoD, NASA, and the Coast Guard, this authority extends to situations where only a limited number of responsible sources can satisfy agency requirements.
a. Background. The original intent was to award a follow-on contract for the full food services at POM/CP/FL for a five-year period prior to the end of February 2026.
However, action on the follow-on award has been delayed by the Armys development of the Dining Excellence Initiative (DINEX) to support Transformation and Training Command (T2COM) Garrisons that includes Presidio of Monterey. On 21 November 2025, MICC-Fort McCoy was informed by the MICC-Installation Readiness Center contracting office that they would not have the follow-on FFS contract awarded prior to the expiration of the current task orders on 27 February 2026.
The Army is launching DINEX with the goal of seeking innovative, flexible solutions that deliver superior outcomes compared to the existing food service model. DINEX strategically aligns with the Department of War's (DOW) Acquisition Transformation Strategy by prioritizing flexibility, speed, and commercial innovation over legacy systems. The DINEX objective directly embodies the strategys mandate to adopt a "Commercial-First" approach and leverage the rapid innovation available in the private sector. To achieve this, DINEX utilizes the preferred alternative acquisition pathways:
employing a Commercial Solutions Opening (CSO) allows the Government to solicit and evaluate cutting-edge commercial solutions, while the intent to award an Other Transaction Agreement (OTA) ensures the Government can streamline the negotiation process, attract non-traditional providers, and structure the resulting partnership around measurable, performance-driven superior outcomes. This combined use of a CSO and an OTA is a direct implementation of the DOW's directive to maximize acquisition agility, rebuild and diversify the industrial base, and ultimately deliver better, faster results for the warfighter.
A draft CSO for DINEX operations was issued to industry on 11 December 2025, with the final CSO released on 26 January 2026. The resulting OTA included two prototype garrisons for the Armys new DINEX approach. If the Army determines that the DINEX prototype is successful, the POM has been identified for implementation of DINEX in Phase I on or about August 2027.
To avoid a lapse in service, the current Full Food Service requirement at POM/FHL/CP can efficiently be met by a non-competitive, twelve-month extension of services, to include FAR Clause 52.217-8 - Option to Extend Services, for up to an additional six months with the current incumbent, California Department of Rehabilitation. This extension is necessary to prevent a lapse-in-services for mission-essential food services until execution of the DINEX initiative involving POM is completed. The DINEX OTA, which includes implementation of POM in Phase I in August 2027, is currently scheduled for award in Summer 2026.
The current contractor has all required tools and highly trained employees on board that have been supporting this requirement for Full Food Services in various compacities dating back to 2007. The three locations (POM/FHL/CP) on the current contract have either been stand-alone contracts or combined together on the same contract throughout the years. A new contractor would require a phase-in period to complete all the necessary functions to be compliant (background checks, CAC cards, training certifications for employees). There is not adequate time for a new vendor to accomplish this. California Department of Rehabilitation would be able to seamlessly continue work under the new contract and avoid a lapse-in-service.
b. Alternatives. Pursuing a full, competitive solicitation for a short-term, potentially 18-month requirement would necessitate dedicating significant acquisition and legal resources over a 90-day period to acquire a service that would be shortly superseded by the DINEX OTA. This diversion of resources would directly delay the execution of the far more critical DINEX CSO/OTA procurement and threaten the Army's ability to achieve the strategic objective of awarding the OTA by Summer 2026. The 12-month extension with 6-month option aligns the end of the interim requirement with the scheduled implementation of a DINEX solution at PoM. Awarding a new short-term contract to a non-incumbent would also require the Government to incur duplication of costs of a 30-day contractor transition twice in less than a year: once for the new, short-term contractor and a second time for the contractor awarded the DINEX OTA.
Extending the current incumbent avoids the need for any transition costs for the interim period, reserving those resources for the final transition to the new strategic OTA.
c. Impact if this justification is not approved. If the justification is not approved and the bridge action is not executed, the Government will be unable to issue funded task orders to continue full food services at POM/FHL/CP. As a result, the 404th Army Field Support Brigades ability to support the dining facilities operating 24 hours a day at these locations will be severely impacted. There are no viable alternatives available, and the timeline to procure a new contract competitively exceeds the time remaining before service interruption would occur. A lapse in service would directly result in the inability to feed Soldiers, which would compromise mission readiness and daily operations. The risk to personnel support and operational continuity is unacceptable, and therefore urgent action for this IDIQ bridge is required to mitigate the risk while the long-term solution is competed.
7. Efforts to Obtain Competition: This action will be synopsized.
a. Effective competition: This interim sole source action is to prevent a lapse in critical service and allow the MICC-IRC to fully develop a restructured competitive contract for Full Food Services for Presidio of Monterey, Fort Hunter Liggett, and Camp Parks.
b. Subcontracting competition: The current contractor is a State Licensing Agency, and by definition in FAR 19.109, a Subcontracting Plan is required. Per FAR 52.219- 9(d)(9), federal contractors are required to develop and maintain an acceptable subcontracting plan if they are other than a small business and the estimated dollar value of the base contract and all option periods exceed or is expected to exceed $900,000. The Government will require a plan from the State Licensing Agency.
8. Actions to Increase Competition: The requirement for up to an 18-month, non-competitive extension of services with the incumbent, California Department of Rehabilitation, Inc., is not a retreat from competition but a strategic, temporary measure essential to facilitate the launch of a new, Army-wide, competitive acquisition to implement the Armys DINEX initiative. This initiative is designed to maximize competition by utilizing preferred alternative acquisition pathways such as the CSO and OTA. The CSO/OTA process, which streamlines negotiation, attracts non-traditional vendors, and structures the partnership around performance-driven superior outcomes, directly embodies DOWs directive to maximize acquisition agility and diversify the industrial base. The follow-on contract will be split into two different requirements as PoM will be transitioning to the DINEX initiative and will be on its own contract. FHL and CP will remain together on a separate contract. Headquarters, Army Sustainment
Command, the Armys food program manager, is in the process of developing a new requirement documentation for FHL/CP that will be competed. A solicitation is expected to be issued in Summer 2026.
9. Market Research: The Government has conducted market research in accordance with FAR Part 10 by issuing a sources sought notice from 06 February 2026 12 February 2026 resulting in nine responses from vendors. The Mission Partner deemed seven of the nine somewhat capable based on the capability statements received.
However, negotiations with vendors other than the incumbent would create a substantial duplication of cost to the Federal Government. The California Department of Rehabilitation was identified as the only capable vendor based on its corporate experience, relevant past performance as documented in Contractor Performance Assessment Reporting System, and ability to continue full food service under the current contract to avoid a lapse in service. In accordance with FAR DoD Deviation 2026-O0003 5.101(b)(2), the proposed contract action is made under the conditions described in FAR DoD Deviation 2006-O0017 6.103-1 - Only one responsible source and no other supplies or services will satisfy agency requirements. The current incumbent contractor has all required tools and highly trained employees on board that have been supporting this requirement. They are best suited to provide continuous services without creating undue stress to the soldiers and missions that rely on these services.
