About this file
This is a Justification Review Document for a sole source bridge contract for Respite Care Services by the U.S. Army. The Installation Management Command (IMCOM), G-9, Army Community Service (ACS) requires a 6-month contract extension to provide temporary rest periods for family members caring for dependents with severe disabilities or diagnoses. The contract is valued at $1 million, with a performance period from 20 September 2025 through 19 March 2026, and will be awarded to GenRev Strategies, LLC, the incumbent contractor.
The sole source justification stems from a previous GAO protest that resulted in a contract termination and the need to maintain continuity of critical services for approximately 350 of the 56,000 family members enrolled in the Army's Exceptional Family Member Program (EFMP). The contract is being extended to allow the government time to re-solicit the requirement through a competitive procurement. The extension is deemed crucial to prevent disruption of respite care services, which provide mental health support and relief for military families caring for members with special needs, and is mandated by the National Defense Authorization Act and Department of Defense instructions.

FAR 13.5 Sole Source Justification and Approval
1. Requiring Activity: Installation Management Command (IMCOM), G-9, Army Community Service (ACS), JBSA Ft. Sam Houston, TX
2. Contracting Activity: U.S. Army Mission and Installation Contracting Command (MICC) - Fort Sam Houston (FSH), 2205 Infantry Post Road, JBSA Fort Sam Houston, TX 78234-1361
3. Description of Action: The Installation Management Command (IMCOM), G-9, Army Community Service (ACS) has an ongoing mission requirement to provide temporary rest periods for Family members responsible for regular care of dependents with severe disabilities or diagnoses. The current bridge contract for these services, W9124J-25-C-A018, was put in place because of a post-award GAO protest, which was dismissed. As a result, the Government chose to take corrective action and pursue an extension of the current contract, which is necessary for continuity of services. This justification and approval serves to document the need for an extension of the current contract, for an additional 6-months IAW Title 41 U.S.C. 1901 as implemented in Federal Acquisition Regulation 13.501(a)(ii).
4. Description of Supplies/Services: The IMCOM, G-9, Army Community Service (ACS), has an ongoing mission requirement to provide temporary rest periods for Family members responsible for the regular care of persons with severe disabilities or diagnoses. In accordance with Department of Defense Instruction 1342.22, Military Family Readiness, Exceptional Family Member Program (EFMP) Respite Care may be provided as part of the overall EFMP. This requirement will provide a network of EFMP Respite Care Providers who will provide Respite Care Services, including temporary rest periods for Family members responsible for regular care of persons with disabilities.
The current contract, W9124J-25-C-A018, was a bridge put in place to cover the GAO protest period. After the dismissal of the GAO protest, it was determined that the previous contract W9124J-25-C-A011 will be Terminated for Convenience based upon the approved corrective action from GAO. There is a need for continuity of services with the incumbent while the Government continues to work through the re-solicitation for a new award. Without an extension to the current bridge contract, hundreds of Army Soldiers and their dependents will be negatively affected.
Period of Performance: 20 SEP 2025 - 19 MAR 2026 Value: $1 million
5. Authority Cited: Simplified Procedures for Certain Commercial Items, Title 41 U.S.C. 1901 as implemented in Federal Acquisition Regulation 13.5: Unusual and compelling urgency.
6. Reason for Authority Cited:
a. Background: There are currently 56,000 family members enrolled in the Army’s EFMP. Approximately 350 (.625%) of the individuals enrolled qualify for Respite Care Services. These Exceptional Family Members have special needs that require special care considerations. Finding credentialed providers and paying for specialized services can present significant challenges to military families. Consequently, there is a need to maintain an Army-wide special needs Respite Care program for family members enrolled in the EFMP. In addition, the DoD Office of Special Needs requires the Services to provide Respite Care support to military members assigned to their installations who meet the prescribed eligibility criteria.
In accordance with the National Defense Authorization Act (NDAA) 2021 Section 582 (b)(5) and Department of Defense Instruction 1315.19, Exceptional Family Member Program, all Services are to provide Respite Care support to eligible Soldiers and Family members. Respite Care is a short term, temporary care designed to provide relief to the Solider and Family member. It allows the Soldier or family member to take a break from their caregiving responsibilities, while ensuring the individual needing care receives the necessary support and assistance. Respite Care Support is a Congressionally mandated service for active-duty military and their Family members with special medical conditions who are enrolled in the EFMP and who meet the medical eligibility criteria for services.
Respite Care enhances mental health support and provides clarity to decision making for military service members with Exceptional Family Members. Caregiving can lead to stress and burnout. Providing care for special needs family members creates additional stressors that could potentially lead to family violence, child abuse, and/or neglect.
Respite Care offers the Soldiers/caregivers opportunities to create a work life balance and improves mental health, ultimately, benefiting the service. Access to Respite Care helps build resilience in military personnel and their families, ensuring they are better prepared to handle the challenges of military life. Department of the Army has provided Respite Care Support services to Soldiers and Families for over fifteen years without a break in these services.
b. Alternatives. Due to the circumstances surrounding this requirement, the protest, the approved corrective action, and the additional corrective action being taken by the government, there are no alternative solutions to ensure continuity of services for this requirement, other than extending the period of performance of the current bridge contract.
c. Impact if justification is not approved. If this sole source bridge action is not approved, hundreds of service members and their EFMP enrolled dependents will go without critical Respite Care services. These services are relied upon daily for their quality of life and essential services provided to family members in the program. Due to the critical nature of these services, it is imperative that this sole source bridge action be approved so services are not interrupted.
7. Efforts to Obtain Competition: The bridge requirement has not been considered for competition due to the extenuating circumstances resulting from a GAO level protest, and subsequent stay of performance on contract, W9124J-25-C-A011, IAW the Competition in Contracting Act (CICA). In accordance with FAR 5.202(a)(2), this action will not be synopsized.
a. Effective competition: Due to the CICA stay of performance and the urgent and compelling need for services to continue, this requirement cannot be considered for competition.
b. Subcontracting Competition: This action is exempt from the requirement to submit a subcontracting plan because GenRev Strategies is classified as a small business.
8. Actions to Increase Competition: This requirement is to ensure services are not interrupted while the government works to resolve issues found in response to the GAO protest and approved corrective action by GAO. Corrective action will involve resoliciting the requirement which is a competitive procurement.
9. Market Research: No further market research was conducted for this bridge action that is resulting from the stay of performance on contract award W9124J-25-C-A011.
10. Interested Sources: No other vendors have expressed interest in this interim action other than the incumbent, GenRev, performing under contract W9124J-25-A-0018.
