This document is a Contract Amendment Summary from the Arizona Department of Transportation (ADOT) for contract CTR071344 with AM Signal, LLC, covering traffic signal, lighting, and intelligent transportation systems (ITS) components. The amendment is specifically focused on price adjustments due to tariff charges from various manufacturers including FLIR, Bosch, Cambium, Moxa, and Leotek.

The amendment details price increases for specific line items, with tariff percentages ranging from 5% to 10% across different product categories. For example, a FLIR TI X-stream Edge video detection device will increase from $1,146.20 to $1,094.10, a Cambium 670 Radio will change from $4,152.50 to $3,963.75, and a Moxa 16-port switch will adjust from $2,061.58 to $1,894.00. The price changes are effective September 1, 2025, and include additional percentage discounts on entire catalogs for certain manufacturers. The amendment was approved by ADOT's procurement authority, with documentation from manufacturers justifying the tariff-related price increases.

Below are the manufacturers who have implemented price increases or tariff fees. AM Signal has absorbed these additional costs up to this point; however, to continue delivering the level of service, reliability, and support you expect from us, we will need to request a price adjustment. Please note the following:

• EDI anticipates a tariff fee of 10% but as of June 4th it has not gone into effect.

• AM Signal did not apply price increases across all FLIR, Bosch, or Moxa products, and where increases were made, many were kept below the manufacturers’ full increases to help offset the impact to ADOT.

• Leotek’s 8% tariff will be applied as a separate line item on your estimate and invoice. This tariff is subject to change, and we will promptly inform you of any updates and make adjustments as needed.

End of Life (EOL) Notification Product: TrafiSense2 / TI BPL2 EDGE (B&SIU)

Date: July 17, 2023

Notification

This is to officially notify you that TrafiSense2 traffic detection sensor, as well as the associated TI BPL2 EDGE (B&SIU) interface are officially End of Life (EOL). These products have been on the market for almost five years, and their respective successors TrafiSense AI and TI BPL3 EDGE (B&SIU) are readily available.

Important notes:

- A BPL2 interface and a BPL3 interface can coexist, so both systems can be installed and operated next to each other. Therefore, future extensions of existing installations with the successors below could be realized with BPL3 sensors and interfaces. Be aware that BPL2 sensors/interfaces cannot work with BPL3 interfaces/sensors.

- TrafiOne will be compatible with BPL3.

- FLIR ITS will follow its “general conditions of sales” with regards to service and repair of the mentioned (EOL) products.

FLIR ITS strongly recommends switching open orders of the devices listed below to their corresponding successors.

FLIR FC-SERIES T3

Thermal Imaging Camera for Traffic Monitoring

FLIR FC-T3 cameras are perfect for traffic monitoring. The thermal sensor can “see” vehicles in all conditions, in broad day light and in the darkest of nights. They can operate in poor weather and through light fog. Thermal sensors produce an image in practically all weather conditions and can even see through certain types of smoke.

Thermal sensors are not hindered by reflections from sun glare, shadows, or headlights on wet pavement.

FLIR FC-T3 sensors can be positioned so the horizon is in the field of view. This allows for more advanced detection than typical optical sensor systems.

Main Applications:

• Vehicle detection at intersections

• Road side monitoring

• Traffic monitoring in tunnels

• Highway traffic management

Re: Notification of Pricelist Modification - Tariffs

Dear Valued Teledyne FLIR Partner, Thank you for choosing Teledyne FLIR Commercial Systems, Inc. to support your business needs. We appreciate that you depend on our products to support the success of your business, and you can count on Teledyne as a trusted supplier who provides quality products and a commitment to excellence.

On February 1, 2025, the United States Government implemented new tariffs under the following Executive Orders:

Executive Order 14193: Imposing Duties to Address the Flow of Illicit Drugs Across Our Northern Border.

Executive Order 14194: Imposing Duties to Address the Situation at Our Southern Border.

Executive Order 14195: Imposing Duties to Address the Synthetic Opioid Supply Chain in the Peoples Republic of China.

This letter is to notify you that because of these new tariffs, Teledyne FLIR Commercial Systems, Inc. will be directly impacted on products and material imported to support our customers as well as indirectly through our supply channels.

We have analyzed the immediate impact of these executive orders and, effective May 21, 2025, we will be implementing modifications to our published Partner Price Lists to reflect price increases for tariff impacted products.

The applicable price increases will vary depending on the tariff effect by product but are expected to be, on average, five percent (5%). Please refer to the applicable published Partner Price List, as modified, for adjustments specific to individual products. These price list modifications reflect the tariffs from the above referenced executive orders issued on February 1, 2025. As additional impacts from existing executive orders or new ones are determined, we will review and assess price adjustments on a case by case basis.

Until May 21, 2025, Teledyne FLIR Commercial Systems, Inc. will continue to accept orders for products based on current published Partner Price Lists provided: (a) the quantity of ordered products is in inventory at time of order; and

(b) the ordered products will be shipped within sixty (60) days of the date of this notice.

Teledyne FLIR Commercial Systems, Inc. greatly appreciates your business and patience during this volatile global trade environment. We will continue to work diligently to mitigate the impact of tariffs with our suppliers and, in the event the tariffs are reduced or removed, will adjust accordingly.

Sincerely, Teledyne FLIR Commercial Systems, Inc.

Subject: LEOTEK’s Tariff Update (Immediate Action Required)

Dear Valued Distributor,

• As you may be aware, the United States has recently imposed additional global tariffs.

• Although most are on hold for 90 days, some tariffs have already been put in effect1.

• In response to these current government tariffs, LEOTEK must apply a 8% tariff-related charge on all new orders effective immediately. (8% x Sell Price)

• To ensure transparency, this tariff surcharge will appear as a separate line item labeled "Tariff" on LEOTEK invoices.

• If tariffs change, this line item will be removed or clearly reflect those changes.

The following situations will not be impacted by this adjustment:

• Orders already submitted.

• Orders shipped directly from Taiwan to Canada.

For the future, our plan is to begin taking orders and manufacturing the USA final assembly products before October 1st, 2025. We will keep you updated on our progress regularly.

At that time, we will need to reflect a price adjustment based on the USA final assembly and market conditions.

Thank you for your continued partnership and understanding. Please feel free to reach out with any questions.

Gail Lawrence Business Development Manager LEOTEK Electronics USA LLC.

Thank you Jayna. In order for the agencies to approve the updated contract pricing, I’ll need supporting documentation to justify the increase. If you could provide something in writing—even a brief email—that outlines the percentage increase from our previous quote to the new one, that will help demonstrate that the change is uniform and that our margin remains unchanged.

I've attached a couple of examples for reference.
