About this file

This is a Terms and Conditions document for the Commonwealth of Kentucky establishing standard contractual requirements for purchase orders and service agreements. The document outlines mandatory conditions applicable to equipment procurement and service delivery contracts, including specifications that all equipment must be new and current model unless otherwise specified, manufacturer's warranties must be provided upon delivery, and freight terms shall be FOB destination with all charges included in unit pricing. Brand substitutions are prohibited without prior written purchaser approval and must demonstrate comparable functionality and equivalent or lower operational and maintenance costs. The contract becomes binding upon acceptance by the contractor and represents the entire agreement between parties, with no prior negotiations or oral agreements having effect. Contract termination provisions allow for default termination by the contractor or termination for convenience by the Commonwealth in accordance with 200 KAR 5:312.

The document establishes that Kentucky law governs all contracts, and the Commonwealth is exempt from state sales and use taxes under Tax Exemption Number ST-37-187. Payment shall be made within thirty working days pursuant to KRS 45.453, and vendors must register in the Commonwealth's electronic procurement system at http://eprocurement.ky.gov to receive payment. Contractors must complete the Required Affidavit for Bidders, Offerors and Contractors for contracts exceeding $1,000. Service and construction contracts require commercial general liability insurance with minimum $1,000,000 combined single limit, automobile liability insurance with $1,000,000 combined single limit, and workers' compensation insurance as required by Kentucky law, with Certificates of Insurance provided within ten days of notification. All products and services must comply with applicable governmental mandates including consumer protection, occupational safety, building codes, and labor laws at local, state, and federal levels.
