If unassisted negotiations are unsuccessful, the parties will use alternative dispute resolution (ADR) techniques to try to resolve the dispute. Litigation will only be considered as a last resort when ADR is unsuccessful or has been documented by the party rejecting ADR to be inappropriate for resolving the dispute.

(b) Before either party determines ADR inappropriate, that party must discuss the use of ADR with the other party. The documentation rejecting ADR must be signed by an official authorized to bind the contractor (see FAR 52.233-1), or, for the Agency, by the contracting officer, and approved at a level above the contracting officer after consultation with the ADR Specialist and legal counsel. Contractor personnel are also encouraged to include the ADR Specialist in their discussions with the contracting officer before determining ADR to be inappropriate.

(c) If you wish to opt out of this clause, check here [ ]. Alternate wording may be negotiated with the contracting officer.

(7) The Government intends to award one (1) purchase order resulting from this solicitation to the responsive, responsible quoter whose quote, conforming to this solicitation, will be the most advantageous to the Government, price and other factors considered using the Lowest

Technically Acceptable Price process, with the lowest overall price for ALL CLINs. To be considered for award, a quote must be provided for all CLINS. Award will be made on all or none basis. Technical tradeoffs will not be made, and no additional credit will be given for exceeding acceptability. The Government intends to award without discussions; therefore, the initial quote should contain the quoter’s best terms from a price and technical standpoint.

(8) Request for Quote shall be evaluated for acceptability or unacceptability only and shall not be rated. Any quoter who has submitted a technically acceptable quote and who has been found to have an acceptable past performance WILL THEN have the quote evaluated for lowest price.

(9) To be considered acceptable and eligible for award, a quoter must address separately all the factors set forth in accordance with the instructions of this solicitation. Quoters must be determined to be responsible according to the standards of FAR Part 9 to be eligible for award.

(10) The Government intends to evaluate offers and award a contract without discussions with

Offerors. Therefore, the Offeror’s initial offer should contain the Offeror’s best terms. However, the Government reserves the right to conduct discussions, if necessary. The Government may reject any or all offers if such action is in the public interest, accept other than the lowest offer, and waive informalities and minor irregularities in offers received.

(c) Late submissions, modifications, revisions, and withdrawals of offers.

(1) Offerors are responsible for submitting offers and any modifications or revisions to the Government office designated in the solicitation by the time specified in the solicitation.

(2) Any offer, modification, or revision received after the time specified for receipt of offers is “late” and will not be considered unless it is received before award is made and the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition. However, a late modification of an otherwise successful offer that makes its terms more favorable to the Government will be considered at any time it is received and may be accepted.

(3) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(4) Offerors may withdraw their offers by written notice to the Government received at any time before award.

(d) Contract award- The Government intends to evaluate offers and award a contract without discussions with Offerors. Therefore, the Offeror’s initial offer should contain the Offeror’s best terms. However, the Government reserves the right to conduct discussions, if necessary. The

Government may reject any or all offers if such action is in the public interest, accept other than the lowest offer, and waive informalities and minor irregularities in offers received.

(e) Debriefings. If a post-award debriefing is given to requesting Offerors, the Government will disclose the following information, if applicable:

(1) The agency’s evaluation of the significant weak or deficient factors in the debriefed

Offeror’s offer.

(2) The overall evaluated cost or price and technical rating of the successful Offeror and the debriefed Offeror and past performance information on the debriefed Offeror.

(3) The overall ranking of all Offerors when any ranking was developed by the agency during source selection.

(4) A summary of the rationale for award.

(5) For acquisitions of commercial products, the make and model of the product to be delivered by the successful Offeror.

(6) Reasonable responses to relevant questions posed by the debriefed Offeror as to whether the agency followed source-selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities.

(f) Specific Submission Requirements. In addition to the standard instructions above, the offeror's quote shall be submitted in the following format to ensure the Government can properly evaluate the quote against the criteria established in FAR 52.212-2:

Technical Capability:

The offeror shall provide documentation demonstrating their ability to meet the service characteristics specified in the Statement of Work (SOW). This shall include, at a minimum, descriptive information about the services provided, such as company brochures, service catalogs, or a narrative describing the company's capabilities and approach to performing the required services.

Past Performance:

The offeror is not required to submit a separate past performance. The Government will evaluate past performance using information available in the Supplier Performance Risk System

(SPRS), the Contractor Performance Assessment Reporting System (CPARS), and other government sources. [Optional: Offerors may, at their discretion, provide information for up to three (3) relevant contracts of similar scope and complexity completed within the last three years.]

Price:

The offeror shall complete and submit the Schedule of Supplies/Services, providing firmly fixed pricing for all Contract Line Item Numbers (CLINs), including the base year and all option years.

B. Demonstrate a clear understanding of the requirements of the solicitation. Failure to provide a complete, detailed, realistic, and reasonable quote may reflect a lack of understanding of the requirements and may result in an unacceptable determination.

FAR 52.212-2 Evaluation – Commercial Products and Commercial Services (FEB 2026)

(a) Evaluation factors. The Government will award a purchase order resulting from this solicitation to the responsible Offeror whose offer conforming to the solicitation will be most advantageous to the

Government, price and other factors considered. The following factors will be used to evaluate offers:

Pricing

If a quote has been determined acceptable under each of the non-price factors listed below, the

Government will then evaluate the quote for the lowest price. The proposed total price, the sum of the total amount for all Contract Line Items (CLINs) (if multiple CLINs), between offers that are determined to be technically acceptable will be the determining factor in the selection of a quote for award. All CLINs must be priced. Price analysis shall not be conducted on offerors determined to be unacceptable for award.

The Government will perform a price analysis to determine the reasonableness of proposed price in accordance with FAR 15.404-1(b). The Government will use a comparison of proposed prices received in response to the solicitation.

Technical Capability

To be considered for award, offerors must provide services specified in the Schedule of

Supplies/Services.

(a) Meet the service characteristics specified in this solicitation and attached Statement of Work;

(b) Provide descriptive information as to the services provided, such as a brochure or other descriptive information.

Past Performance Requirements

The Government will evaluate the quoter’s Past Performance to determine acceptability of the quote in response to this solicitation. Past Performance will be evaluated on an acceptable/unacceptable basis and shall not be rated. The quoter will be evaluated on their past performance record and any other relevant information obtained from available sources which may include: Supplier Performance Risk System (SPRS), the Contractor Performance

Assessment Reporting System (CPARS) at https://www.cpars.gov, other databases, and any firsthand knowledge of Government personnel about the quoters past performance.

In the case of a service provider without a record of relevant past performance history the supplier will not be evaluated favorably or unfavorably for its past performance history. In the context of acceptability/unacceptability, “unknown” shall be considered acceptable.

The Government is not obligated to interview all points of contact identified by Offerors nor is the Government limited to the points of contact provided.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. The evaluation of options does not obligate the Government to exercise the option(s).

(c) Notice of award. A written notice of award or acceptance of an offer furnished to the successful

Offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

Past Performance Requirements

The Government will evaluate the quoter’s Past Performance to determine acceptability of the quote in response to this solicitation. Past Performance will be evaluated on an acceptable/unacceptable basis and shall not be rated. The quoter will be evaluated on their past performance record and any other relevant information obtained from available sources which may include: Supplier Performance Risk System

(SPRS), the Contractor Performance Assessment Reporting System (CPARS) at https://www.cpars.gov, https://www.cpars.gov/ https://www.cpars.gov/ other databases, and any firsthand knowledge of Government personnel about the quoters past performance.

In the case of a service provider without a record of relevant past performance history the supplier will not be evaluated favorably or unfavorably for its past performance history. In the context of acceptability/unacceptability, “unknown” shall be considered acceptable.

L08 Use of Supplier Performance Risk System (SPRS) in Past Performance Evaluations (JUN 2024)

(1) The Government will use the Supplier Performance Risk System (SPRS)

(https://www.sprs.csd.disa.mil/) (formerly Past Performance Information Retrieval System –

Statistical Reporting (PPIRS-SR)) and may use other performance history to evaluate suppliers past performance.

(2) SPRS collects quality and delivery data on previously awarded contracts and orders from existing

Department of Defense reporting systems to classify each supplier’s performance history by Federal supply class (FSC) and product or service code (PSC). The SPRS application provides the contracting officer quantifiable past performance information regarding a supplier's quality and delivery performance for the FSC and PSC of the supplies the Government is purchasing.

(3) The contracting officer will use the quality and delivery classifications identified for a supplier in

SPRS to evaluate a supplier’s past performance in conjunction with the supplier’s references (if requested). The Government will use this past performance information in accordance with the basis for award stated in the solicitation.

(4) SPRS generates classifications daily for each contractor. The SPRS Software User's Guide for

Awardees/Contractors (https://www.sprs.csd.disa.mil/pdf/SPRS_Awardee.pdf) and the SPRS

Government User Guide (https://www.sprs.csd.disa.mil/pdf/SPRS_Government.pdf) provide instructions for accessing SPRS classifications. Contractors have access to SPRS for their own classifications only. Suppliers are encouraged to review their own classifications; the SPRS reporting procedures and classification methodology detailed in the SPRS Software User's Guide for

Awardees/Contractors (https://www.sprs.csd.disa.mil/pdf/SPRS_Awardee.pdf); and the SPRS

Evaluation Criteria (https://www.sprs.csd.disa.mil/pdf/SPRS_DataEvaluationCriteria.pdf). The SPRS

Software User's Guide for Awardees/Contractors

(https://www.sprs.csd.disa.mil/pdf/SPRS_Awardee.pdf) provides the method to challenge a rating generated by SPRS.
