Addendum to 52.212-1(c) Period for acceptance offers: Period for acceptance of offers is 120 calendar days.

Addendum to 52.212-1(g) Contract Award: The Government intends to evaluate proposals and award an Indefinite Delivery Indefinite Quantity Contract without discussions with offerors. Therefore, the offeror’s proposal must contain the offeror’s best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all proposals if such action is in the public interest; accept other than the lowest price proposal; and waive informalities and minor irregularities in proposals received.

If the contracting officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the contracting officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals. Award will be made to the offeror whose proposal offers the best value to the Government based on the solicitation requirements and the established evaluation factors. Award will be based on best value using the trade-off process in accordance with FAR 15.101 Best value continuum. Award may be made to the other than the lowest-priced or highest technically acceptable rated proposal.

Addendum to 52.212-1(h) Multiple awards: The Government intends to award one Indefinite Delivery Indefinite Quantity Contract to a single contractor.

52.212-2 Evaluation - Commercial Products and Commercial Services (NOV 2021) FAR

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be the most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers: (1) combined technical/risk, (2) past performance, and (3) price.

Factor 1 – Combined Technical/Risk: The Government will evaluate the offeror’s Technical Proposal for the degree to which the technical approach, understanding of the requirement, and risk of successful performance meet the Government’s requirement as described in the Performance Work Statement. Evaluation will consider the Technical Proposal’s risk in conjunction with strengths, significant strengths, weaknesses, significant weaknesses, and deficiencies.

A “strength” is an aspect of an offeror's proposal that has merit or exceeds specified performance or capability requirements in a way that will be advantageous to the Government during contract.

A “significant strength” is an aspect of an Offeror’s proposal with appreciable merit or will exceed specified performance or capability requirements to the considerable advantage of the Government during contract performance.

A “weakness” is a flaw in the proposal that increases the risk of unsuccessful contract performance.

A “significant weakness” is a flaw that appreciably increases the risk of unsuccessful contract performance.

A “deficiency” is a material failure of a proposal to meet a Government requirement or a combination of significant weaknesses in a proposal that increases the risk of unsuccessful contract performance to an unacceptable level.

Factor 2 – Past Performance: The government will evaluate past performance, based only on contracts completed with the last 3 years, to determine confidence in the offeror’s ability to successfully complete the contract. The assessment considers three key areas: recency, relevancy, and quality of past performance.

(1) Recency: All contracts considered must be within the last three years.

(2) Relevancy: The Government will evaluate the following:

(a) performance within the last three years;

(b) similarity of service;

(c) complexity;

(d) dollar value;

(e) contract type;

(f) use of key personnel and

(g) extent of subcontract/teaming.

(3) Quality: The Government will evaluate how well the offeror performed on those past contracts. The Government will evaluate the following:

(a) history of successful completion of projects;

(b) history of producing high-quality reports and deliverables;

(c) history of staying on schedule and within budget and

(d) commitment to customer satisfaction.

(4) The Government will use Offerors submitted information, as well as any other sources such as CPARS, to assess Recency, Relevancy, and Quality. Offerors with no relevant past performance data within the last three years will receive a neutral rating.

(5) The Government will assign an overall performance confidence rating based on the combined assessment of Recency, Relevancy, and Quality as listed below.

Factor 3 – Price

The proposed total acquisition price to include the base, all options under FAR Clauses 52.217-8 and 52.217-9 will be evaluated for reasonableness, balance and completeness. A price analysis will be performed. Price analysis is the process of examining and evaluating a proposed price without evaluating its separate cost elements and proposed profit to establishes price reasonableness. All separately priced line items shall be analyzed to determine if the prices are unbalanced.

Unbalanced pricing exists where the prices of one or more line items are significantly overstated or understated, despite an acceptable total evaluated price. Offers may be rejected if the Contracting Officer determines the lack of balance poses an unacceptable risk to the Government.

Combined technical/risk and past performance when combined, are significantly more important than price. Combined technical/risk factor is more important than past performance factor. Price will be considered and evaluated in determining the overall best value to the Government. As the technical merits of the proposals become more equal, price may become the determining factor.

Combined Synopsis and Solicitation Page 17 of 30

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful Offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
