A. INTRODUCTION

This Request for Proposal (RFP) is being released for Life and Accidental Death and Dismemberment insurance coverage. This RFP is an opportunity to allow qualified vendors to present proposals that will assist the County of Orange, HRS/Employee Benefits Division in selecting a contractor that will best meet the needs of the County for a three (3) year contract with two (2) optional one (1) year renewal terms. Services will be according to the Scope of Services stated in Attachment A.

County Benefits Administrator:

County employees (participants) receive benefits information, make all benefit elections, and direct all benefits customer service inquiries to the County of Orange Benefits Administrator (Benefits Administrator). These services are provided through Alight Solutions LLC. Participants can make their elections on the County of Orange MyOCBenefitsTM website or by calling the toll-free Benefits Resource Line and speaking with a Benefits Specialist. The Benefits Administrator is the owner of eligibility on behalf of the County and therefore: 1) maintains and distributes all eligibility and coverage information to Contractors for all the County’s benefits programs; 2) provides full customer service for benefits enrollment and eligibility; 3) submits all data necessary to collect and calculate premiums through payroll; 4) provides monthly billing for employees on leave of absence; and 5) administers COBRA when coverage terminates.

Alight manages all calls regarding eligibility and enrollment as follows:

· Responds to questions from participants and County staff.

· Assists employees with web enrollment/access needs.

· Serves in a participant advocate role to facilitate inquiries related to eligibility issues with carriers.

· Eligibility Inquiry: Verifies eligibility, updates Contractors when applicable and provides verification of coverage to providers.

· Claim Payment Inquiry: Verifies correct claims address, verifies coverage date, provides employee with carrier/administrator contact information and/or transfers employee to carrier if appropriate.

· Assists participants by taking benefit elections/transactions (Open Enrollment, life events, etc).

· Advises the County of any employee benefit issues and/or problems and provides solution where applicable.

· Conducts customer service performance surveys and provides results to the County quarterly.

· Handles exceptions that require manual processing, as defined in implementation and/or on an ongoing basis.

Alight provides electronic eligibility files to the County’s contractor. Alight receives confirmation of all file transmissions and will work with the County’s contractor in resolving error reports. It is the responsibility of the Contractor to correct their eligibility records to match Alight’s. All enrollment requests must be directed to Alight.

The County desires that its selected Contractor be capable of working with Alight via linked access through a unified web portal.

Contract Intent The intent of this Contract is to provide fully insured coverage for the County’s Life and AD&D benefits. The County’s goal is to find a single Contractor who has demonstrated a history of successfully providing services for public employers of a size and complexity as the County of Orange. The desired Contractor will provide our County participants with high quality customer service, industry standard technologies and systems, and best practice methods to ensure accurate coverage, as well as efficient, effective, and timely claims processing and reporting.

Moreover, the County may decide to forego negotiations with the Offeror and accept the Proposal submitted; therefore, the Proposal submitted should contain the Offeror’s most favorable terms and conditions.

13. Joint Venture: Where two or more Offerors desire to submit a single Proposal in response to this RFP, they should do so on a prime/subcontractor basis rather than as a joint venture. The County intends to contract with a single firm or multiple firms but not with multiple firms doing business as a joint venture.

15. D-U-N-S Number: The County requires a valid Data Universal Number System (D-U-N-S) number prior to Contract Award. If needed, your company may obtain one at no cost at www.dnb.com. If you are unable to provide/obtain a D-U-N-S number, please indicate so in your proposal/bid submission response.

D. EVALUATION PROCESS AND CRITERIA

Proposals will be evaluated on the basis of the response to all requirements in this RFP. The County shall use the following criteria in its evaluations and comparisons of Offeror(s). No inference is to be drawn concerning relative importance of criteria based on the order presented.

Contract award shall be made to the responsible Offeror(s) whose proposal is most advantageous to the County, taking into consideration the applicable evaluation criteria set forth below. Please note, however, that the listing of fees as an evaluation criterion does not require the County to select the Offeror(s) with the lowest fee proposal.

Proposals will be evaluated on the basis of responsiveness to the questions and requirements in this RFP by an evaluation panel.

Proposals will be competitively evaluated on the basis of the following criteria listed in random sequence not in the order of importance:

· Offeror’s qualifications and experience (Including References and Past Experience with the County);

· Cost proposal for required services;

· Offeror’s knowledge, understanding and responsiveness to the overall proposal;

· Degree of compliance and ability to meet County Model Contract terms, conditions, attachments and exhibits;

· Customer service capabilities;

· Plan design provisions and benefits offered closely match the requests outlined in this RFP, including any program enhancements;

· Proposed Performance Guarantees.

Proposals deemed to meet all minimum RFP requirements will be scored based on established criteria, which have been weighted and will be assigned points that measure the responsiveness to each identified criterion. The total number of points earned will be tallied for each Proposal, and the Proposals will be rank-ordered, based upon the Offeror(s) submitted written materials.

Following the initial evaluation process, the highest ranking Offeror(s) (if deemed necessary by the Evaluation Panel) may be required to complete an additional questionnaire regarding more specific processes and capabilities, as well as provide additional pricing information. In addition, Offeror’s may be required to provide an on-site interview or clarification as it relates to the requested and/or proposed services.

Offerors who submit Proposals most responsive to the County’s requirements may be asked to give an oral presentation of their Proposal to the Evaluation Panel. Selected Offerors should be prepared to make their oral presentation within seven (7) business days after notification and be prepared to discuss all aspects of their Proposal in detail, including technical questions regarding the Proposal. Offerors shall not be allowed to alter or amend its Proposal through the use of the presentation process.

Offerors should remain prepared for the County to ascertain whether the Offeror is able to comply with the County’s Cybersecurity needs before a Contract is awarded to any Offeror. This may include a review of an Offeror’s Cybersecurity operations by the County’s Evaluation Panel, Human Resource Services, and/or Information Technology Department. Offerors may be required to provide additional information as requested. Award of final contract is subject to review and approval of Offeror’s cybersecurity policies and practices.

E. SELECTION/AWARD PROCESS

Upon completion of the evaluation process, the Evaluation Panel will make a recommendation for award to the DPA. The recommendation for award may be presented to the County’s Board of Supervisors for approval of the Contract for the services requested in this solicitation.

The Model Contract contained in Section III of this RFP is the Contract proposed for execution. It may be modified to incorporate negotiated items and other pertinent terms and conditions set forth in this RFP, including special conditions and requirements and those added by addendum, necessary attachments, and to reflect the Offeror’s Proposal and qualifications.

Negotiations may or may not be conducted with the finalist(s); therefore, the proposal submitted should contain Offeror’s most favorable terms and conditions, since the selection and award may be made without further discussion or need for clarification. Any exceptions to the terms and conditions of the proposed Contract or the statements regarding Offeror’s inability to comply with any of the provisions thereof are to be declared in the Offeror’s proposal: Section II entitled Proposal Response Requirements. Any additional exceptions to the terms and conditions made by any Offeror after submission of its proposal may result in elimination from further consideration.

If a satisfactory Contract cannot be negotiated in a timely manner, the County, in its sole discretion, may terminate negotiations with the selected Contractor and begin Contract negotiations with the next finalist.

F. PROTEST PROCEDURES

Any actual or prospective Offeror, who alleges a grievance in the solicitation or award of the Contract may submit a protest to the Deputy Purchasing Agent. All protests shall be type written on the protester’s letterhead and submitted in accordance with the provisions stated herein.

Protests received after the five (5) business day deadline will not be considered by the County.

In the event the protest of specifications is denied and the protester wishes to continue in the solicitation process, they must still submit a bid prior to the close of the solicitation in accordance with the bid/proposal submittal procedures provided in the bid/proposal.

3. Protest of Award of Contract In protests related to the award of a Contract, the protest must be submitted no later than five (5) business days after the notice of the proposed contract award is provided by the Deputy Purchasing Agent. Protest relating to a proposed contract award which is received after the five (5) business day deadline will not be considered by the County.

4. Protest Process In the event of a timely protest, the County shall not proceed with the solicitation or award of the contract until the Deputy Purchasing Agent, the County Purchasing Agent or the Procurement Appeals Board renders a decision on the protest.

Upon receipt of a timely protest, the Deputy Purchasing Agent will within ten (10) business days of the receipt of the protest, issue a decision in writing which shall state the reasons for the actions taken.

The County may, after providing written justification to be included in the procurement file, make the determination that an immediate award of the Contract is necessary to protect the substantial interests of the County. The award of a Contract shall in no way compromise the protester’s right to the protest procedures outlined herein.

If the protester disagrees with the decision of the Deputy Purchasing Agent, the protestor may submit a written notice to the Office of the County Purchasing Agent requesting an appeal to the Procurement Appeals Board, in accordance with the process stated below.

5. Appeal Process If the protester wishes to appeal the decision of the Deputy Purchasing Agent, the protester must submit, within three (3) business days from receipt of the Deputy Purchasing Agent’s decision, a written appeal to the Office of the County Purchasing Agent.

Within fifteen (15) business days, the County Purchasing Agent will review all materials in connection with the grievance, assess the merits of the protest and provide a written determination that shall contain his or her decision on whether the protest shall be forwarded to the Procurement Appeals Board.

The decision of the County Purchasing Agent on whether to allow the appeal to go forward will be final and there shall be no right to any administrative appeals of this decision.

Government Code section 84308 (also known as the “Levine Act”) contains requirements that are summarized generally as follows:

A. If you are an applicant for, or the subject of, any proceeding involving a license, permit, or other entitlement for use, you are prohibited from making a campaign contribution of more than $250 to any member of the Board of Supervisors or other County official who may participate in your proceeding. This prohibition begins on the date your application is filed or the proceeding is otherwise initiated, and the prohibition ends 12 months after a final decision is rendered by the Board of Supervisors or other County officer. In addition, no Board member or other County official who may participate in your proceeding alternate may solicit or accept a campaign contribution of more than $250 from you during this period.

B. These prohibitions also apply to your agents, and, if you are a closely held corporation, to your majority shareholder as well. These prohibitions also apply to your subcontractor(s), joint venturer(s), and partner(s) in this proceeding. Also included are parent companies and subsidiary companies directed and controlled by you, and political action committees directed and controlled by you.

C. You must file the attached disclosure form and disclose whether you or your agent(s) have in the aggregate contributed more than $250 to any Board member or other County officer who may participate in your proceeding during the 12-month period preceding the filing of the application or the initiation of the proceeding.

D. If you or your agent have in the aggregate contributed more than $250 to any individual Board member or other County officer who may participate in your proceeding during the 12 months preceding the decision on the application or proceeding, that Board member or other County officer must disqualify himself or herself from the decision. However, disqualification is not required if the Board member or other County official returns the campaign contribution within 30 days from the time the member or official knows, or should have known, about both the contribution and the fact that you are a party in the proceeding. The Campaign Contribution Disclosure Form should be completed and filed with your application or proposal, or with the first written document you file or submit after the proceeding commences.

1. A proceeding involving “a license, permit, or other entitlement for use” includes all business, professional, trade and land use licenses and permits, and all other entitlements for use, including all entitlements for land use, all contracts (other than competitively bid, labor or personal employment contracts), and all franchises.

2. Your “agent” is someone who represents you in connection with a proceeding involving a license, permit or other entitlement for use. If an individual acting as an agent is also acting in his or her capacity as an employee or member of a law, architectural, engineering, consulting firm, or similar business entity, both the business entity and the individual are “agents.”

3. To determine whether a campaign contribution of more than $250 has been made by you, campaign contributions made by you within the preceding 12 months must be aggregated with those made by your agent within the preceding 12 months or the period of the agency relationship, whichever is shorter. Contributions made by your majority shareholder (if a closely held corporation), your subcontractor(s), your joint venturer(s), and your partner(s) in this proceeding must also be included as part of the aggregation. Campaign contributions made to different Board of Supervisors members or other County officer who may participate in your proceeding are not aggregated.

A list of the Board of Supervisors members and other County officials are listed on Exhibit 3. This notice summarizes the major requirements of Government Code section 84308 of the Political Reform Act and California Code of Regulations, Title 2 sections 18438.1-18438.8.
