Continuation of Description
1.Maintenance Services. Throughout the applicable twelve month maintenance service term, and subject to the exclusions listed herein the maintenance services on the ProVation software referenced herein includes: (a) correction of reported failures to substantially conform to or perform substantially in accordance with published user documentation; (b) furnish, at no additional charge updates which ProVation makes generally available to its licensees under maintenance without an additional license fee (collectively, "Updates"); provided, however, that installation, implementation, and other services or out- of-pocket costs in connection with the Updates are not included; and (c) telephone support to assist DOD in its use of the ProVation software. The obligation to provide the maintenance services described herein applies only to the current version of the ProVation software and the immediate prior version. The maintenance services are more particularly described in the ProVation Customer Support Handbook, which may be revised from time to time.
2. Exclusions. The maintenance services provided hereunder do not include: (a) resolution of problems resulting from: (i) any modification of or damage to the ProVation software or its operating environment, (ii) DOD's failure to operate the ProVation software in the proper and reliable network, hardware and software environment, (iii) DOD's failure to operate the ProVation software in accordance with its documentation and/or instructions, or (iv) DOD's failure to implement any Updates, improvements, modifications, patches and/or bug fixes; (b) new modules in the ProVation software for which separate license fee is established; (c) any Updates, if DOD is in default with respect to payment of maintenance fees;
(d) professional services; or (e) ProVation travel expenses associated with on site maintenance services.
3. Limited Services. ProVation will do all that is commercially reasonable to provide maintenance services however service may be limited due to lack of remote access to DOD's ProVation system. Below is a general overview of what DOD should expect, not to be construed as a complete or final list.
*ProVation will provide remote phone support for application and technical issues but will be severely limited in diagnosing and resolving some issues.
*There may be extensive delays in solving some problems and some problems may not be addressable at all without remote system access.
*Software defect corrections may be required and will not be deployable without remote system access.
*Some features, functions and products may not be implementable without remote access. This includes but is not limited to HL7 interfaces as well as functionality included in updates.
*Regular software updates deployed by the DOD may result in unexpected behavior of the application and/or software defects. These problems may not be addressable without remote system access.
DOD may choose to purchase on-site services in an effort to address problems, such as those described above, that arise from lack of remote system access. ProVation cannot guarantee that on-site service will be a practical, acceptable, or successful alternative to remote access in all cases. If DOD chooses to purchase on-site services, they will be provided on a time and materials basis and DOD will be responsible for payment of all service fees and travel expenses. All on-site services are subject to availability of qualified field staff and emergency service may not be immediately available.
Should remote access be agreed to by both ProVation and the DOD in the future, it will be compliant with DOD B2B VPN requirements.
4. DOD Duties. DOD will: (a) cooperate with ProVation in identifying the cause of any claimed failure of the Licensed Software to perform per the Agreement; (b) allow ProVation reasonable on-site access to the Licensed Software and systems ; and (c) perform data backups, verify that the backups are successful, and secure the backup data in a location secondary to the server(s). DOD will allow SecureLink to be utilized as the method for secure unattended, remote access.
5. Termination of Maintenance. Maintenance services shall immediately end as of the end of any twelve month maintenance service term. If DOD's license to use any of the ProVation software is terminated for any reason, maintenance services will terminate.
6. Fees. Licensee will pay ProVation the fees specified herein upon invoice by ProVation. Maintenance fees for any subsequent twelve month renewal terms will be at ProVation's then established rates due annually in advance of the term.
