This contract supersedes all prior proposals, contracts and understandings between the Parties concerning the subject matter of the contract. This contract can be signed in multiple counterparts upon agreement of the Parties.

1. SCOPE OF WORK

1.1. OVERVIEW AND PURPOSE:

The Vendor shall conduct Prison Rape Elimination Act (PREA) audits of all Illinois Department of Juvenile Justice (IDJJ) youth centers by United States Department of Justice (USDOJ) certified PREA auditors, henceforth referred to as auditor(s) using the audit instruments posted by the PREA Resource Center for adult prisons and community confinement facilities including the mandated PREA Compliance Tools.

1.1.1 The Vendor is required to perform new PREA certified audits on a minimum of 1/3 of Illinois Youth Centers or two Youth Centers per year (Chicago, St. Charles, Warrenville, Lincoln, Pere Marquette, and Harrisburg) during the contract period, see Attachment A – List of Youth Centers per PREA Audit Year and Cycle. All pre-audits, audits, and post-audits must be completed before the end of each audit year and cycle. All facilities have received their annual PREA audit prior to this contract period except for newly opened IYC Lincoln. Vendor and Agency shall establish a schedule at the beginning of the contract period. IDJJ may add additional facilities or remove any current facilities during the life of this contract.

1.1.2 The auditor(s) will work with staff and youth at each of the selected facilities to complete the objectives of the certified PREA audit. The auditor(s) will work within the audit standards to complete interviews, surveys and other research to summarize each facility’s progress toward becoming fully compliant with PREA.

1.1.3 The auditor(s) will report findings of the audit to the Department as well as any recommendations on resolving any areas of non-compliance. The auditor(s) shall present any and all findings to the department in writing.

1.2. SUPPLIES AND/OR SERVICES REQUIRED:

All audit activities completed or performed by the certified auditor(s) shall follow all standards of the certified PREA audit as well as Illinois Department of Juvenile Justice rules and administrative directives.

1.2.1 AUDIT MODEL:

1.2.1.1 The audit process will be conducted in three phases: pre-audit, audit, and post-audit. The Agency shall ensure that the auditor(s) have access to the facility, documentation (including electronically stored information), personnel, and individuals in custody, consistent with the auditing standards, until issuance of the final report.

1.2.1.2 During the pre-audit phase, IDJJ’s PREA coordinator and each center PREA compliance manager will participate in this process by completing required surveys, questionnaires, and interviews, providing required documentation to the PREA Auditor(s), and posting the required six-week audit notice at each facility.

1.2.1.3 The PREA Auditor(s) shall provide the Agency PREA Coordinator with a black and white PREA Audit notice available in both English and Spanish.

1.2.1.4 During the audit phase, the PREA Auditor(s) will review IDJJ Departmental Rules, Administrative and Institutional Directives, tour each center, and conduct interviews with both staff and youth in custody.

1.2.1.5 During the post audit phase, the Auditor(s) will review collected information and documentation, determine the level of compliance with each Standard, and provide each facility with a preliminary/interim audit report that may trigger a 180-day corrective action period depending upon the audit findings. If a corrective action plan is necessary, the PREA Auditor(s) will present those findings to the facility and will work jointly with IDJJ staff to develop a corrective action plan to achieve PREA compliance. Once the corrective action is completed, the Auditor(s) will prepare the final report.

1.2.2 The final audit reports, and interim audit report, if applicable, for the various IDJJ centers are to be completed and provided to IDJJ by deadlines set forth in the current version of the PREA Auditor Handbook distributed by the PREA Management Office.

1.2.3 During the term of the contemplated contract IDJJ will be operating six (6) centers; should IDJJ open any additional centers during the term of this contract, this may affect audit schedule and number of centers to be audited. IDJJ reserves the right to forgo PREA Audit services of any center due to facility closing or other unforeseen circumstances. Vendor shall not receive payment for PREA Audit services not provided at closed center.

1.2.4 IDJJ will identify the centers (see Attachment A) that will be audited each year to meet the PREA Standard 115.401(b) frequency requirement: considering center location and other logistical considerations.

1.2.5 SECURITY:

1.2.5.1 Vendor and its personnel shall be subject to and shall comply with all security regulations and procedures of IDJJ.

1.2.5.2 Violation of these regulations may result in the employee being denied access to the center.

1.2.5.3 IDJJ will provide security for the Vendor’s employees and agents consistent with the security provided for IDJJ employees.

1.2.6 All travel and per diem costs needed to fulfill the terms and services of this contract are the responsibility of the Contractor and must be included in the pricing in BidBuy’s Items Tab.

1.2.7 The schedule for the certified PREA audits and identification of centers to be audited will be determined by the IDJJ management or the IDJJ PREA Coordinator at the execution of the contract. Adjustments may be made to this schedule at the discretion of the IDJJ PREA coordinator at any time. The auditor(s) shall provide the Agency PREA Coordinator with a tentative schedule of activities during any on-site visits at least five days prior to arrival at the center.

1.2.8 IDJJ reserves the right to request PREA Audit services for any future centers that may be opened or utilized during this contract period. The pricing for the additional facility will be determined based on the existing contract pricing by center’s location, category, and size. Contract Amendment shall be completed to add a facility within the contract period.

1.2.9 SERVICES:

1.2.9.1 Only certified PREA Auditor(s) will perform the PREA audits for all centers.

1.2.9.2 The time to complete the onsite phase of the audit will vary depending on a number of factors such as center type, population size, physical plant layout and size, center organization, and preparedness level.

1.2.9.3 The duration of the onsite audit must provide adequate time for the Auditor(s) to thoroughly evaluate compliance with the PREA Standards in practice and assess the center’s commitment to sexual safety and zero tolerance for sexual abuse and sexual harassment.

1.2.9.4 The Vendor shall provide the contact information to IDJJ to include in the notice of the audit.

1.2.9.5 If the PREA Auditor(s) determines that the center “Does not meet Standard” with respect to any Standard provision, the Auditor(s) and the agency will jointly develop a corrective action plan.

1.2.9.6 Within 180 days, the Auditor(s) is required to verify implementation of the corrective action plan, issue a final determination, and complete a final PREA audit report. If no corrective action plan is required, the Auditor(s) will provide a final report at the end of the PREA audit. Agencies are required to post their PREA Audit Final Reports on their agency web site.

1.2.10 REPORTS:

Vendor shall provide a report to the department that includes the findings of the certified Auditor(s) and any recommendations for bringing the audited facility into compliance. Vendor shall submit a final report of the certified audit to the department upon its completion.

1.2.11 ON SITE SPECIFICATIONS WITH DIRECT INDIVIDUAL IN CUSTODY CONTACT:

ANTI-TRUST ASSIGNMENT: If Vendor does not pursue any claim or cause of action it has arising under Federal or State antitrust laws relating to the subject matter of this contract, then upon request of the Illinois Attorney General, Vendor shall assign to the State all of Vendor’s rights, title and interest to the claim or cause of action.

4.18. CONTRACTUAL AUTHORITY: The Agency that signs this contract on behalf of the State of Illinois shall be the only State entity responsible for performance and payment under this contract. When the Chief Procurement Officer or authorized designee or State Purchasing Officer signs in addition to an Agency, he/she does so as approving officer and shall have no liability to Vendor. When the Chief Procurement Officer or authorized designee or State Purchasing Officer signs a master contract on behalf of State agencies, only the Agency that places an order or orders with the Vendor shall have any liability to the Vendor for that order or orders.

4.19. EXPATRIATED ENTITIES: Except in limited circumstances, no business or member of a unitary business group, as defined in the Illinois Income Tax Act, shall submit a bid for or enter into a contract with a State agency if that business or any member of the unitary business group is an expatriated entity.

4.20. NOTICES: Notices and other communications provided for herein shall be given in writing via electronic mail whenever possible. If transmission via electronic mail is not possible, then notices and other communications shall be given in writing via registered or certified mail with return receipt requested, via receipted hand delivery, via courier (UPS, Federal Express or other similar and reliable carrier), or via facsimile showing the date and time of successful receipt. Notices shall be sent to the individuals who signed this contract using the contact information following the signatures. Each such notice shall be deemed to have been provided at the time it is actually received. By giving notice, either Party may change its contact information.

4.21. MODIFICATIONS AND SURVIVAL: Amendments, modifications and waivers must be in writing and signed by authorized representatives of the Parties. Any provision of this contract officially declared void, unenforceable, or against public policy, shall be ignored and the remaining provisions shall be interpreted, as far as possible, to give effect to the Parties’ intent. All provisions that by their nature would be expected to survive, shall survive termination. In the event of a conflict between the State’s and the Vendor’s terms, conditions and attachments, the State’s terms, conditions and attachments shall prevail.

4.22. PERFORMANCE RECORD/SUSPENSION: Upon request of the State, Vendor shall meet to discuss performance or provide contract performance updates to help ensure proper performance of this contract. The State may consider Vendor’s performance under this contract and compliance with law and rule to determine whether to continue this contract, suspend Vendor from doing future business with the State for a specified period of time, or whether Vendor can be considered responsible on specific future contract opportunities.

4.23. FREEDOM OF INFORMATION ACT: This contract and all related public records maintained by, provided to, or required to be provided to the State are subject to the Illinois Freedom of Information Act (FOIA) notwithstanding any provision to the contrary that may be found in this contract. 5 ILCS 140.

4.24. SCHEDULE OF WORK: Any work performed on State premises shall be performed during the hours designated by the State and performed in a manner that does not interfere with the State and its personnel.

Vendor agrees to reimburse the State for any losses, costs, damages or expenses, including without limitations, reasonable attorney’s fees and expenses, arising from failure of the supplies to meet such warranties.

4.25.2. Vendor shall ensure that all manufacturers’ warranties are transferred to the State and shall provide to the State copies of such warranties. These warranties shall be in addition to all other warranties, express, implied or statutory, and shall survive the State’s payment, acceptance, inspection or failure to inspect the supplies.

4.25.3. Vendor warrants that all services will be performed to meet the requirements of this contract in an efficient and effective manner by trained and competent personnel. Vendor shall monitor performances of each individual and shall immediately reassign any individual who does not perform in accordance with this contract, who is disruptive or not respectful of others in the workplace, or who in any way violates the contract or State policies.
