About this file
This document is a Contract Document Template for the City of Hayward's 2025-2026 Root Foaming Project, which is a municipal contract for sewer root control services. The project requires a qualified contractor to perform specialized root control work, with a contract duration of 112 calendar days from the notice to proceed date. The timeline includes a 30-calendar-day demobilization period to allow for interior metal component repairs by others. The contractor is expected to complete the scope of work outlined in Bid Items 1 through 8, with strict adherence to project completion dates.
The contract includes specific financial terms, with the City of Hayward paying the contractor based on the bid prices specified in the contract documents. A significant provision is the liquidated damages clause, where the contractor will be charged $500 per calendar day for delays beyond the prescribed completion timeline. The contract is funded by the City of Hayward and follows California state labor code requirements, including provisions for minimum prevailing wage rates, workers' compensation insurance, and compliance with labor regulations. The contract also includes performance and labor/materials bonds to ensure project completion and protection of workers and materials suppliers.

That for and in consideration of the promises and agreements hereinafter made and exchanged the City and the Contractor agree as follows:
Contractor will furnish the necessary labor, materials, tools, and equipment and perform all the work required for
PROJECT NAME Project
Project No. NUMBER in accordance with U.S. Department of Commerce Economic Development Administration Standard Terms and Conditions for Construction Projects (February 12, 2016), the plans and special provisions for said project, and also in accordance with the adopted Standard Specifications, Standard Plans and Standard Details of the City of Hayward, all of which are on file in the office of the City Clerk of said City of Hayward, and the proposal of said Contractor filed in the office of said City Clerk on BID OPENING DATE, which plans, special provisions, standard specifications, standard plans, standard details, and proposal are hereby referred to for further particulars and by such reference made a part hereof.
In the performance of the work and the furnishing of labor in connection therewith, it is understood and agreed that all of the rights, duties, and obligations imposed upon Contractor by Division 2, Part 7, Chapter 1 of the Labor Code of the State of California (Sections 1720 to 1861) shall be applicable.
For convenience only and not to limit the application of the aforesaid State Labor Code provisions, the following of said provisions have particular application:
Article 1 - "Scope and Operation" (1720-1740)
Article 2 - "Wages" (1770-1780)

Article 5 - "Securing Workers' Compensation" (1860-1861)
B.P. Revised 01/2020 C-2 MONTH & YEAR OF CONTRACT AWARD
The Contractor shall carry Workers' Compensation insurance and require all subcontractors to carry Workers' Compensation insurance, as required by Section 3700 of the Labor Code of the State of California.
The Contractor and his subcontractors shall pay their employees not less than the minimum prevailing wage rates predetermined by the Director of the Department of Industrial Relations, which rates are filed in the Office of said City Clerk, incorporated herein by this reference and made a part hereof.
The City shall pay to Contractor the price or prices stated, specified and set forth in the bid or bids of Contractor. Payment shall be made by City to Contractor in progress payments in amounts and at the time set forth in said specifications.
The Contractor shall complete the scope of work within 112 calendar days from the contract notice to proceed date. The 112 calendar days includes the provision to demobilize for 30 calendar days to allow repairs of the interior metal components by others as indicated in the technical specifications Section 01110 Paragraph 1.02 A.1.c.
Owner and Contractor recognize that time is of the essence of this Contract and that the Owner will suffer financial loss in the form of loss of public use and contract administration expenses (including project management and consultant's expenses), if Contractor fails to complete this contract, and work provided herein within the times fixed for such completion. Accordingly, if the Contractor fails to meet the project completion dates referenced herein, or the work does not meet the requirements of the Technical Specifications, the Owner and Contractor agree that as damages, therefore Contractor shall pay Owner liquidated damages.
The contractor shall pay the City the sum of $500 per day in the excess of the number of CALENDAR DAYS prescribed in the contract for each and every CALENDAR DAYs delay in completing the scope of work outlined in Bid Items 1 through 8.
Liquidated damages shall be considered not as a penalty but as agreed monetary damage sustained by Owner for increased administration expenses, including extra inspection, construction management, engineering, and operating expenses because Contractor failed to perform and complete Vacuator coatings and repairs within time fixed for completion including extensions of time allowed pursuant to provisions hereof. Each liquidated damages measure shall apply separately and accrue cumulatively and shall be presumed to be the damages suffered by Owner resulting from delay.
Contractor shall be fully responsible for delays caused by itself, and its suppliers, subcontractors, subconsultants, any one directly or indirectly employed by any of them or any one for whose acts any of them may be liable.
The Contractor shall not be charged with liquidated damages because of any delays in the completion of the work due to unforeseeable causes beyond his/her control and without default or negligence of the Contractor, including, but not restricted to acts of the public enemy, acts of the government, acts of another prime Contractor in the performance of the contract with the City, fire, flood, epidemics, and delays due to such causes. The Contractor shall within ten (10) days from the beginning of any such delay notify the City in writing of the causes of the delay, who shall, after ascertaining the facts and the extent of the delay extend the time for completion of the work, when in its judgement the finding of the facts and determination thereon shall be final and conclusive on the parties thereto.
B.P. Revised 01/2020 C-3 MONTH & YEAR OF CONTRACT AWARD
Owner may deduct from any money due or to become due to Contractor subsequent to time for completion of Work and extensions of time allowed pursuant to provisions hereof, a sum representing then-accrued liquidated damages or any other amounts due. Owner need not wait until final payment to withhold liquidated damages or other amount due from Contractor's progress payments. Should money due, or to become due, to Contractor be insufficient to cover aggregate liquidated damages or other amounts due, then Contractor forthwith shall pay the remainder of the assessed liquidated damages and other amounts to Owner.
