This RFQ describes the Project, the required scope of services, the proposer selection process, and the minimum information that must be included in the SOQ. Failure to submit information in accordance with the RFQ requirements and procedures may be cause for disqualification.
II. BACKGROUND
The San Diego Association of Governments (SANDAG) is a legislatively authorized regional government agency that is primarily focused on transportation planning and construction in the San Diego region. SANDAG works with the County of San Diego, the cities within the County, as well as state and federal agencies to make policy decisions related to population growth, transportation planning and transit construction, environmental management, housing, open space, energy, public safety, and binational matters. In addition, SANDAG operates toll roads (State Route (SR) 125 and Interstate 15), administers the Automated Regional Justice Information System (ARJIS), and serves as a data clearinghouse for the region. SANDAG’s Board of Directors is made up of mayors, councilmembers or a supervisor from each of the region’s 18 cities and the County Board of Supervisors. Additional information regarding SANDAG and its projects can be found at www.sandag.org.

The Proposer(s) who is awarded an Agreement for this Project will be authorized to perform work pursuant to individually negotiated Task Orders issued and in accordance with the terms of the SANDAG Standard Services Agreement.
C. Payment Methods
The selected Proposer(s) will be paid by one of the following method(s):
1. Firm Fixed Price

Normally the lump sum payment will be paid at full at the end of the Agreement Task Order when all work has been completed, however, progress payments may be used in which the payments will be based upon completion of clearly defined milestones in the Payment or Rate Schedule.
Fixed prices must include the selected Proposer’s estimated costs, overhead and net fee (profit). Time spent to prepare invoices shall be considered an included overhead expense. Other direct costs such as fees, surcharges, deliveries, travel, and equipment rentals must be included as line item expenses in the Payment or Rate Schedule, if not already captured in the firm fixed price.
2. Specific Rates of Compensation
The selected Proposer will be paid at an agreed upon and supported specific fixed hourly, daily, weekly, or monthly rate for each class of employee engaged directly in the work. Such rates of pay shall be fully loaded, meaning they shall include the selected Proposer’s estimated costs, overhead and net fee (profit). Time spent to prepare invoices shall be considered an overhead expense. Other direct costs such as deliveries, copies, travel, and equipment rentals must be included as line item expenses in the Payment or Rate Schedule, if not already captured in the fully loaded rate.

The SANDAG officers, employees, agents, and Board members shall not solicit or accept gifts, gratuities, favors, or anything of monetary value from consultants, potential consultants, or parties to subagreements that could bias their decision-making. This prohibition applies to any gift, gratuity, favor, entertainment, or loan, and includes such items as liquor, lodging, travel, food, and tickets to public functions such as sports events, theater, etc. If a person has any reason to believe a financial or organizational conflict of interest exists with regard to a particular procurement, he/she should notify the SANDAG Office of General Counsel immediately.
A Proposer is eligible for award of service contracts by SANDAG so long as the contract in question does not create an actual, potential, or apparent financial or organizational conflict of interest. A prohibited organizational conflict of interest exists when a proposer is or may be unable to render impartial, objective assistance or advice to SANDAG or where a proposer would receive an unfair competitive advantage. Examples of situations that could create such a conflict of interest are listed in Board Policy No. 016. Firms that have a conflict of interest due to performing work for SANDAG are ineligible to propose. A process for determining whether a Proposer has a conflict is set forth in Board Policy No. 016. Ineligible firms include the prime Proposer, its subconsultants, and affiliates of either. An affiliate is a firm that is subject to the control of the same persons through joint ownership or otherwise.
VII. AUDIT AND PREVAILING WAGE REQUIREMENTS
A. Pre-Award and Post-Award Audits
A pre-award and/or post-award audit may be performed for the Agreement awarded pursuant to this RFQ. The selected proposers and all of their subconsultants will be subject to audit by SANDAG or its representatives as described in this Section. All references to “consultant” in this section shall mean the selected Proposer and all of its subconsultants, and the term
Request for Qualifications (RFQ) 14 v3.10.2026
“subconsultant” shall include Bench firms if Bench firms are used. If a post-award audit is performed and SANDAG determines that a consultant’s rates are not reasonable, the consultant will be required to execute an amendment contractually lowering the rates SANDAG is required to pay and SANDAG shall be entitled to an offset against amounts it owes the consultant for the amount of any overpayment that has already occurred.
The scope of the audit will consist of such tests as the auditors consider necessary to assure that the proposer satisfactorily meets the requirements outlined in items below prior to execution of the contract.
At the time of the pre-award and/or post-award audit, the prospective consultant must demonstrate through actual historical data that its accounting system is capable of accumulating and segregating reasonable, allowable, and allocable costs. For new businesses, if actual historical data is unavailable or the accounting system is newly implemented, the system will be tested to determine whether the accounting system is adequate and, if necessary, recommend that an interim audit be performed. At a minimum, the Proposer must have an accounting system that meets the following objectives:
• The ability to record and report financial data in accordance with generally accepted accounting principles and the CFR, Title 48, FAR System, Chapter 1, Part 31.
• The ability to accumulate and segregate reasonable, allowable, and allocable costs through the use of a cost accounting system.
• A system of record keeping ensuring the costs billed to SANDAG will be supported by adequate documentation and will be in compliance with the terms of the Agreement and applicable federal and state regulations.
• Procedures to retain accounting records and source documentation as required by the terms of the Agreement.
• A system of internal control which provides reasonable assurance that assets are protected; financial data, records, and statements are reliable; and errors and irregularities are promptly discovered, reported, and corrected.
• The proposer must be financially capable of performing the work.
• The costs proposed must be reasonable.
B. State and Federal General Prevailing Wage Rates
The Agreement to be awarded from this RFQ includes a scope of work that requires job positions that are subject to the payment of prevailing wages. The prevailing wage rates for the Counties of San Diego and Imperial in effect on the date this RFQ is advertised will apply throughout the entire Agreement term and are attached as an Exhibit to this RFQ.
If federal prevailing wage requirements apply, the selected Proposer will be required to pay the highest wage as between federal and state rates. Federal
Request for Qualifications (RFQ) 15 v3.10.2026 prevailing wage rate determinations are subject to any “modification” to those wage determinations issued by the Federal Department of Labor ten working days prior to the award of the Agreement.
C. DIR Registration
Projects involving public works require registration with the DIR. Proposers will therefore be required to determine whether the scope of services it provides on particular SANDAG projects fall under a classification that would require payment of prevailing wages. Pursuant to the Labor Code, “contractors” are required to pay a $400 registration fee and register with the DIR on an annual basis. The definition of “contractor” under Labor Code Section 1722.1 includes anyone that is affected by the public work statutes found in the California Labor Code (Sections 1720-1861). These Labor Code sections include classifications for pre-construction and post-construction activities, which include electrical and cable/wiring installers, landscapers, fencers, plumbers, painters, surveyors, soil testers, and inspection related services. In addition, the Labor Code is specific that all who “engage in the performance of a public work” are required to be properly registered. If proposer anticipates that it or one of its subconsultants will perform services for SANDAG that require payment of prevailing wages, or intends to perform services that would be covered by California Labor Code, both the consultant and its applicable subconsultants are required to register with the DIR in order to be compliant with the law. Without registering, prospective consultants and subconsultants risk being barred from engaging in the performance of any contract for public work, including projects for SANDAG. In order to be eligible for award of the Agreement the Proposers and their subconsultants who are subject to payment of prevailing wages, must be registered with the DIR at the time of proposal submission.

XI. PROPOSER EVALUATION AND SELECTION PROCESS

The approach and procedures are those which are applicable to a competitive negotiated procurement set forth by SANDAG Board Policy No. 016, which is available at www.sandag.org/legal.
SOQs will not be publicly opened.
A. Competitive Process
1. Consultant Selection and Cost Negotiations Process
SOQs will be evaluated in accordance with the criteria and procedures described herein. The approach and procedures are applicable to a competitive procurement whereby SOQs are evaluated to determine the most qualified proposer. Discussions and negotiations may then be carried out with the most qualified proposer, after which written BAFOs or FPRs may be requested. SANDAG may select a consultant for Agreement award without any discussions or negotiations or request for any FPRs. Subject to the SANDAG right to reject any or all SOQs, the Proposer whose SOQ is found to be most advantageous to SANDAG will be selected, based upon consideration of responsibility, responsiveness, and the evaluation criteria within this RFQ.
SANDAG will establish an Evaluation Committee for this RFQ and will include representatives from SANDAG, and when deemed in the SANDAG best interest, representatives of its member agencies, or individuals with experience and expertise in the related disciplines.
2. Responsiveness Review
Each SOQ will be evaluated for responsiveness. In order to be found responsive, proposer must follow the instructions of the RFQ and include sufficiently detailed information, such that the SOQ can be evaluated. Any SOQ that does not conform to the requirements of the RFQ may be rejected as nonresponsive. A nonresponsive SOQ which substantially conforms to this RFQ may, though it is not strictly responsive, be accepted if the variance cannot have given a Proposer an advantage or benefit not allowed other proposers. SANDAG, in its sole discretion, may choose to waive or not to http://www.sandag.org/legal
Request for Qualifications (RFQ) 19 v3.10.2026 waive any non-consequential deviation, including an allowance to proposers to cure issues of responsiveness by providing supplemental information within timelines set by SANDAG. Only responsive proposals will be evaluated further. See RFQ Attachment entitled List of Submittals Required with Proposal (RFQ Checklist).
3. Evaluation of Qualifications
Proposers will be evaluated on the criteria as per attached Proposer Short List Evaluation Form. SANDAG will conduct reference checks for Proposers.
Reference check results will be considered during the evaluation and selection process. Proposers will be evaluated based upon the information submitted in accordance with requirements in this Section, responsibility requirements, SOQ submittal requirements, the evaluation criteria, and compliance with all other requirements of this RFQ.
In the event that an SOQ contains conditions, exceptions, or reservations to any RFQ and/or SANDAG Agreement requirements, said conditions, exceptions, reservations, or understandings may be negotiated; however, SANDAG shall have the right to reject any and all such conditions and/or exceptions and instruct the proposer to amend its SOQ and remove said conditions and/or exceptions. Any Proposer failing to do so may cause SANDAG to discontinue negotiations with the proposer.
SANDAG reserves the right to conduct visits to Proposer’s facilities or to inspect the facilities for which proposer has supplied the same or similar services if appropriate.
4. Responsibility
Evidence that the human and physical resources are sufficient to perform the Agreement as specified and assure delivery of all deliverables within the time specified in the Agreement, to include:
