Combined Synopsis and Solicitation Solicitation No. 89233121QNA000190
The Department of Energy/National Nuclear Security Administration (DOE/NNSA) is issuing this Combined Synopsis/Solicitation (CSS) for commercial items prepared in accordance with the format in FAR Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation;
quotes are being requested and a written solicitation will not be issued. The solicitation number is 89233121QNA000190 and is issued as a Request for Quote (RFQ).
The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular (FAC) 2021-04, effective January 19, 2021.
Market research has concluded this to be a full and open competition requirement and the North American Industry Classification System (NAICS) Code is 212299 - All Other Metal Ore Mining with a size standard of 750 employees.
DESCRIPTION OF REQUIREMENT:
The DOE/NNSA’s Savannah River Site has a need to procure virgin palladium sponge in accordance with the specifications of the attached Statement of Work (SOW).
The Government’s intent is to award a firm-fixed-price contract for a minimum of 50 Kilograms of Virgin Palladium Sponge which includes Commission/Fee and Shipping/Delivery. The Government is not obligated to purchase any quantities exceeding the minimum of 50 Kilograms. There is no limit on the number of times the Government may exercise its rights under FAR clause 52.217-6, Option for Increased Quantity.
Any Option to Increase Quantity issued during the effective period of this contract shall be delivered by the Awardee/Contractor within the time specified in that modification. There will not be a requirement to make any deliveries under this contract after 2 years from date of award.
The Quote Sheet (Attachment 2) is suggested to be used as an aid to offerors for providing pricing to present Commission/Fee and Shipping/Delivery, and to assist the government for evaluation purposes only to determine best value; offerors may provide quote responses in a comparable format. The quantities on the quote sheet do not reflect actual quantities for future orders under CLIN 0002 (which is an Option CLIN).

DOE-D-2001 PACKAGING AND MARKING (OCT 2014)
(a) Preservation, packaging and packing for shipment or mailing of all work delivered hereunder shall be in accordance with good commercial practice and adequate to insure acceptance by common carrier and safe transportation at the most economical rate(s), including electronic means.
(b) Each package, report or other deliverable shall be accompanied by a letter or other document which –
(1) Identifies the contract by number pursuant to which the item is being delivered;
(2) Identifies the deliverable item number or report requirement which requires the delivered item; and
(3) Indicates whether the Contractor considers the delivered item to be a partial or full satisfaction of the requirement.
(c) For any package, report, or other deliverable being delivered to a party other than the Contracting Officer, a copy of the document required by paragraph (b) shall be simultaneously delivered to the office administering this contract, as identified in Section G of the contract, or if none, to the Contracting Officer.

PERFORMANCE PERIOD:
The period of performance of this contract is anticipated to be for a two-year period from the date of award.
PROVISIONS:
FAR 52.212-1, Instructions to Offerors – Commercial Items, applies to this acquisition.
ADDENDUM TO FAR 52-212.1 INSTRUCTIONS TO OFFERORS – COMMERCIAL ITEMS

The following provisions are incorporated into 52.212-1 as an addendum to this solicitation:
INSTRUCTIONS FOR QUOTE SUBMISSIONS:
This section provides general guidance for proposal submissions as well as specific instructions on the format and content of the quote. An offeror’s quote must include all data and information requested by the Instructions to Offerors and must be submitted in accordance with these instructions. The quote shall be compliant with all solicitation documents to include SOW Attachment 1 and Quote Sheet Attachment 2.

DISCREPANCIES:
If an Offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the Offeror shall immediately notify the CO in writing with supporting rationale. The Offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussion.
DEFINITION, SUBMISSION INSTRUCTIONS, QUESTIONS AND QUOTE ARRANGEMENT:
Definitions. The following definitions apply:
“Electronic signature” or “signature” means a method of signing an electronic message that- Identifies and authenticates a particular person as the source of the electronic message; and Indicates such person’s approval of the information contained in the electronic message.
“Days,” unless otherwise specified, means calendar days, and includes Saturdays, Sundays, and legal holidays.
Quote Submission Address and Due Dates Offerors shall submit an electronic Quote (1 copy) no later than 5PM MST May 14, 2021. Electronic submission of the Offeror’s Quote shall be accomplished via email to Jeff.Sena@nnsa.doe.gov with a copy furnished to Michelle.Elliott@nnsa.doe.gov. The email subject line must read “Solicitation 89233121RNA000102.”
The Quote shall include a Cover Letter and Price Quote. It is the responsibility of the Offeror, prior to the proposal due date and time, to verify successful transmission of the electronic copy via email with the CO. See FAR 52.215-1, Instructions to Offerors-Competitive Acquisition, for treatment of late proposals. Any other type of submission will not be accepted.
QUESTIONS
Questions concerning this solicitation must be submitted to the CO via email no later than Noon MST on May 5, 2021 to Jeff.Sena@nnsa.doe.gov with a copy furnished to Michelle.Elliott@nnsa.doe.gov. The email subject line must read “Solicitation 89233121QNA000190” to allow a reply to reach all prospective offerors before the submission of their quotes.
Any questions received after May 5, 2021 may not be answered prior to the date that proposals are due. Each question should clearly specify: the solicitation area, or attachment, to which it refers (title of document, section, page number).
Example: SOW, Section 3, Page 2 – [Insert question].
Answers will be made available to all potential offerors through an amendment to the solicitation as soon as practicable. All questions and answers will be attached to the amendment.
Any information concerning this solicitation will be furnished promptly to all other prospective offerors, if that information is necessary in submitting proposals or if the lack of it would be prejudicial to any other prospective offerors. The identity of the prospective offerors asking questions will be withheld.
The Government will not respond to questions submitted by telephone, or in person, at any time.
Classified Information. The Offeror shall not provide classified information in response to this solicitation.
Errors or Omissions. The solicitation is considered complete and accurate in every detail and adequately describes the Government’s requirements. If you feel any part of the solicitation contains an error or omission, offerors must contact the CO via email to obtain clarification. No changes to this solicitation will be effective unless they are incorporated into the solicitation by amendment.

COVER LETTER
The Quote Cover Letter shall include, at a minimum, the following information:
(1) Solicitation Number
(2) Name, address, telephone, and email address(es) of the Offeror.
(3) Business name, DUNS Number, CAGE Code, and tax identification (TINs) of the Offeror.
(4) Names, titles, telephone, and email address(es) of persons authorized to negotiate and to be contacted for inquiries during evaluation on the Offeror’s behalf with the Government in connection with this solicitation.
(5) Name, title, and signature of the person authorized to sign the Quote. Quotes signed by an agent shall be accompanied by evidence of that agent’s authority.
(6) Acknowledgment that the company’s (and all team members/subcontractors) data at the System for Award Management

a. Exceptions and Deviations. If the Offeror takes any exception or deviation to the terms and conditions contained in the solicitation, the Offeror shall provide a list of and the basis for, any exceptions or deviations. Any exceptions or deviations by the Offeror to the terms and conditions stated in this solicitation may make the offer unacceptable for award.
PRICE QUOTE
Offerors are required to provide a price quote which corresponds to the suggested format in Attachment 2 to convey an offeror’s understanding of the solicitation requirements.
ADDENDUM TO FAR 52.212-2 INSTRUCTIONS TO OFFERORS – COMMERCIAL ITEMS
In accordance with FAR 52.212-2, Evaluation-Commercial Items, (OCT 2014) The Government will award a (single) contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered.
BASIS FOR CONTRACT AWARD:
In determining the best value to the Government, evaluations will be conducted to determine the lowest price and technical acceptability.

(d) Comptroller General Examination of Record. (1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. (a) If a protest of this procurement is filed with the Government Accountability Office (GAO) in accordance with 4 CFR Part 21, any actual or prospective offeror may request the Department of Energy to provide it with reasonable access to the protest file pursuant to 48 CFR 33.104(a)(3)(ii), implementing section 1065 of Public Law 103-355. VIPERS allow vendors to submit vouchers, attach supporting documentation and check the payment status of any voucher submitted to the DOE. 52.204-18 COMMERCIAL AND GOVERNMENT ENTITY CODE MAINTENANCE. (AUG 2020)
(a) Definition. As used in this clause-

(1) An identifier assigned to entities located in the United States or its outlying areas by the Defense Logistics Agency (DLA) Commercial and Government Entity (CAGE) Branch to identify a commercial or Government entity by unique location; or
(2) An identifier assigned by a member of the North Atlantic Treaty Organization (NATO) or by the NATO Support and Procurement Agency (NSPA) to entities located outside the United States and its outlying areas that the DLA Commercial and Government Entity (CAGE) Branch records and maintains in the CAGE master file. This type of code is known as a NATO CAGE (NCAGE) code.
(b) Contractors shall ensure that the CAGE code is maintained throughout the life of the contract for each location of contract, including subcontract, performance. For Contractors registered in the System for Award Management (SAM), the DLA Commercial and Government Entity (CAGE) Branch shall only modify data received from SAM in the CAGE master file if the Contractor initiates those changes via update of its SAM registration. Contractors undergoing a novation or change-of-name agreement shall notify the contracting officer in accordance with subpart 42.12. The Contractor shall communicate any change to the CAGE code to the contracting officer within 30 days after the change, so that a modification can be issued to update the CAGE code on the contract.
(c) Contractors located in the United States or its outlying areas that are not registered in SAM shall submit written change requests to the DLA Commercial and Government Entity (CAGE) Branch. Requests for changes shall be provided at https://cage.dla.mil. Change requests to the CAGE master file are accepted from the entity identified by the code.
(d) Contractors located outside the United States and its outlying areas that are not registered in SAM shall contact the appropriate National Codification Bureau (points of contact available at http://www.nato.int/structur/AC/135/main/links/contacts.htm) or NSPA at https://eportal.nspa.nato.int/AC135Public/scage/CageList.aspx to request CAGE changes.

52.216-2 ECONOMIC PRICE ADJUSTMENT - STANDARD SUPPLIES. (JAN 1997)
(a) The Contractor warrants that the unit price stated in the Schedule for CLINs 0001 & 0002 “Virgin Palladium Sponge” is not in excess of the Contractor's applicable established price in effect on the contract date for like quantities of the same item. The term unit price excludes any part of the price directly resulting from requirements for preservation, packaging, or packing beyond standard commercial practice. The term established price means a price that (1) is an established catalog or market price for a commercial item sold in substantial quantities to the general public, and (2) is the net price after applying any standard trade discounts offered by the Contractor.
(b) The Contractor shall promptly notify the Contracting Officer of the amount and effective date of each decrease in any applicable established price. Each corresponding contract unit price shall be decreased by the same percentage that the established price is decreased. The decrease shall apply to those items delivered on and after the effective date of the decrease in the Contractor's established price, and this contract shall be modified accordingly.
(c) If the Contractor's applicable established price is increased after the contract date, the corresponding contract unit price shall be increased, upon the Contractor's written request to the Contracting Officer, by the same percentage that the established price is increased, and the contract shall be modified

(1) The aggregate of the increases in any contract unit price under this clause shall not exceed 50 percent of the original contract unit price.
(2) The increased contract unit price shall be effective (i) on the effective date of the increase in the applicable established price if the Contracting Officer receives the Contractor's written request within 10 days thereafter, or (ii) if the written request is received later, on the date the Contracting Officer receives the request.
(3) The increased contract unit price shall not apply to quantities scheduled under the contract for delivery before the effective date of the increased contract unit price, unless failure to deliver before that date results from causes beyond the control and without the fault or negligence of the Contractor, within the meaning of the Default clause.
(4) No modification increasing a contract unit price shall be executed under this paragraph (c) until the Contracting Officer verifies the increase in the applicable established price.
(5) Within 30 days after receipt of the Contractor's written request, the Contracting Officer may cancel, without liability to either party, any undelivered portion of the contract items affected by the requested increase.
(d) During the time allowed for the cancellation provided for in subparagraph (c)(5) above, and thereafter if there is no cancellation, the Contractor shall continue deliveries according to the contract delivery schedule, and the Government shall pay for such deliveries at the contract unit price, increased to the extent provided by paragraph (c) above.

The Government may increase the quantity of supplies called for in the Schedule at the unit price specified. The Contracting Officer may exercise the option by written notice to the Contractor within 15 days.
