All cleaning operations must strictly adhere to the attached Performance Work Statement (PWS) and applicable Navy Maintenance Requirement Cards (MRCs). Assault Craft Unit FIVE (ACU 5), located at Camp Pendleton California, provides the operational commander with fully manned, trained, maintained and properly supported LCAC ready to conduct prompt, sustained combat and non-combat operations. The LCAC is an air cushioned vehicle for transporting, ship-to-shore and across the beach, personnel, weapons, equipment and cargo of the elements of the Marine Air-Ground Task Force. It is a high-speed, over-the-beach fully amphibious landing craft, capable of carrying a 75-ton payload. It is used to transport the weapons systems, equipment, cargo and personnel of the assault elements of the Marine Air-Ground Task Force from ship to shore and across the beach. LCAC’s can carry heavy payloads, such as an M-1A1 tank, at high speeds. The LCAC payload capacity and speed combine to significantly increase the ability of the Marine Ground Element to reach the shore. Air cushion technology allows this vehicle to reach more than 70 percent of the world's coastline, while only about 15 percent of that coastline is accessible by conventional landing craft.

ADDENDUM TO 52.212-1 INSTRUCTIONS TO QUOTER:

1. GENERAL INSTRUCTIONS

1.1 This section provides general instructions for preparing quotes as well as specific instructions on the format and content of the quote. Quoters are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements in addition to those identified as evaluation factors and subfactors. Taking exception to any provision in the solicitation without addressing the exception with the contracting office before the quote due date specified within the solicitation will render the quote ineligible for award.

1.2 The Government intends to award this contract without discussions. Notwithstanding this intent, the Government reserves the right to conduct discussions with Quoters in the competitive range, if necessary, and permit such Quoters to revise their quotes.

1.3 A Quoter’s submission is presumed to represent the Quoter’s best efforts to comply with the solicitation requirements. Clarity and completeness of the quote are of the utmost importance. The quote must be written in a practical, clear, and concise manner. It must use quantitative terms whenever possible and must avoid qualitative adjectives to the maximum extent possible. Quoters are cautioned against restating PWS requirements in their quote, particularly with regard to technical requirements and must state how all RFQ and PWS requirements will be met. Statements such as "the Quoter understands" and "the Quoter will/can comply", along with responses that paraphrase the RFQ, are inadequate. The use of phrases such as "standard practices" (with a specific government reference or industry reference) does not indicate that a Quoter understands the requirements and will likely result in a diminished evaluation rating.

1.4 The quote must be complete as submitted and not include references to information previously submitted. Information previously submitted to the Navy, if any, will not be incorporated “by reference” into the quote and will not be considered in the evaluation of the quote.

1.5 At the Government’s discretion, the Contractor’s quote may be incorporated into the final contract, either in whole or in part.

1.6 The Quoter’s submission will remain valid for at least 120 calendar days after the quote due date.

1.7 Questions regarding any aspect of this procurement must be submitted in writing to the Contract Specialist. Other methods of submitting questions are not authorized and will not be acknowledged or addressed. Both questions and answers will be posted to the Government Point of Entry (www.sam.gov) in a form of amendment to the solicitation for all parties to view. The Government will make every attempt to answer all questions in a timely manner. However, questions submitted within three days of the posted closing date may not allow for ample time to respond, and Quoter cannot be guaranteed a response will be issued. All questions must be submitted by date referenced on sam.gov.

2. QUOTE FORMAT AND CONTENT

2.1 The quotes will be submitted in severable volumes based on the Factors as set forth below and all information specific to each Factor will be confined to that volume. Failure to provide any volume may result in the quote being given an Unacceptable rating. Information provided will be specific to each Factors.

2.2 The quoter’s submission will consist of three (3) separate volumes:

Volume I – Technical Volume II – Past Performance Volume III – Price Note: All information pertaining to price data will be included exclusively in Volume III. Under no circumstances will any pricing data be included elsewhere in the quote.

2.3 Each volume must include the Cover Sheet. The cover sheet will include:

· Name and address of the quoter, point-of-contact (POC), title, telephone number, fax number, email address, and Commercial and Government Entity (CAGE) code.

2.4 Data submitted directly to the Government by subcontractors in support of the prime quoters’ price quote will follow the above format. In addition, the prime quoter will be prominently identified. All submissions are subject to the posted submission requirements including the posted closing date and time. All text will be single-spaced and on white background with black color font (Black and white requirement does not apply to graphics or photos. Company stationary and logos are acceptable). Cross-references should be utilized to preclude unnecessary duplication of data between sections. Digital copies will be provided in Microsoft Word, PDF, PowerPoint, and/or Excel.

2.5 Electronic copies of all quotes are to be submitted via email to michelle.a.muniz.civ@us.navy.mil. All copies must be able to be printed out single-sided, on either an 8.5” by 11” paper. (End of provision) 52.212-2 Evaluation-Commercial Products and Commercial Services. (Deviation 2026-O0038) (Feb 2026)

EVALUATION-COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (FEB 2026) (DEVIATION 2026-O0038)

(a) Evaluation factors. The Government will award a contract resulting from this solicitation to the responsible Offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors will be used to evaluate offers:

1. Technical

2. Past Performance

3. Price Evaluation factors other than price when combined are significantly more important than price than price.

(b) Options (if applicable). The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. The evaluation of options does not obligate the Government to exercise the option(s).

(c) Notice of award. A written notice of award or acceptance of an offer furnished to the successful Offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(End of provision)

ADDENDUM TO 52.212-2 EVALUATION:

1. BASIS FOR AWARD:

1.1 The Government intends to award a Firm Fixed Price (FFP) contract resulting from this solicitation to the responsible quoter whose quote represents the Best Value to the Government. The Government will evaluate quotes based on a tradeoff process. The non-price factors [Factor I (Technical), Factor II (Past Performance Confidence), when combined are significantly more important than Factor III (Price). However, Price may become more determinative in the event competing technical ratings are closely grouped and offer comparable value to the Government.

1.2 A rating of “Unacceptable” under Factor I will render the entire quote as unacceptable and, therefore, ineligible for award. There are three sub-factors under Factor I (Technical): Sub-factor (1) Cleaning & Preservation Methodology, Sub-factor (2) Workforce Management & Special Qualifications and Sub-factor (3) Quality Control Plan. These three sub-factors are also listed in descending order of importance and will be used to establish an overall rating for Factor I. An “Unacceptable” in any sub-factor will result in an overall Factor I “Unacceptable,” rating rendering the entire proposal ineligible for award.

1.3 Award will be set-aside to 100% for small businesses.

1.4 The Government intends to award this contract without discussions. Therefore, the Quoter’s initial quote must contain the Quoter’s best terms from a technical, past performance and price standpoint. Notwithstanding this intent, the Contracting Officer reserves the right to conduct discussions, a matter within his/her discretion.

1.5 The Quoter must fully comply with the instructions included in Addendum to 52.212-1 (Instructions to Quoter) and sufficiently address all solicitation requirements. Taking exception to any requirement in the solicitation without addressing the exception with the contracting office before the quote due date specified within the solicitation will render the quote ineligible for award.

2 EVALUATION PROCESS AND FACTORS

2.1 The Government will evaluate quotes based on the following factors and sub-factors:

Factor I – Technical Sub-factor (1): Cleaning & Preservation Methodology Sub-factor (2): Workforce & Special Qualifications Sub-factor (3): Quality Control Plan Factor II – Past Performance

2.2 A rating of “Unacceptable” under Factor I will render the entire quote as unacceptable and, therefore, ineligible for award.

3 FACTOR I – TECHNICAL

3.1 The Government will assess the Quoter’s Technical submission with respect to its compliance with the solicitation requirements. The Technical Approach factor will be evaluated based on the feasibility, completeness, and effectiveness of the quoter's submission in meeting the requirements of the PWS. The evaluation will assess the level of confidence the Government has in the quoter's ability to perform the services without compromising safety, environment, or LCAC asset integrity.

Sub-factor (1): Cleaning & Preservation Methodology The Government will evaluate the quoter's technical approach to determine their understanding of the requirements, the feasibility of their methods, and the risk of unsuccessful performance.

· MRC Adherence Evaluation: The Government will assess the completeness and accuracy of the quoter's procedures to execute CCI and INSURV cleanings strictly aligned with the specified Navy PMS MRCs (MIP 1102 MRCs 18M-1 through 18M-5).

· Technical Risk Mitigation Evaluation: The Government will evaluate the effectiveness of the quoter’s techniques to prevent water intrusion into sensitive LCAC areas, specifically flush-deck electrical connectors and behind Command Module bulkhead insulation, during high-pressure washing.

· HAZMAT and Environmental Management Evaluation: The Government will evaluate the quoter's compliance with the mandate to avoid HAZMAT cleaning products. The evaluation will assess the adequacy and legal compliance of the proposed waste management, storage, and disposal plan concerning EPA, state, and Marine Corps Base Camp Pendleton regulations.

Sub-factor (2): Workforce & Special Qualifications The Government will evaluate the adequacy, feasibility, and risk of the quoter's proposed approach to providing and maintaining a qualified workforce.

· Staffing & Retention Plan Evaluation: The Government will evaluate the realism and effectiveness of the recruitment and retention strategy to maintain an uninterrupted, stable workforce of one (1) Supervisor and five (5) Cleaners.

· Physical & Technical Competency Evaluation: The Government will evaluate the quoter's methodology for verifying that all personnel possess industrial cleaning and high-pressure washer experience, as well as the physical capability to navigate cramped below-deck spaces and safely work at heights of approximately 10 feet.

· Supervisory & Training Approach Evaluation: The Government will evaluate the Supervisor's capacity and outlined methods to effectively interface with the Navy's Corrosion Control Officer (CCO), monitor inspections, and execute continuous on-the-job training.

Sub-factor (3): Quality Control Plan (QCP) The Government will evaluate the quoter's draft Quality Control Plan to assess its effectiveness in ensuring consistent, high-quality performance.

· QCP Evaluation: The Government will evaluate the adequacy of the proposed inspection system, the realism of the deficiency identification and correction timelines, and the strength of the procedures designed to prevent the recurrence of defective cleaning services.

Factor I will be evaluated using the ratings below.

TABLE M-1 COMBINED TECHNICAL/RISK RATING

Rating
Description
Outstanding
Quote demonstrates an exceptional approach and understanding of the requirements and contains multiple strengths- and/or at least one significant strength, and risk of unsuccessful performance is low.
Good
Quote indicates a thorough approach and understanding of the requirements and contains at least one strength or significant strength, and risk of unsuccessful performance is low to moderate.
Acceptable
Quote meets requirements and indicates an adequate approach and understanding of the requirements, and risk of unsuccessful performance is no worse than moderate.
Marginal
Quote has not demonstrated an adequate approach and understanding of the requirements, and/or risk of unsuccessful performance is high.
Unacceptable
Quote does not meet requirements of the solicitation and, thus, contains one or more deficiencies and is unawardable, and/or risk of performance is unacceptably high.

4 FACTOR II – PAST PERFORMANCE

The Government will conduct the past performance evaluation on the three lowest priced quoter if they are determined to be technically acceptable under Factor I, Technical.

4.1 The assessment of the Quoter’s past performance will be used by the Government as a means to evaluate the relative capability of the Quoter and other competitors to successfully meet the requirements of the PWS and as a measure of performance risk for contract award. The government’s assessment of performance risk is not intended to be the product of a mechanical or mathematical analysis of a quoter’s performance on list of contracts, but rather the product of subjective judgment of the government after it considers all available relevant and recent information.

4.2 The rating tables identified below as “Past Performance Relevancy Rating” Table and “Past Performance Confidence Assessment” Table will be utilized for the assignment of ratings for relevancy and confidence assessment.

4.3 Each past performance data sheet will be evaluated to determine whether the work performed by the Quoter is recent and relevant to the instant requirement. Relevant past performance is performance under contracts accomplished within the past three (3) years that is of the same or similar scope, complexity, and magnitude to that which is described in the solicitation. Common aspects of relevancy include, but are not limited to, the following: similarity of product/service/ support, complexity, dollar value, contract type, use of key personnel (for services), and extent of subcontracting.

4.4 The Government will assign one relevancy rating for each past performance effort submitted using the four levels of relevancy as shown in “Past Performance Relevancy Rating” Table below. Past performance of greater relevancy will typically be a stronger predictor of future success and have more influence on the past performance confidence assessment than past performance of lesser relevance. Past performance reference that has no relevance to the instant requirement will not be evaluated favorably or unfavorably and will not be considered in the overall assessment of Past Performance Confidence.

“Past Performance Relevancy Rating” Table

Rating
Definition
Very Relevant
Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.
Relevant
Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.
Somewhat Relevant
Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.
Not Relevant
Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

4.5 Each past performance reference under each Quoter’s Past Performance submission that is found to have at least some relevance to the instant requirement will be evaluated to determine the quality of the quoter’s performance under that reference. The Government will focus its inquiry on the Quoter record of performance as it relates to timeliness, quality, cost control, and customer satisfaction.

4.6 Quality of the relevant past performance will form the basis for the Quoter’s overall rating for Past Performance.

4.7 The Government will assign one Past Performance Confidence rating to each Quoter using the five levels of confidence as shown in “Past Performance Confidence Assessment” Table below. This rating will become the Quoter’s overall rating for Past Performance.

TABLE M-2 PAST PERFORMANCE

Rating
Description
Substantial Confidence:
Based on the Quoter’s recent/relevant performance record, the Government has a high expectation that the Quoter will successfully perform the required effort.
Satisfactory Confidence:
Based on the Quoter’s recent/relevant performance record, the Government has a reasonable expectation that the Quoter will successfully perform the required effort.
Limited Confidence:
Based on the Quoter’s recent/relevant performance record, the Government has a low expectation that the Quoter will successfully perform the required effort.
No Confidence:
Based on the Quoter’s recent/relevant performance record, the Government has no expectation that the Quoter will successfully perform the required effort.
Unknown Confidence (Neutral):
No recent/relevant performance record is available or the Quoter’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.

The government intends to verify past performance information on contracts listed by the Quoter. The government may contact some or all of the references. The Government reserves the right to obtain information for use in the evaluation of past performance from any and all sources including sources outside of the Government. The Contractor Performance Assessment Reporting System (CPARS) will be accessed to locate recent and relevant information.

5 FACTOR III – PRICE

5.1 All quotes will be ranked by the total evaluated price. Total Evaluated Price will be calculated by summing the evaluated price for the base year and all option years. Evaluation of options WILL NOT obligate the Government to exercise the options.

5.2 Each Quoter's price submission will be evaluated for completeness and reasonableness. Also, unbalanced pricing will be evaluated of the proposed unit prices of the fixed price list, including options, IAW FAR 15.404-6. A quote is considered complete when all items outlined in the Schedule of Supplies/Services of the Solicitation. Price reasonableness will be determined using one or more techniques identified in FAR 15.404-1(b) such as comparison of proposed prices. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items or subline item(s) appear to be significantly overstated or understated as indicated by the application of price analysis techniques.

52.229-11 Tax on Certain Foreign Procurements-Notice and Representation. (Jun 2020)

(a) Definitions. As used in this provision- Foreign person means any person other than a United States person.

Specified Federal procurement payment means any payment made pursuant to a contract with a foreign contracting party that is for goods, manufactured or produced, or services provided in a foreign country that is not a party to an international procurement agreement with the United States. For purposes of the prior sentence, a foreign country does not include an outlying area of the United States.

United States person as defined in 26 U.S.C. 7701(a)(30) means

(1) A citizen or resident of the United States;

(2) A domestic partnership;

(3) A domestic corporation;

(4) Any estate (other than a foreign estate, within the meaning of 26 U.S.C. 701(a)(31)); and

(5) Any trust if-

(i) A court within the United States is able to exercise primary supervision over the administration of the trust; and

(ii) One or more United States persons have the authority to control all substantial decisions of the trust.

(b) Unless exempted, there is a 2 percent tax of the amount of a specified Federal procurement payment on any foreign person receiving such payment. See 26 U.S.C. 5000C and its implementing regulations at 26 CFR 1.5000C-1 through 1.5000C-7.

(c) Exemptions from withholding under this provision are described at 26 CFR 1.5000C-1(d)(5) through (7). The Offeror may claim an exemption from the withholding by using the Department of the Treasury Internal Revenue Service (IRS) Form W-14, Certificate of Foreign Contracting Party Receiving Federal Procurement Payments, available at www.irs.gov/w14. Any exemption claimed and self-certified on the IRS Form W-14 is subject to audit by the IRS. Any disputes regarding the imposition and collection of the 26 U.S.C. 5000C tax are adjudicated by the IRS as the 26 U.S.C. 5000C tax is a tax matter, not a contract issue. The IRS Form W-14 is provided to the acquiring agency rather than to the IRS.

(d) For purposes of withholding under 26 U.S.C. 5000C, the Offeror represents that

(1) It ___is ___is not a foreign person; and

(2) If the Offeror indicates "is" in paragraph (d)(1) of this provision, then the Offeror represents that-I am claiming on the IRS Form W-14____ a full exemption, or____ partial or no exemption [Offeror must select one] from the excise tax.

(e) If the Offeror represents it is a foreign person in paragraph (d)(1) of this provision, then-

(1) The clause at FAR 52.229-12, Tax on Certain Foreign Procurements, will be included in any resulting contract; and

(2) The Offeror shall submit with its offer the IRS Form W-14. If the IRS Form W-14 is not submitted with the offer, exemptions will not be applied to any resulting contract and the Government will withhold a full 2 percent of each payment.

(f) If the Offeror selects "is" in paragraph (d)(1) and "partial or no exemption" in paragraph (d)(2) of this provision, the Offeror will be subject to withholding in accordance with the clause at FAR 52.229-12, Tax on Certain Foreign Procurements, in any resulting contract.

(g) A taxpayer may, for a fee, seek advice from the IRS as to the proper tax treatment of a transaction. This is called a private letter ruling. Also, the IRS may publish a revenue ruling, which is an official interpretation by the IRS of the Internal Revenue Code, related statutes, tax treaties, and regulations. A revenue ruling is the conclusion of the IRS on how the law is applied to a specific set of facts. For questions relating to the interpretation of the IRS regulations go to https://www.irs.gov/help/tax-law-questions.

(End of provision) 52.209-5 Certification Regarding Responsibility Matters. (Deviation 2026-O0038) (Feb 2026) (a)(1) The Offeror certifies, to the best of its knowledge and belief, that-

(i) The Offeror and/or any of its Principals-

(A) Are ___are not____ presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency;

(B) Have __have not_____ , within a three-year period preceding this offer, been convicted of or had a civil judgment rendered against them for: commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a public (Federal, State, or local) contract or subcontract; violation of Federal or State antitrust statutes relating to the submission of offers; or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, tax evasion, violating Federal criminal tax laws, or receiving stolen property (if offeror checks "have", the offeror shall also see 52.209-7, if included in this solicitation);

(C) Are ____are not_____ presently indicted for, or otherwise criminally or civilly charged by a governmental entity with, commission of any of the offenses enumerated in paragraph (a)(1)(i)(B) of this provision; and

(D) Have ____, have not ____, within a three-year period preceding this offer, been notified of any delinquent Federal taxes in an amount that exceeds the threshold at 9.104-5(a)(2) for which the liability remains unsatisfied. Federal taxes are considered delinquent if both of the following criteria apply:

( 1 ) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if a pending administrative or judicial challenge remains. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.

( 2 ) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.

(ii) The Offeror has____ has not____ , within a 3-year period preceding this offer, had one or more contracts terminated for default by any Federal agency.

(2) "Principal," for the purposes of this certification, means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).

(b) The Offeror shall provide immediate written notice to the Contracting Officer if, at any time prior to contract award, the Offeror learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances.

(c) A certification that any of the items in paragraph (a) of this provision exists will not necessarily result in withholding of an award under this solicitation. However, the Government will consider the certification in connection with a determination of the Offeror's responsibility. Failure of the Offeror to furnish a certification or provide such additional information as requested by the Contracting Officer may render the Offeror nonresponsible.

(d) This provision does not require establishment of a system of records in order to render, in good faith, the certification required by paragraph (a). The knowledge and information of an Offeror is not required to exceed that which is normally possessed by a prudent person in the ordin ry course of business dealings.

(e) The certification in paragraph (a) of this provision is a material representation of fact upon which reliance was placed when making award. If the Government later determines that the Offeror knowingly rendered an erroneous certification, in addition to other remedies available to the Government, the Contracting Officer may terminate the contract resulting from this solicitation for default.

(End of provision) 52.209-11 Representation by Corporations Regarding Delinquent Tax Liability or a Felony Conviction under any Federal Law. (Deviation 2026-O0038) (Feb 2026)

(a) The Government will not enter into a contract with any corporation that-

(1) Has any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or havelapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability, where the awarding agency is aware of the unpaid tax liability, unless an agency has considered suspension or debarment of the corporation and made a determination that suspension or debarment is not necessary to protect the interests of the Government; or

(2) Was convicted of a felony criminal violation under any Federal law within the preceding 24 months, where the awarding agency is aware of the conviction, unless an agency has considered suspension or debarment of the corporation and made a determination that this action is not necessary to protect the interests of the Government.

(b) The Offeror represents that-

(1) It is____ is not_____a corporation that has any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability; and

(2) It is___ is not___ a corporation that was convicted of a felony criminal violation under a Federal law within the preceding 24 months.
