The following factors shall be used to evaluate offers:
| 1. | Technical Acceptability: Quotes will be evaluated on a pass/fail basis to determine if they demonstrate a clear understanding of and ability to meet the requirements of the PWS. This includes the qualifications of key personnel and the adequacy of the technical approach. Only quotes rated "Acceptable" will be considered for award. |
| 2. | Past Performance: The Government will evaluate the offeror's past performance based on the provided references and other available sources. |
| 3. | Price: The Government will evaluate the price for reasonableness. |

13. Applicable Provisions and Clauses:
This solicitation incorporates one or more provisions and clauses by reference, with the same force and effect as if they were given in full text. The full text of a clause may be accessed electronically at https://www.acquisition.gov/. All provisions and clauses can be found in the attached Clause Logic System PDF.
14. Closing Statement: All responsible sources may submit a quote which shall be considered by the agency. Offerors are responsible for monitoring the Government Point of Entry (GPE), SAM.gov, for any amendments to this solicitation.
52.212-1 Instructions to Offerors—Commercial Products and Commercial Services.
As prescribed in 12.205(a)(1), insert a clause substantially as follows:
INSTRUCTIONS TO OFFERORS—COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (DEVIATION DATE)
(a) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. As a minimum, offers shall include—
(1) The solicitation number;
(2) The name, address, telephone number of the Offeror;
(3) The Offeror’s Unique Entity Identifier (UEI) and, if applicable, Electronic Funds Transfer (EFT) indicator;
(4) Information necessary to evaluate the factors contained in the provision at 52.212-2 or as described in the solicitation;
(5) Responses to provisions that require Offeror completion of information, representations, and certifications (other than those collected via the System for Award Management (SAM)); and
(6) A statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation and any solicitation amendments.
(b) Period for acceptance of offers. The Offeror agrees to hold the prices in its offer firm for 60 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(c) Late submissions, modifications, revisions, and withdrawals of offers.
(1) Offerors are responsible for submitting offers and any modifications or revisions to the Government office designated in the solicitation by the time specified in the solicitation.
(2) Any offer, modification, or revision received after the time specified for receipt of offers is “late” and will not be considered unless it is received before award is made and the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition. However, a late modification of an otherwise successful offer that makes its terms more favorable to the Government will be considered at any time it is received and may be accepted.
(3) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(4) Offerors may withdraw their offers by written notice to the Government received at any time before award.
(d) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with Offerors. Therefore, the Offeror’s initial offer should contain the Offeror’s best terms. However, the Government reserves the right to conduct discussions, if necessary. The Government may reject any or all offers if such action is in the public interest, accept other than the lowest offer, and waive informalities and minor irregularities in offers received.
(e) Debriefings. If a postaward debriefing is given to requesting Offerors, the Government will disclose the following information, if applicable:
(1) The agency’s evaluation of the significant weak or deficient factors in the debriefed Offeror’s offer.
(2) The overall evaluated cost or price and technical rating of the successful Offeror and the debriefed Offeror and past performance information on the debriefed Offeror.
(3) The overall ranking of all Offerors when any ranking was developed by the agency during source selection.
(4) A summary of the rationale for award.
(5) For acquisitions of commercial products, the make and model of the product to be delivered by the successful Offeror.
(6) Reasonable responses to relevant questions posed by the debriefed Offeror as to whether the agency followed source-selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities.

14.2.3 Consistency. Each section of the offeror’s quote shall be consistent within the quote.
14.2.4 Completeness. The Government’s ability to evaluate a quote may depend on the level of detail and supporting documentation provided. Insufficient supporting documentation or detail in a quote may prevent the Government from evaluating a quote.
14.2.5 The Government will assess the offeror’s quote on three factors: (1) Technical Capability, (2) Past Performance and (3) Total Price (TP). Because award will be made based on best overall value to the government, not price alone, it is important that proposals describe how the contractor proposes to meet the requirements of the PWS. Furthermore the government reserves the right to select a response providing benefit to the government exceeding the minimum, but is not required to do so.
14.3 EVALUATION OF TECHNICAL CAPABILITY
14.3.1 The technical capability section of the quote shall present relevant information articulating the offeror’s proposed approach to meeting the PWS requirements. This section shall clearly demonstrate the offeror’s understanding by providing a clear description of the proposed approach to performing the work. Illustrations (pictures, diagrams, etc.) submitted as part of the quote shall be clearly labeled and the quote shall include sufficient explanation to ensure that the Government is able to determine the relationship between the illustration and the requirement. The offeror’s quote should include a clear description of all processes and procedures employed. Offerors shall assume that the Government has no prior knowledge of the offeror’s facilities and business practices. This section shall not include any pricing data. The quote shall address how the offeror will meet or exceed the following technical requirements:
14.3.2 Evaluation of this factor will assess the offeror’s proposed approach and understanding of the requirements and risk of unsuccessful performance of the proposed approach to technical capability in accordance with the following PWS paragraphs: Subfactor 1) Initial Evaluations, PWS paragraph 5.1.1; Subfactor 2) Develop / Update Individual Training Plans, PWS paragraph 5.2; Subfactor 3) Strength & Conditioning and Athletic Trainer Services, PWS paragraphs 5.3.1 thru 5.3.2; Subfactor 4) Additional Contractor Furnished Training Equipment and Tools, additional items not included in the PWS as Government or contractor furnished PWS Paragraphs 3 & 4.
14.3.3 Sub-factor 1: Initial Evaluations. This subfactor is met when the offeror describes in detail, their approach to providing the requested client evaluations in accordance with PWS Paragraph 5.1.1.
14.3.4 Sub-factor 2: Develop / Update Individual Training Plans. This subfactor is met when the offeror describes, in detail, their approach to providing the requested client training plans in accordance with PWS paragraph 5.2.
14.3.5 Sub-factor 3: Strength & Conditioning and Athletic Trainer Services. This subfactor is met when the offeror describes in detail their approach, to include their intended manning plan, to providing the requested strength and conditioning and athletic training services in accordance with PWS paragraphs 5.3.1 thru 5.3.2.
14.3.6 Sub-factor 4: Additional Contractor Furnished Training Equipment and Tools. This subfactor is met when the offeror describes in detail any items to increase effectiveness beyond the items listed in the PWS paragraphs 3 & 4 to increase effectiveness of this program.
14.4 EVALUATION OF PAST PERFORMANCE
14.4.1 The evaluation of this factor will assess the risk of unsuccessful performance of the offeror’s proposed approach to performing efforts of a similar scope, magnitude, and complexity as the requirement described in the PWS.
14.4.2 The Government will evaluate the offeror’s past performance to determine the likelihood that the offeror will successfully perform the required effort described in the PWS.
14.4.3 Contracts submitted in the Past Performance section of the offeror's quote will not be considered if the Government determines them to be not recent, not relevant, or lacking any credible past performance information. If the offeror does not have a record of Recent and Relevant past performance information the offeror will be rated as "Neutral,” which is neither favorable nor unfavorable.
14.4.4 The offeror may also be evaluated on past contract performance information utilizing internal Government or private source information and the Government reserves the right to use any information received as part of its evaluation. The Government may contact any of the references the offeror provides and reserves the right to use any information received as part of its evaluation.
14.4.5 In evaluating the offeror's performance history, the Government may compare the offeror's deliveries or performance to the contract's original delivery or performance schedule, unless the delay was Government-caused. Schedule extensions that were the fault of the offeror, even if consideration was provided, may be counted against the offeror.
14.5 EVALUATION OF PRICE FACTOR
14.5.1 Evaluation of price will be performed using one or more of the price analysis techniques in FAR 13.106-3. Through these techniques the Government will determine whether prices are reasonable, complete, and are not unbalanced.
14.5.2 Reasonableness. The Government will evaluate the price reasonableness of the offerors' proposed prices to ensure that in its nature and amount, it does not exceed what would be incurred by a prudent person in the conduct of competitive business. The Government shall employ price analysis techniques in accordance with FAR 13.106-3 to determine that a proposed price is fair and reasonable.
14.5.3 Completeness. The Government reserves the right to conduct discussions with offerors, but discussions are not anticipated or intended. Since discussions are not anticipated or intended, the Government requires complete quotes with respect to price. A complete quote will include all information required by this solicitation.
14.5.4 Unbalanced Pricing. Offerors should note that pricing will be carefully reviewed to detect whether quotes are unbalanced between line items or subline items, as well as unbalance between periods. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more-line items is significantly over or understated as indicated by the application of cost or price analysis techniques. Unbalanced offers may be determined unacceptable
2. EVALUATION APPROACH
All proposals shall be evaluated by a Source Selection Team (SST) consisting of, at a minimum, the contracting officer, requiring activity representative, and other personnel as deemed necessary.
a. The overarching evaluation approach for all factors is as follows:
1) Adequacy of Response. All factors are evaluated for adequacy of response (whether the offeror's proposal fully satisfies the requirements set forth in the solicitation/RFQ).
2) Feasibility of Approach. The proposal will be evaluated to determine whether the offeror's proposal is workable and capable of achieving the required end results within the required schedule.
b. The Technical factor evaluates the offeror’s proposal for the basic contract period and all option years that at least meets the minimum Acceptable levels of the overall requirement. A rating of Marginal could indicate a lack of understanding concerning mission requirements and may result in the entire proposal receiving an unfavorable rating and/or being eliminated from the competitive range.
Evaluation of Technical factor: The Technical factor will be reviewed according to whether the proposal demonstrates that the offeror understands the requirement, has the necessary expertise to achieve it, and its proposal is adequately designed to achieve required results. The Technical approach and related risk are evaluated using the combined technical/risk rating table below, which considers risk in conjunction with strengths, weaknesses, uncertainties, and deficiencies in determining technical ratings.
TABLE 1 – COMBINED TECHNICAL/RISK RATINGS
Color
Rating
Description
Blue
Outstanding
Proposal indicates an exceptional approach and understanding of the requirements and contains multiple strengths, and risk of unsuccessful performance is low.
Purple
Good
Proposal indicates a thorough approach and understanding of the requirements and contains at least one strength, and risk of unsuccessful performance is low to moderate.
Green
Acceptable
Proposal meets requirements and indicates an adequate approach and understanding of the requirements, and risk of unsuccessful performance is no worse than moderate.
Yellow
Marginal
Proposal has not demonstrated an adequate approach and understanding of the requirements, and/or risk of unsuccessful performance is high.
Red
Unacceptable
Proposal does not meet requirements of the solicitation, and thus, contains one or more deficiencies, and/or risk of unsuccessful performance is unacceptable. Proposal is unawardable.
c. Cost/Price Factor. Adjectival ratings shall not be used for offerors’ Price proposals. The Government will fully evaluate all priced Contract Line Item Numbers (CLINs) for award. For award purposes, the Government will use a sample task order (see provided pricing table) for each of the base and option years. The government will evaluate the total sum of the CLIN total proposed prices. While the grand total of the sample task orders for the base and three option years will be used as the basis for evaluating proposals, the offerors proposed unit prices must be based on fully burdened rates that will be binding on the purchase order. The evaluation of option CLINs will not obligate the Government to exercise any option. The Offeror’s Cost/Price proposal will be evaluated as follows.
1). FFP Evaluation. For a price to be fair and reasonable, it must represent a price to the Government that a prudent person would pay in the conduct of competitive business. The Offeror’s proposed fixed-price CLINs may be evaluated, using one or more of the techniques described in FAR 15.404-1 in order to determine if they are fair and reasonable
2) Overall Price Proposal Evaluation: The overall Cost/Price proposal will evaluated for the following:
a) Compliance: The Cost/Price proposal submitted by the Offeror will be evaluated for compliance based upon the submission requirements contained in the instructions.
b) Unbalanced Pricing: The Offeror’s overall Cost/Price proposal will be evaluated for unbalanced pricing as defined in FAR 15.404-1(g). An offer may be rejected if the contracting officer determines that the lack of balance poses an unacceptable risk to the Government (see FAR 15.404-1(g)(1) through FAR 15.404-1(g)(3)).
c) Errors: The Offeror’s Cost/Price proposal will be reviewed for errors. The Offeror may be given an opportunity to clarify certain aspects of their proposal at the sole discretion of the Contracting Officer.
d) Past Performance Factor. The Government will evaluate the offeror’s record of past and current performance to ascertain the probability of successfully performing the required efforts of the PWS.
1) Evaluation of past performance shall be done by review of information provided by the offeror’s references and previous contracts of the same size and scope to this PWS.
2) The Government will focus its inquiries on the offeror’s (and major subcontractor’s) record of performance as it relates to all solicitation requirements, including cost, schedule, and past performance. Absent any recent and relevant past performance history or when the performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned, the offeror will be assigned a “neutral confidence rating” and its proposal will not be evaluated either favorably or unfavorably on past performance. The Government may use data provided by the offeror in its proposal and data obtained from other sources, including data in Government files or data obtained through interviews with personnel familiar with the contractor and their current and past performance under Federal, State or Local government or commercial contracts for same or similar services.
3) Offerors shall submit all Government and/or commercial contracts for the prime offeror and each major subcontractor in performance or awarded during the past 3 years, from the issue date of this RFQ, which are relevant to the efforts required by this RFQ. The Government may consider a wide array of information from a variety of sources, but is not compelled to rely on all of the information available.
4) The past performance factor considers each offeror’s demonstrated recent and relevant record of performance in supplying products and services similar to the contract requirements. There are three aspects to the past performance evaluation: recency, relevancy, and quality.
(a) RECENCY: The first aspect is to evaluate the recency of the offeror’s past performance. Recency is generally expressed as a time period during which past performance references are considered relevant, and is critical to establishing the relevancy of past performance information.
(b) RELEVANCY: The second aspect is to determine how relevant a recent effort accomplished by the offeror is to the effort to be acquired through the source selection. Relevancy is not separately rated; however, the following criteria (see Table 2) will be used to establish what is relevant which shall include similarity of service/support, complexity, dollar value, contract type, and degree of subcontract/teaming.
Table 2 - Past Performance Relevancy Ratings
Rating
Definition
Very Relevant
Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.
Relevant
Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.
Somewhat Relevant
Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.
Not Relevant
Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.
(c) QUALITY ASSESSMENT: The third aspect assesses the overall quality of the offeror’s past performance. Documented results from references, interviews, CPARS, and other sources form the support and basis for this assessment.
5) Performance Confidence Assessment: The Government will utilize the Performance Confidence Assessment (see Table 3 below) to select the most appropriate confidence level for each Offeror.
TABLE 3 - Performance Confidence Assessments
Rating
Definition
Substantial Confidence
Based on the offeror’s recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.
Satisfactory Confidence
Based on the offeror’s recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.
Neutral Confidence
No recent/relevant performance record is available or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned. The Offeror may not be evaluated favorably or unfavorably on the facto of past performance.
Limited Confidence
Based on the offeror’s recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.
No Confidence
Based on the offeror’s recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.
