About this file

This is a Class Justification and Approval (CJ&A) document for use of other than full and open competition for a federal contract opportunity.

The Naval Surface Warfare Center, Crane Division (NSWC Crane) is seeking to award a Basic Ordering Agreement (BOA) on a sole source basis to Raytheon Company, located at 2000 East El Segundo Boulevard, El Segundo, CA 90245-4501 (Cage Code 4U884), in the amount of $100 million for supplies and services associated with the Next Generation Jammer – Midband (NGJ-MB) System. The BOA ceiling is $100 million, with supplies comprising approximately 12 percent and services comprising approximately 88 percent of the total value. Supplies include Weapon Replaceable Assemblies (WRAs), Shop Replaceable Assemblies (SRAs), Sub-SRAs, components, bit/piece parts, ancillary equipment, and test equipment. Services include engineering and technical support, logistics support, repairs, system and subsystem integration, training, and product improvements. The authority to act under this CJ&A expires on December 3, 2030, and the BOA will be reviewed annually before each anniversary of its effective date. Estimated requirements and appropriations for Fiscal Years 26-31 total $100 million.

The justification for sole source award is based on 10 U.S.C. 3204(a)(1), asserting that only Raytheon can satisfy agency requirements. The Navy previously conducted competitive procurements for technical maturation and technology maturation phases, ultimately selecting Raytheon as the most cost-effective source for the Engineering & Manufacturing Development phase. The sole source procurement is justified due to Raytheon's status as the Original Equipment Manufacturer with exclusive knowledge of NGJ-MB hardware and software; the significant cost and schedule duplication that would result from qualifying another source; unavailability of a validated Technical Data Package until a future date; limited data rights restrictions on portions of technical documentation; and the substantial time required for certification testing of an alternative system. A sources sought notice was issued on February 24, 2025, closing March 12, 2025, which generated one response from an interested party asking clarifying questions; the contracting officer determined those questions fell outside the scope of the sources sought announcement. No additional market research was performed, as Raytheon is identified as the only prime contractor capable of meeting current requirements. The contracting officer has determined the anticipated cost to be fair and reasonable. Each order issued under the BOA will be posted on SAM.gov in accordance with FAR 16.703(d)(2)(iv). The CJ&A was approved by Dr. Angela Lewis, NSWC Crane Technical Director, on July 2, 2025.

been met and to support production or deployment decisions. This effort was sole-sourced to Raytheon, as Raytheon is the Original Equipment Manufacturer (OEM) and has the expertise on the current NGJ-MB hardware/software, in order to best determine the needed changes/upgrades to .

No source other than Raytheon Company currently has the requisite knowledge and experience to satisfy the agency's requirements. In pursuing another source capable of producing the NGJ- MB System there would be a duplication of TMRR and NGJ-MBX procurement costs, with the duplication estimated to be a minimum of .

A fully validated Level III, Build-To-Print Technical Data Package (TDP) purchased under EMD contract N00019-16-C-0002, will not be available until , as it will take at least six months to validate the adequacy of the TDP once Raytheon Company makes the final delivery on . Beyond that, a portion of the TDP is subject to limited data rights, which would prevent competitive procurement. A TDP for NGJ-MBX is being procured under the NGJ-MBX Development Contract (N00019-24-C-0047) and a finalized version of this TDP will not be available until .

Certification of a system from another source for use on the aircraft would require repeat testing of all laboratory, ground, and flight tests from component level testing through full up weapons system performance flight testing, and would take at least based upon similar efforts.

Market research did not identify any other sources with a product that currently meets the Government’s requirements. Therefore, based on the aforementioned information, the estimated duplication of cost and adverse schedule impacts justifies the use of other than full and open competition.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.

A sources sought notice was issued on SAM.gov on 24 February 2025 with a clarification amendment posted on 28 February 2025 in order to announce the sole source nature of this procurement and the Government's intent to solicit and negotiate with one source, Raytheon Company, under the authority of FAR 6.302-l(a)(2). The sources sought notice closed on 12 March 2025. One response was received on 28 February 2025 from with clarification questions related to specific performance parameters, quality standards, interoperability expectations, projection schedules, and evaluation criteria. The NSWC Crane Contracting team replied on 28 February 2025 and posted a sources sought notice amendment for additional clarification to industry. On 5 March 2025, responded to NSWC Crane 28 February 2025 response with more sensitive questions related to the Source Approval Request process, technical documentation and performance data, interface requirements, performance parameters, production and logistics planning, etc. After review, the Government determined that the second set of questions from were asking for the information that the sources sought requested of industry responses and therefore deemed them to be outside the scope of the announcement. The Contracting Officer replied to on 20 March 2025 explaining the intent of the sources sought notice was seeking Contractors with current capabilities and facilities, and that questions are beyond the scope of the sources sought notice. The Contracting Officer followed up via email

on 26 March 2025 and 1 April 2025 as well as via voicemails and phone calls on 3 April 2025.

No response has been received from as of 12 May 2025. In order to mitigate further delays and risk a gap in program support required under this BOA, the Contracting Officer has documented in the file of non-responsiveness. If replies at a later date, the Contracting Officer will review any additional questions or documentation.

NSWC Crane issued a synopsis advertising this requirement on SAM.gov on 12 May 2025.

No additional market research was performed because Raytheon is the only prime contractor source that can meet the Government’s current requirements. It is not practicable, for the reasons discussed in section 5 above, for any company other than Raytheon to provide the required supplies and services.

In accordance with FAR 16.703(d)(2)(iv), the contracting officer will post a synopsis on SAM.gov for each order.

7. Determination of Fair and Reasonable Cost.

The Contracting Officer has determined the anticipated cost to the Government of the supplies/services covered by this CJ&A will be fair and reasonable.

8. Actions to Remove Barriers to Future Competition.

For the reasons set forth in section 5, there are no plans at this time to compete future contracts for the types of supplies and services covered by this document. If another potential source emerges, the Government will assess whether competition for future requirements is feasible.

As this is a follow-on for supplies and services previously awarded on a non-competitive basis, in accordance with DFARS PGI 206.304(a)(S-70)(i), the prior CJ&A was provided to the approval authority for review. Approval of this CJ&A signifies the approval authority has made the determination required by DFARS PGI 206.304(a)(S-70)(ii).
