About this file
This is a build-out specification document for the Cuyahoga County Sheriff's Department detailing equipment and installation requirements for five new Dodge Durango vehicles. The project encompasses a comprehensive list of 42 line items including lighting systems (Whelen lightbars, LED flashers, and ION series lightheads), interior equipment (Havis vehicle consoles, docking stations, and mounting hardware), security features (Setina partitions, gun racks, and window bars), emergency equipment (push bumpers, rescue gear storage), and professional installation labor. The specifications include detailed SKU references for each component, with brand names provided as references only and equivalent products acceptable if specifications are met. The County will supply mobile data terminals and mobile radios separately. All installation labor must be completed at a Cuyahoga County-owned facility, and vendors may be required to coordinate with officer end-users to ensure proper adjustment of controls and features.
The vendor is responsible for procuring, storing, and maintaining all parts and materials until installation completion. Comprehensive insurance requirements are mandated, including Worker's Compensation, Commercial General Liability ($1,000,000 per occurrence), Business Automobile Liability ($2,000,000 combined single limit), Garagekeepers Legal Liability ($500,000 per vehicle), Installation Floater and Inland Marine coverage (minimum $250,000), Umbrella/Excess Liability ($2,000,000), and Crime/Fidelity Insurance ($100,000 per occurrence). The County must be named as additional insured and loss payee on applicable policies, with all coverage remaining primary and non-contributory to County insurance. The vendor must maintain Commercial General Liability and additional insured status for five years after final acceptance of the last vehicle. All insurance carriers must maintain an A.M. Best's rating of A-VII or above and be licensed to transact business in Ohio.

CUYAHOGA COUNTY
Insurance Requirements
SHF-8139 — Equipment and Build-Out of Five (5) Dodge Durangos
Cuyahoga County Sheriff’s Department
Contractor shall procure and maintain for the duration of the contract insurance against claims for injuries to persons or damages to property which may arise from or in connection with the performance of the work hereunder and the results of that work by the Contractor, his agents, representatives, employees or subcontractors.
Nothing in this Agreement shall be construed to be a waiver of defenses or immunities afforded to the County under applicable law.
MINIMUM SCOPE AND LIMIT OF INSURANCE
Coverage shall be at least as broad as:
(a) Worker’s Compensation and Employers’ Liability Insurance as statutorily required by the State of Ohio and, for employees working outside of Ohio, as required by the various state and Federal laws as applicable. The Contractor shall maintain
Employers’ Liability (stop-gap) coverage with limits of liability not less than:
$1,000,000 each accident;
$1,000,000 disease—policy limit;
$1,000,000 disease—each employee.
Ohio-domiciled Contractors shall provide evidence of Employers’ Liability coverage endorsed onto the Contractor’s Commercial General Liability policy (Ohio stop-gap endorsement WC 34 03 01 C or equivalent) or carried under a separate Employers’
Liability policy. Because the Contractor’s employees will perform work at a County-owned facility alongside County personnel, this coverage shall be in force before any of the Contractor’s personnel enter County premises.
(b) Commercial General Liability Insurance with limits of liability not less than:
$1,000,000 each occurrence bodily injury & property damage;
$1,000,000 personal & advertising injury;
$2,000,000 general aggregate;
$2,000,000 products/completed operations aggregate.
Such insurance shall be written on an occurrence basis on the Insurance Services
Office (ISO) form CG 00 01 or its equivalent. The general aggregate limit shall apply separately to this specific project or location by endorsement (ISO CG 25 03 or CG 25
04 or equivalent). Coverage shall include the products/completed operations hazard for all equipment, wiring, mounting hardware, partitions, weapon-securing devices, and other installations furnished or performed under this Contract, without exclusion or sublimit. The Contractor’s Commercial General Liability policy shall not include the following endorsements or their equivalents: (a) CG 22 94 or CG 22 95 (Exclusion—
Products/Completed Operations Hazard Subcontractor Exception); or (b) CG 21 39
(Contractual Liability Limitation). If either endorsement is attached to the Contractor’s policy, the Contractor shall obtain its removal or procure a replacement policy that does not include it.
If the Contractor’s Commercial General Liability policy is endorsed to exclude operations performed on automobiles, garage or automobile service operations, or work performed at premises owned or occupied by others, the Contractor shall disclose the endorsement to the County of Cuyahoga Risk Management before commencing work and shall procure equivalent coverage under a Garage Liability policy at the limits required by this Section.
(c) Business Automobile Liability Insurance covering any auto (Symbol 1), or if
Contractor has no owned autos, hired (Symbol 8) and non-owned autos (Symbol 9).
Such insurance shall provide a limit of not less than $2,000,000 combined single limit
(bodily injury & property damage) each accident, written on an occurrence basis on the Insurance Services Office (ISO) form CA 00 01 or its equivalent.
Coverage shall extend to County-owned vehicles while operated by the Contractor’s employees, agents, or subcontractors, including movement of vehicles at or around the
County’s facility and any road test of a completed vehicle.
The Contractor’s Business Automobile Liability policy shall include the following endorsements or their equivalents: (a) Primary and Non-Contributory endorsement
(ISO CA 04 49); (b) Blanket Fellow Employee Coverage endorsement (ISO CA 20
55) deleting the fellow employee exclusion for all employees, scheduled-employee-only deletion (ISO CA 20 56) being unacceptable; (c) Blanket Waiver of Subrogation endorsement (ISO CA 04 43); and (d) hired auto physical damage coverage.
The required limit may be satisfied by a combination of primary Business Automobile
Liability insurance and Umbrella/Excess Liability insurance following form, provided the total limit available for automobile liability is not less than $2,000,000.
(d) Garagekeepers Legal Liability Insurance covering physical damage to County-owned vehicles while in the care, custody, or control of the Contractor, with limits of liability not less than:
$500,000 each vehicle;
$2,000,000 each occurrence.
Coverage shall be written on a direct primary basis, responding to loss regardless of the Contractor’s fault. Coverage written on a legal liability basis shall be accepted only with the prior written approval of the County of Cuyahoga Risk Management.
Coverage shall include comprehensive and collision perils, including fire, explosion, theft, and vandalism, and shall apply at every location at which the Contractor performs work on or takes custody of County vehicles, including premises owned or occupied by the County. Coverage restricted to premises scheduled on the policy is not acceptable.
The Contractor shall disclose any exclusion in the policy for defective parts or materials or for faulty work performed. Where such an exclusion applies, the policy shall preserve coverage for damage to the balance of the vehicle resulting from the defective parts or materials or the faulty work.
(e) Installation Floater and Inland Marine (Bailees’) Insurance covering (i)
County-owned property in the custody, care, or control of the Contractor, including the mobile data terminals and mobile radios furnished by the County for installation, and
(ii) the equipment, parts, and materials to be incorporated into the vehicles under this
Contract while in storage at the Contractor’s premises, in transit, and at the installation site, until final acceptance by the County. Such insurance shall provide limits of liability not less than the full replacement cost of the property in the Contractor’s possession at any one time, and in no event less than $250,000.
Such insurance shall be written on an all-risks/special form basis, valued at replacement cost, with a deductible not exceeding $5,000. The County of Cuyahoga shall be named as loss payee as its interests may appear, and loss proceeds for County-owned property shall be payable to the County. Coverage shall not exclude theft, mysterious disappearance, improper packing or handling, or loss occurring at temporary storage locations. Before taking custody of any County-owned or County-furnished property, and before storing any equipment, parts, or materials purchased for the County, the Contractor shall furnish its insurer and the County with a schedule of values for that property and shall confirm in writing that the coverage limit equals or exceeds the scheduled value.
(f) Umbrella/Excess Liability Insurance to provide additional insurance limits for commercial general liability, automobile liability, and employers’ liability, with limits of liability not less than:
$2,000,000 each occurrence;
$2,000,000 general aggregate;
$2,000,000 products/completed operations aggregate.
Such insurance shall be written on an occurrence basis and be provided on a true
“following form” or broader coverage basis, following form to the underlying
Commercial General Liability, Business Automobile Liability, and Employers’
Liability policies. Such insurance may also be used to meet the limit requirements of the underlying insurance, so long as the total limit provided by the Contractor is equivalent to the limits required in this Contract for both primary and umbrella/excess coverage.
(g) Crime/Fidelity Insurance covering loss of or damage to money, securities, and other property of the County, including County-furnished property and the equipment, parts, and materials purchased for the County, resulting from theft or other dishonest acts committed by the Contractor’s employees, whether occurring at the Contractor’s premises or at a County facility, with limits of liability not less than $100,000 per occurrence. Coverage shall extend to property of the County held by the Contractor in any capacity, whether afforded by an employee theft of clients’ property insuring agreement in the Contractor’s policy form or by endorsement. The County of
Cuyahoga shall be named as loss payee, and loss proceeds for County property shall be payable to the County.
Insurance Coverage Terms and Conditions
1. Nothing in this Agreement shall be construed to be a waiver of defenses or immunities afforded to the County under applicable law.
2. All insurance policies of the Contractor required for this Contract shall:
(i) Provide that, for each insurance policy provided above, coverage shall not be canceled, non-renewed, or reduced in limits or scope except with thirty (30) days’ prior written notice to the County of Cuyahoga, or ten (10) days’ prior written notice in the case of cancellation for non-payment of premium.
(ii) Name The County of Cuyahoga, its officers, officials, employees, and volunteers as additional insureds with respect to liability arising out of work or operations performed by or on behalf of the Contractor including materials, parts, or equipment furnished in connection with such work or operations. This provision shall apply to all insurance policies evidenced by the Contractor except for Workers’ Compensation.
(iii) Be primary and non-contributory as respects the County of
Cuyahoga, its officers, officials, employees, and volunteers for any claims related to the work or operations of the Contractor under this contract.
Any insurance or self-insurance maintained by the County of Cuyahoga, its officers, officials, employees, or volunteers, shall be excess of the
Contractor’s insurance and shall not contribute with Contractor’s insurance. This provision shall apply to all insurance policies evidenced by the Contractor except for Workers’ Compensation.
(iv) Grant the County of Cuyahoga a waiver of any right to subrogation which any insurer of said Contractor may acquire against the County of
Cuyahoga by virtue of the payment of any loss under such insurance. For
Workers’ Compensation coverage written through the Ohio Bureau of
Workers’ Compensation, the Contractor shall furnish a written waiver of subrogation in a form acceptable to the County to the extent such a waiver is available from the Bureau.
(v) Provide the County of Cuyahoga with a Certificates of Insurance evidencing policy coverage as well as reference to and provide evidence
(via physical policy endorsement) that each of the terms and conditions identified in Sections 2. (ii) through 2. (iv) have been met by the
Contractor and their respective insurer(s) by providing proof of Additional
Insured, Primary and Noncontributory, and Waiver of Subrogation via policy endorsements.
3. The Contractor shall be solely responsible for the payment of any self-insured retention
(“SIR”) or deductible under any insurance policy required by this Contract. The insolvency or inability of the Contractor to pay any SIR or deductible shall not relieve the Contractor or its insurer of any obligation under this Contract or under the applicable insurance policy.
(a) If the Contractor’s SIR or deductible on any Commercial General Liability or Business
Automobile Liability policy exceeds $25,000 per occurrence, the Contractor shall obtain the prior written approval of the County of Cuyahoga Risk Management before commencing work under this Contract. Approval may be conditioned upon the Contractor providing evidence of financial capacity to fund the SIR, including but not limited to audited financial statements, a letter of credit, or an SIR escrow agreement.
(b) The SIR or deductible on the Garagekeepers Legal Liability coverage shall not exceed
$10,000, and the deductible on the Installation Floater and Inland Marine coverage shall not exceed $5,000. Any greater retention requires the prior written approval of the County of Cuyahoga Risk Management. All SIR and deductible amounts shall be noted on the
Certificate of Insurance. Failure to disclose an SIR or deductible exceeding the thresholds stated in this section shall constitute a material breach of this Contract.
(c) Where the Contractor’s policy provides coverage on an SIR basis (as distinguished from a deductible basis), the County reserves the right to fund the Contractor’s SIR and seek reimbursement from the Contractor if the Contractor fails to satisfy the SIR within thirty
(30) days of the insurer’s demand. As security for that reimbursement, the Contractor assigns to the County, to the extent of the County’s payment, the insurance proceeds that the payment makes available.
4. The insurance required for this Contract shall be provided by insurance carrier(s) licensed to transact business and write insurance in the state(s) where operations are performed and shall carry a minimum A.M. Best’s rating of A-VII or above, or a state regulated captive also licensed to transact business and write insurance in the state(s) where operations are performed.
5. The terms of this Contract shall be controlling and shall not be limited by any insurance policy provision.
6. These insurance provisions shall not affect or limit the liability of the Contractor stated elsewhere in this Contract or as provided by law.
7. The Contractor shall require any and all of its subcontractors to procure, maintain, and pay premiums for the insurance coverages and limits of liability outlined above with respect to products, services, work and/or operations performed in connection with this Contract. Any deviation from the above insurance requirements shall require prior approval from the County of Cuyahoga Risk Management.
8. The County reserves the right to require insurance coverages in various amounts or to modify or waive insurance requirements on a case-by-case basis whenever it is determined to be in the best interest of the County.
9. If the Bid/Proposal/RFQ specifies the need for higher limits of liability for any applicable insurance provision, the Bid/Proposal/RFQ specifications shall govern.
10. The Contractor shall maintain Commercial General Liability coverage, including the products/completed operations hazard, and shall furnish the County with evidence of that coverage, for five (5) years after the County’s final acceptance of the last vehicle built out under this Contract. Additional insured status for products/completed operations (ISO CG 20 37 07 04 or later edition, or equivalent) shall be maintained for the same period.
11. Where any coverage required by this Contract is written on a claims-made basis, the claims-made retroactive date on the policy shall be prior to the commencement of activity related to this Contract. Where Commercial General Liability is a claims-made policy, such
General Liability policy shall provide coverage for claims arising out of the incidents that occur during the policy period, regardless of when claims are reported.
a) The Retroactive Date must be shown and must be before the date of the contract or the beginning of contract work.
b) Insurance must be maintained, and evidence of insurance must be provided for at least five (5) years after completion of the contract of work.
c) If coverage is canceled or non-renewed and not replaced with another claims-made policy form with a Retroactive Date prior to the contract effective date, the
Contractor must purchase “extended reporting” coverage for a minimum of five (5) years after completion of work.
12. The Contractor shall furnish a Worker’s Compensation Certificate and Certificate of
Insurance evidencing the insurance coverages required herein are in full force and effect.
13. Acceptance of a non-conforming certificate of insurance by the County shall not constitute a waiver of any rights of the parties under this Contract.
14. The Certificates of Insurance evidencing the above coverage shall contain the following language or equivalent where applicable:
“Cuyahoga County and its officers, officials, employees, and volunteers are included as additional insureds on a primary and non-contributory basis with respect to each of the insurance policies referenced within this certificate of insurance except for Workers’
Compensation. A Waiver of Subrogation is granted in favor of Cuyahoga County and its officers, officials, employees, and volunteers with respect to each of the insurance policies referenced within this certificate of insurance. Any applicable Umbrella or Excess Liability policy referenced within this certificate of insurance shall follow form to the underlying
Commercial General Liability, Commercial Automobile Liability, and Employers’
Liability policies referenced within this certificate of insurance, shall include Cuyahoga
County as additional insured, and shall not contain exclusionary language restricting coverage afforded within the underlying insurance policies. Cuyahoga County is named as loss payee with respect to the Garagekeepers Legal Liability, Installation Floater and Inland
Marine, and Crime/Fidelity coverages referenced within this certificate of insurance. All self-insured retentions and deductibles are disclosed on this certificate.”
15. Proof of Additional Insured status from Contractor’s Commercial General Liability policy must be evidenced in the form of an endorsement at least as broad as ISO Form CG 20 10 07
04 for ongoing operations, together with ISO Form CG 20 37 07 04 (or later edition of each) for products/completed operations. Acceptable alternatives include the combination of CG 20
10 and CG 20 37 with CG 20 33 or CG 20 38, provided the combined endorsements afford coverage for both ongoing operations and products/completed operations and use the “caused, in whole or in part, by” causation standard or broader. Proprietary blanket additional insured endorsements are acceptable if they afford coverage at least as broad as the combination of CG
20 10 07 04 and CG 20 37 07 04.
16. Before commencing work, the Contractor shall furnish a letter from its broker or carrier confirming that the Garagekeepers Legal Liability and the Installation Floater and Inland
Marine coverages required by this Contract are in force at the required limits, identifying every exclusion, sublimit, and scheduled-premises limitation applicable to those coverages, and confirming that the coverages apply to County-owned and County-furnished property located at premises owned or occupied by the County.
17. Policies shall contain no “insured vs. insured” exclusion that would limit the insurance company from paying for damages incurred by the County due to Contractor’s negligence. If the policy contains an “insured vs. insured” exclusion, the additional insured endorsement shall contain a clause or phrase that overrides the “insured vs. insured” exclusion.
