(b) Performance of work under this contract is subject to the technical direction of the COR, as delegated in writing. The term "technical direction" includes, without limitation, direction to the contractor that directs or redirects the labor effort, shifts the work between work areas or locations, fills in details and otherwise serves to ensure that tasks outlined in the work statement are accomplished satisfactorily.

(c) Technical direction must be within the scope of the specification(s)/work statement. The COR does NOT have authority to issue technical direction that:

(1) changes any of the terms, conditions, or specification(s)/work statement of the contract;

(2) in any manner causes an increase or decrease in the contract price, or the time required for contract performance;

(3) interferes with the contractor's right to perform under the terms and conditions of the contract; or,

(4) directs, supervises or otherwise controls the actions of the contractor's employees.

(d) Technical direction may be oral or in writing. The COR shall confirm oral direction in writing within five work days, with a copy to the contract administrator.

(e) The contractor shall proceed promptly with performance resulting from the technical direction issued by the COR. If, in the opinion of the contractor, any direction of the COR, falls within the limitations in (c), above, the contractor shall immediately notify the contracting officer no later than the beginning of the next Government work day.

(OCC) 1052.232-8002 AVAILABILITY OF FUNDS (APR 2014)

Funds are not presently available for this contract. The Government’s obligation under this contract is contingent upon the availability of non-appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise until funds are made available to the Contracting Officer for this contract and until the Contractor receives notice of such availability, to be confirmed in writing by the Contracting Officer.

(End of Clause)

(OCC) 1052.242-8000 EVALUATION OF CONTRACTOR PERFORMANCE (DEC 2010)

A. The OCC will evaluate the contractor’s performance after contract award. If this contract has option periods, interim evaluations will be conducted at the end of each option period and then a final evaluation report will be prepared at the completion of the entire contract. If this contract does not have renewal options, an evaluation will be conducted upon completion of the contract. Notwithstanding the preceding, the Contracting Officer may conduct evaluations more or less frequently, if the Contracting Officer deems appropriate.

B. Evaluations will be conducted using an electronic format as established by Contractor Performance Assessment Reporting System (CPARS), an internet-based database of contractor performance information. The OCC will enter the information, gathered from the evaluation, into the CPARS.

C. If the contractor responds to the evaluation, and the response rebuts any or all of the ratings, the Contracting Officer will attempt to reconcile the areas of disagreement with the contractor. If agreement cannot be reached, the evaluation and response shall be reviewed at a level higher than the Contracting Officer and a final evaluation will be issued by the reviewing official. If the reviewing official finds, either all or in part, against the contractor, the contractor’s response shall become part of the final evaluation. The reviewing official’s final decision shall not be subject to dispute under the terms and conditions of the Disputes clause or subject to resolution in accordance with the terms and conditions of the Alternative Dispute Resolution clause. The reviewing official will provide the contractor with a copy of the final evaluation.

D. Any government agency authorized to access the Past Performance Information Retrieval System (PPIRS) database will be able to view the performance information related to this contract. The fourth option period is from 09/30/2026 through 9/29/2027

(End of Clause)

(OCC) 1052.243-8001 AUTHORIZED CHANGES ONLY BY THE CONTRACTING OFFICER (SEP 2016)

(a) Except as specified in paragraph (b) below, no order, statement, or conduct of Government personnel who provide technical direction or in any other manner communicates with contractor personnel during the performance of this contract shall constitute a change under the “Changes” clause of this contract.

(b) The Contractor shall not comply with any order, direction or request of Government personnel unless it is issued in writing and signed by the Contracting Officer (CO) or is pursuant to specific authority otherwise included as a part of this contract.

(c) The CO is the only person authorized to approve changes in any of the requirements of this contract and notwithstanding provisions contained elsewhere in this contract, the said authority remains solely the CO’s. In the event the Contractor effects any change at the direction of any person other than the CO, the change will be considered to have been made without authority and no adjustment will be made in the contract price to cover any increase in charges incurred as a result thereof. The primary CO will be identified via separate letter to the contractor. Any CO with appropriate warrant authority may direct changes through a modification to the contract.

(End of Clause)

(OCC) 1052.342-8000 CONTRACTOR’S COMMITMENT TO EQUAL OPPORTUNITY IN EMPLOYMENT AND CONTRACTING (MAR 2019)

Contractor confirms its commitment to equal opportunity in employment and contracting. To implement this commitment, the Contractor shall ensure, to the maximum extent possible consistent with applicable law, the fair inclusion of minorities and women in its workforce. The Contractor shall insert the substance of this clause in all subcontracts under this Contract when the dollar value exceeds $150,000.

Within thirty (30) calendar days of a written request from the OCC’s Office of Minority and Women Inclusion (OMWI), or such longer time as the OMWI determines, and without any additional consideration required from the Agency, the Contractor shall provide documentation, satisfactory to the Agency, of the actions it (and, as applicable, its subcontractors) has undertaken to demonstrate its good-faith efforts to comply with the aforementioned provisions.

For purposes of this contract, “good-faith efforts” may include actions by the contractor intended to identify and, if present, remove barriers to minority and women employment or expansion of employment opportunities for minorities and women within its workforce. Efforts to remove such barriers may include, but are not limited to, recruiting minorities and women, providing job-related training, or engaging in other activities that could lead to those results.

The documentation requested by the OMWI may include, but is not limited to, one or more of the following:

1. A written affirmative action plan or other written program designed to ensure the fair inclusion of minorities and women in the contractor’s workforce, including outreach, recruitment, and training efforts whereby the contractor sets forth specific, results-oriented policies and procedures.

2. A list of subcontract awards under the Contract categorized by dollar, date of award, and the subcontractor’s ownership status, including whether the subcontractor is minority-owned (by race and/or ethnicity) or women-owned.

3. Documentation similar to that described in paragraph 1 with respect to each subcontractor.

4. Any other actions demonstrating the contractor’s or subcontractor’s good-faith efforts to include minorities and women in its workforce.

Consistent with Section 342(c)(3) of the Dodd–Frank Wall Street Reform and Consumer Protection Act (PL 111-203) (Dodd–Frank), a failure to demonstrate to the Director of the OMWI such good-faith efforts to include minorities and women in the Contractor’s workforce (and, as applicable, the workforce of its subcontractors) may result in termination of the Contract for default, referral to the Office of Federal Contract Compliance Programs, or other appropriate action.

For purposes of this clause, the terms “minority,” “minority-owned business” and “women-owned business” shall have the meanings set forth in Section 342(g) of Dodd–Frank.

PART III – DOCUMENTS, EXHIBITS, AND/OR ATTACHMENTS

PERFORMANCE WORK STATEMENT

III.1 INTRODUCTION

The Office of the Comptroller of the Currency (“OCC”) charters, regulates, and supervises all national banks and federal thrifts. It also supervises the federal branches and agencies of foreign banks. One of the primary missions of Supervision Research and Analysis (SRA) within the OCC is to deliver economic and quantitative analysis to policymakers and bank examiners. SRA supports on-site and off-site supervision of banks, provides current economic analysis, supports policy development, and conducts original research to support the OCC mission of ensuring a safe and sound national banking system.

III.1.1 Background

The OCC has a requirement to procure Comprehensive Consumer Credit Bureau data and Alternative Credit data to enable the agency to complete a variety of research projects and tasks pertinent to bank supervision and policy. Such research and tasks enable the agency to not only exhibit leadership in the domestic and global financial regulatory environments to promote the global stability of financial services but also to sustain an enterprise pipeline of talented, skilled, experienced, and diverse employees.

III.1.2 Scope of Work

The Contractor must provide Comprehensive Consumer Credit Bureau Data. The data must contain two types of mergeable credit data: traditional credit data from a Nationwide Consumer Reporting Agency[footnoteRef:1] (e.g., Equifax, Experian, TransUnion) and “alternative” credit data (FCRA[footnoteRef:2]-compliant credit data that is not typically included in traditional credit reports and predominantly covers low-income and/or non-prime consumers[footnoteRef:3]). [1: As defined and listed by Consumer Financial Protection Bureau (CFPB), contemporaneously found at:

https://files.consumerfinance.gov/f/documents/cfpb_consumer-reporting-companies-list.pdf] [2: FCRA – Fair Credit Reporting Act, contemporaneously found at: https://www.ftc.gov/enforcement/statutes/fair-credit-reporting-act ] [3: CFPB defines it as “Low Income and Subprime” consumer market segment, contemporaneously found at:

https://files.consumerfinance.gov/f/documents/cfpb_consumer-reporting-companies-list.pdf.]

III.1.3 Definitions The following definitions will be referenced through the rest of this document:

· (i) Traditional Credit Bureau Database: all records in the Contractor’s nationwide traditional consumer credit database that were included in the month- or quarter-end snapshot of the relevant data period,[footnoteRef:4] whether or not the records had tradelines and whether or not they were scoreable.[footnoteRef:5] Buy-now-pay-later (BNPL) tradelines have recently begun systematic collection and the OCC considers BNPL tradelines to be elements of the Traditional Credit Bureau Database. As such, the Contractor must choose a snapshot date prior to July 1, 2022 as of which BNPL tradelines are to be considered a fully-integrated part of the Traditional Credit Bureau Database. After this snapshot date, BNPL tradelines must be included in the data provided by the Contractor in the same manner as other tradelines (e.g., credit card, mortgages, etc.) [4: For quarterly frequency options, each data year contains four snapshot dates: September 30th, December 31st, and March 31st and June 30th. For monthly frequency options, the snapshot dates are the final day of each month with the final snapshot date of the data year being June 30th.] [5: A “record” is considered the same as a “case” or “file.” The terms refer to data at the level of the “consumer” or “individual.”]

· (ii) Traditional Core Data: a longitudinal data sample that is representative of the entire Traditional Credit Bureau Database

· (iii) Base Year Traditional Core Data: initial sample of the Traditional Core Data, obtained by random sampling of consumer-level records from the Traditional Credit Bureau Database;[footnoteRef:6] includes consumer-level and loan-level (tradeline-level) data for the consumers included in the sample [6: Or as defined in Section III.2.4 and its subsections if Sample Design B is chosen by the Contractor.]

· (iv) Updates to the Traditional Core Data: consist of (i) updated features of the records (and their associated tradelines) that were included in the Base Year Traditional Core Data or that were added as part of previous Updates (other than those no longer present in the Traditional Credit Bureau Database at the time of the Update), as well as (ii) the features of a random sample of records (and their associated tradelines) that have been newly-added to the Traditional Credit Bureau Database in the update year.[footnoteRef:7] [7: We call these records “newly-opened” Traditional Credit Bureau Database files. Specifically, a consumer’s file is considered “newly-opened” for this purpose when they have a Traditional Credit Bureau Database file for a given year but have not had a Traditional Credit Bureau Database file in any prior data year covered by this contract.]

· (v) Alternative Credit Database: all records in the Contractor’s alternative credit database that were included in the month- or quarter-end snapshot of the relevant data period,[footnoteRef:8] whether or not the records had tradelines and whether or not they were scoreable. As noted above, the Alternative Credit Database is the universe of credit data not typically included in traditional credit reports. For sampling purposes, consumers who have only non-credit forms of alternative data (e.g., rent payments, payroll information, utility data, or telecommunications data) are not considered part of the Alternative Credit Database. [8: For quarterly frequency options, each data year contains four snapshot dates: September 30th, December 31st, and March 31st and June 30th. For monthly frequency options, the snapshot dates are the final day of each month with the final snapshot date of the data year being June 30th.]

· (vi) Alternative Core Data: longitudinal sample data representative of the entire Alternative Credit Database

· (vii) Base Year Alternative Core Data: initial sample of the Alternative Core Data, obtained by random sampling of consumer-level records from the Alternative Credit Database includes consumer-level and, ideally, loan-level (tradeline-level) data for the consumers included in the sample[footnoteRef:9] [9: See section III.4 and its subsections for additional information about our alternative data requirements.]

· (viii) Updates to the Alternative Core Data: consist of (i) updated features of records (and associated tradelines) included in the Base Year Alternative Core Data or added as part of previous Updates (other than those no longer present in the Alternative Credit Database at the time of the Update), as well as (ii) the features of a random sample of records (and their associated tradelines) that have been newly-added to the Alternative Credit Bureau Database in the update year.[footnoteRef:10] [10: We call these records “newly-opened” Alternative Credit Database files. Specifically, a consumer’s file is considered “newly-opened” for this purpose when they have an Alternative Credit Database file in a given year but have not had an Alternative Credit Database file in any prior data year covered by this contract.]

· (ix) Alternative Core Data Complement (to the Traditional Core Data): For a given data period,[footnoteRef:11] these data shall contain, for all consumers present in the Traditional Core Data in that data period, a collection of the consumer-level records (and associated tradelines) retrieved from the Alternative Credit Database for each of those consumers in that same data period (if such records exist).[footnoteRef:12] [11: “Data period” for this purpose means data year or, if the higher-frequency Traditional data Update option is chosen, then the Alternative Core Data Complements shall match that frequency and “data period” here shall mean data quarter.] [12: The intent, here, is to require the Contractor to check the Alternative Credit Database for any data on the consumers who appear in the Traditional Core Data and to provide that data if they find any there. This data should be provided at the same update frequency as the Traditional Core Data. ]

· (x) Traditional Core Data Complement (to the Alternative Core Data): For a given data period,[footnoteRef:13] this data shall contain, for all consumers present in the Alternative Core Data in that data period, a collection of the consumer-level records (and associated tradelines) retrieved from the Traditional Credit Bureau Database for each of those consumers in that same data period (if such records exist).[footnoteRef:14] [13: “Data period” for this purpose means data year or, if either higher-frequency Alternative data Update option is chosen (monthly or quarterly), then the Traditional Core Data complement shall have a quarterly frequency, and “data period” here shall mean data quarter.] [14: Again, the intent here is to require the Contractor to check the Traditional Credit Bureau Database for any data on the consumers who appear in the Alternative Core Data and to provide that data if they find any there. This data must be provided at the same update frequency as the Alternative Core Data (unless the monthly update option is chosen, in which case this data must be updated quarterly). ]

· (xi) Complementary Core Data: the aforementioned complementary datasets, as defined by (ix) and (x)

· (xii) Core Data: all aforementioned Core Data, as defined by (ii), (vi), (ix) and (x)

· (xiii) Optional Data: any other Data acquired as part of this procurement that fall outside of the Core Data

· (xiv) Acquired Data: The entirety of the data acquired as part of this procurement.

III.2 OVERARCHING COMPREHENSIVE REQUIREMENTS

This section provides an overview of data, documentation, updates, and sampling design requirements for both traditional and alternative credit data.

III.2.1 Overarching Comprehensive Credit Data Requirements

1. The OCC requires data with limited rights in perpetuity with limits as described in this section (III.2.1). The OCC shall be licensed to use data internally and publish or share aggregate results externally.

2. The Contractor must provide the OCC the following data usage rights:

a. The right to merge the Acquired Data with data and information from other sources and create derivative products;[footnoteRef:15] [15: The OCC will not attempt to merge the data in a way that risks de-anonymization of consumers, lenders, servicers, or other anonymized data. ]

b. The right to retain the data for use in research and analysis;

c. The right to publish/present the Acquired Data; and

d. The right to post research papers with aggregated Acquired Data.

3. The Contractor must deliver contract base year traditional and contract base year alternative Core Data.

4. The Contractor must deliver regular updates to the traditional and alternative core data at the specified frequency for the life of the contract. Updates must be mergeable to the base-year core data and updates previously provided by the Contractor under this contract (e.g., consumer identifiers and tradeline identifiers should be consistent across time).

5. The Contractor must deliver the following data in a format ensuring filenames and included indicators clearly establish which of these components the Contractor aims to satisfy with the data delivery:[footnoteRef:16] [16: The OCC is flexible in exactly how the data is formatted and delivered; however, the OCC reserves the right to require the format to be changed by the contractor if it cannot identify which subsets of the data provided satisfy each of the required samples/updates. For example, Updates to the Traditional Core Data and Updates to the Traditional Core Data Complement to the Alternative Core Data may be combined if there is an indicator flag noting which consumers/records belong to which sample.]

a. Traditional Core Data (and its Updates),

b. Alternative Core Data (and its Updates),

c. Alternative Core Data Complement (to the Traditional Core Data) (and its Updates),

d. Traditional Core Data Complement (to the Alternative Core Data) (and its Updates)

6. Provide anonymized identifiers that universally and uniquely identify consumers across all Core and Optional (if applicable) data (making it possible for the OCC to, for example, merge the Complimentary Core Data to their corresponding Core Data); this consumer identifier should be consistent for each consumer, across time. Alternatively, the Contractor will provide a crosswalk that matches each consumer’s anonymized identifier found in Core Data to his/her corresponding anonymized identifier in the Complimentary Core Data; in this case the identifiers would be consistent across time and unique within each data type (i.e., unique within the Traditional Core and Complement (to Alternative) Data and unique within the Alternative Core and Complement (to Traditional) Data).

7. Provide, similarly to consumer identifiers, a unique identifier for each tradeline that is consistent across time and unique at least within each data type.

8. As an optional task related to Paragraph 7 of Section III.2.1. (the immediately preceding paragraph), if a single tradeline is reported in both the traditional data and the alternative data, and if the tradeline identifier is not the same for that tradeline in the traditional and the alternative data, the Contractor must identify tradelines the bureau considers likely to be duplicates across the traditional and alternative data and provide a unique identifier for every such pair of duplicates. This task must only be performed if the associated optional contract line item is awarded and exercised at the time of contract award or by modification to the contract.

9. The data delivered to the OCC must…
