Sole Source Justification Summary
This is a Sole Source Justification (SSJ FY26-0119) for a Department of Homeland Security (DHS) enterprise Blanket Purchase Agreement (BPA) with Carahsoft Technology Corporation under the General Services Administration (GSA) Multiple Award Schedule (MAS). The BPA will provide DHS Headquarters and Components with a streamlined procurement vehicle to acquire software licenses, subscriptions, maintenance, and associated services from approximately 70+ original equipment manufacturers (OEMs) and technology partners through Carahsoft's GSA MAS contract. The contract type is firm-fixed price utilizing pre-negotiated GSA price lists, with a five-year period spanning July 1, 2026 through June 30, 2031 and a total estimated value of $2,657,393,210 ($423.66M for Year 1; $469.01M for Year 2; $501.16M for Year 3; $613.38M for Year 4; $650.19M for Year 5).
DHS justifies this sole source award under GSAR 538.7104-3(b)(ii), citing that Carahsoft is the only authorized distributor/master aggregator capable of providing these unique and highly specialized products and services at the required quality level. Market research conducted between December 2025 and April 2026 confirmed that the OEMs do not sell directly to the government and rely exclusively on Carahsoft for distribution through its GSA MAS contract. DHS will acquire commercial off-the-shelf (COTS) software licenses, Software-as-a-Service (SaaS) subscriptions, maintenance, technical support, and limited professional services. The BPA enables DHS to standardize software platforms across components, reduce procurement cycle times, obtain mandatory BPA-level GSA minimum discounts plus additional multi-vendor volume-based discounts, and enhance enterprise visibility and security. DHS intends to post this sole source requirement at SAM.Gov within 14 days after award.

HSAM 3008.401-71(d) Sole-Sources Justification (SSJ) pursuant to Revolutionary Federal Acquisition Regulation
Overhaul (RFO) 8.401(b) For orders or BPAs exceeding the Simplified Acquisition Threshold
SSJ No.: FY26-0119
This acquisition is conducted in accordance with the Multiple-Award Schedule Program, 41 U.S.C. 152(3), Competitive Procedures, 40 U.S.C. 501, Services for Executive Agencies, and in accordance with Federal Acquisition Regulation (FAR) 8.401, FAR Class Deviation 25-20 for FAR Part 81, and General Services Acquisition Regulation (GSAR) 538.7104-3(b)(ii), “Only one source is capable of providing the products, services, or solution required at the level of quality required because the products, services, or solutions are unique or highly specialized.”
1. Agency and Contracting Activity.
The Department of Homeland Security (DHS), Office of Procurement Operations (OPO), Information Technology Acquisition Center (ITAC) proposes to award enterprise Blanket Purchase Agreement (BPA) to Carahsoft Technology Corporation under the General Services Administration (GSA) Multiple Award Schedule (MAS).
2. Nature and/or Description of the Action being Approved.
11493 Sunset Hills Road, Suite 100, Reston, VA 20190, under Carahsoft’s GSA MAS contract.
3. Description of Supplies/Services.
The BPA will provide DHS Headquarters and Components with a streamlined, enterprise vehicle to procure software licenses, subscriptions, maintenance, and associated services from a portfolio of approximately 70+ original equipment manufacturers (OEMs) and technology partners available through Carahsoft’s GSA MAS contract.
This BPA allows DHS to efficiently acquire integrated solutions, reducing procurement cycle times, and enhance the DHS’s operational effectiveness.
The BPA contract type will be firm-fixed price with orders anticipated to be firm-fixed price, utilizing existing pre-negotiated GSA price lists included in the MAS. Any hybrid or non-fixed price orders must be justified at the order level.
Key characteristics of the action:
1 FAR Class Deviation 25-20, for FAR Part 8 was issued as part of the evolutionary FAR Overhaul (RFO), which was implemented in response to Executive Order 14275, Restoring Common Sense to Federal Procurement, signed April 15, 2025.
Any subsequent citations to FAR Part 8 in this document will be cited as “RFO FAR” for brevity and are referring specifically to FAR Class Deviation 25-20 for FAR Part 8.
Note: The full scope will include but not be limited to the above vendors. As new solutions and requirements are added to the DHS’ inventory and Carahsoft’s GSA MAS, the DHS will reserve the right to modify the BPA to add vendors, if Carahsoft is the exclusive GSA MAS holder for the relevant software products and services. On-boarding and off-boarding of vendors will be permitted during the administration of the BPA.
4. Authority and supporting rationale.
This acquisition is being conducted in accordance with the Multiple-Award Schedule Program, 41 U.S.C. 152(3), Competitive Procedures, 40 U.S.C. 501, Services for Executive Agencies. This sole source justification is being prepared in accordance with the RFO 8.401(b) and GSAM/R 538.7104-3(b)(ii) “Only one source is capable of providing the products, services, or solution required at the level of quality required because the products, services, or solutions are unique or highly specialized.”
Carahsoft Technology Corporation the only responsible source capable of satisfying the Government’s requirements as they are the sole authorized distributor/master aggregator for all OEM vendors identified in paragraph 3 above.
The OEM products and services are only directly available through Carahsoft. As a result, competition is precluded because no other vendors can provide the required items without buying through Carahsoft.
5. Determination by the Ordering Activity Contracting Officer that the Anticipated BPA
Represents the Best Value
This sole source BPA represents the best value to the Government. Carahsoft’s GSA Schedule pricing has already been determined to be fair and reasonable in accordance with FAR 8.404(d) and GSAM/R 538.270. The use of Carahsoft’s GSA Schedule provides the Government with the lowest overall cost alternative while ensuring full compliance with federal laws and regulations.
Additionally, the contracting officer has determined that establishing an enterprise BPA under the GSA MAS with Carahsoft Technology Corp. represents the best value to the Government.
Factors supporting this determination include:
Use of GSA MAS Pricing: Carahsoft’s MAS pricing has already been evaluated by GSA and determined fair and reasonable based on commercial sales practices and pricing analyses.
Additional Discounts: Under the BPA, DHS will obtain:
o Mandatory BPA Level GSA minimum discounts (varies by OEM); and o Additional multi-vendor and volume-based discounts negotiated by Carahsoft across the included OEM portfolio including order level discounts.
Administrative Efficiency: A single enterprise BPA reduces procurement cycle times, streamlines order processing, and lowers administrative burden compared to multiple one-off orders across different vehicles.
Enterprise Standardization and Visibility: The BPA enables DHS to standardize key software platforms, track usage, manage renewals, and enforce consistent terms across DHS Components, reducing duplication and enhancing security and interoperability.
The contracting officer is requesting discounts at the BPA level. Order level Contracting Officers will seek additional discounts, as appropriate, to ensure that final prices represent the best value to the Government.
The DHS Carahsoft BPA will offer a significant value to DHS Components by providing enhanced multi-vendor discount structures beyond standard GSA pricing, ensuring cost savings across a wide range of technologies.
6. Description of Market Research.
The DHS Office of the Chief Information Officer (OCIO) conducted comprehensive market research between December 2025 and April 2026 to identify commercially available IT software and authorized resellers capable of fulfilling the most frequently used and purchased IT software and licenses across all DHS components.
This research involved reviewing source lists from DHS and other government agencies, including historical procurement records and existing DHS-wide and multi-component contract vehicles. The team also engaged with the DHS Strategic Solutions Office. Analysis of these source lists revealed that Carahsoft Technology Corp. consistently served as the primary distributor for most software licenses acquired by DHS. Direct outreach sessions with Carahsoft provided historical pricing data for over 70 of the most frequently purchased IT products.
The Original Equipment Manufacturers (OEMs) do not sell these products directly to the government; instead, they rely exclusively on Carahsoft to distribute their offerings. All products identified in our requirements are available through Carahsoft’s GSA Multiple Award Schedule (MAS), ensuring compliance with federal procurement regulations. Thus, the market research confirmed that Carahsoft is the exclusive GSA MAS holder for the relevant software products and services.
Based on market research efforts, DHS has collected data reflecting the requirements of each component over the past 16 months. The enterprise BPA resulting from this acquisition will align these requirements under a single, strategically managed vehicle with consistent terms and improved pricing.
The contracting officer used this market research to confirm that Carahsoft is the only source capable of meeting DHS’s requirements. The Contracting Officer has determined that establishing the proposed BPA with Carahsoft represents the best value and will result in consistent pricing and alternatively, the lowest overall cost, considering price and administrative costs, to meet the Government’s needs.
7. Any Other Facts Supporting the Use of Other Than Full and Open Competition.
All supporting information is contained in other sections of this justification.
8. A Statement of the Actions, if Any, the Agency May Take to Remove or Overcome Any
Barriers to Competition Before Any Subsequent Acquisition for Supplies or Services Required.
The Government has tailored the original requirement to only include OEMs that are solely distributed by Carahsoft.
9. DHS intends to post this sole source requirement at the Government-wide Point of Entry
(GPE), SAM.Gov, pursuant to RFO FAR 8.401(b), GSAM 538.7104-3(b)(3)(ii)(A), within 14 days after award.
