About this file

This is an interoffice memorandum and risk management review document from the Orange County Transportation Authority (OCTA) regarding insurance and indemnification requirements for RFP 260524, a landscaping services procurement. The selected contractor shall provide landscaping services as requested by the Maintenance Resource Management Department under a Firm-Fixed contract with a budget of $550,000 for a two-year initial term. The memorandum documents the approval process for insurance requirements and indemnification language, with Risk Management providing final approval on August 4, 2026, to proceed with re-procurement.

The insurance requirements include Commercial General Liability with minimum limits of $1,000,000 per occurrence and $2,000,000 general aggregate; Automobile Liability with combined single limits of $1,000,000 per accident; Workers' Compensation as required by California; Employers' Liability with $1,000,000 minimum limits; and Pollution Legal Liability with $2,000,000 per loss and $4,000,000 annual aggregate limits. The Pollution Legal Liability requirement was justified by the scope of work activities including application of herbicides, pesticides, and fertilizer, handling and disposal of green waste, and potential chemical runoff into storm drains. Contractors must provide proof of insurance within ten calendar days of the effective date and prior to commencement of work, designate OCTA as an additional insured, and maintain primary and non-contributive coverage. The indemnification clause requires contractors to indemnify and defend OCTA against all claims arising from negligent acts, omissions, or willful misconduct by the contractor or its subcontractors in connection with agreement performance.

Thank you, Regie.

Please confirm you agree with the below response:

The polluƟon coverage and limits outlined in, Exhibit C, Insurance, are required given Exhibit A, Scope of Work, specifically includes acƟviƟes that create environmental risks, such as the applicaƟon of herbicides, pesƟcides and ferƟlizer, handling and disposal of green waste, and the potenƟal chemical runoff into storm drains.

Good Afternoon Ellis:

Thanks for the email.

Regarding the question about pollution insurance, yes this coverage is needed as the Scope of Work specifically includes activities that create environmental risks, such as the application of herbicides, pesticides and fertilizer, handling and disposal of green waste, and the potential chemical runoƯ into storm drains.

Regarding the $8M for insurance coverage, unfortunately, I am not sure which coverage (if not all coverages needed to secure this contract) contractor is referring to. Across the board, the cost of insurance has increased as a whole. Given that there is an initial upfront cost (to secure the coverage), ultimately the cost of coverage is a business cost that may have IRS credit potential.

We are standing firm with our pollution insurance requirement, as well as all the other required insurance coverages.
