About this file

This is a Business Associate Agreement entered into by the Board of Regents of the University of Wisconsin System on behalf of the UW-Milwaukee Audiology Group and a business associate for the provision of audiology-related services. The agreement establishes the legal framework governing the relationship between UW-Milwaukee and vendors or service providers who will handle Protected Health Information (PHI) in compliance with the Health Insurance Portability and Accountability Act (HIPAA) and the Health Information Technology for Economic and Clinical Health (HITECH) Act. The Business Associate is permitted to request, use, or disclose PHI only as necessary to perform functions, activities, or services for UW-Milwaukee as specified in an underlying service agreement and in strict compliance with applicable federal regulations and minimum necessary standards.

The agreement requires the Business Associate to implement administrative, physical, and technical safeguards to protect the confidentiality, integrity, and availability of electronic PHI, report any unauthorized access or breach to UW-Milwaukee's Information Security Office within five calendar days, and provide written notification within ten calendar days. The Business Associate must ensure that any subcontractors or agents receiving PHI agree to the same restrictions and conditions. Upon termination of the agreement for any reason, the Business Associate must return or destroy all PHI or, if infeasible, provide notification and extend protections of the agreement to retained information. The agreement is governed by Wisconsin law, may be amended to maintain HIPAA compliance, and cannot be transferred or assigned without prior written consent from both parties. The Business Associate is required to hold harmless UW-Milwaukee from all liability arising from non-permitted use or disclosure of PHI.
