BPA Terms and Conditions

1. General The Contractor shall comply with all terms and conditions of their awarded agreement under the BPA and calls issued against the BPA. The Terms and Conditions of the agreement shall prevail over the BPAs and BPA calls.

The Terms and Conditions in the BPA apply to all orders placed pursuant to it. In the event of an inconsistency between the provisions of the BPA and BPA calls, the provisions of the BPA will take precedence.

BPAs do not obligate funds. The Government is obligated only to the extent of authorized calls made under the BPA. It is the responsibility of the individual ordering activities to ensure adequate funds are available. There is $25,000 limit on the dollar value of call purchases made under the resultant BPA. The maximum order limitation is for the purpose of determining discounts and does not limit the dollar value of an order.

2. Authority This BPA is entered into pursuant to the terms and conditions of the BPA holder's parent contract and FAR 13.303.

3. Description of Agreement Under this agreement, the BPA holder shall provide Topsoil for Ohio Western Reserve National Cemetery.

4. Period of Performance This BPA will be effective from the date of establishment for five years unless cancelled. Work on issued BPA calls may extend beyond the effective period of this BPA. However, no new BPA calls may be issued once the BPA has expired.

The Government may cancel the BPA at any time by notifying the Contractor Team Lead at least thirty (30) days in advance. BPA cancellation does not release the contractor from the duty to continue Delivery Order performance. Ongoing orders continue in accordance with their own period of performance, even if the BPA is cancelled. Termination procedures for Delivery Orders are addressed in the underlying schedule contract.

5. Prevailing Terms and Conditions All orders placed against this BPA are subject to the terms and conditions of the BPA and all clauses and provisions in full text or by reference incorporated herein.

6. Administration On behalf of the CO, the Delivery Order (DO) COR is responsible for the general administration of individual Delivery Orders, review/acceptance of all deliverables, and technical direction required under said Delivery Order. The DO COR will serve as the Government point of contact concerning information exchange, submission review, and payment. Nothing said by the DO COR shall be construed to change contract requirements unless supported in writing in advance by the DO CO.

Additional points of contact may be specified after BPA establishment. The Contractor may be asked to provide required BPA deliverables to these points of contact as well.

A separate, Delivery Order Contracting Officer may be assigned before the performance of each Delivery Order under this BPA. The Delivery Order Contracting Officer will be responsible for administering the applicable Task Order.

7. Authorized Users Any NCA contracting officer or purchase card holder, acting within the scope of their delegated procurement authority, may place Calls against this BPA.

8. Ordering This is a single award BPA therefore orders do not need to be competed. The ordering contracting officer shall determine if the total price is reasonable by verifying that prices are at or below established BPA rates. Sub-contracting is not required, however the contracting activity will recommend to awardees, where possible, that small businesses are given the opportunity to compete for sub-contracting opportunities. In this procurement, courier services may be sub-contracted out in various locations. The Order may be placed against this BPA using, Outlook Email Messages, FAX Internet portal, paper or oral communications.

9. Reporting A quarterly report will be sent by the Contractor to the NCA contracting officer showing facility usage if applicable, BPA pricing and cost savings generated during the reporting period. The report will be due 45 days after the close of each Government fiscal quarter. The Contracting Specialist contact information is as follows:
