TERMS AND CONDITIONS
for the FACILITY SUPPORT RECRUITMENT SERVICES BLANKET PURCHASE AGREEMENT (BPA) FOR THE NATIONAL INSTITUTES OF HEALTH (NIH) OFFICE OF RESEARCH FACILITIES (ORF)
NAICS Code 561210 Facilities Support Services
1. DESCRIPTION OF THE AGREEMENT
The purpose of this Blanket Purchase Agreement (BPA) is to provide facility support recruitment services to the National Institutes of Health’s (NIH) Office of Research Facilities (ORF). The BPA is a simplified method of filling anticipated repetitive needs services by establishing terms and prices with one or more qualified contractors to supply the services.
This BPA shall be in effect for a two (2) year period of time, commencing on or around May 31, 2024, and ending on or around May 30, 2026. The Government may unilaterally choose to extend the BPA up to one (1) year in order to preserve the usage of a replacement credit. An annual review of BPA(s) will be performed to determine whether the Government is receiving fair and reasonable pricing, usage and participation, which may result in either continuing the BPA or early expiration.
The Contractor shall furnish recruitment services when requested by the Contracting Officer (CO) (or the authorized representative of the Contracting Officer) during a specified period and within a stipulated aggregate amount. Recruitment support may include the following services but are not limited to - Once requested by the CO or authorized Government representative, the Contractor will review position descriptions (PDs) for publicly available positions posted on https://www.usajobs.gov/ which support vacancies within NIH ORF. The Contractor will facilitate commercial recruiting activities, inclusive of industry best practices, to present candidates to the Government through the established hiring practices of the NIH. Based upon the Government’s independent review and analysis, Government will hire candidates it determines to be suitable for its employment needs, this may or may not include candidates recruited by the Contractor. Each hired candidate will then be an employee of the Government and will work under the sole management and direction of Government. In no event shall any Government hire be deemed an employee of the Contractor. Government will be solely responsible for the payment of the hire’s wages, expenses, benefits, withholding of all taxes, and all other related and necessary employer responsibilities. Though the Government will check references and confirm the accuracy of resumes, the Contractor is encouraged to initially screen candidates as well. All background checks performed by Contractor made upon ORF’s request are not intended to be an exhaustive check of employment, education or other background information, and are not warranted in any way by the Contractor. The Government will still facilitate their mandatory security clearance processes for each candidate and new hire.
2. EXTENT OF OBLIGATION
The Government is not obligated to place any Calls under this BPA. The Government is only obligated to the extent authorized by the Calls that are placed.
3. PURCHASE LIMITATIONS
No Calls placed under this agreement shall exceed $250,000.00.
4. NOTICE OF INDIVIDUALS AUTHORIZED TO PURCHASE UNDER THE BPA
AND THEIR DOLLAR LIMITATIONS
The CO is the only person with authority to act as agent of the Government under this BPA. Only the CO has authority to: (1) direct or negotiate any changes in the BPA; (2) modify or extend the period of ordering.
The Contracting Officer’s Representative (COR) is responsible for: (1) monitoring the Contractor's technical progress, including the surveillance and assessment of performance and recommending to the Contracting Officer changes in requirements; (2) interpreting the PDs and any other technical performance requirements; (3) performing technical evaluation as required; (4) performing technical inspections and acceptances required by this contract; and (5) assisting in the resolution of technical problems encountered during performance. [The alternate COR is responsible for carrying out the duties of the COR only in the event that the COR can no longer perform his/her duties as assigned.]
A list of individuals authorized to place Calls under this agreement (specifying dollar limitations per call) will be furnished separately by letter to the Contractor. A CO must issue that letter. The Contractor, by acceptance, must identify the name and contact information for all persons authorized by their Company to accept and sign Calls under this BPA.
5. PRICING
The prices to the Government for all labor and materials provided under the BPA shall be as low as, or lower than those charged to the Contractor’s most favored customer for comparable quantities under similar terms and conditions. Given that ORF as a significant number of vacancies that need rapid filling, NIH seeks additional discounting for bulk services that we anticipate will be needed.
The Contractor shall supply firm-fixed prices (FFP) to facilitate recruitment of the following General Service (GS) pay scale grades. Current and historical GS salaries by grade can be found at opm.gov (https://www.opm.gov/policy-data-oversight/pay-leave/salaries-wages/)

In the event that Government hires a candidate referred through the Contractor (and documented within the administration process of this BPA) at any time within twelve (12) months of the candidate’s submitted application date to the Government, the Government agrees to pay the Contractor a recruitment fee equal to the established prices above. The recruitment fee shall be considered 75% earned upon the candidate’s start date with Government with the remaining 25% of the fee earned upon the hired employee remaining ninety (90) days within the Government.
The Contractor may be asked to create or support specific recruiting events or activities. The Government will release a Request for Quote (RFQ) for a new Call with more defined scoping of special events or activities as they are needed, and the Contractor and Government will negotiate appropriate compensation for performance-based services. The Government may limit RFQs of this nature to one or more Contractors based on the specific needs and available budget.
6. GUARANTEE
If within the first ninety (90) calendar days of starting work with the Government, the hired employee separates from the Government, either the Government terminates the hire’s employment “for cause” as that term is defined by the Government as performance issues or an unfavorable security clearance outcome, or if the hire terminates employment with the Government for any reason, the Contractor will provide a one-time replacement credit at no additional cost to the Government. The replacement credit will be equal to the 75% recruitment fee paid for the hire, assuming the Government has paid the Contractor at the time of the hired employee’s separation. The replacement credit may be used in full or part(s) toward payment of any candidate(s) hired within the next twelve (12) months from the hire’s separation date. If the Government has not been invoiced and paid the 75% recruitment fee at time of the hired employee’s separation, then the Government will not be invoiced for and/or pay any fees associated with that separated hired employee.
The Contractor’s 90-day guarantee is contingent upon receiving written notification from the Government of the hired employee’s separation within five (5) business days of the hired employee’s separation date.
7. PREVIOUS KNOWLEDGE
After the Contractor presents a candidate’s name within the monthly Call Report to the Government, and the candidate has submitted their application to the Government, the Government agrees it will notify the Contractor within one-month if the Government had Previous Knowledge of the candidate. “Previous Knowledge” is defined as the Government making direct contact with the candidate within the three (3) months prior to the candidate submitting or re-submitting their application as a result of the Contractor’s recruiting efforts. If the Government is able to demonstrate Previous Knowledge of a candidate, no Recruitment Fee will be charged.
8. CONFIDENTIALITY
Each party to this Agreement may receive information that is confidential to the other party. Both parties agree to hold such information in strict confidence and not to disclose such information to third parties or to use such information for any purpose whatsoever other than performing under this Agreement or as required by law. Each party agrees that it shall take steps reasonably necessary to preserve and protect the confidentiality of such information.
9. PROCEDURES
When requirements are identified, the Contracting Officer may transmit a Call to the BPA holder(s).
The BPA holder(s) shall sign the Call to accept the order from the Government or provide written notice of rejecting the Call within five (5) business days.
After the Call is fully executed by BPA Holder and the Government, a Contracting Officer Representative (COR) will be assigned to the Call and a kick-off meeting will be held to discuss positions needed, specific hiring or administrative requirements, and schedule.
10. DELIVERY-COMPLETION NOTICE
The Contractor shall supply the BPA’s CO and COR a monthly Call Report for each Call under the BPA by the 7th day of each month. The Call Report shall include:

The Government will validate the Contractor’s Monthly Report(s) against internal systems of records (e.g., applications submitted, candidates started), this will constitute as inspection and acceptance.
11. INSTRUCTIONS FOR SUBMITTING INVOICES
An itemized invoice shall be submitted at least monthly or upon expiration of this BPA, whichever occurs first, for all deliveries made during a billing period and for which payment has not been received.
