"as-is" basis with no warranty implied or expressed. The County makes absolutely no warranties of any kind whatsoever regarding the contents to be sold and the County specifically disclaims any and all warranties. The prospective bidder is responsible for forming its own opinion of the quality of items offered. Neither prospective bidders nor any subsequent purchaser of the granular fertilizer shall have any recourse to Gwinnett County for any reason. Typical nitrogen, phosphorus, and potassium content is 5-28-0.

3. No refunds will be made after payment is accepted. Qualified bidders should make themselves completely familiar with the conditions of all items offered for sale.

4. Any statement made by Gwinnett County employee(s) concerning the condition of items offered for sale is to be considered informational only and not officially representative, in any manner, of the actual condition of the items.

5. The approximate weight shown on the Bid Schedule is for bidding and evaluation purposes only. The actual weight may vary. It is the bidder’s responsibility to view items and to submit a quote based on evaluation. Gwinnett County is not responsible for accuracy of the stated quantities or weights. The amount paid to Gwinnett County will be based on the quoted price per ton amount and the certified weight slips.

6. The awarded bidder will be required to supply bags (and any associated bagging materials); County personnel will be responsible for bagging granular fertilizer. Unit pricing should include cost of bags and any associated containers.

7. The qualified bidder is responsible for providing the labor, equipment, and transportation necessary to remove material from the County facility.

BL125-26 Page 3

13. The successful bidder should provide a minimum of five (5) business days’ notice to department prior to picking up and collecting fertilizer after notice from the Department of Water Resources for weighing has been received. The actual dates and times shall be coordinated with the Department of Water Resources directly following award.

14. Gwinnett County has the capacity to store up to and no more than 40-bags of fertilizer on site. If inventory exceeds this amount, the County will request that the awarded bidder remove excess bags. If this should happen, excess bag removal will be at the awarded bidder’s expense.

15. Pick-ups are driven by production volume and storage capacity and cannot be set by a calendar schedule.

Any annual quantities provided are estimates only. If the on-site facility produces struvite quickly and approaching the 40-bag storage threshold, pickup frequency will increase. If the on-site facility production is slower, pickup frequency will decrease.

In either event, the defaulting vendor (or their surety) shall be liable to the County for costs to the County in excess of the defaulted contract prices; provided, however, that the vendor shall continue the performance of this contract to the extent not terminated under the provisions of this clause. Partially completed performance of the agreement will be compensated based upon a signed statement of completion to be submitted by the vendor, which shall itemize each element of performance.

XX. SUBSTITUTIONS

Vendors offering substitutions or who are deviating from the attached specifications shall list such deviations on a separate sheet to be submitted with their offer. The absence of such a substitution list shall indicate that the vendor has taken no exception to the specifications contained herein.

XXI. INELIGIBLE VENDORS

The County may choose not to accept the offer by an individual, firm, or business who is in default on the payment of taxes, licenses, or other monies owed to the County.
