About this file

This is a Request for Qualifications and Proposal (RFQ/P) issued by the Pagosa Springs Sanitation General Improvement District (PSSGID) in Colorado for Owner's Advisor services for a new wastewater treatment facility (WWTF) project. The WWTF will accommodate up to 1 million gallons per day of wastewater processing and will be constructed on approximately 12 acres south of Yamaguchi Park adjacent to the San Juan River. The Owner's Advisor will provide services throughout all project phases, including procurement of a Design & Engineering firm, design development through 30% and 90% plans, Construction Manager at Risk (CMAR) procurement, final design completion, construction oversight, and facility transition to operation. The estimated project duration is 5-7 years. The deadline for submitting questions is October 12, 2026, at 5:00 p.m. MST, and the RFQ/P submission deadline is October 19, 2026, at 5:00 p.m. MST via Rocky Mountain Bidnet. Short-listed firms (3-5 consultants) will be invited to in-person or video conference interviews scheduled for October 28-29, 2026. The Owner's Advisor must maintain a location in reasonable proximity to Pagosa Springs to prioritize on-site meetings and conduct a minimum of 1-2 site visits per week during the construction phase. A final award recommendation is anticipated by November 3, 2026.

The RFQ/P does not specify a fixed contract value; instead, consultants must submit separate sealed fee proposals addressing all scope items from Phases I through VIII, including hourly rates for personnel, anticipated staffing levels, reimbursable expenses, and anticipated hours. The fee proposal will be reviewed only for the 3-5 short-listed firms selected based on technical qualifications scoring. The Owner reserves the right to negotiate fees with the selected finalist consultant and may negotiate with the next highest-scoring consultant if the finalist's fees exceed the Owner's budget. The selected Owner's Advisor will provide a guaranteed maximum price (GMP) for construction phase services at final design completion. All proposals become public property and may be shared publicly. The Owner is exempt from sales and use taxes and requires all consultants to use the Owner's tax exemption certificate (account number 26-3136474) for purchases. Insurance requirements include Workers' compensation, Employer's liability, Commercial general liability ($2,000,000 per occurrence), and Automobile liability ($2,000,000 combined per accident), with the Owner named as additional insured. The contract is subject to annual appropriation by the Owner's Board of Directors and may be terminated by the Owner without cause with three days' written notice.

GENERAL TERMS AND CONDITIONS

These General Terms and Conditions apply to all Offers made to the Pagosa Springs General Improvement District (hereafter "Owner") by all prospective vendors/proposers (herein after referred to as "Consultant") regarding Owner Solicitations including, but not limited to, Invitations to Bid, Requests for Proposals, Requests for Quotes, and Requests for Qualifications.

A. CONTENTS OF PROPOSAL

1. Consultants shall thoroughly read the project requirements and specifications, and shall examine any drawings and documents, which may be incorporated into the RFQ/P documents. As RFQ/P documents frequently change for each Solicitation, veteran Consultants shall not assume that this Solicitation contains the same terms and conditions that were supplied in prior Solicitations. The Owner is not obligated to identify either minimal or substantial modifications to RFQ/P documents.

2. Consultants shall make all investigations necessary to thoroughly inform themselves regarding the plant and facilities affected by the delivery of services, materials, and equipment as required by the RFQ/P conditions. No plea of ignorance by the Consultant of conditions that exist, or may hereafter exist, because of failure to fulfill the requirements of the contract documents, will be accepted as the basis for varying the requirements of the Owner or the compensation to the Consultant.

3. Consultants are advised that all Owner contracts are subject to all legal requirements contained in Town Ordinances and State and Federal Statutes governing purchasing activities.

4. Consultants are required to state the exact intentions of their offer to the Owner via this Solicitation and must indicate any variances to the terms, conditions, and specifications of this Solicitation, no matter how slight. If variations are not stated in the Consultant's Proposal, it shall be construed that the Consultant's Proposal fully complies with all conditions identified in this Solicitation.

B. CLARIFICATION AND MODIFICATION OF RFQ/P SOLICITATION

1. Apparent silence or omissions within this RFQ/P Solicitation regarding a detailed description of the materials and services to be provided shall be interpreted to mean that only the best commercial practices are to prevail and that only materials and workmanship of first quality are to be used.

2. If any Consultant contemplating submitting a Proposal under this Solicitation is in doubt as to the true meaning of the specifications, the Consultant must submit a written e-mail request for clarification to the Owner's Contact. The Consultant submitting the request will be responsible for ensuring that the Owner receives the request at least seven (7) calendar days prior to the scheduled proposal closing or as noted in the special conditions.

3. Any official interpretation of the Proposal Solicitation must be issued in writing by the Owner’s Contact who is authorized to act on behalf of the Owner, or by the Owner's Legal Department. The Owner shall not be responsible for other interpretations offered by employees of the Owner who are not authorized to act on behalf of the Owner for this project.

4. If necessary, the Owner may issue a written addendum to clarify or inform of substantial changes, which affect the technical submission of submitted Proposals. Addenda will be posted to the Rocky Mountain Bid Net listing and it is the Consultant's responsibility to download addenda. The Consultant shall certify its receipt of the addendum by signing the addendum and returning it with its Proposal. In the event of a conflict with the original RFQ/P Solicitation documents, addenda shall supersede all other documents to the extent specified. Subsequent addenda shall govern over prior addenda only to the extent specified.

C. PRICING, COLLUSION, AND TAXES

1. Current Prices. Proposals must be fixed and firm unless stated otherwise in the RFQ/P Solicitation.

2. Discounts. Discounts shall not be considered in determining the lowest net cost for Proposal evaluation purposes. Payment terms shall be as set forth in any contract executed between the Owner and the Consultant. Payment by the Owner is deemed to be made on the date of the mailing of the check, or as otherwise set forth in any contract executed between the Owner and the Consultant.

3. Collusion. The Consultant, by affixing its signature to this Proposal, certifies that its Proposal is made without previous understanding, agreement, or connection either with any persons, or entities offering a Proposal for the same items, or with the Owner. The Consultant also certifies that its Proposal is fair in all respects, without outside control, collusion, fraud, or otherwise illegal action. To ensure integrity of the Owner's public procurement process, all Consultants are hereby placed on notice that any and all Consultants who falsify the certifications required in conjunction with this section shall be prosecuted to the fullest extent of the law.

4. It shall be understood and agreed that Proposal Offers submitted by persons and entities are done so independently of any other offers, and that Consultants will not knowingly participate in solicitations where there exists a conflict of interest with their entity and a member of Owner’s staff or their immediate family.

5. Taxes. Consultants will neither include Federal, State, nor applicable Local excise or sales taxes in proposal prices, as the Owner is exempt from payment of such taxes. The Colorado Department of Revenue, Certification of Exemption for Colorado State Sales/Use Tax account number for the Pagosa Springs Sanitation General Improvement District is 26-3136474. 8. The Owner's Proposal Form, which is attached to this RFQ/P Solicitation, must be used when the Consultant is submitting its Proposal. The Consultant shall not alter this form unless instructed to do so in writing by the Owner. Failure to use the Owner's Proposal Form may result in the Proposal being considered non-responsive.

9. Proposals in response to formal RFQ/P Solicitations will not be accepted by facsimile. Only signed electronic or written Proposals will be considered responsive, and eligible for possible award.

Consultants shall provide Proposal Forms, Statement of Work/Technical Offer Section, Special Conditions, Specifications and Pricing Form, and any other mandatory submittals with the proposal.

10. Consultants who qualify their Proposals by including alternate contractual provisions should be aware that the Owner does not negotiate the terms of its contracts and will ordinarily declare such Proposals non-responsive. SECTION 3 – SCOPE OF SERVICES

The Owner’s Advisor is expected to act on the Owner’s behalf in conjunction with the WWTF CMAR procurement, design and engineering, construction, and technical consultation in overseeing the project through completion into operation. The Consultant’s proposed scope of services should include, but is not limited to, each item listed below. Please provide a narrative of your approach to providing the services, and explicitly identify any additions or exclusions. When appropriate, include the number of meetings, site visits, etc., and any other pertinent descriptions that clearly identify services included in the proposal.

Phase I: Procurement of a Design & Engineering Firm

Phase I Procurement of a Design & Engineering Firm will begin immediately after the awarded Owner’s Advisor is under contract for the RFQ/P. The criteria for the Design & Engineering firm will be reviewed with the PSSGID and other key stakeholders. A Design & Engineering RFP/Q will be drafted by the Owner’s Advisor and reviewed before the advertisement for this position is released in late 2026/early 2027.

Phase II: Design & Engineering – 30% Plans

Phase II Design & Engineering through 30% Plans will develop the plans for the WWTF with the PSSGID and other key stakeholders based on the projected effluent limits, wastewater characteristics, receiving-water requirements, regulatory requirements, treatment technology, site conditions, reliability and redundancy, and budget. The Owner’s Advisor will not be responsible for attending regular design meetings but will participate in meetings at key project milestones. This phase of the design process will also include developing a project schedule and identifying long-lead-time equipment and materials necessary for the WWTF with the Owner’s Advisor’s oversight.

Phase III: Construction Manager at Risk (CMAR) Procurement

Phase III Construction Manager at Risk Procurement will advertise this position with an RFQ/P after the 30% design plans milestone has been met. The selected Owner’s Advisor will draft this RFQ/P for the position and work with the PSSGID and stakeholders to refine the RFQ/P before it is advertised. The selection process will include the Owner’s Advisor and they will help with contracting once the awardee is selected.

Phase IV: Design & Engineering – 90% Plans

Phase IV Design & Engineering through 90% Plans will bring the WWTF design almost to completion. The CMAR will be actively involved throughout the continued development of the plans, working collaboratively with the Design and Engineering Firm, PSSGID, and other project stakeholders. The CMAR will also be responsible for the procurement of all long-lead time equipment and materials to ensure all required items are procured and received in time to meet the construction schedule.

At the 90% plan completion milestone, the CMAR will provide a Guaranteed Maximum Price (GMP) for construction based on the plans, specifications, scope of work, and other project requirements developed to that point. The CMAR will work closely with the PSSGID and Design and Engineering Firm to review the 90% documents, validate quantities and costs, identify any remaining design or scope issues, and establish the construction price. The GMP will provide the PSSGID with greater cost certainty prior to advancing to final design and construction. If the CMAR’s GMP is above the PSSGID’s available budget, value-engineering and scope-reconciliation processes can proceed until the project reaches final design.

Phase V: Design & Engineering – Final Plans and Construction Authorization

Phase V Design & Engineering Final Plans and Construction Authorization will incorporate comments from the 90% design review. From there Plans and Specifications will be advanced to 100% Construction Documents and all required permitting is finalized. The construction schedule is finalized and the CMAR prepares for mobilization and construction.

Phase VI: WWTF Construction

Phase VI WWTF Construction will have the CMAR take primary responsibility for managing and delivering construction while the PSSGID, Owner’s Advisor, and Design & Engineering Firm provide oversight, technical support, and quality control. The Owner’s Advisor will attend regular construction meetings, conduct regular site visits, and monitor progress, schedule, GMP, quality, and compliance.

The Owner’s Advisor will review pay applications, assist with evaluating change orders and potential project risks, and help coordinate communication between the CMAR, Design and Engineering Firm, PSSGID, and other stakeholders. The Owner’s Advisor will proactively identify issues that could affect the project’s cost, schedule, quality, or successful completion.

Phase VII: WWTF Transition to Operation

Phase VII WWTF Transition to Operation will include the CMAR’s coordination with completing punch list items, final inspections, equipment startup and testing, commissioning, process startup, performance testing, operator training, and closeout documentation for construction. Following startup, facility performance will be monitored to verify that the WWTF is achieving the established design and operational requirements and to identify and resolve any issues that arise during the initial operating period.

The Owner’s Advisor will provide oversight with project close-out documentation, deficiency tracking, regulatory coordination, final document review, payment and retainage, and post-startup monitoring. After remaining issues with the facility have been rectified, final acceptance will move the facility into PSSGID operations.

Phase VIII: WWTF Operation

Phase VII WWTF Operation will have the Owner’s Advisor position shifting to periodic once final acceptance has been completed and the PSSGID will run operations after this point. The Owner’s Advisor may be contacted for limited oversight matters with performance-monitoring, warranty-support, and final project close-out.

SECTION 4 – PROJECT SCHEDULE

Explain and demonstrate your capabilities and capacity to create a schedule and the ability to complete the project within the estimated timeframe. Provide examples of schedules from prior similar projects.

SECTION 5 – REFERENCES

Provide a comprehensive list of ALL wastewater treatment facilities and/or sanitary sewer projects completed or begun within the last 5 years, with contact information, along with a project description. Identify in the reference list which projects this team has performed collectively. The Owner reserves the right to check additional references beyond those provided in the submittal.

References will be checked between 10/26/2026 and 11/3/2026. It is recommended that all applicants notify references to facilitate a quick turnaround for the final selection process.
