Minimum qualifications include three years of experience in similar services, active registration with the System for Award Management (SAM) with a valid Unique Entity Identifier (UEI), and no current debarment or exclusions from federal funds. Terms and Conditions of the solicitation
1. Understanding of the Work: All participating firms or individuals (hereinafter referred to as Offeror or Vendor) are expected to examine all documents contained herein. Failure to do so shall in no way relieve an Offeror from obligations with respect to their offer or to the subsequent award. Nonresponsive and incomplete submittals may be deemed cause for rejection. The County is not required to consider any claim of misunderstanding.
2. Questions: Offerors, by their signature hereunder, shall agree to comply with all the conditions, requirements, and instructions of this solicitation as stated or implied herein.
Should the County omit anything from this solicitation package which is necessary to a clear understanding of the project, or should it appear that various instructions are in conflict, then the Offeror should secure instructions from Jefferson County Procurement. All questions must be submitted in writing or via e-mail to the Jefferson County Purchasing Agent listed in the solicitation by the time and date specified in the solicitation. Questions must reference the solicitation number and title. Responses to Offeror inquiries for project budget or engineer's estimate will be deferred until after bid opening (for competitive sealed bids) or after award (for competitive sealed responses).
3. Modifications: Modifications to any of the terms, conditions, or specifications of this solicitation which are made by the County after the solicitation has been posted, and prior to the due date and time, will be made in writing, and signed by the Procurement Manager. No employee of Jefferson County is authorized to modify any of the terms, conditions, or specifications of this package without written approval of the Procurement Manager. This does not prevent the County from considering or accepting offers that propose specifications differing from those included here.
4. Informalities or irregularities: The County reserves the right to reject any or all responses or portions thereof, to waive any informalities or irregularities in the responses received which are inconsequential or immaterial in nature, and to approve awards in total or in part, whichever, in its judgment best serves the interests of Jefferson County.
5. Joint Ventures: In the event a response is submitted by a joint venture, each signatory of the joint venture agreement by which such joint venture was formed, shall sign the response documents.
6. Collusion: By submitting a response, the Offeror certifies that (a) the prices in the response have been arrived at independently without collusion, consultation, communication or agreement for the purpose of restricting competition as to any matter relating to such prices with any other participating Offeror or with any competitor; (b) the prices quoted herein have not been and will not be knowingly disclosed, directly or indirectly, by the Offeror to any other participating Offerors, competitors or County's representatives prior to the final date for submission of such offer; and (c) no attempt has been made and none will be made by the Offeror to induce any other person partnership or corporation to submit a response or not to submit a response (complementary or otherwise) for the purpose of restricting competition.
7. Obligation: By submitting a response, the Offeror acknowledges that (a) the preparation and submission of the response, and other quotations herein contained, does not obligate the County in any way; (b) the County assumes no obligation to enter into an agreement for the project; (c) all solicitation documents are understood; and (d) the Offeror has the equipment, technical ability, personnel and facilities to complete the project as specified herein in accordance with the solicitation documents.
8. Confidential/Proprietary Information. The County is a public entity whose records are subject to public inspection in accordance with the Colorado Open Records Act, C.R.S. §§ 24-72-200.1 et seq. (“CORA”). Upon an award of contract to the successful Vendor, all responses, whether successful or not, will become public records subject to public inspection in accordance with CORA. For these reasons, the County discourages Vendors from submitting trade secrets, or confidential commercial, or financial information, or geological or geophysical data, unless absolutely necessary to respond to the solicitation. If Vendors intend to submit this type of information, Vendors will adhere to the following process:
a. Vendor will package trade secrets and/or confidential commercial or financial information in a separate file and will clearly identify it as such. Comingling of trade secrets and/or confidential commercial or financial information with other information is NOT acceptable.
b. In its response, Vendor will generically identify the separately packaged information and the basis for which such information should be deemed exempt from public inspection under CORA.
If, in the sole determination of the County, the tendered information is a trade secret or confidential commercial or financial information, then the County will not produce such information in response to a CORA request. If a Vendor comingles trade secrets and/or confidential commercial or financial information with its response, then Vendor will be deemed to have waived any claim of confidentiality for those materials and will not be afforded the benefits of this Section. The County will decide as to the validity of any written request for confidentiality. Neither a response in its entirety, nor price information will be considered trade secrets or confidential commercial or financial information.
9. Payment for Information: All costs, fees and expenditures paid for, or incurred by, the Offeror in connection with (1) the solicitation (2) negotiations (if any) between the Offeror and Jefferson County shall be the Offeror’s sole responsibility, and the Offeror shall have no recourse whatsoever against the County for reimbursement of such expenses.
10.Pre-submittal Corrections: Responses should be free of strikethroughs. Errors may be crossed out with corrections printed in ink or typed adjacent and must bear dated initials of the person signing the response.
11. FOB Point: All prices must be quoted as FOB DESTINATION unless stated otherwise
12.Exceptions/Deviations: Any item which does not meet all the terms, conditions, or specifications of this solicitation must be identified on a point-by-point basis on a separate sheet of paper and returned with your response. Indicate the paragraph numbers from the solicitation or describe the specific location of a requirement specified in any attachment, for each deviation proposed. Deviations may be considered, if you submit adequate explanation and justification for any proposed deviation. If there are no exceptions/deviations, so state under the exceptions section of the solicitation.
13.Prices: All prices offered must exclude all taxes and discounts and represent the full net amount the Offeror expects the County to pay if the project is awarded.
14.Withdrawal of Response: No response shall be withdrawn for a period of one hundred eighty
(180) days after the opening of responses without the consent of the County's Procurement Manager or their delegated representative.
Withdrawal of inadvertently erroneous responses before the award may be permitted if the Offeror submits proof which clearly and convincingly demonstrates, as determined by the County, that an error was made. RESPONSES MAY NOT BE RE-SUBMITTED.

It is the responsibility of the Offeror to ensure the response is uploaded to BidNet by or prior to the time indicated on the solicitation. The County will not accept any late responses, regardless of the cause, unless the County causes the delay.
17.Clarification: The County reserves the right to request additional written or oral information from Offerors to obtain clarification of their response.
18.Award Recommendation: The award recommendation shall be made to that responsible Offeror whose response is most advantageous to Jefferson County, price, qualifications as submitted with the response, and other factors considered.
19.Preliminary Procedures: The solicitation, the solicitation process and any negotiation towards a final contract are preliminary procedures only and shall not be binding on the County unless and until the County has duly approved and executed a written agreement with the Offeror.
20.Process Termination: The County may terminate the solicitation process and any negotiation or discussion in connection with the solicitation at any time with or without notice to the Offeror or any other person. In such event, the county shall have no liability whatsoever to the Offeror or any other person in connection with such termination.
