Notice of Change in Law Affecting Onslow Water and Sewer Authority Contracts
This Notice is to inform you of changes to North Carolina law that affect your contract(s) with
Onslow Water and Sewer Authority.
Change in Law
The North Carolina General Assembly passed Session Law 2026-41, effective July 1, 2026. This law eliminates the Office of Historically Underutilized Businesses, repeals minority and gender-based participation requirements for State and local government contracting and removes the authority to establish or require compliance with any goals for minority and/or women-owned business participation. This Notice does not request or require changes to your existing contractual relationships with your subcontractors.
Impact on Current Contracts
Your current contract with Onslow Water and Sewer Authority may have pre-existing minority business enterprise (MBE) or women business enterprise (WBE) participation goals and contractual provisions tied to enforcement of those goals. In compliance with Session Law 2026-
41, Onslow Water and Sewer Authority has ceased enforcement of these MBE and WBE goals, effective immediately. To the extent that there are other terms in your contract related to MBE or
WBE participation, these provisions are now also void and will not be enforced.
All other terms and conditions of your contract remain in effect and will be enforced as appropriate.
This Notice does not relieve you or your company of your obligations to comply with all other applicable federal, state, and local laws, contract requirements (including obligations pursuant to subcontracts), licensing requirements, insurance requirements, or performance obligations. All remaining terms which are unrelated to race or gender-conscious participation goals are unchanged by this Notice and remain enforceable.
Thank you for your continued partnership and for the important role you play in serving the customers of the Onslow Water and Sewer Authority.
If you have questions, please contact: Finance Department, Amanda Ramirez, Finance &
Purchasing Administrator at: aramirez@onwasa.com or J. Eric Adams, Chief Financial Officer:

Dixon WTP Brine Tank Replacement ITB-8

C. Discrepancies between the multiplication of units of Work and unit prices will be resolved in favor of the unit prices. Discrepancies between the indicated sum of any column of figures and the correct sum thereof will be resolved in favor of the correct sum. Discrepancies between words and figures will be resolved in favor of the words.
13.02 Lump Sum
A. Bidders shall submit a Bid on a lump sum basis for the base Bid and include a separate price for each alternate (if applicable) described in the Bidding Documents as provided for in the Bid Form. The price for each alternate will be the amount added to or deleted from the base Bid if the Owner selects the alternate. In the evaluation of Bids, alternates will be applied in the same order as listed in the Bid Form.
B. Discrepancies between words and figures will be resolved in favor of the words.
13.03 The Bid price shall include such amounts as the Bidder deems proper for overhead and profit on account of cash allowances, if any, named in the Contract Documents as provided in Article 13 of the General Conditions.
13.04 Utilities necessary for the construction of the project including electrical power shall be included in the bid price and shall remain under the name of the Contractor until the project has reached Final Completion at which point the utility shall be transferred to ONWASA.

14.01 North Carolina State Sales Tax shall be included in the Contract price. The
Contractor shall maintain and be responsible for seeing that his/her subcontractors maintain accurate records of all payments of North Carolina State Sales Taxes on materials, supplies, fixtures, and equipment that become a part of or are annexed to buildings or structures, including roads, sidewalks, and pipelines provided under this Contract.
15. Submittal of Bids
15.01 Each prospective Bidder is furnished one copy of the Bidding Documents. An unbound copy of the Bid Form is to be completed and submitted. Bids shall state the lump sum or unit prices and item total on the blanks provided.
Dixon WTP Brine Tank Replacement ITB-9
15.02 A Bid shall be submitted no later than the date and time prescribed and at the place indicated in the Advertisement for Bids and shall be enclosed in an opaque sealed envelope addressed to:
Onslow Water and Sewer Authority Attn: Kirsten Larsen, Engineering Coordinator 228 Georgetown Road Jacksonville, NC 28540
Each sealed envelope containing a bid must be plainly marked with the Project title (and, if applicable, the designated portion of the Project for which the Bid is submitted), the name and address of the Bidder, and North Carolina Contractor's license number, and shall be accompanied by the Bid security and other required documents. If the Bid is sent by mail or another delivery system, the sealed envelope containing the Bid shall be enclosed in a separate envelope plainly marked on the outside with the notation "BID ENCLOSED."
16. Modification and Withdrawal of Bids
16.01 A Bid may be modified or withdrawn by an appropriate document duly executed in the manner that a Bid must be executed and delivered to the place where Bids are to be submitted before the date and time for the opening of Bids.
16.02 If, within 72 hours after Bids are opened, any Bidder files a duly signed, written request to withdraw the bid with Owner and Engineer and shall promptly thereafter file credible evidence which demonstrates to the reasonable satisfaction of Owner that there was a material and substantial mistake in the preparation of its Bid which was clerical in nature and not the result of a judgment error, the Board of Directors for ONWASA shall hold a hearing to determine whether Bidder may withdraw its Bid and the Bid security returned. Thereafter, if the Work is rebid, that Bidder will be disqualified from further bidding on the Work.
17. Opening of Bids
17.01 Bids will be opened at the time and place indicated in the Advertisement for Bids and, unless obviously non-responsive, read aloud publicly. It shall be the specific responsibility of the bidder to deliver his or her bid to the proper official at the selected place and before the announced time for the opening of bids. Late delivery of a bid for any reason, including delivery by the United States Postal Service, shall disqualify the bid. An abstract of the amounts of the base Bids and major alternates, if any, will be made available to Bidders after the opening of Bids.
18. Evaluation of Bids
18.01 Owner reserves the right to reject any Bids and to waive informalities not involving price, time, or changes in the Work.
Dixon WTP Brine Tank Replacement ITB-10
18.02 More than one Bid for the same Work from an individual or entity under the same or different names will not be considered. Failure to provide any of these documents will result in a delay of payment until this information has been received by the Owner.
24. Completion and Payment
24.01 This project is to be substantially completed within ninety (90) consecutive calendar days after the Authority has issued the Notice to Proceed. Payment for this project will be made with monthly payments in accordance with Supplementary Conditions 14, Partial Payments, and the remaining balance when the project is completed and accepted by the Owner. The Contractor agrees that as liquidated damages for delay (but not as a penalty) the Contractor will pay one thousand dollars ($1,000) for each consecutive calendar day after the Substantial Completion date and one thousand dollars ($1,000) for each consecutive calendar day after the Final Completion date from the monies, which may be due or become

25. Default and Annulment of Contract
25.01 If the Contractor fails to begin the work under Contract within the time specified, or fails to perform the work with sufficient employees and equipment or with sufficient materials to ensure the prompt completion of said work, or shall perform the work unsuitably, or shall neglect or refuse to remove materials or perform anew such work as shall be rejected as defective and unsuitable, or shall discontinue the work, or shall fail to resume the work which has been discontinued within a reasonable time after notice to do so, or if the Contractor shall become insolvent or be declared bankrupt, or commit any act of bankruptcy or insolvency, or allow any final judgment to stand against him unsatisfied for a period of ten (10) calendar days, or shall make an assignment for the benefit of creditors, or from any other cause whatsoever shall not carry on the work in an acceptable manner, ONWASA shall give notice in writing to the Contractor of such delay, neglect, or default, specifying the same.
25.02 If the Contractor, within a period of seven (7) calendar days after such notice, shall not proceed in accordance therewith, then the Owner shall upon written notification of the fact of such delay, neglect, or default and the Contractor's failure to comply with such notice, have full power and authority, without violating the Contract, to take the prosecution of the work out of the hands of said Contractor. The Owner may appropriate or use any or all materials and equipment on the ground as may be suitable and acceptable and may enter into an agreement for the completion of said Contract according to the terms and provisions thereof, or use such other methods as in his/her opinion shall be required for the completion of said Contract in an acceptable manner.
26. Right to Terminate Contract
26.01 If in the judgment of the Owner, the Contractor is not capable of performing the desired work in accordance with the Contract documents either because of financial reasons, failure to supply necessary skilled workmen, unsatisfactory tools or equipment, inadequate supervision, or revocation of the Contractor's license, the Owner shall have the right to cancel or terminate under this Contract by giving the Contractor seven (7) calendar days written notice.
27. Substitutions and "Or-Equal" Items
27.01 An equipment manufacturer or supplier shall submit sufficient information to the
Engineer, at least seven days prior to the bid opening, in order to determine that an item of material or equipment proposed is essentially equivalent to that named and an acceptable "or-equal" item. The submittal shall be in the form of individual

Qualification Packages under separate cover. Each Qualification Package shall be bound with protective cover, identifying the specification section number and title and the product manufacturers' name on a cover sheet. Failure of the equipment manufacturer or supplier to submit these Qualification Packages by the stated time shall be cause for rejection of any "or equal" equipment.
27.02 The Qualification Package for the "or equal" equipment items or products the equipment manufacturer or supplier proposes to furnish shall include, but not be limited to, the following information as listed.
- Technical requirements and details
- Buy-out items
- Materials of construction
- Equipment drawings with dimensions
- Recommended spare parts
- Maintenance requirements
- Electrical requirements and diagrams
- List of deviations to specification
Failure to furnish the preceding information shall be cause for rejection of a proposed "or equal" equipment item or product for use on this project.
27.03 The Qualification Package submittal requirements for each equipment section shall be as follows:
1. A complete set of drawings, specifications, catalog cut sheets, and detailed descriptive material of proposed "or equal" equipment items or products. This information shall identify all technical and performance requirements stipulated on each drawing and in each specification section.
2. Detailed information shall be submitted for all buy-out items such as hardware, motors, bearings, reducers, belts, sheaves, motor controllers, and instrumentation (field device, major control panel device, and anticipated control panel layout).
3. List showing materials of construction of all components, including all buy-out items.
4. Manufacturer's recommended spare parts, including all buy-out items.

7. Process equipment electrical requirements and schematic diagrams.
8. Detailed written documentation with a discussion of all deviations of equipment, including all buy-out items, from the Contract Documents.
27.04 Requests for review of proposed "or equal" equipment item(s) or product(s) of material or equipment will not be accepted by the Engineer from anyone other than the equipment manufacturer or supplier. If an equipment manufacturer or supplier wishes to furnish or use an "or equal" equipment item(s) or product(s) of material or equipment shall first make a written application to Engineer for acceptance thereof certifying that the proposed "or equal" equipment item(s) or product(s) of material or equipment will perform adequately the functions and achieve the results called for by the general design, be similar in substance to that specified and be suited to the same use as that specified.
27.05 If the equipment manufacturer or supplier fails to furnish all of the preceding information which has been deemed necessary by the Engineer to evaluate a proposed "or equal" equipment item or product for equivalency with the equipment items or products, the proposed "or equal" qualification package will be rejected by the Engineer. If the "or equal" qualification package is rejected by the Engineer, the Bidder shall furnish one of the named equipment items or products without change to the contract price.
27.06 No proposed "or equal" equipment items or products shall be considered unless, in the opinion of the Engineer, it conforms to the Contract Documents in all respects, except for make and manufacturer and minor details.
27.07 The Engineer shall be the sole authority for determining conformance of a proposed "or equal" equipment item or product with the Contract Documents.
Under no circumstances shall the Engineer be required to prove that "or equal" equipment items or products are not equal to the named equipment items or products.
27.08 The Qualification Package shall state the extent, if any, to which the evaluation and acceptance of the proposed "or equal" equipment items or products shall prejudice Bidder's achievement of substantial completion on time. The Qualification Package shall also state whether or not acceptance of the "or equal" equipment items or products for use in the work shall require a change in any of the Contract Documents (or in the provisions of any other direct contract with Owner for work on the project) to adapt the design to the proposed "or equal" equipment items or products. The Qualification Package shall state whether or not incorporation or use of the "or equal" equipment items or products in connection with the work is subject to payment of any license fee or royalty.
27.09 The Qualification Package shall also contain an itemized estimate of all costs or credits that will result directly or indirectly from acceptance of such "or equal"
Dixon WTP Brine Tank Replacement ITB-15 equipment items or products including costs of redesign and claims of other contractors affected by the resulting change. This information shall be considered by the Engineer in evaluating the proposed "or equal" equipment items or products.
Engineer may require equipment manufacturer or supplier to furnish additional data about the proposed "or equal" equipment items or products.
27.10 All data to be provided by equipment manufacturer or supplier in support of any proposed "or equal" item will be at equipment manufacturer or supplier expense.
27.11 Acceptance of a proposed "or equal" major equipment item or product
"Qualification Package", or use of named equipment, does not eliminate the need for shop drawing submittals and reviews during construction, nor does it eliminate the requirement that the equipment manufacturer satisfy the requirements of the Contract Documents.
27.12 Should the equipment manufacturer or supplier furnish an "or equal" equipment item or product requiring changes to the Contract Documents, he shall notify the Engineer in writing of all the dimensional, mechanical, electrical, and structural changes and/or requirements for the major equipment item's use in the project and shall reimburse the Owner for any associated redesign and/or construction drawings. Redesign and contract drawing revisions to accommodate equipment or products will be prepared by the Engineer during the shop drawing review process. Reimbursement shall be based on the Engineer's current rate schedule.
27.13 Manufacturers qualifying will be recognized by addendum a minimum of five days prior to the bid. Contractors shall include all costs associated with any redesign required with their bid.
