Bid security in the form of a certified check or acceptable bid bond must accompany each proposal in an amount equal to 5% of the bidder's maximum bid price. Successful bidders must furnish 100% performance and payment bonds. Bidders must demonstrate qualifications through Form 96 (Contractors Bid For Public Works), proof of Indiana Public Works Prequalification certification or proof of application for certification if the contract exceeds $300,000, a performance record on similar projects, Health and Safety Program Manual with EMR and TRIR ratings, and E-Verify enrollment documentation. Liquidated damages are assessed at $1,000 per day for each day of delay beyond the substantial completion date. Progress payments will be made monthly based on work completed, with the owner retaining 5% until 100% completion. All contractors and subcontractors must be properly licensed by the Evansville-Vanderburgh County Building Commissioner, and the contract is governed by Indiana law with venue in Vanderburgh County, Indiana.

00020 - ADVERTISEMENT FOR BIDS:

Sealed proposals for the Evansville West HVAC Modifications project will be received by the Evansville Water and Sewer Utility, Evansville, Indiana at the Sunrise Pump Station, located at 1200 Waterworks Road, Evansville, Indiana 47708 until 3:00 p.m., local time, on July 21, 2026. Bids are to be placed in a drop box* located inside a private vestibule on the southeast side of Sunrise Pump Station until approximately 2:30pm local time. (*If drop box is locked, approximately 30 minutes prior to the scheduled meeting, hand-deliver the bid to an EWSU staff member in the scheduled meeting room prior to the scheduled meeting time. Standard drop box hours are 8:00 a.m. - 4:00 p.m. Monday through Friday.) Bids will be publicly opened and read aloud. Any bids received later than the above time and date will be returned unopened. No conditional bids will be considered.

The work for which bids are to be received consists of:

Installation of a new makeup air unit for the tunnel system along with new electrical and gas utilities, removal of existing control fans, wiring, and switches from the office system, installation of dedicated heating/cooling unit for the control panel room including an indoor and outdoor unit and electrical, replacement of HVAC controls in each building, and testing and balancing on HVAC systems.

Work shall also include all supervision, equipment, traffic control, granular backfill, pavement restoration (milling included), flushing, disinfecting, testing and all appurtenances necessary to complete the work shown in the Drawings and Specifications. All work must be ready for satisfactory and continuous operation, in accordance with the Drawings and Specifications.

The above referenced project description includes items that are part of the Itemized Base Bid. The Contractor shall be responsible for all work shown on the plans and described in the specifications pertaining to the Itemized Base Bid, regardless of the installation method chosen.

The Evansville Water and Sewer Utility further reserves the right to waive informalities, and to award the contract to the lowest and most responsible bidder (or bidders), all to the advantage of the Evansville Water and Sewer Utility, or to reject all Proposals.

A mandatory Pre-bid meeting will be held at 10 am, local time, on July 7, 2026, virtually via an online meeting platform or phone conference. Instructions for virtual access will be provided in advance of meeting through a notification to both known plan holders and external plan rooms. The contract documents, including plans and specifications, are on file at the Evansville Water and Sewer Utility, 1 NW Martin Luther King, Jr. Boulevard, Evansville, Indiana 47708, and may be secured from the Utility by submitting a Project Access request form through https://ewsu.com/forms/project-access. SECTION 00100 – INSTRUCTION TO BIDDERS

1.1 SCOPE

The Evansville West HVAC Modifications project generally consists of but is not limited to the

Installation of a new makeup air unit for the tunnel system along with new electrical and gas utilities, removal of existing control fans, wiring, and switches from the office system, installation of dedicated heating/cooling unit for the control panel room including an indoor and outdoor unit and electrical, replacement of HVAC controls in each building, and testing and balancing on HVAC systems. All work performed shall be in accordance with the Drawings and

Specifications prepared by Clark Dietz. Inc.

1.2 DEFINED TERMS

The term “Bidder” means one who submits a bid directly to Owner, as distinct from a sub-bidder who submits a bid to a Bidder. The term “Successful Bidder” means the lowest qualified, most responsible and responsive Bidder to whom the Owner (on the basis of Owner’s evaluation as hereinafter provided) makes an award. The term “Bidding Documents” includes the

Advertisement or Invitation to Bid, Instructions to Bidders, the Bid Form or Proposal, the Federal

Contract Provisions (if applicable), General Conditions, Supplementary General Conditions, Specifications, Drawings, and all Addenda issued prior to receipt of Bids. The term “Contract

Documents” includes the Agreement (Contract), all Addenda, Contractor’s Bid, the Bond, the

General Conditions, the Supplementary Conditions, the Specifications, and the Drawings.

1.3 QUALIFICATIONS OF BIDDERS/LOCAL CONTRACT PROVISIONS

Each Bid must contain evidence of Bidder’s authority and qualification to do business in the state of Indiana. For bids greater than $300,000.00, the “Tier 1 Contractor” employed to perform Work on the Project and any “Tier 2 Contractors” (i.e. subcontractors) whose portion of the Work will be greater than $300,000.00 must be qualified in accordance with IC 5-16-13-10 before performing any Work on the Project. The Bidder shall submit qualification or certification provided by the Indiana Public Works Certification Board that it and all relevant subcontractors have been qualified under IC 4-13.6-4 or IC 8-23-10 if the contract is estimated to be at least

$300,000.00. At a minimum, the Bidder shall submit proof of application for certification for it and all relevant subcontractors with the Bid and must subsequently provide all certifications to the Owner prior to Notice to Proceed.

Each Contractor submitting a bid shall also be properly licensed – Underground Utility license, or

General Contractors license – to do the work by the Evansville-Vanderburgh County Building

Commissioner Office.

All bidders seeking to do business with the Evansville Water and Sewer Utility must enroll in, and verify, the work eligibility status of newly hired employees of the contractor through the United

States government’s E-Verify program. A declaration form must be submitted with the bid documents.

To demonstrate Bidder’s qualifications to perform the Work, Owner also requires Bidders to submit a performance record, giving a description, location and telephone numbers of contacts on similar projects constructed by the Bidder. Include in this list projects currently under contract, the approximate contract amount, and a percent of completion of each project, and a list of any contracts defaulted. Bidders must also submit their company’s Health and Safety Manual along with their EMR (Experience Modification Rating), TRIR (Total Recordable Incident Rate), and DART

(Days Away including Restricted).

1.4 COPIES OF BIDDING DOCUMENTS

A. The contract documents, including plans and specifications, are on file at the Evansville

Water and Sewer Utility 1 NW Martin Luther King Jr. Boulevard, Room 104, Evansville, Indiana 47708; or electronic plan rooms who have requested plans from Evansville Water and Sewer Utility (EWSU).

B. Plans and specifications may be secured, for no fee by submitting a Project Access request form through https://ewsu.com/forms/project-access. All plans and specifications printing costs are borne by the prospective bidder.

C. Complete sets of Bidding Documents must be used in preparing Bids; neither Owner nor

Engineer assumes any responsibility for errors or misinterpretations resulting from the use of incomplete sets of Bidding Documents.

D. Owner and Engineer, in making copies of complete Bidding Documents available on the above terms, do so only for the purpose of obtaining Bids on the Work and do not confer a license or grant for any other use.

E. Work to be performed shall be in accordance with the Contract Documents.

1.5 EXAMINATION OF CONTRACT DOCUMENTS AND SITE

A. It is the responsibility of each Bidder before submitting a Bid to (1) examine the Contract

Documents thoroughly; (2) visit the site to become familiar with local conditions that may affect cost, progress, performance, or furnishing of the Work; (3) consider federal, state, and local laws and regulations that may affect cost, progress, performance, or furnishing of the Work; (4) study and carefully correlate Bidder’s observations with the Contract

Documents; and (5) notify Engineer of all conflicts, errors, or discrepancies in the Contract

Documents.

B. No extra compensation shall be allowed the Successful Contractor by reason of any matter or thing of which the Contractor failed to fully inform himself/herself prior to the bidding, as mentioned above.

1.6 INFORMATION NOT GUARANTEED

A. Information and data reflected in the Contract Documents with respect to underground facilities at or contiguous to the site, are based upon information and data furnished to the

Owner and Engineer by owners of such underground facilities, and Owner and Engineer do not assume responsibility for the accuracy or completeness thereof.

B. All information given relating to borings, material encountered, and groundwater is from the reports of the geotechnical contractor. Such information is furnished only for the information and convenience of the Bidders. It is understood and agreed that the Owner does not warrant or guarantee as to the accuracy or completeness of such information.

C. Before submitting a Bid, each Bidder may, at Bidder’s own expense, make or obtain any additional examinations, investigations, explorations, paint chip tests and studies, and obtain any additional information and data which pertain to the physical conditions

(surface, subsurface, and underground facilities) at or contiguous to the site or otherwise which may affect cost, progress, performance, or furnishing of the Work and which Bidder deems necessary to determine its Bid for performing and furnishing the Work in accordance with the time, price, and other terms and conditions of the Contract Documents.

D. The submission of a Bid will constitute an incontrovertible representation by Bidder that

Bidder has complied with every requirement of the Instructions to Bidders, that without exception the Bid is premised upon performing and furnishing the Work required by the

Contract Documents and such means, methods, techniques, sequences, or procedures of construction as may be indicated in or required by the Contract Documents, and that the

Contract Documents are sufficient in scope and detail to indicate and convey understanding of all terms and conditions for performing and furnishing of the Work.

1.7 INTERPRETATIONS AND ADDENDA

A. All questions about the meaning or intent of the Contract Documents are to be directed in writing to Engineer. Interpretations or clarifications considered necessary by Engineer in response to such questions will be issued by Addenda mailed or delivered at least five days prior to the receipt of Bids to all parties recorded by Engineer as having received the Bidding

Documents which would be companies on EWSU’s plan holders list and electronic plan

00 01 00 - 4 rooms who have requested plans from EWSU. Questions received less than seven days prior to the date for opening of Bids may not be answered. Only questions answered by formal written Addenda will be binding upon the Owner. Oral and other interpretations or clarifications will be without legal effect.

B. Addenda may also be issued to modify the Bidding Documents as deemed advisable by

Owner or Engineer.

C. All addenda will be posted to the EWSU plan room website. An email notification of an addendum will be sent to companies on EWSU’s plan holders list and electronic plan rooms who have requested plans from EWSU. It is the responsibility of the Bidder to verify addenda from the source they used to secure the Contract Documents.

D. In general, the Owner will neither approve nor disapprove particular products prior to the opening of the Bids; such products will be considered when offered by the Contractor for incorporation into the work.

1.8 BID SECURITY

A. Each Bid must be accompanied by Bid security made payable to the Owner in an amount of five percent (5%) of the Bidder’s maximum Bid price and in the form of a certified check or an acceptable Bid Bond. The Bid Bond shall be from an incorporated surety company in good standing and qualified to do business in the State of Indiana and listed on OMB

Circular 570.

B. The Bid security of the Successful Bidder will be retained until such Bidder has executed the

Agreement and furnished the required contract security, whereupon the Bid security will be returned. If the Successful Bidder fails to execute and deliver the Agreement and furnish the required contract security within 15 days after the Notice of Award, Owner may annul the Notice of Award and the Bid security of that Bidder will be forfeited.

C. The Bid security of other Bidders, whom Owner believes to have a reasonable chance of receiving the award, may be retained by Owner for a period of 90 days after the Bid opening.

1.9 AFFIDAVIT OF NON-COLLUSION

Each Bid must be accompanied by a Non-Collusion Affidavit, which is included under Part II of

Form 96 (Current Revision), completely executed, signed, and notarized.

1.10 EXPERIENCE, PLANT AND EQUIPMENT QUESTIONNAIRE, AND FINANCIAL STATEMENT

A. It is the intent of the Owner not to award the Contract to any Bidder who does not furnish satisfactory evidence he/she has the ability and experience in this class of work and that he/she has sufficient capital and plant experience to enable him/her to prosecute the same successfully and to complete in the time named in the Proposal.

B. To enable the Owner to determine the ability, experience, and capital resources of the

Bidder, each Bidder shall execute completely and accurately in all respects Form 96 (Current

Revision), “Contractors Bid For Public Works” as prescribed by the Indiana State Board of

Accounts, including Section III of Part II “Contractor’s Financial Statement”. Said Form 96 shall be included with the Bid.

1.11 LETTER FROM SURETY

When requested in writing by the Owner, the Contractor shall submit within seven (7) days of the date of the written request, a letter or statement from his surety company that it will execute and deliver a 100% Performance Bond and a 100% Payment Bond.

1.12 SUBSTITUTE OR “OR EQUAL” ITEMS

The Contract, if awarded, will be on the basis of materials and equipment described in the

Drawings or specified in the Specifications without consideration of possible substitute or “or equal” items. Whenever it is indicated in the Drawings or specified in the Specifications that a substitute or “or equal” item of material or equipment may be furnished or used by Contractor, if acceptable to Engineer, application for such acceptance will not be considered by Engineer until after the Agreement is executed.

1.13 PROPOSAL FORM

A. All Bids must be submitted upon the Proposal form which will be furnished by the Owner.

The form shall be completely executed and shall give the price bid for each item of work proposed and shall be signed by the Bidder. The Affidavit of Non-collusion, which is a part of the Form 96, must be completely executed.

B. Bids by corporations must be executed in the corporate name by president or vice president

(or other corporate officer accompanied by evidence of authority to sign). The corporate address must be shown below the signature.

C. Bids by partnerships must be executed in the partnership name and signed by partner, whose title must appear under the signature, and the official address of the partnership must be shown below signature.

D. All names must be typed or printed below the signature.

E. The Bid shall contain an acknowledgement of received Addenda (the numbers of which must be filled in on Bid Form).

1.14 CONTRACT TIME

The Work will be substantially completed within 180 calendar days from the date when the

Contract Time commences to run. The Work shall be completed and ready for final payment within 210 calendar days from the date when the Contract Time commences to run.

1.15 SUBMISSION OF BIDS

Bids shall be submitted at the time and place indicated in the Advertisement or Invitation to Bid and shall be enclosed in an opaque sealed envelope, marked with the Project title (and, if applicable, the designated portion of the Project for which the Bid is submitted) and name and address of the Bidder and accompanied by the Bid security and other required documents. If the Bid is sent through the mail or other delivery system, the sealed envelope shall be enclosed in a separate envelope with the notation “BID FOR EVANSVILLE WEST HVAC MODIFICATIONS” on the face of it.

Any party responding to a bid, Request for Proposal or quote for any contract with the City of

Evansville or any of its departments (the “City”) shall be required to disclose any pending adversarial litigation, contract dispute, or other adversarial proceeding against the City (a

“Claim”).

The specifics or basis of any pending Claim against the City may be considered in determining the qualification, responsiveness and responsibility of such party in responding to a bid, quote or proposal. The City’s Law Department may be consulted regarding the Claim prior to the award of any contract.

1.16 MODIFICATION AND WITHDRAWAL OF BIDS

A. Bids may be modified or withdrawn by an appropriate document duly executed (in the manner that a Bid must be executed) and delivered to the place where Bids are to be submitted at any time prior to the opening of Bids.

B. If, within 24 hours after Bids are opened, any Bidder files a duly signed, written notice with

Owner and promptly thereafter demonstrates to the reasonable satisfaction of Owner that there was a material and substantial mistake in the preparation of its Bids, that Bidder may withdraw its Bid and the Bid security will be returned. Thereafter, that Bidder will be

00 01 00 - 7 disqualified from further bidding on the Work to be provided under the Contract

Documents.

1.17 OPENING OF BIDS

Bids will be opened and (unless obviously non-responsive) read aloud publicly. An official tabulation of the Bids and major alternates (if any) will be made available to Bidders within seven days after the award has been approved by the Board.

1.18 BIDS TO REMAIN SUBJECT TO ACCEPTANCE

All Bids will remain subject to acceptance for 90 days after the day of the Bid opening, but

Owner may, in its sole discretion, release any Bid and return the Bid security prior to that date.

Bids shall remain in full force and effect during said period.

1.19 COMPARISON OF BIDS

Bids will be compared on the basis of the total base bid sum of the unit price extensions, as applicable.

1.20 AWARD OF CONTRACT

A. Owner reserves the right to reject any and all Bids, to waive any and all informalities not involving price & time changes in the Work and to negotiate contract terms with the

Successful Bidder, and the right to disregard all non-confirming, non-responsive, unbalanced or conditional Bids. Also, Owner reserves the right to reject the Bid of any Bidder if Owner believes that it would not be in the best interest of the Project to make an award to that

Bidder, whether because the Bid is not responsive or the Bidder is unqualified or of doubtful financial ability or fails to meet any other pertinent standard or criteria established by the

Owner. Discrepancies in the multiplication of units of Work and unit prices will be resolved in favor of the unit prices. Discrepancies between the indicated sum of any column of figures and the correct sum thereof will be resolved in favor of the correct sum.

B. In evaluating Bids, Owner will consider the qualifications of the Bidders, whether or not the

Bids comply with the prescribed requirements, and such alternates, unit prices, and other data as may be requested in the Bid Form or prior to the Notice of Award.

C. Owner considers the qualifications and experience of Subcontractors, Suppliers, and other persons and organizations proposed for the Work.

D. Owner also may consider the operating costs, maintenance requirements, performance data, and guarantees of major items of materials and equipment proposed for incorporation in the Work.

1.21 SIGNED AGREEMENT AND CONTRACT SECURITY

A. When the Successful Bidder delivers the executed Agreement to the Owner, it shall be accompanied by the required Performance Bond and Payment Bond, acceptable to the

Owner, in the amount of 100% of the final accepted Bid price.

B. Three (3) copies of the Agreement, Performance Bond, and Payment Bond, completely executed, shall be delivered to Owner for his signing. The Owner thereafter shall deliver one fully signed Agreement to the Successful Contractor.

1.22 FORFEITURE OF BID SECURITY

In the event the party to whom the Contract is awarded shall fail or neglect to execute the

Agreement and furnish satisfactory bonds within 15 days after the Owner has notified him that the Agreement is ready for execution, the Owner may determine that the Bidder abandoned the

Agreement and thereupon the Bid and acceptance shall be null and void; and the security accompanying the Bid shall be forfeited to and retained by the Owner as liquidated damages for such failure and neglect, and to indemnify the Owner for any loss which may be sustained by failure of the Bidder to execute the Agreement. After the execution of the Agreement and the acceptance of the bonds by the Owner, the Bid securities, in the form of a check, which have been retained by Owner shall be returned to the respective Bidders.

1.23 PRE-BID CONFERENCE

A Mandatory Pre-bid Conference will be conducted on July 7, 2026 virtually via an online platform or phone conference. Instructions for virtual access will be provided in advance of the meeting through a notification to both known plan holders and external plan rooms. All prospective bidders must attend this conference, and will be deemed unresponsive if not represented.

1.24 INSURANCE REQUIREMENTS

The Contractor shall furnish all the insurance coverage required under Article 5 of the General

Conditions of the Construction Contract and Supplementary Conditions.

5. Surety waives notice of any and all defenses based on or arising out of any time extension to issue Notice of

Award agreed to in writing by Owner and Bidder, provided that the total time for issuing Notice of Award including extensions shall not in the aggregate exceed 120 days from Bid due date without Surety’s written consent.

6. No suit or action shall be commenced under this Bond prior to 30 calendar days after the notice of default required in Paragraph 4 above is received by Bidder and Surety and in no case later than one year after Bid due date.

7. Any suit or action under this Bond shall be commenced only in a court of competent jurisdiction located in the state in which the Project is located.

8. Notices required hereunder shall be in writing and sent to Bidder and Surety at their respective addresses shown on the face of this Bond. Such notices may be sent by personal delivery, commercial courier, or by United

States Registered or Certified Mail, return receipt requested, postage pre-paid, and shall be deemed to be effective upon receipt by the party concerned.

9. Surety shall cause to be attached to this Bond a current and effective Power of Attorney evidencing the authority of the officer, agent, or representative who executed this Bond on behalf of Surety to execute, seal, and deliver such Bond and bind the Surety thereby.

10. This Bond is intended to conform to all applicable statutory requirements. Any applicable requirement of any applicable statute that has been omitted from this Bond shall be deemed to be included herein as if set forth at length. If any provision of this Bond conflicts with any applicable statute, then the provision of said statute shall govern and the remainder of this Bond that is not in conflict therewith shall continue in full force and effect.

Section 00 05 10 - STANDARD FORM OF AGREEMENT

THIS AGREEMENT is dated as of the _______ day of ___________________________ in the year _________ by and between the Evansville Water and Sewer Utility of the City of Evansville, Indiana (hereinafter called OWNER) and _________________________________________________________ (hereinafter called CONTRACTOR).

OWNER and CONTRACTOR, in consideration of the mutual covenants hereinafter set forth, agree as follows:

Article 1. WORK

CONTRACTOR shall complete all Work as specified or indicated in the Contract Documents and plans. The Work is generally described as follows:

Evansville West HVAC Modifications

The contract work provides, generally, the labor, time and materials for the installation of pumps, piping, mixers, and necessary support to complete the work shown in the Drawings and Specifications. All work must be ready for satisfactory and continuous operation, in accordance with the Drawings and Specifications.

The above referenced project description includes items that are part of the Itemized Base Bid. The water main layout shown on the drawings is based upon the method of installation chosen by the ENGINEER. The CONTRACTOR shall be responsible for all work shown on the plans and described in the specifications pertaining to the Itemized Base Bid, regardless of the installation method chosen.

Article 2. ENGINEER

The Project has been designed by the Clark Dietz, who is hereinafter called ENGINEER and who is to act as OWNER’S representative, assume all duties and responsibilities, and have the rights and authority assigned to ENGINEER in the Contract Documents in connection with completion of the Work in accordance with the Contract Documents.

Article 3. CONTRACT TIME

3.1. The Work will be substantially completed within 180 calendar days from the date when the Contract Time commences to run as provided in Paragraph 2.03 of the General Conditions EJCDC C-700 © 2007, and completed and ready for final payment in accordance with Paragraph 14.07 of the General Conditions within 210 calendar days from the date when the Contract Time commences to run.

3.2 Liquidated Damages. OWNER and CONTRACTOR recognize that time is of the essence of this Agreement and that OWNER will suffer financial loss if the Work is not completed within the times specified in Paragraph 3.1 above, plus any extensions thereof

They also recognized the delays, expense, and difficulties involved in proving in a legal or arbitration preceding the actual loss suffered by OWNER if the Work is not completed on time. Accordingly, instead of requiring any such proof, OWNER and CONTRACTOR agree that as liquidated damages for delay (not as a penalty) CONTRACTOR shall pay OWNER $1000 for each day that expires after the time specified in Paragraph 3.1 above for Substantial completion until the Work is substantially complete. After Substantial Completion, if CONTRACTOR shall neglect, refuse, or fail to complete the remaining Work within the Contract time or any proper extension thereof granted by OWNER, CONTRACTOR shall pay OWNER $1000 for each day that expires after the time specified in Paragraph 3.1 above for completion and readiness for final payment.

Article 4. CONTRACT PRICE

4.1. OWNER shall pay CONTRACTOR for completion of the Work in accordance with the Contract Documents in current funds as follows:

Article 5. PAYMENT PROCEDURES

CONTRACTOR shall submit Applications for Payment in accordance with Paragraph 14.02 of the General Conditions. Applications for Payment will be processed by ENGINEER as provided in Paragraph 14.02 of the Supplementary Conditions.

5.1. Progress Payments; Retainage.

A. OWNER shall make progress payments on account of the Contract Price on the basis of

CONTRACTOR’s Applications for Payment as recommended by ENGINEER, on or about the 30th day of each month during construction as provided below. All progress payments will be on the basis of the progress of the Work measured by the schedule of values established in Paragraph 14.01 of the Supplementary General Conditions (and in the case of Unit Price Work based on the number of units completed) or , in the event there is no schedule of values, as provided in the General Requirements.

1. Prior to Substantial Completion, progress payments will be made in an amount equal to the percentage indicated below but, in each case, less the aggregate of payments previously made and less such amounts as ENGINEER may determine or OWNER may withhold, including but not limited to liquidated damages, in accordance with Paragraph 14.02 of the General Conditions.

2. The OWNER shall retain five percent (5%) of the amount of each payment on all Work satisfactorily completed and accepted until the Work is One Hundred percent (100%) completed, and nothing further after that. On completion and

E00825001 Standard Form Agreement 00 05 10 - 3 acceptance on a part of the Work on which the price is stated separately in the Contract Documents, payment may be made in full, including retained percentages, less authorized deductions.

B. Upon Substantial Completion, OWNER shall pay an amount sufficient to increase total payments to CONTRACTOR to one hundred percent (100%) of the Work completed, less such amounts as ENGINEER shall determine in accordance with Paragraph 14.02.B.5 of the General Conditions, less 200 percent of ENGINEER’S estimate of the value of Work to be completed or corrected as shown on the tentative list of items to be completed or corrected attached to the certificate of Substantial Completion, and less any applicable liquidated damages.

5.2. Final Payment. Upon final completion and acceptance of the Work in accordance with Paragraph 14.07 of the Supplementary General Conditions, OWNER shall pay the remainder of the Contract Price as recommended by ENGINEER as proved in said Paragraph 14.07.

Article 6. INTEREST

6.1 OWNER shall owe no interest on payments due to the CONTRACTOR for any reason.

Article 7. CONTRACTOR’S REPRESENTATIONS

In order to induce OWNER to enter into this Agreement, CONTRACTOR makes the following representations:

7.1 CONTRACTOR has familiarized itself with the nature and extent of the Contract Documents, Work, site, locality, and all local conditions and Laws and Regulations that in any manner may affect cost, progress, performance, or furnishing of the Work.

7.2 CONTRACTOR has studied carefully all reports of explorations and tests of subsurface conditions which are identified in the Supplementary Conditions as provided in Article 4 of the General Conditions, and accepts the determination set forth in Article 4 of the Supplementary Conditions of the extent of the technical data contained in such reports and drawings upon which CONTRACTOR is entitled to reply.
