General work description: Contractor must remove and dispose of the existing roofing system and install a new complete watertight warrantied roofing system at the SacRT Instrument House (IH) located at 2901 Freeport Boulevard (4th Avenue), Sacramento, CA 95818.
The work that is the subject of this bid is a public work within the meaning of Chapter 1 (beginning with Section 1720) of Part 7 of Division 2 of the California Labor Code to which Section 1771 (Payment of Prevailing Wages) applies.
The Engineer’s Estimate for this project is $8,000.
Contractor license classification at the time of award must be Class A, Class B or Class C-39.
Each subcontractor performing services under this Contract must perform services under Contractor’s direction and control unless the subcontractor is a licensed contractor performing work within the scope of its license.
It is the policy of the U.S. Department of Transportation that Disadvantaged Business Enterprises (DBEs), as defined in 49 C.F.R. Part 26, are encouraged to participate in the performance of contracts financed in whole or in part with federal funds. As a condition of federal grant assistance, SacRT has adopted a DBE program for SacRT's federally-funded contracts. Consequently, the DBE requirements of 49 C.F.R. Part 26 apply to this contract. No DBE goal has been established for this Contract. However, if subcontracting opportunities exist for the work required for this Contract, Bidders/Proposers must ensure that DBEs have the opportunity to participate in the performance of this Contract. Contractor must not discriminate on the basis of race, color, national origin, sex, disability or age in the award and performance of subcontracts.

Pursuant to the new 49 CFR Section 26.111 of the U.S. DOT Interim Final Rule (IFR), effective October 3, 2025 all existing DBE certifications under the California Unified Certification Program (CUCP) must be reevaluated by the CUCP to determine whether each previously-certified firm is owned by an individual who meets the new regulatory definition of a “socially and economically disadvantaged individual” in 49 C.F.R Section 26.5 following the process described under 49 C.F.R. Section 26.67, which requires a personal narrative and personal net worth statement submitted by the owner. A firm cannot be considered a “DBE” under the IFR until this reevaluation process by the CUCP is complete as to that firm.
If, during the term of this Contract, Contractor or any of Contractor’s designated or approved subcontractors obtain re-certification from the CUCP under the IFR, SacRT may require Contractor to provide information and complete forms regarding DBE participation as to designated or approved subcontractors under this Contract for purposes of tracking DBE participation in compliance with SacRT’s DBE program. SacRT reserves the right to make further adjustments to DBE requirements based on additional regulatory or legal changes during the Contract term as set out in Article 1, “FTA Grant Conditions” of the FTA Grant Contract Provisions.

1.0 GENERAL CONDITIONS AND INSTRUCTION TO BIDDERS
1.1 BID AND CONTRACT FORMS
Bidder must complete and submit the Bid Forms furnished by SacRT; the completed Forms will constitute the Bid. Subject to SacRT's right to reject any and all bids as it may deem proper, the Contract will be awarded to the lowest responsible and responsive Bidder(s) by the SacRT Board or General Manager/CEO within 90 days after Bid Opening.
All Bids must be clearly and distinctly written without erasure or interlineation and properly signed on the signature line by Bidder’s authorized officer, who must indicate the capacity in which the signature is executed. Required Bid Forms can be found in the Table of Contents.
1.2 RESPONSIBLE BIDDER
In determining whether a Bidder is responsible, SacRT will consider the following factors:
1. The ability, capacity, and skill of the Bidder to perform the Contract or effectuate the transaction, without delay;
2. The character, integrity, reputation, judgment, experience and efficiency of the Bidder; and
3. The quality of Bidder's performance on previous contracts with, or purchases by, SacRT.
1.3 CONDITIONAL/ALTERNATE BIDS
Alternate bids, partial bids, or those that take exception to the Bid Documents or any portion thereof, will be considered nonresponsive and will be rejected unless specifically requested in this Invitation for Bid (IFB). Unauthorized conditions, limitations, or provisions attached to a Bid may render it nonresponsive. Any Bid conditioned, in whole or in part, on the revision or omission of any requirement or provision in any part of this IFB, or based on any substitution for an item specified in this IFB that has not been approved by SacRT as described in Section 1.8 below, or any other requirement or provision not contained in this IFB may be considered nonresponsive and may be rejected by SacRT.
1.4 WAIVER/ADDENDA/BID POSTPONEMENT
SacRT reserves the right to waive any informalities or minor irregularities in connection with Bids received, and to cancel this IFB or to reject any and all Bids.
SacRT reserves the right to revise or amend this IFB up to the time set for Bid Opening. Such revisions, if any, will be announced only by written addenda. If addenda are required, the date set for Bid Opening may be postponed by the number of days necessary to enable Bidders to revise their Bids as determined by SacRT.
Addenda that merely extend the deadline for questions and responses or the Bid Due Date, without other changes to the IFB, will be issued via PlanetBids, without modifying the dates within IFB document.
In any case, the Bid Opening will be at least 4 calendar days after issuance of the last addendum.
The addendum will include an announcement of the new date, if applicable, for Bid Opening.
Instrument House Roofing Replacement at 2901 Freeport Boulevard (4th Avenue/Wayne Hultgren Light Rail Station)
2026024 PAGE 7
SacRT also reserves the right to postpone the Bid Opening for its own convenience. Any postponement will be for not more than 30 calendar days following the deadline for Bids.
SacRT reserves the right to reopen the solicitation if no responsive Bids are received.
SacRT reserves the right to reject all Bids if SacRT deems it to be in its best interest to do so.
Failure of Bidder to comply with any of the requirements of this IFB may result in rejection of the Bid as non-responsive. SacRT reserves the right to cancel award of the Contract for the work of this IFB at any time before execution of the Contract by both parties when SacRT determines in its sole discretion that such cancellation is in SacRT's best interest.
SacRT is not liable for any damages stemming from rejection of all bids or cancellation of the contract award. Bidder hereby assumes sole risk and responsibility for all expenses incurred, including subcontract expenses, if any, prior to SacRT's execution of the Contract, and is not authorized to commence work or order materials until receipt of a duly-authorized Notice to Proceed issued by SacRT pursuant to the executed Contract.
1.5 LATE BIDS
SacRT will only consider electronic Bids submitted through SacRT’s PlanetBids Vendor Portal.
Late Bids will not be accepted.
1.6 WITHDRAWN BIDS
Any Bidder may withdraw its Bid at any time prior to the Bid date and time through the PlanetBids portal. However, no Bidder may withdraw its Bid for the period specified in Section 1.17. Bidder’s attention is directed to the provisions of Public Contract Code Sections 5100 to 5107 regarding relief of Bidders.
1.7 DISCUSSION OF BID DOCUMENTS
All contact with SacRT regarding the IFB must be made only with Procurement staff. Attempts to contact any other individual at SacRT, including Board members, with regard to this procurement may result in disqualification from competing in this procurement.
1.8 SUBMISSION OF QUESTIONS/ADDENDA/APPROVED EQUALS
A. If any Bidder contemplating submission of a Bid believes that there is an error in this IFB, is in doubt as to the true meaning of any part of this IFB, objects to any contract provision, or needs an extension of time, Bidder may submit a question to SacRT through SacRT’s PlanetBids Vendor Portal, not later than 14 calendar days prior to the bid due date.
B. Written responses to questions may be published either: through the Q&A tab on
PlanetBids or in an addendum to this IFB. All responses will be released at least 4 calendar days prior to the bid due date. Answers to questions are provided for reference only, will not be binding on SacRT, and will not become part of the Contract. Addenda to this IFB will be binding on SacRT and will become part of the Contract.
C. If necessary, SacRT may extend the bid due date to allow Bidders sufficient time to respond to any addenda. Addenda that merely extend the deadline for questions and responses or the Proposal Due Date, without other changes to the IFB, will be issued via
Instrument House Roofing Replacement at 2901 Freeport Boulevard (4th Avenue/Wayne Hultgren Light Rail Station)

PlanetBids, without modifying the dates within IFB document.
D. Product Options, Supplier Approval and Substitutions. For products specified in this
Contract or in Contractor's submittals by brand name or manufacturer, whether or not followed by the words "or approved equal," Contractor must select any product or manufacturer named, or must submit a request to substitute an equal product or manufacturer. All substitution requests with supporting data must be submitted at least 14 calendar days prior to bid due date. Substitution requests will be returned to the Bidder marked “accepted” or “rejected” prior to the bid due date. If a substitution request is returned “rejected,” no further substitution requests for that product, material or system will be allowed and the Bidder must provide the specified product, material or system, unless SacRT, in its sole discretion, authorizes an additional substitution request after award of the Contract due to the unavailability of or expense for the specified product, material or system.
The burden of proof as to the equality of any material, process or article will rest with Contractor. SacRT's determination of the equality or superiority of an article proposed for substitution will be based upon, but need not be limited to, consideration of: such factors as are specified in the Technical Specifications; dimensional compatibility with other materials with which it combines to produce a unified design system; and all aspects of finished appearance including form, texture, and color, as it affects other design elements.
If an approved substitution is more expensive than the specified materials, process or article, the difference in cost of such material, process or article so furnished will be borne by Contractor. Contractor may not make a substitution without SacRT's prior written approval. If applicable, specific requirements for the submittal of such requests will be contained in Section 4.0 and the Technical Specifications.
SacRT will respond to requests in writing, within 4 calendar days before Bid due date. Any change in the Bid Documents will be effected by the issuance of an addendum.
1.9 BID PRICE
All prices must be in U.S. dollars. Prices must include all costs for the goods and services to be provided with overhead, profits, insurance, and all other costs included.
Bids must be quoted inclusive of applicable California state and local sales taxes.
1.10 MATHEMATICAL ERRORS
Intentionally Omitted
1.11 BID SUBMISSION AND BID SECURITY DELIVERY
All Bids must be submitted to SacRT no later than the date and time specified in this IFB through SacRT’s PlanetBids Vendor Portal. By submission of its bid on PlanetBids, Bidder certifies that it has received and acknowledged all addenda issued as of the Bid due date. SacRT assumes no responsibility for delay of electronic bid submission that results in the late arrival of any Bid. Bidder is solely responsible for ensuring that its Bid is delivered on or before the Bid deadline in the manner set forth in Article 1.1.
Instrument House Roofing Replacement at 2901 Freeport Boulevard (4th Avenue/Wayne Hultgren Light Rail Station)
2026024 PAGE 9
In addition to the submission of the electronic Bid on PlanetBids, each Bidder must separately submit bid security in the form a certified or cashier’s check, cash, or a Bidder’s bond in the form set out in the Bid Bond Form in the sum of not less than 10% of the Total Bid amount by the Bid Due Date and Time. The check or bond must be made payable to the order of Sacramento Regional Transit District.
Bidder must deliver the original bid security by mail or hand delivery to 1102 Q Street, Suite 3000, Sacramento, CA 95811 between 9:00 a.m. and 4:00 p.m. Monday through Friday. For hand-delivered bid security, Bidder must use the date/time stamp machine in the Suite 3000 lobby to document the date/time of delivery, then place the bid security in the wall-mounted drop box.
BIDDERS MUST NOT LEAVE BID SECURITY WITH THE FIRST FLOOR SECURITY DESK.
BIDDERS MUST NOT DELIVER BID SECURITY TO ANY OTHER SACRT LOCATION.
SUBMISSION OF A SCANNED BID BOND THROUGH PLANETBIDS IS NOT SUFFICIENT TO
MEET THE BID SECURITY REQUIREMENTS. THE ORIGINAL HARD-COPY BID BOND MUST
BE RECEIVED BY SACRT PRIOR TO THE BID DUE DATE AND TIME. BIDDERS THAT FAIL
TO MEET THIS REQUIREMENT WILL BE DEEMED NON-RESPONSIVE AND INELIGIBLE
FOR AWARD.
If the selected Contractor fails to sign, as applicable, and deliver the required Contract forms and the Contract within the specified time, such Bidder will be liable for the amount by which the cost of procuring the work exceeds the amount of its Bid. The Bid security will be available to offset such amount.
The Bidder’s Bond, cash, or the amount of the certified or cashier’s check will be returned to all Bidders at the earlier of the following date: (a) within 60 days from the time of Contract award if the Bidder to whom the Contract is awarded executes and delivers to SacRT the required documents; or (b) at the expiration of the Bid validity period specified in this IFB, if SacRT does not issue a Notice of Intent to Award within that time.
Bidders are responsible for ensuring that PlanetBids communications related to this procurement reach the appropriate individual or individuals by identifying the appropriate individuals in the vendor registration and by whitelisting PlanetBids communications in their email system. SacRT will not be responsible for delivery failure of email due to firewalls, spam filters, or individuals' failure to retrieve email messages. SacRT will not attempt to re-deliver any messages that fail due to no fault of SacRT.
1.12 NONCOLLUSION
No Bidder may be interested in more than one bid in response to this IFB as specified below:
A. Submit bid prices that have not been arrived at independently without consultation, communication, or agreement with any other Bidder for the purpose of restricting competition as to any matter relating to the prices bid;
B. Knowingly disclose any price bid to any other Bidder prior to opening of the bids, unless otherwise required by law;
C. Make any attempt to induce any other person, firm or other entity or association to submit a bid or not to submit a bid for the purpose of restricting competition; or
Instrument House Roofing Replacement at 2901 Freeport Boulevard (4th Avenue/Wayne Hultgren Light Rail Station)
2026024 PAGE 10
D. Knowingly be interested in more than one bid as the principal Bidder; subcontract bids to the principal Bidder are excluded from this paragraph D.
In the case of joint venture bids, the joint venture itself and each and every member of the joint venture will, for the purpose of the foregoing paragraphs, be construed to be the person submitting the bid.
Any bid received or contract awarded where there was a violation of this Section will be null and void and the Bidder will forfeit its bid security, if any, and may be subject to debarment from award of future SacRT contracts.
1.13 PROCEDURE WHEN ONLY ONE BID IS RECEIVED
If only one bid is received, and competition is deemed to be adequate by SacRT, SacRT will conduct a price analysis to determine the reasonableness of the bid price in accordance with FTA requirements. A price analysis is a comparison of the separate bid item prices against other similar contracts and established competitive pricing for a similar quantity of goods and services. If, however, the reasonableness of the bid price cannot be established by SacRT, SacRT will conduct a cost analysis. Cost analysis is the review and evaluation of the separate cost elements and profit in the Bidder's Price. Bidder must permit SacRT and/or its designee to review Bidder's cost records at reasonable times to determine whether Bidder's bid is fair and reasonable when Bidder is the only responsive and responsible Bidder. SacRT reserves the right to reject a single bid with or without a price or cost analysis.
1.14 DETERMINATION OF LOW BID
The criteria for determining the successful Bidder will include the Bidder’s responsiveness to the requirements of the Bid Documents; Bidder’s responsibility and price. Any Bidder may be required to furnish evidence satisfactory to SacRT that it and its proposed subcontractors have sufficient means and experience in the type of work called for in the Bid Documents to assure completion of the Contract in a satisfactory manner. Award, if made, will be to the lowest responsive and responsible Bidder, as determined based on either: (a) the Total Bid Price, for contracts without Additive Alternates; or (b) for contracts with Additive Alternates, the methodology selected below in accordance with Public Contract Code Section 20103.8.
1.15 EQUAL BIDS
If 2 or more Bids are the same amount for a certain Bid item and are the lowest responsible and responsive Bids, SacRT will determine by lot which Bid will be accepted, subject to SacRT’s right to reject all Bids.
1.16 CONTRACT AWARD AND ADDITIVE ALTERNATES
SacRT reserves the right to determine the lowest responsive bidder and award a contract. In its sole discretion, SacRT will, within 90 days after the Bid Opening, award the Contract to the lowest responsible and responsive Bidder(s), as determined under Section 1.14, or reject all Bids.
SacRT reserves the right to add, by Contract Change Order or Orders, any Additive Alternate Work Item not included at time of award, for the price specified in the Bid Pricing Form, so long as SacRT provides a Contract Change Order or Contract Change Orders (if SacRT exercises its
Instrument House Roofing Replacement at 2901 Freeport Boulevard (4th Avenue/Wayne Hultgren Light Rail Station)
2026024 PAGE 11
options through more than one Contract Change Order) to Contractor for that item within 30 days after the Notice to Proceed.
Contractor may not protest or dispute any Contract Change Order to add any Additive Alternate item on any basis other than timeliness.
1.17 FIRM PRICE
All bids must remain in effect for 90 calendar days from the Bid Opening. If SacRT has not awarded or is not prepared to award by the end of this period, SacRT may request that all bidders voluntarily extend the validity period of the Bid. If all Bidders voluntarily agree, the Bids will be extended on the same terms originally offered and must be honored until the end of the extended period.
1.18 LEGAL STATUS
If bidding as a joint venture/partnership, Bidder must furnish, within 3 business days before the Bid submittal deadline, any documents it has filed with the County Recorder or Secretary of State and any joint venture/partnership agreement.
1.19 EXECUTION OF CONTRACT/CONTRACT PARTS
This IFB, any addenda, and the Bid Forms will be deemed a part of the Contract Documents.
Within 20 calendar days after receipt of the Contract, Bidder must sign and return the Contract to SacRT. The Contract must be signed by a person or persons authorized to contractually bind the Bidder. If Bidder is a corporation, the Contract must be signed by 2 authorized officers as set out under California Corporations Code Section 313. SacRT may require written evidence of the contracting authority of the person(s) signing the Contract.
Upon showing of good cause, SacRT may extend the time for Bidder to execute the Contract and provide the necessary documents for a period not to exceed 30 additional calendar days. If the lowest responsive and responsible Bidder does not properly sign and return the Contract and provide the required documents within the specified time period, as it may be extended by SacRT, SacRT may elect to award the Contract to the next-lowest Bidder at any time within the Bid validity period.
1.20 FACILITIES AND EQUIPMENT
Except as set forth in the Technical Specifications, Contractor must, at its sole cost and expense, furnish all facilities and equipment that may be required to provide services pursuant to the Contract.
1.21 ORGANIZATIONAL CONFLICTS
Due to their participation as either a prime contractor or subcontractor in past or current SacRT contracts, the following firms may be deemed ineligible to participate in this Contract as either a prime contractor or subcontractor due to the existence of an Organizational Conflict of Interest, as further set out in the Special Conditions section of this solicitation:
NONE

2026024 PAGE 12
Contractor, including its subcontractors, is not eligible to submit a proposal, bid, or sub-bid as either a prime or subcontractor for any contract subsequently offered by SacRT if award of the later contract would result in a real or apparent conflict of interest due to the potential for bias or unfair competitive advantage. If Contractor or its subcontractors submits a proposal in violation of this provision for any contract subsequently offered by SacRT, SacRT may disqualify Contractor or the subcontractor. A real or apparent conflict of interest may exist if:
A. The quality and objectivity of the work under this Contract might be negatively affected by Contractor’s or its subcontractor’s interest in the later contract;
B. The quality and objectivity of the work under the later contract might be negatively affected by Contractor’s or its subcontractor’s interest in this Contract; or
C. Work under this Contract would give Contractor or its subcontractor an unfair competitive advantage over other proposers, bidders, or sub-bidders for the later contract.
This prohibition extends to all affiliates of the successful Contractor and its subcontractors.
Affiliate means a corporation or other organization that is related to another corporation or organization by shareholdings or other means of control, including a subsidiary, parent, or sibling corporation/organization.
The existence of a real or apparent conflict of interest will be determined on a case-by-case basis, taking into account all relevant facts to determine whether (a) there is a real conflict of interest or
(b) a reasonable person would believe there appears to be a conflict. The following are examples of situations that would likely result in a prohibited conflict of interest:
• Providing both design and construction services for the same project or portion of a project.
• Providing both design and construction management services for the same project or portion of a project.
• Providing both design and project control services for the same project or portion of a project.
• Providing both construction and construction management services for the same project or portion of a project.
• Providing both project control and construction services for the same project or portion of a project.
• Preparing an Environmental Impact Report or Statement while, at the same time, providing design (other than Preliminary Engineering necessary to complete the EIR/S) or construction services that may be affected by the outcome of the EIR/S.
• Bidding or proposing for a project if the contractor helped develop or draft the specifications, requirements, statements of work, invitations for bids and/or requests for proposals.
