SECTION I – GENERAL INFORMATION
A. Scope of Work: The purpose of this Request for Quotation (RFQ) is to solicit bids for fiber optic cable and accessories as described in the specifications provided.
B. Intent: This document is intended to establish an indefinite delivery/indefinite quantity purchase contract to provide the City of Roseville with such quantities of fiber optic cable and accessories as the City may order on an as-needed basis by issue of purchase orders pursuant to a resulting contract award. The City will award purchase orders for the purchase of goods as specified herein.
Although particular City Departments may be identified in the solicitation as the primary users of the contract, all City Departments may utilize the resulting contract award. All products offered or provided pursuant to the resulting contract award shall conform to the requirements defined by or referred to by the solicitation documents, including solicitation addenda.
The City reserves the right to source the product(s) awarded as a result of this bid through the “open market” in the event that the awarded contractor is unable to provide the product in a timely manner due to supply chain issues, product obsolescence, etc.
C. California Secretary of State Registration: The City requires all corporations, limited liability companies, and limited partnerships be registered to do business in the state of California. On a separate sheet of paper, please provide a screenshot of your “ACTIVE” status, which may be obtained by accessing this link: https://bizfileonline.sos.ca.gov/search/business. All bidders must be registered with the Secretary of State or have a valid exemption by the time of award.
SECTION II – BID AWARD
A. Award: The bid will be awarded on an individual line-item basis to the lowest responsive, responsible bidder with each line being evaluated separately. Additionally, the City reserves the right to award to multiple vendors per line to provide an alternate vendor or vendors if for any reason the primary vendor cannot fulfill an order. The bidder(s) receiving the initial contract award will retain the award throughout any subsequent optional renewal years.
B. Contract Renewals: The initial contract will be from date of award for one year. The City reserves the right to renew the contract for four (4) additional years, one year at a time at its sole discretion.
C. Optional Renewal Years: Prior to the expiration date of the current contract, the City will re-negotiate out-year pricing (increases and/or decreases) based on market fluctuations. The pricing for each renewal year will be evaluated based on what the City deems to be fair and reasonable pricing. Any requests made by the vendor for a price increase must be fully documented utilizing an appropriate Consumer or Producer Price Index or other relevant market data to justify a price change. In its request for price increases Seller shall cite sources, specific conditions, and document how those conditions affect the cost. The City of Roseville is also willing to re-negotiate pricing if it is affected by catastrophic circumstances (example: unforeseen national/world crisis or acts of God).
Price adjustments will not be automatic. They must be mutually agreed upon by both the City and the vendor. The City will review the proposed pricing and determine if it is allowable, fair, reasonable, and in the best interest of the City to extend the agreement.
D. Bid Summary: Bid summary information will be made available after the bid close date and time and can be seen by accessing publicpurchase.com.
E. Notice of Intent: The Notice of Intent to Award will be posted on publicpurchase.com after the bid review process is complete. Award Notices are tentative. 4. For bids where bidders are asked to input dollar amounts directly into publicpurchase.com and are also required to upload a signed copy of the bid response, if there is a discrepancy between the dollar amount that is input into publicpurchase.com and the amount entered on the signed, uploaded copy of the bid, then the signed, uploaded copy of the bid shall control.
G. Bid Review: During the bid review process, the City may require a bidder’s representative to answer specific questions orally and/or in writing. The City reserves the right to seek clarification on any or all bid responses to ensure the bid specifications are met. Bids may be rejected from any bidder who does not comply with the City’s request for clarification. Failure to provide information/answers and/or incomplete information/answers may result in a “non-responsive bid.”
H. Bidders’ Liabilities: The City of Roseville will not be held liable for any cost incurred by vendors in responding to the RFQ.
I. Required Documents: The following documents must be submitted in your bid response by uploading them to publicpurchase.com along with any other requested information to be used in the evaluation of your bid:
1. Formal Invitation for Bid and Award page
2. Proof of California Secretary of State registration. All bidders must be registered with the Secretary of State or have a valid exemption by the time of award.
3. Addenda, if applicable
4. Attachment A – Bid Pricing and Substitute Item Worksheet
5. Detailed description of the proposed fiber optic cable
6. Detailed description of accessories, if applicable
SECTION IV - Pricing
A. Product Pricing: Bidder agrees that prices quoted are for the duration of the contract period. Prices shall be stated in units of quantity specified. Prices shall be quoted freight on board (FOB) destination to City of Roseville Corporation Yard, 2075 Hilltop Circle, Roseville, CA 95747 with delivery included in the price.
Additional charges (i.e. fuel surcharge, delivery fee, small/minimum order fee, etc.) shall not be allowed. Prices quoted shall be the final cost to the City, not including tax.
All prices and notations should be in ink or typewritten on the bid response.
Mistakes may be crossed out and corrections made in ink and must be initialed and dated in ink by the person signing the bid.
In case of error in the extension of prices, the unit price shall govern.
Samples, when requested, must be furnished free of expense, and upon request, if not destroyed, samples will be returned at the bidder's risk and expense.
Price Escalation/De-Escalation: The City of Roseville is willing to re-negotiate pricing within the above-mentioned timeframe if it is affected by catastrophic circumstances (example: unforeseen national/world crisis or acts of God) when the price increase is determined to be fair and reasonable and can be substantiated through increases in the Consumer or Producer Price Index or other relevant market data. By the same token, suppliers must be open to negotiating a price decrease in the City’s favor should the market warrant it. The vendor will be asked to provide the City with a written justification of any price increase prior to the City’s acceptance of the price increase. Any price change must be mutually agreed upon between the City and vendor prior to the implementation of any changes.
The City desires to establish long-term agreements with fiber optic cable and accessories manufacturers. To ensure the success of these agreements, the City is implementing measures to allow for the escalation and de-escalation of relatively volatile commodities. To allow for the fluctuation of materials (including but not limited to electrical/optical cable product, wood reels and transportation), without additional indexes to further complicate the cost escalation/de-escalation justification process, the City of Roseville will re-negotiate base price increases/ decreases on 1st and ember 1st of each year. Vendors shall furnish the City of Roseville with documentation 30 days in advance of these dates, providing a comparison of the current costs to those of the previous six (6) months. Utilizing this documentation, in conjunction with the inflation rate, a price increase may be negotiated between the City of Roseville and fiber optic cable and accessories suppliers, per 6-month period. By the same token, vendors must be open to negotiating a price decrease, in the City’s favor, should the market warrant such.
Quantities: The quantities listed in the Pricing Worksheet are expressly agreed to be an “estimated annual usage” only, and nothing herein shall bind the City of Roseville to purchase any specified number/amount of product(s). It is also further understood that the City of Roseville shall not be obligated to purchase or pay for any products unless and until ordered and received by the City of
Roseville. The City shall not be required to purchase any preset bulk, box, load or case quantities, and reserves the right to order and receive quantities as needed.
SECTION V - Additional Information
A. Product Alternates: Unless qualified by the provision "NO SUBSTITUTE," the use of the name of the manufacturer, brand, make or catalog designation in specifying an item does not restrict bidders to the manufacturer, brand, make or catalog designation identification. This is used simply to indicate the character, quality and/or performance equivalence of the goods and/or services desired.
The goods and/or services on which bids are submitted must be of such character, quality and/or performance equivalence that it will serve as that specified.
If an alternative product is offered for any item, then a detailed specification must be submitted with the bid response in order to evaluate the product, and the product must be identified on the “Bid Pricing and Substituted Item Worksheet, Attachment A.” Failure to provide the specification sheet may result in you bid being declared non-responsive. City staff will have the final determination on equivalency
Consideration will be given to bids submitted on alternate goods to the extent that such action is deemed to serve the best interests of the City. If the bidder does not indicate that the goods and/or services he proposes to furnish is other than specified, it will be construed to mean that the bidder proposes to furnish the exact goods and/or services described.
Failure to perform the appropriate research, discovery, examine any drawings, specifications, and instructions will be at the respondent’s sole risk. The descriptions, brand names, and vendor numbers are for reference to minimum specifications and will be used in the evaluation of items needed by the City. Bids will be accepted with alternate, equivalent products. If an alternative product is offered for any other item, then a detailed specification must be submitted with the bid response in order to evaluate the product. Failure to supply the specification sheet may result in your bid being declared non-responsive. City staff will have final determination on equivalency.
Items included in the bid shall meet the specifications and requirements set forth by the solicitation. Deviation requests shall specifically document and clearly illustrate the deviation to the specification or the requirement set forth by this solicitation and fully explain the requested deviation’s impact on the end performance of the item. Acceptance or rejection of said deviation request shall be at the sole discretion of the City. Bidders are advised that conditional offers that do not conform to or that request exceptions to the published solicitation and addenda may be considered non-responsive and not evaluated.
B. New Product or Equipment: Any product or equipment delivered must be standard new and unused equipment, latest model, except as otherwise specifically stated in the bid. Where any part or the normal accessories of equipment is not described, it shall be understood that all the equipment and accessories that are usually provided in the manufacturer's stock model shall be furnished.
C. Product Detail: The apparent silence of the specifications contained in this bid and any supplemental specifications as to any detail or the omission from the specifications of a detailed description concerning any point shall be regarded as meaning that only the best commercial practices are to prevail, and the correct type, size and design are to be used. All interpretations of these specifications shall be made on the basis of this statement.

(c) The City may reject all bids whenever it is deemed in the best interest of the City to do so and may reject any part of a bid unless the bid has been qualified as provided in 5 (a) 3 above. The City may waive any minor informalities or irregularities in any bid.

Bidder and its subcontractors shall comply with the provisions of the Fair Employment and Housing Act (Government Code §12900, et seq.) and the applicable regulations promulgated thereunder (California Administrative Code of Regulations, Title 2, §7285.0 et seq.) and other applicable State and Federal regulations pertaining to nondiscrimination and affirmative action which are incorporated herein by reference and made a part hereof as if set forth in full.
B. Terms and Conditions of Purchase ARTICLE I - The materials, supplies or services covered by this order shall be furnished by Seller subject to all the terms and conditions set forth in this order including the following, which Seller, in accepting this order agrees to be bound by and to comply with in all particulars and no other terms or conditions shall be binding upon the parties unless hereafter accepted by them in writing. Written acceptance or shipment of all or any portion of the materials or supplies, or the performance of all or any portion of the services, covered by this order shall constitute unqualified acceptance of all its terms and conditions. The terms of any proposal referred to in this order are included and made a part of the order to the extent of specifying the nature of the materials, supplies, or services ordered, the price therefor, and the delivery thereof, and then only to the extent that such terms are consistent with the terms and conditions of this order.
ARTICLE II – INSPECTION. The Materials, supplies or services furnished shall be exactly as specified in this order, free from all defects in Seller’s design, workmanship and materials, and, except as otherwise provided in this order, shall be subject to inspection and test by City at all times and places. If, prior to final acceptance, and materials, supplies or services are found to be defective or not as specified, City may reject them, require Seller to correct them without charge, or require delivery of such materials, supplies, or services at a reduction in price which is equitable under the circumstances. If Seller is unable or refuses to correct such items within a time deemed reasonable by City, City may terminate the order in whole or in part. Seller shall bear all risks as to rejected materials, supplies and services and in addition to any costs for which Seller may become liable to City under other provisions of this order, shall reimburse City for all transportation costs, other related costs incurred, or payments to Seller in accordance with the terms of this order for unaccepted materials, supplies and services. Notwithstanding final acceptance, and payment, Seller shall be liable for latent defects, fraud or such gross mistakes as amount to fraud.
ARTICLE III – CHANGES. City may make changes within the general scope of this order in drawings and specifications for specially manufactured supplies, place of delivery, method of shipment or packing of the order by giving notice to Seller and subsequently confirming such changes in writing. If such changes affect the cost of, or the time required for performance of this order, an equitable adjustment in the price or delivery or both shall be made. No change by Seller shall be recognized without written approval of City. Any claim of Seller for an adjustment under this Article must be made in writing within thirty (30) days from the date of receipt by Seller of notification of such change unless City waives this condition. Nothing in this Article shall excuse Seller from proceeding with performance of the order as changed hereunder.
ARTICLE IV – TERMINATION.
(a) City may by written notice stating the extent and effective date, terminate this order for convenience in whole or in part, at any time. City shall pay Seller as full compensation for performance until such termination: (1) the unit or pro date order price for the delivered and accepted portion; and (2) a reasonable amount, not otherwise recoverable from other sources by Seller as approved by City, with respect to the undelivered or unaccepted portion of this order;
provided compensation hereunder shall in no event exceed the total order price.
(b) City may by written notice terminate this order for Seller’s default, in whole or in part, at any time, if Seller refuses or fails to comply with the provisions of this order, or so fails to make progress as to endanger performance and does not cure such failure within a reasonable period of time, or fails to make deliveries of the material or supplies or perform the services within the time specified or any written extension thereof. In such event, City may purchase or otherwise secure materials, supplies or services and except as otherwise provided herein, Seller shall be liable to City for any excess costs occasioned City thereby. If, after notice of termination for default, City determines that Seller was not in default or that the failure to perform this order is due to causes beyond control and without the fault or negligence of Seller (including, but not restricted to, acts of God or of the public enemy, acts of City, acts of Government, fires, floods, epidemics, quarantine restrictions, strikes, freight embargoes, unusually severe weather, and delays of a subcontractor or supplier due to such causes and without the fault or negligence of the subcontractor or supplier), termination shall be deemed for the convenience of City, unless City shall determine that the materials, supplies, or services covered by this order were obtainable from other sources in sufficient time to meet the required delivery schedule.
(c) If City determines that Seller had been delayed in the work due to causes beyond the control and without the fault or negligence of Seller, City may extend the time for completion of the work called for by this order, when promptly applied for in writing by Seller; and if such delay is due to failure of City, not caused or contributed to by Seller, to perform services or deliver property in accordance with the terms of the order, the time and price of the order shall be subject to change under the Changes Article. Sole remedy of Seller in event of delay by failure of City to perform shall, however, be limited to any money actually and necessarily expended in the work during the period of delay, solely by reason of the delay. No allowance will be made for anticipated profits.
(d) The rights and remedies of City provided in this Article shall not be exclusive and are in addition to any other rights and remedies provided by law or under this order.
(e) As used in this Article, the Word “Seller” includes Seller and his subsuppliers at any tier.
(f) Supplier acknowledges that City may terminate this agreement pursuant to this Article should funds not be appropriated by its governing body to continue services under this agreement.
ARTICLE VI – PAYMENT, EXTRA CHARGES, DRAFTS. Seller shall be paid, upon submission of acceptable invoices, for materials and supplies delivered and accepted or services rendered and accepted. City will not pay cartage, shipping, packaging or boxing expenses, unless specified in this order. Drafts will not be honored. Invoice must be accompanied by transportation receipts, or facsimile, if transportation is payable and charged as a separate item.
ARTICLE VII – WARRANTY. Seller agrees that the supplies or services furnished under this order shall be covered by the most favorable commercial warranties the Seller gives to any customer for the same or substantially similar supplies or services and that the rights and remedies so provided are in addition to and do not limit any rights afforded to City by any other article of this order.
Such warranties will be effective notwithstanding prior inspection and/or acceptance of the services or supplies by the City.
ARTICLE VIII – PATENT INDEMNITY. Seller shall indemnify City, its officers, agents, and employees against liability, including cost, for infringement of Letters Patent resulting from Seller’s furnishing or supplying standard parts or components or utilizing its normal practices or methods in the performance of this order or to any parts, components, practices, or methods as to which Seller has secured indemnification from liability. The foregoing indemnity shall not apply unless Seller shall have been informed as soon as practicable by City of the suit or action alleging such infringement, and shall have been given such opportunity as is afforded by applicable laws, rules, or regulations to participate in the defense thereof; and further, such indemnity shall not apply to a claimed infringement which is settled without the consent of Seller, unless required by final decree of a court of competent jurisdiction.
ARTICLE IX – DECLARED VALUATION OF SHIPMENTS. Except as otherwise provided on the face of this order, all shipments by Seller under this order for City’s account shall be made at the maximum declared value applicable to the lowest transportation rate or classification and the bill of lading shall so note.
ARTICLE X – ASSIGNMENT. This order is assignable by City. Except as to any payment due hereunder, this order is not assignable by Seller without written approval of City.
ARTICLE XI – AFFIRMATIVE ACTION. Seller shall not maintain or provide racially segregated facilities for employees at any establishment under his control. Seller agrees to adhere to the principles set forth in the Executive Orders 11246 and 11375, and to undertake specifically; to maintain employment policies and practices that affirmatively promote equality or opportunity for minority group persons and women; to take affirmative steps to hire and promote women and minority group persons at all job levels and in all aspects of employment; to communicate this policy in both English and Spanish to all persons concerned within his company, with outside recruiting services, and the minority community at large; to provide the City or request a breakdown of his labor force by ethnic group, sex, and job category; and to discuss with the City his policies and practices relating to his affirmative action program.
ARTICLE XII – FAIR EMPLOYMENT PRACTICES. If this order is for an amount of $10,000 or more, Seller agrees to comply with the provisions of the California Fair Employment Practice Act and to include the provisions of the Act in any first tier subcontract into which Seller may enter in connection with performance pursuant to this order so that such provisions will be binding upon each subcontractor.
ARTICLE XIII – OTHER APPLICABLE LAWS. Any provision required to be included in a contract of this type by any applicable and valid federal, state or local law, ordinance, rule or regulations shall be deemed to be incorporated herein.
ARTICLE XIV - This agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. In the event that any signature is delivered by facsimile transmission or by e-mail delivery of a “.pdf” format data file, such signature shall create a valid and binding obligation of the party executing (or on whose behalf such signature is executed) with the same force and effect as if such facsimile or “.pdf” signature page were an original thereof.

RE: Contractor and Grantee Compliance with Economic Sanctions Imposed in Response to Russia’s Actions in Ukraine
Dear Vendor:
On March 4, 2022, Governor Gavin Newsom issued Executive Order N-6-22 (EO) regarding sanctions in response to Russian aggression in Ukraine. The EO is located at https://www.gov.ca.gov/wp-content/uploads/2022/03/3.4.22-Russia-Ukraine-Executive- Order.pdf.
The EO directs all agencies and departments that are subject to the Governor’s authority to take certain immediate steps, including notifying all contractors and grantees of their obligations to comply with existing economic sanctions imposed by the U.S. government in response to Russia's actions in Ukraine, as well as any sanctions imposed under state law.
This correspondence serves as a notice under the EO that as a contractor or grantee, compliance with the economic sanctions imposed in response to Russia’s actions in Ukraine is required, including with respect to, but not limited to, the federal executive orders identified in the EO and the sanctions identified on the U.S. Department of the Treasury website (https://home.treasury.gov/policy-issues/financial-sanctions/sanctions- programs-and-country-information/ukraine-russia-related-sanctions). Failure to comply may result in the termination of contracts or grants, as applicable.
Please note that for any agreements or grants valued at $5 million or more you must report to the City of Roseville your compliance with economic sanctions including steps you have taken in response to Russia's actions in Ukraine, including, but not limited to, desisting from making new investments in, or engaging in financial transactions with, Russian entities, not transferring technology to Russia or Russian entities, and directly providing support to the government and people of Ukraine.
Sincerely, D. 4/25/2022

The scope of these specifications describes City ) requirements for self-supporting, all-dielectric (ADSS) fiber optic cable. The bidder shall, with this proposal, indicate all deviations from the requirements of this specification. The project engineer will review any technical discrepancies in the submittals received. The successful bidder shall also be referred to as Contractor in this specification.
1.2 General System Description
This specification requires the Contractor to furnish 72-count fiber, all-dielectric (electrically non-conductive), self-supporting, loose-buffer tube cable designed for aerial installation on steel and wood pole structures. The cable shall consist of round, single-mode fibers, designed for 1310 nm operation. The cable shall utilize standard ADSS cable hardware for installation. Cables that require special potting compounds for dead ends, cables with a separate dielectric messenger, or cables using a fiber core as its only strength member will not be considered. The maximum span shall be 600 feet, and the cable shall meet the NESC medium design for this span length.
1.3 Supplier's Specific Requirements
The Contractor shall be responsible for all phases of manufacturing, packaging and safe keeping of the fiber optic cable. The cable shall be shipped F.O.B. to the destination.
Prior to shipping, the supplier shall test each fiber to verify that both the user and the glass fiber manufacturer's specifications are met. Each of the fibers in each of the cable reels shall be completely tested with an Optical Time Domain Reflectometer (OTDR) at 1310 nm and 1550 nm on an end-to-end basis and final test data attached to each reel.
Copies of the tests shall be sent to the project engineer at the City.
